The Development Department of the City of San Bernardino (the
"Department") and the City of San Bernardino (the "City") have
previously approved the adoption of the Redevelopment Plan for the
Central City North Redevelopment Project Area (the "Redevelopment
Plan"). The Department has received a request from San Gorgonio Land
Company, Inc. (the "Buyer") to assist in the acquisition of certain
property located within the Project Area subject to the Redevelopment
Plan in order to cause its use in a manner consistent with the
provisions of the Redevelopment Plan.
Anllllvsis
The Department deems it desirable at this time to enter into a loan
transaction with the Buyer in order to assist the Buyer in facilitating
the close of escrow and paying the costs of acquisition of that certain
property generally located at 701 North "E" Street, 767 North "E"
Street and certain vacant parcels bounded on the west by "E" Street, on
the south by Seventh Street and on the east by Arrowhead Avenue (the
"Property"). In connection with the loan transaction, the Department
shall require the Buyer to execute a Promissory Note in favor of the
Department secured by a Deed of Trust to the property. The Promissory
Note shall be in the amount of not to exceed Three-Million,
Five-Hundred, Eight-Thousand, Eight-Hundred, Fifty Dollars
($3,508,850.00). The above referenced Resolution approves the Loan
transaction and approves the form of the Promissory Note and the Deed
of Trust which are attached thereto as Exhibit's "A" and "B"
respectively.
Staff Recommendation
Staff recommends adoption of the attached Resolution.

WHEREAS, the City of San Bernardino, California (the

created and existing pursuant to the Constitution and the laws of
the State of California; and
WHEREAS, the Community Development Commission of the

24) commencing with Section 33000 of the Health and Safety Code
of the state of California (the "Act"); and
WHEREAS, the City has previously approved and adopted
the Redevelopment Plan for the Central City North Redevelopment
Project Area
(the "Redevelopment Plan")
pursuant to a duly
adopted Ordinance of the City; and
WHEREAS, the Commission deems it desirable to assist in
causing the acquisition of certain property located within the
project area subject to the Redevelopment Plan (the "Project
Area"); and

WHEREAS, San Gorgonio Land Company, Inc., a California
corporation (the "Buyer"), has requested the Agency's assistance
in connection with the acquisition of certain real property which
consists of certain land and structures generally located at 701
North "E" Street and 767 North ":e" Street as well as certain
related parking areas bounded on the west by "E" Street, on the
south by Seventh street and on the east by Arrowhead Avenue (the

10 WHEREAS, the Buyer desires to acquire the Property for
11 the purposes of causing its use in a manner consistent with the
12 provisions of the Redevelopment Plan; and y

14 WHEREAS, in order to assist the Buyer, the Agency deems
15 it desirable to provide a short term loan (the "Agency Loan") to
16 the Buyer so that the Buyer is able to close escrow and complete
17 the acquisition of the Property which Agency Loan shall be
18 evidenced by a Promissory Note executed by the Buyer in favor of
19 the Agency and which Agency Loan shall be secured by a Deed of
20 Trust pertaining to the Property; and

22 WHEREAS, the Agency Loan is to be in an amount not to
23 exceed Three Million Five Hundred Eight Thousand Eight Hundred
24 Fifty Dollars ($3,508,850.00) as evidenced by the Promissory Note
25 a copy of which is attached hereto as Exhibit "A" and
26 incorporated herein by this reference and which Promissory Note
27 shall be secured by the Deed of Trust, a copy of which is
28 attached hereto as Exhibit "B" and incorporated herein by this reference.

PROMISSORY NOTE SECURED BY DEED OF TRUST

September 16, 1991
San Gorgonio Land Company, a California corporation, for
good and valuable consideration, receipt of which is hereby
acknowledged, hereby promises to pay to the Redevelopment Agency of
the City of San Bernardino, a body corporate and politic, the sum
of THREE MILLION FIVE HUNDRED EIGHT THOUSAND EIGHT HUNDRED FIFTY
AND NO/100 DOLLARS ($3,508,850.00), without interest thereon, in
lawful money of the United States of America, at San Bernardino,
California, to be paid on or before October 16, 1991.
This Promissory Note is secured by a Deed of Trust of
even date herewith securing a first lien position on that certain
property commonly known as 701 North "E" Street, 767 North "E"
Street, and certain vacant and parking areas associated therewith,
all of which are more particularly described in said Deed of Trust.
In the event of litigation in connection with this Note,
the undersigned hereby agrees to pay reasonable attorneys' fees and
court costs in connection therewith.
The undersigned hereby waives demand and presentment for
payment, notice of nonpayment, notice of protest and protest notice
of dishonor, and any and all other notices and demands in
connection with the delivery, acceptance, performance, default or
enforcement of this note, and hereby consents to any and all
extensions of time, renewals, releases of liens, waivers or
modifications that may be granted to the undersigned.
