BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY OF SAN BERNARDINO AS FOLLOWS: SECTION 1. The Director of Parks, Recreation and Community Services Department of the City of San Bernardino is hereby authorized and directed to execute for and on behalf of said City an Agreement vith the East Valley Regional Council on Aging, San Bernardino County for the purpose of providing companionship and personal services to clients in the East Valley Service Area by the City of San Bernardino Senior Companion Program; a copy of said Agreement is attached hereto as Exhibit "All and incorporated herein by reference as though fully set forth at length. Approved as to form and legal content: c;~ -2- 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 29 30 31 32 33 34 35 36 it' <m ,} i~~ J':VIf NOTIFICATION OF CONTRACT AWARD CONTRACT NUMBER TO: CITY OF SAN BERNARDINO SENIOR COMPANION PROGRAM BY: EAST VALLEY REGIONAL COUNCIL ON AGING THIS AGREEMENT, is made on the 1ST JULY 19-1UL, by and between the Council on Aging~ hereinafter called the CITY OF SAN BERNARDINO SENIOR COMPANION PROGRAM direct service hereinafter called "Contractor." The Older Americans Act of 1965, as Amended, provides for assistance to state and local agencies to develop social supportive services to meet the needs of older persons. The California Department of Aging has allotted funds -, to the Office on Aging for the purpose of administering a certain portion of said funds pursuant to said act; and for the purpose of planning service programs and acti vi ties for older persons. WHEREAS, the RCA desires to use Office on Aging monies to fund, and the Contractor desires to operate and execute a Regional Program, this contract is executed to reduce to wri ting, the specific terms and condi tions covering the funding, execution and operation of the program provided by this contract. THEREFORE, in consideration of the mutual promises and covenants contained herein, the RCA and the Contractor agree as follows: day of Regional RCA and provider, 1. DEFINITIONS: CDA PM means "Title III Program Manual for Area Agencies on Aging." This manual is based on Federal regulations for Title III published March 31, 1980 (CFR, Chapter 8, Subchapter C, Par. 1321) . Pertinent parts of 45 CFR, Sub-title A, Part 74, published June 3, 1980, have also been used. 2. WORK TO BE PERFORMED: The Contractor shall, in a r.tHllllr A' 1 satisfactory manner as determined by the OoA, conduct, 2 administer and provide Regional services for the elderly 3 as defined in the attached WORK PROGRAM (Exhibit A) 4 and PROGRAM BUDGET (Exhibit B). The aforementioned 5 and all other exhibits are, by this reference, made 6 a part of this contract as if fully set forth herein. 7 3. PERFORMANCE STANDARDS AND REMEDIES: - If for any reason 8 the Contractor's service falls below 5% or exceeds 25% 9 of the contracted level during any calendar quarter, 10 the Contractor will submit to the RCA within 30 calendar 11 days an analysis of the problem and the actions being 12 taken to correct the problem. If the problem persists, 13 the RCA, and the Contractor will jointly prepare a written 14 corrective plan with time lines for completion. If 15 the Contractor fai Is to carry out the corrective action 16 in the required time frame, sanctions will be invoked 17 as descr~bed in the DoA Sanction Policy. Continued 18 lack of corrective action will be cause for termination 19 of contract. If, after all appropriate actions have 20 been taken, the service level still falls below 5% or 21 exceeds 25% of the contracted level, the RCA may 22 renegotiate the contracted level of service and the 23 budget, as appropriate. 24 4. TERM: The term of this agreement wi 11 begin on 1ST 25 day of JULY 19~, and terminate on the 26 30TH day of JUNE 19~, subject, 27 however, to early termination as herein provided. 28 5. COMPENSATION/SCHEDULE OF PAYMENTS: The maximum amount 29 of funds awarded under this contract shall be 30 $ 3,000.00 and shall be subject to receipt 31 of funds from the California Department of Aging. 32 Contractor shall provide assurance that all funds received 33 by the Contractor from the OoA shall be accounted for 34 separately in the Contractor's accounting system and 35 segregated from all other funds under the Contractor's 36 control. Any funds received by the Contractor from . 041A. 7 1 OoA which have not been obligated prior to the termination 2 of this agreement shall be returned to OoA immediately 3 thereafter. 4 The initial advance payment to the Contractor shall 5 be $ 750.00 after which payments shall be ba'sed upon 6 the units of service delivered during the previous quarter 7 and cash balance on hand and shall not exceed 8 $ 750.00 per quarter unless approved in writing 9 by the RCA and the OoA Director. Contractor must be 10 bonded in order to receive an advance. 11 The initial payment to the Contractor shall be made 12 wi thin one quarter of the commencement of service and 13 thereafter payment for each quarter's services will 14 be made no later than the 30th day of the following 15 month subject to the availability of funds at the OoA. 16 6. MATCHING SHARE: The Contractor will contribute a cash 17 match of $ ~ and/or an inkind match of 18 $ 333.00 for a total match of ten (10) percent 19 of all expended OoA and matching funds. Allowable match 20 shall be in accordance with CDA Program Manual, Part 21 I, Section 200, Non-Federal resources. 22 7. FISCAL RESPONSIBILITY: The Contractor agrees to strictly 23 adhere to the approved budget, Ii sted in Exhibi t B. 24 Contractor will ensure that all expenditures are supported 25 by properly executed payroll, time records, invoices, 26 contracts, vouchers, orders, and any other accounting 27 documents pertaining in whole or in part to this contract. 28 Such documents shall be clearly identified and readily 29 accessible to OoA staff, as may be required. 30 8. AUDIT: Within 90 days after the termination of this 31 contract, Contractor shall perform an audi t and submi t 32 information as required in the OoA Final Program Report. 33 Requirements of the Final Program Report will be in 34 accordance with instructions found in the OoA Contractor's 35 Manual. In the event of an audit exception, all documents 36 referred to in Paragraph 7, FISCAL RESPONSIBILITY, shall 1 2 3 9 . 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 29 30 31 32 33 34 35 36 be maintained and kept available until every exception has been cleared to the satisfaction of RCA and OoA. INSURANCE: The Contractor agrees to indemnify, defend and hold harmless the Department, the County and their authorized agents, officers, volunteers and employees against any and all claims arising from Contractor's negligent acts or omissions and for any costs or expenses incurred by the Department, County or Contractor on account of any claim therefore. In order to accomplish the indemnification herein provided for, the Contractor shall secure and maintain throughout the term of the contract the following types of insurance with limits as shown: a) Workers' Compensation A program of workers' compensation Insurance or a State-approved Self Insurance Program in an amount and form to meet all applicable requirements of the Labor Code of the .State of California, including Employer's Liability with $250,000 limits, covering all persons providing services on behalf of the Contractor and all risks to such persons under this Agreement. The Contractor shall require the carriers of this coverage to waive all rights of subrogation against the RCA, the Department and the County, their officers, volunteers, employees, contractors and subcontractors. b) Comprehensive General and Automobile Liability Insurance This coverage to include contractual coverage and automobile liability coverage for owned, hired, and non-owned vehicles. The policy shall have combined single limits for bodily injury and property damage of not less than one million dollars ($1,000.000). c) Contractor shall furnish certificates of insurance certified copies of all policies and endorsements to the Department evidencing the insurance coverage ~-----~---- ---------~---- ----- 1 above required prior to the commencement of 2 performance of services hereunder, which certificates 3 shall provide that such insurance shall not be 4 terminated or expire without thirty (30) days written 5 notice to the Department, and shall maintain such 6 insurance from the time Contractor commences 7 performance of services hereunder until the completion 8 of such services. 9 d) All policies, with respect to the insurance coverage 10 above required, except for the Workers I Compensation 11 insurance coverage and professional liability 12 coverage, if applicable, shall obtain additional 13 endorsements naming the Department and the County, 14 their employees, agents, volunteers and officers 15 as additional named insured with respect to 16 liabilities arising out of the performance of services 17 hereunder. 18 All policies required above are to be primary and 19 non-contributing with any insurance or self-insurance 20 programs carried or administered by the County. 21 e) Blanket Fidelity Bond Prior to entering upon 22 performance of this contract, the Contractor may 23 submit to the County proof of a blanket fidelity 24 bond in an amount equal to one month of the contract 25 payroll of the contract period, covering all 26 officials, employees an agents handlinq or havinq 27 access to funds received or disbursed by the 28 Contractor under this contract, or who are authorized 29 to sign, or countersign checks. Said bond shall 30 constitute primary protection for the RCA, the County, 31 and the Office on Aging, and their officers, agents, 32 and employees. The bond policy shall provide at 33 least thirty (30) days prior written notice to the 34 County of cancellation or material change. Said 35 bond is required in order to receive an advance. 36 10. LICENSURE: Where the State or local public jurisdiction 1 within the State requires licensure for the provision 2 of services, the Contractor will, in performing the 3 services stipulated in this contract, obtain all necessary 4 licenses. 5 11. REPORTS: Contractor, at such times and in su.ch forms 6 as the RCA and OoA may require, shall furnish RCA and 7 OoA statements, records, reports, data and information 8 as RCA and OoA may request pertaining to Contractor 9 performance of services hereunder and other matters 10 covered by this agreement. 11 12. INSPECTIONS: Contractor shall make available to RCA, 12 OoA, State or Federal officials, its records and data 13 wi th respect to all matters covered by this agreement 14 for inspection and audit. Said inspection and audit 15 may be made at any time during normal business hours 16 after reasonable notice (CDA PM, Part G, Section 93.21 17 N 8). 18 13. MONITORING AND ASSESSMENT: Contractor shall permi t 19 RCA, OoA, State or Federal officials to monitor, assess 20 or evaluate Contractor's performance under this agreement. 21 Said monitoring, assessment or evaluation shall include, 22 but not be limited to, project site visits and interviews 23 with Contractor's employees and agents providing the 24 service under this agreement and recipients thereof. 25 Contractor will ensure cooperation and shall attend 26 all meetings mandated by the RCA and OoA. 27 14. PROPERTY MANAGEMENT SYSTEM: All equipment, materials, 28 supplies or property of any kind purchased with OoA 29 funds provided herein shall be in accordance with CDA 30 PM, Part G, Section 93.19, and if no fully expended 31 or consumed prior to termination of this contract shall 32 be the property of the RCA, unless otherwise directed 33 by the DoA Director. The Contractor shall be held liable 34 for all losses of or damage to non-expendable equipment 35 or material resulting from negligence or improper 36 implementation of safeguards. The disposal, loss and/or 1 2 3 4 I 5 6 7 8 9 10 11 12 13 14 15. 15 16 17 18 19 20 21 22 16. 23 24 25 26 27 28 29 30 31 32 33 34 35 36 destruction of property or equipment shall be fully documented by the Contractor with copies thereof provided to the OoA wi th the monthly report for the month in which occurred. Loss by vandalism or theft must be immediately reported to the police. The OoA Director shall be notified of the loss within seventy-two (72) hours of discovery of the loss. Equipment that is worn beyond economica 1 repair may be turned in to the OoA for accountability purposes. Replacement of the item shall require OoA authorization. Any equipment purchased will be subject to review over the life of the equipment, and if not used, under-used or misused, may be claimed by the OoA for redistribution to other OoA projects. AMENDMENTS TO THE CONTRACT: This Agreement consti tutes the entire agreement between the Contractor and the OoA with respect to the subject matter of this agreement. There are no other or further written or oral understandings or agreements wi th respect to this agreement. No variation or modification of this aqreement and no wai vers of its provisions shall be valid unless in writing and signed by the parties. CONDITIONS FOR TERMINATION: a) The RCA and the County may terminate this agreement and be relieved of the payment of any consideration to Contractor should Contractor fail to perform the covenants herein contained at the time and in the manner herein provided. In the event of such termination, the RCA and the County may proceed wi th the work in any manner deemed proper by the County. The cost to the RCA and the County shall be deducted from any sum due the Contractor under this agreement, and the balance, if any, shall be paid the Contractor upon demand. b) Without the prior written consent of the County, this agreement is not assignable by Contractor either in whole or in part. 1 c) The consideration to be paid to Contractor, as provided 2 herein, shall be in full payment for all Contractor's 3 services and expenses incurred in the performance 4 hereof. 5 6 7 8 9 writing to the Contractor. 10 e) Reclamation and Closure: In the event of termination, 11 all funds, property, finished or unfinished documents, 12 data, supplies, and reports obtained or prepared 13 by the Contractor under this contract shall, at 14 the option of the OoA become OoA property. 15 f) The Contractor shall be entitled compensation for 16 satisfactory performance or allowable expenses 17 necessarily incurred under this contract. 18 g) RCA, OoA and County may terminate this contract 19 upon sixty (GO) days written notice to the other 20 party. 21 17. TRAINING AND MANPOWER DEVELOPMENT: The Contractor agrees 22 to participate in appropriate staff training and 23 development provided by the RCA, OoA, the California 24 Department of Aging and the Administration on Aging. 25 18. CONFIDENTIALITY: The Contractor will take steps to 26 ensure that no information about, or obtained from an 27 individual, and in the possession of the Contractor, 28 will be discussed in a form identifiable with the 29 individual, without the individual's informed consent. 30 19. PUBLICATIONS: Any books, reports, pamphlets, papers, 31 or articles based on acti vi ties funded by this contract 32 must be approved by OoA prior to publication and must 33 contain an acknowledgment of funding by the San Bernardino 34 County Office on Aging, and the Regional Council on 35 Aging. 36 20. COPYRIGHTS: If the contract results in a book or other d) If the grant or other funding under which this contract is made is terminated, the RCA and the OoA shall have cause to immediately terminate this contract. Notice of the termination shall be in 1 copyrightable materials, the author is free to copyright 2 the work, but the ReA and the OoA reserve a royalty-free, 3 non-exclusi ve and irrevocable license to reproduce, 4 publish, or otherwise use, and to authorize others to 5 use, all copyrighted material and all material which 6 can be copyrighted resulting from the contract (CDA 7 PM, Part G, Section 93.19). 8 21 . CONTRACTOR INDEPENDENCE: The Contractor and the agents 9 and employees of the Contractor in the performance of 10 this agreement shall act in an independent capacity 11 and not as officers, or employees or agents of the State 12 of California, County of San Bernardino, the OoA or 13 the RCA. 14 22. UNAUTHORIZED ACTIVITIES: All activities not expressly 15 authorized by this agreement in Exhibit A shall be 16 prohibited without the express written permission of 17 the RCA apd the OoA Director or his authorized agent. 18 23. BINDING CONTRACT: In the event any portion of the 19 contract is found to be invalid, the remaining portions 20 shall continue to constitute a valid and binding contract. 21 24. PLANNING EFFORT: The Contractor agrees to cooperate 22 with the RCA and the OoA in their efforts toward 23 developing a comprehensive and coordinated system of 24 services for the elderly by participating in joint 25 planning efforts and other activities mutually agreed 26 upon to meet this goal (CDA PM, Part H, Section 107.5). 27 25. CONTRIBUTION FOR SOCIAL SERVICES: The Contractor wi 11 28 provide older persons receiving such services the 29 opportuni ty to contribute to all or part of the social 30 services provided. Each individual recipient will 31 determine what he is able to contribute toward the cost 32 of the social service. No older person will be denied 33 a social service because of his failure to contribute. 34 No fee shall be required of the recipient. Methods 35 of receiving contributions from recipients shall be 36 handled in such a manner so as not to differentiate 1 among the individuals contributions publicly. (California 2 Department of Aging, Program Manual, Part H., Section 3 111.1). 4 26. GREATEST ECONOMIC OR SOCIAL NEED: The Contractor 5 understands that one of its responsibilities under this 6 contract is to insure that "preference will be given 7 to providing services to older individuals with the 8 greatest economic or social needs (Older Americans Act 9 of 1965 as Amended, Amendments of 1984, Public Law 98-459, 10 306 (5) (a) )." "The term 'greatest economic need' 11 means the need resulting from an income level at or 12 below the poverty threshold established by the Bureau 13 of the Census, and the term' greatest social need' means 14 the need caused by non-economic factors which include 15 physical and mental disabilities, language barriers, 16 and cultural or social isolation including that caused 17 by racia~,or ethnic status which restricts an individual's 18 ability ~o perform normal daily tasks or which threatens 19 his or her capacity to live independently. (Older 20 Americans Act of 1965 as Amended, Amendments of 1984, 21 Public Law 98-459, 306 (6). Minimum program goals 22 relating to minorities is determined for the census 23 tracts served by this contract by computing the percentage 24 of minority individuals sixty years of age and older 25 within the total population sixty years of aqe and older. 26 27. RELIGIOUS ACTIVITY PROHIBITED: There shall be no 27 religious worship, instruction, or proselytization as 28 part of, or in connection with, the performance of this 29 contract. 30 Contractor agrees to fully comply with the laws and programs 31 (including regulations issued pursuant thereto) which are 32 listed following this paragraph. Such compliance is required 33 to the extent that such laws, programs and their regulation 34 are, by their own terms, applicable to this contract. 35 Contractor warrants that he will make himself thoroughly 36 familiar with the applicable provisions of said laws, programs 1 and regulations prior to commencing performance of the 2 contract. Copies of said laws, programs, and regulations 3 are available upon request from the San Bernardino County 4 Contract Compliance Officer, 686 East Mill Street, San 5 Bernardino, California 92415-0640. To the extent applicable 6 the provisions of said laws, programs and regulations are 7 deemed to be a part of this contract as if fully set forth 8 herein. 9 1. The San Bernardino County Affirmative Action Compliance 10 Program (See Exhibit C). 11 2. Vietnam Era Veterans' Readjustment Assistance Acts of 12 1972 and 1974, as amended. Pub. L. 92-540, Title V 13 Section 503 (a), Pub. L-93-508, Title IV, as amended, 14 Se c t ion 4 0 2 . ( 3 8 US CA 2011- 2013 ) . 15 3. Rehabilitation Act of 1973, as amended (handicapped) 16 Pub. L. 93-112, amended. 17 4. Californi~ Fair Employment Practice Act, Labor Code 18 Section 1410 et. seq. 19 5. Civil Rights Act of 1964, as amended (42 USCA 2000a 20 to 2000h-6) and Executive Order No. 11246, September 21 24, 1965, as amended by Executive Order 11375 and as 22 supplemented in Department of Labor regulations (41 23 CFR, Part 60). 24 6. Provisions against lobbying are as follows: The following 25 statutory provision (part of Sec. 407 of Pub. L. 95-480, 26 92 Stat. 1589) has applied to all Health and Human 27 Services (HHS) appropriations beginning wi th those for 28 Fiscal Year 1979 and is likely to continue to apply 29 to any future appropriations. 30 "No part of any appropriation contained in this Act 31 shall be used to pay the salary or expenses of any grant 32 or contract or contract recipient or agent acting for 33 such recipient to engage in any activity designed to 34 influence legislation or appropriation pending before 35 the Congress." 36 This means that the costs of attempting to influence 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 29 30 31 32 33 34 35 36 legislation pending before Congress may not be charged either as direct or indirect costs to any HHS grant awarded from funds subject to the provision. Attempting to influence legislation is commonly called lobbying. This notice concerns only the charging of certain costs to Older Americans Act grants including the matching share. Nothing in this notice is intended in any way to inhibitor discourage any party from exercising its lawful rights to attempt to influence legislation pending before Congress as long as the costs are not charged to the grant. This agreement constitutes the entire agreement between the Contractor and the OoA wi th respect to the subject matter of this agreement. There are no other or further written or oral understandings or agreements with respect to this agreement. FOR THE REGIONAL COUNCIL ON AGING Q"1 JA.~.~ I ,,5 -8~ FO~7.A~ 7-7#i'7 , DATE DATE CITY OF SAN BERNARDINO SENIOR COMPANION PROGRAM EXHIBIT A WORK PROGRAM TITLE III-D ALLOCATION IN-HOME SERVICES FOR FRAIL OLDER INDIVIDUALS FY 1988-89 I. Program Description: A. In order to assist frail older individuals who have physical or mental disabilities to perform normal daily tasks and live independently, the City of San Bernardino Senior Companion Program will expend funds to provide In-Horne services, and service coordination with other community agencies to provide counseling training for caregivers and support services in care management. B. Special attention will be given to provision of services which will prevent premature institutionalization. II. Program Objectives: A. Program: In-Horne Services for Frail Older Individuals ( 19 ) 1. A total of 4 individuals are to be served, of which at least one (7%)* shall be a minority. 2. Service: Visiting (31) a. Units of service required: 120 hours III. Definitions: A. In-Horne Services for Frail Older Individuals 1. In accordance wi th established eligibility criteria, and Section 74709 and 74745, California Administrative Code Article 5, to assist frail older individuals who have physical or mental disabilities that restrict the ability of an individual to perform normal daily tasks or which threatens the capacity of an individual to live independently, including those with Alzheimer's Disease or a related disorder with neurological or organic brain dysfunctions. B. Visiting 1. To visit a client to provide reassurance and comfort. C. Hour 1. There are three units of time that are included in the reporting of an hour units of service. These are: a. Preparation Time: The time necessary to prepare for the delivery of a service. Examples include time spent developing materials for a nutrition education class, time spent researching a legal case to advocate for a senior and time spent setting up for a health screening service. b. Service Time: The time expended on the actual provision of a service. c. Travel Time: The Time spent traveling to the location where a service is delivered. 2. When reporting a uni t of service measured in hours do not multiply the hours of direct service by the number of employees/volunteers. The counting of hours to be reported for a given activity should be for the time involved in the specific preparation of a structured, organized, scheduled activity and the number of hours that the activity took place. *The Minority requirement is determined for the census tracts served by this Contract by computing the percentage of minority individuals sixty (60) years of age and older within the total population sixty (60) years of age and older. EXHIBIT C ASSURANCE OF COMPLIANCE WITH THE DEPARTMENT OF HEALTH AND BOMAN SERVICES REGULATIONS UNDER TITLE VI OF THE CIVIL RIGHTS ACT OF 1964 CITY OF SAN BERNARDINO SENIOR COMPANION PROGRAM (Name of Grantee or Contractor) (herein after called the "Recipient of Award"), HEREBY AGREES that it will comply with Title VI of the Civil Rights Act of 1964 (P.L. 33-352) and all requirements imposed by or pursuant to the Regulations of the Department of Health and Human Services (45CFR, Part 80) issued pursuant to that title, to the end that, in accordance wi th Ti tle VI of that Act and the regulation, no person in the United states shall, on the ground of race, color, sex, age, or national origin, be excluded from participation in, be denied the benefits of or be otherwise subjected to discrimination under any program or acti vi ty for which the Recipient of Award received federal financial assistance from the San Bernardino County Office on Aging: a recipient of federal financial assistance from the Department; and HEREBY GIVES ASSURANCE that it will immediately take any measures necessary to effectuate this agreement. If any real property or structure thereon is provided or improved with the aid of federal financial assistance extended to the Recipient of Award by the Area Agency on Aging, this assurance shall obligate the Recipient of Awara or in the case of any transfer of such property, any transferree, for the period during which the real property or structure is used for a purpose for which the federal financial assistance is extended or for another purpose involved in the provision of similar services or benefits. If any personal property is so provided, this assurance shall obligate the Recipient of Award for the period during which the federal financial assistance is extended to it by the Area Agency on Aging. 'l'BIS ASSURANCE is gi ven in consideration of and for the purpose of obtaining all federal grants, loans, contracts, property, discounts or other federal financial assistance extended after the date hereof to the Recipient of Award by the Area Agency on Aging, including installment payments after such data on account of applications for federal financial assistance which were approved before such date. The Recipient of Award recognizes and agrees that such federal financial assistance will be extended in reliance on the representations and agreements made in this assurance.
