On June 19. 1991. Agency staff attended s aeeting with the City Wster Department
and City Facilities Manaaement Department. Staff was informed at thia meeting
by Wayne OVerstreet. Director of Facilities Management Department. that a survey
of the heating equipment located at 201 Borth "B" Street had determined that the
equipment was inadequate and would need a major overhaul in order to heat the
building effectively. The recOlllllendation was made to have the building I s
heating system retrofitted with geothermal heat as an alternative to an overhaul
of the existing gas-operated heating system.
The Director of Facilities Management subsequently sent a memorandum to the
Economic Development Agency Administrator delineating the advantages of
geothermal heating and recOlllllended the geothermal retrofit of the 201 Building
over a more traditional overhaul of the existing heating equipment.
An item is included in the propoaed FY 91-92 EDA Budget for the geothermal
retrofitting of 201 Borth "E" Street. Due to the long lead time of getting the
heat exchangers and coils delivered (eight to ten weeks). staff has issued
purchase orders directly to the suppliers in order to have the geothermal
retrofit completed by Bovember 15. 1991.
It is estimated by the Water Department that converting to geothermal will save
$9.040.00 a year in aas consumption and will pay for itself in six and one-half
(6-1/2) years.
Staff recommends adoption of the form lIotion.

GEOTIlERMAL RETROFIT FOR TIlE CITY HAIL ANNEX
INSTALIATION AGREEMENT
This aareement by and betlfeen the City of San Bernardino
Economic Developllent Alency (IDA) and the City gf San
Bernardino Water Department (Department) for the purpose of
retrofitina the City Hall Annex for Geothenu.l enerlY.
RI~TTAT ~
1. The city of San Bernardino, by and throuah its Board of
Water Commissioners, owns and operates the San
Bernardino Geothenu.l District Heatina System.
2. The IDA is desirous to have the Department provide
.eothenu.l heatina service to the City Hall Annex
located at 201 N. 'E' Street.
3. The IDA is desirous of havina the Department provide and
install all pipina and controls, and install IDA
purchased heatina coils and heatexchanaer, necessary to
retrofit the forementioned bI1ildina to .eothenu.l
enerlY.

4. The IDA has advised that it will reimburse the
Department all of its coat to retrofit the forementioned
bI1ildina to provide .eothenu.1 service to the same.
That for and in coneideration of the promises and
aareements hereafter made and exchanaed, the EDA and
Department aaree all follows:
1. The Department will furnish, deliver and install all
necessary pipina, pJIIIp and controls, with the exception
of the IDA purchased heatexchanler and coils, all set
forth in exhibit MAM, attached hereto and made part
hereof by reference.
2. The IDA will pay the Department all of ita cost to
retrofit the bI1ildina all set forth in Exhibit "A" on an
estimated baais; except, the final payment or refund
will be determined on an actual cost, baaed upon
Department's standard accountm, practices.
3. The Department hall estimated that the amount necessary to
pay the cost associated with the installation of
.eothenu.l facilities will be $50,000.00. EDA will pay to
Department the followin. amount on the dates shown.

The Department further aarees that the cost to the EDA
will not exceed the estimated cost set forth herein,
except for additional cost that are incurred due to
unknown differin, site conditions and any IDA requested
chantes to the desianed facilities that would result in
increased costs to the Department.
4. The Department shall procure alluterials and provide
all enainHrina and work related to the installation of
,eothermal facilities pursuant to this aareement.
Department also agrees it shall provide EDA with a
construction time schedule for the project, with
services to the individual buildin, no later than
October 31, 1991.

5. All work covered by this Aareement done at the site of
construction or in preparin, or deliverina uterials to
the site shall be at the risk of the Department alone.
Department aarees to save, imdunify and keep IDA, its
Officers, Alents, Employees, lnIinaers, and Consultant,
for this Aareement; and all p.lblic &leneie. froll whom
permits will be and their Directors, Officers, Alents
and Employees harmles. apinet any and all liability,
claima, judaments, co.t and demands, includina ~_"ds
ariaina froll injuries or death of persona (Department"s
employees included) and damqe to property, ariaina
directly or indirectly out of the obliptione herein
undertaken or out of the operations conducted by the
Department, save and except claims or litiption arisina
throUlh the .sole ne,li,ence or sole willful misconduct
of IDA and will make ,cod to reillburse IDA for any
Expenditures, includina reasonable attorney fees IDA may
incur by reason of such matters, and if requested by
IDA, will defend any such suits at the sole cost and
expense of Department.
6. TERMINATION

a) In the event of termination of this Aareement,
Department shall be entitled to payment for all
costs and expenses for materials, except as
hereafter provided, services, labor, overhead,
etc., incurred by Department to and includina the
date of termination and all co.ts and expenses
required to effect the termination of this

Alreement, include but not limited to all costs and
expenses pertainin, to the restoration or removal
of Department's ,eothermal facilities, equipment
and/or materials, as well &8 cancellation of
contracts, purchase orders, ect., between
Department and all parties furnishine labor,
materials and services made prior to the
tlrlllination of this .\ireement.
At the option of the Department, all materials paid
for and procured by the Department to affect said
relocation may upon termination of this Alrs_nt
be used by the Department for other projects. The
net proceeds from the transfer of the materials to
other Department projects shall be deducted from
the cost and expenses to be paid by the 1M after
deductine Departllent's applicable administrative
costs, material transportation and conversion
costs, taxes and other outlays or char,es
associated vith such a transfer.
c) If IDA is in default of any of the terms,
provisions, conditions, limitations and covenants
of this Aereement, Department may live vritten
notice of default. If vithin thirty (30) days of
receipt of such notice, 1M does not cure such
default, Departllent has the rilht if so desires, to
tenainete this .\ire_nt upon thirty (30) days
prior vritten notice to the 1M. Should weh rilht
of teZ'llinetion by Department be exercised,
Department shall be entitled to PQHnt for all
co.te and expen.e. for materials, except as
hereinafter provided, service., labor, overhead,

DELAY WI! UNCONTROLLABLE fORCES: Department shall
not be responsible for any delay in the performance

materials, delivery delays, major equipment
breekdovn, load manse_nt, strikes, labor
disturbances, Vir, riot, insurrection, civil
cl.isturbances, weather conditions, epidemic,
quarantine restriction, sabot.,e, act of a public

enemy, earthquake, lovernmental rule, reeulation of
order, includina orders of judiments of any court.
NOTICES: Any notices provided in this Alreement to be
liven by either party hereto to the other shall be

("Customer") agree
as follows:

1. Customer ~wns a building located at 201 North 'E' Street
, San Bernardino, California (the "premises") or
is a tenant or person entitled to occupy and use the premises as set forth
on Exhibit "A" attached hereto.

the Department shall deliver or make available for delivery to Customer's
Point of Service sufficient ~eothermal fluid to meet reasonable thermal
eneray requirements of the Customer in accordance with the Rules and Regula-
tions ,overnin, geothermal service attached hereto as Appendix I ("Rules").
3. The Department shall not be required to supply geothermal fluid
to Customer at a rate of geothermal energy utilization in excess of Cus-
tomer's Demand, as determined in the sole discretion of the General Manager
of the Department.

and thereafter while this Agreement is in effect, Customer shall cause domes-
tic hot water, space and industrial heatin, requirements on the premises to
pe met by utilization of ,eothermal energy, except to the extent that at any
time the Department is not delivering geothermal fluid in sufficient amounts
or temperature to meet all such requirements, and except as specified in
Exhibit "B".
S. Customer shall promptly pay the Department all amounts billed to
Customer and any other amounts char,ed by the Department under the Rules.
Subject to and in accordance with Rule 2 of the Rules, Customer's Demand
shall be reduced upon satisfactory evidence of a permanent reduction in

Customer's needs for thermal energy. Such needs shall be determined by the
General Manager of the Deportment upon the basis of reasonable factors,
including but not limited to vacancies, change in use, alteration, renova-
tion, or partial destruction or demolition of the premises.

6. Rates shall be fixed for a period of four years and nine months
frOll inception of usage at rates established and set forth on Exhibit "B"

attached hereto and incorporated by reference. Thereafter, rates shall be
adjusted by the Department on an annual basis, commencing January 1, 1991
in accordance with Section 18 of the Rules.
7. Subject to Rule and Regulation Nos. 1, 2, and 4, Customer's nego-
tiated peak requirement is 2S therms per hour. Customer's service
connection point is 201 North 'E' Str..r Customer's pressure needs
are SO P.S.I.
8. Subject to and in accordance with Rule and Regulation No. 20,
Customer ..y elect to terminate this Alreement, if the Buildinl is per-
aanently abandoned, substantially destroyed or demolished and not rebuilt
within eilhteen (18) .months, or taken by right of eminent domain, or
becomes permanent~y inoperable, or if the Department is unable to deliver
geothermal fluid to Customer in substantial compliance herewith for a
continuous period of six (6) IIOI\ths. Pursuant to Rule and Relulation No. 20.
. Customer shall have the rilht to terainate this Agreement fOllowing
written notice to the Department.
9. Department shall not be liable to Customer or such Customer's
officers, agents, employees., lessees, licensees, invitees or trespassers in
respect of, and each Customer shall hold harmless and indemnify Department
froll and alainst liabilities, losses, damages, costs, expenses (inCluding
attorneys' fees), claims, actions, judgments, and settlements of any nature
whatsoever for any personal injury, death, or property or economic damage

arising out of or incidental in any manner whatsoever to the opera~ion of
the Customer's Building Heating System, but only to the extent such injury,
death or damage was not caused by the negligence, recklessness or intentional
misconduct of Department or its officers, employees, agents, lessees,
licensees, inviteesi trespassers or contractors.
10. Custolller shall not be liable to Department or Department's officers,
agents, employees, lessees, licensees, invitees or trespassers in respect of,
and Department shall hold harmless and indemnify Customer from liabilities,
losses, damales, costs, expenses (includinl attorneys' fees), claims, actions
judgments, and settlements of any nature whatsover for any personal injury,
death or property or economic damage arisinl out of or incidental in any
manner whatsoever to the operation of the Geothermal District Heatinl System
or Meterinl Equipment, but only to the extent such injury, death, or damale
was not caused by the nellilence, recklessness, or intentional misconduct
of Customer or its officers, employees, alents, lessees, licensees, invitees,
trespassers or contractors.
11. The Department and Customer shall be bound by all terms and condi-
tions set forth in.the Rules (includinl amendments and revisions thereto).
Terms defined in the Rules are used in this Alreement with the lleanings
assianed in the Rules.
lZ. This Aireement shall become effective as of the date hereof and
continue hereafter in effect until First day of August , 1995, unless
this Agreement is terminated earlier in accordance with the Rules.
13. No rilht, entitlement or provision of this Alreement, either in
part or in its entirety, shall be assilned or transferred to any person
without the prior written consent of the Department.

15. Natural catastrophe. or other causes beyond the reasonable control
of" the parties. which prevent the Department from providing. or Customer from
accepting. any of Department's services covered by this Aireement. shall
operate to suspend the obligations of the Department and Customer during the
period required to remove such cause or repair damage from such cause.
