Backlrround
The Police Department operates a Computer-Aided-Dispatch (CAD) and Records Management
System (RMS) platform provided by Tiburon Incorporated. In 2002, the Police Department
upgraded CAD and RMS to a Microsoft Windows version which included a new module for
electronic report writing called Automated Reporting System (ARS). ARS is used by Front
Desk personnel to create most of our desk reports. Approximately 9,000 to 10,000 desk reports
are created annually with this software. This current first generation ARS platform will not work
on the MDCs in patrol cars.
In 2007, the Organizational Review conducted by Management Partners recommended that the
Police Department invest in completing the transition from paper based police reports to
electronic reports produced with ARS software (Item #125 in Management Partners' Final
Report). Both the Ontario and Fontana Police Departments have implemented similar programs
using the ARS reporting tool for almost all of their basic crime reports.
To complete the recommendation of Management Partners, the basic CAD and RMS platforms
used by the Police Department need to be upgraded to the most current edition of each software
suite. CAD 2.3 and RMS 7.5 will provide officers with the software enhancements necessary to
write reports in the station or in their patrol cars using the ARS software. CAD system upgrades
will enable officers to directly import location and date/time information into their ARS reports.
RMS system upgrades will provide the most current version of the ARS report writing software,
web based interfaces for users to look at all RMS data, including most basic report data, and a
jail interface that can transfer arrestee information entered by jail personnel directly into the
officer's electronic reports.
At the completion of these two projects, patrol officers will be able to complete basic crime
report documents (CRt Crime Report "Face Page," CR2 Crime Report Narrative Page, CR3
Suspect Page, and PRI Property Report) in their police cars. Patrol supervisors will be able to
electronically review reports created by officers while the supervisor is in the field. Detectives
and other personnel working in the station will be able to create reports and do supplemental
reports from any RMS workstation in the Police Department.
Tiburon Incorporated is the sole source provider for the Automated Reporting System, Records
Management System, and Computer-Aided-Dispatch System software provided by their
company. No third party software can be added to this software nor can a third party modify
their proprietary software. Tiburon Incorporated is qualified for sole source purchasing approval
based on San Bernardino Municipal Code Section 3.04.01O(b)(3). The upgrade process involves
two separate upgrade tasks. One upgrade will be completed by Tiburon's RMS Systems Group
(Tiburon Quote #EP-226322D-I) and one upgrade will be completed by Tiburon's CAD
Systems Group (Tiburon Quote #EP-226322D-2).
Tiburon Inc. holds a City business license (required because their employees actually do work on
their software at our dispatch center). Included with this Request for Council Action is a Vendor
Service Agreement (provided by the City Attorney's Office) for the services outlined in the two
project quotes from Tiburon Incorporated for this upgrade. A Federal COPS Technology Grant
"sole source waiver" is not required because neither of these two independent projects reaches
the $100,000.00 project threshold. The two projects have been consolidated into one Request
For Council Action (RFCA) package for efficiency at the City level.
Financial Impact
This project requires a total expenditure of $199,259.00. The 2005 COPS Technology Grant has
$55,650.00 (in Account #123-788-5502) for this project and the 2006 COPS Technology Grant
has $143,609.00 (in Account #123-793-5502). There is no match requirement or impact to the
General Fund.

BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE
CITY OF SAN BERNARDINO AS FOLLOWS:

SECTION 1. That Tiburon Incorporated, of Pleasanton, California, is a sole source
provider for software upgrades to the City's existing Automated Reporting System (ARS),
Police Records Management System (RMS), and the Public Safety Computer-Aided-Dispatch

(CAD). Pursuant to San Bernardino Municipal Code 3.04.010(b)(3), the Mayor and Common

Council approve a sole source justification for these software upgrades.

SECTION 2. That the Mayor and Common Council authorize the City Manager, or his

designee, to sign the City of San Bernardino Vendor Service Agreement, referenced as

Attachment A to this resolution, between the City of San Bernardino and Tiburon Inc. 0
Pleasanton, California for these software upgrades..
SECTION 3. That the Mayor and Common Council authorize the purchasing manager
to issue a purchase order to Tiburon Incorporated not to exceed $99,870.00 for an upgrade to

VENDORSER~CEAGREEMENT
This Vendor Service Agreement is entered into this 2nd day of June 2008, by and
between Tiburon Incorporated, of Pleasanton, California ("VENDOR") and the City of
San Bernardino ("CITY" or "San Bernardino").
WITNESSETH:
WHEREAS, the Mayor and Common Council has determined that it is advantageous
and in the best interest of the CITY to contract for an upgrade to the Police Department's
Automated Reporting System and Records Management System as outlined in Tiburon
Inc.'s "Enhancement Proposal (EP-226322D-l)" included with this agreement as Exhibit
"A" and for an upgrade to the Police Department's Computer-Aided-Dispatch System for
Automated Reporting System support as outlined in Tiburon Inc.'s "Enhancement Proposal
(EP-226322D-2)" included with this agreement as Exhibit "B"; and
WHEREAS, the City of San Bernardino did solicit and accept quotes Tiburon Inc.
because of their sole source status as the exclusive provider of software for Tiburon's
"CADti" and "RMSti" software suites
NOW, THEREFORE, the parties hereto agree as follows:
1. SCOPE OF SER~CES.
For the remuneration stipulated, San Bernardino hereby engages the services of
VENDOR to provide those products and services as set forth on Exhibit "A" and Exhibit "B"
attached hereto and incorporated herein.
2. COMPENSATION AND EXPENSES.
a. For the services delineated above, the CITY, upon presentation of invoices,
shall pay the VENDOR up to the amount of $99,870.00 for the services set
forth in Exhibit "A" and up to the amount of $99,389.00 for the services set
forth in Exhibit "B" for
b. No other expenditures made by VENDOR shall be reimbursed by CITY.
3. TERM; TERMINATION.
The term of this Agreement shall be for a period of one year.
This Agreement may be terminated at any time by thirty (30) days' written notice by
either party. The terms of this Agreement shall remain in force unless mutually amended.
The duration of this Agreement maybe extended with the written consent of both parties.
4. INDEMNITY.
Tiburon agrees to and shall indemnify, defend and hold the City, it's elected
officials, employees, agents or representatives, free and harmless from all claims, actions,
damages and liabilities of any kind and nature arising from bodily injury, including death, or
proerty damage, due to the misconduct, negligence, or omission of Tiburon, it's employees,
agents, or subcontractors, relating to or in any way connected with Tiburon's performance
under this Agreement. In no event shall Tiburon be liable for special incidental, punitive or
consequential damages. Tiburon's total liability for any claim, whether in tort, contract or
otherwise, shall be limited to the total amount to be paid Tiburon under these Enhancement
Proposals (EP-226322Dl and EP-226322D2).
5. INSURANCE.
While not restricting or limiting the foregoing, during the term of this Agreement,
VENDOR shall maintain in effect policies of comprehensive public, general and automobile
liability insurance, in the amount of $1,000,000.00 combined single limit, and statutory
worker's compensation coverage, and shall file copies of said policies with the CITY's Risk
Manager prior to undertaking any work under this Agreement. CITY shall be set forth as an
additional named insured in each policy of insurance provided hereunder. The Certificate of
Insurance furnished to the CITY shall require the insurer to notify CITY of any change or
termination in the policy.
6. NON-DISCRIMINATION
In the performance of this Agreement and in the hiring and recruitment of
employees, VENDOR shall not engage in, nor permit its officers, employees or agents to
engage in, discrimination in employment of persons because of their race, religion, color,
national origin, ancestry, age, mental or physical disability, medical condition, marital status,
sexual gender or sexual orientation, or any other status protected by law, except as permitted
pursuant to Section 12940 of the California Government Code.
7. INDEPENDENT CONTRACTOR.
VENDOR shall perform work tasks provided by this Agreement, but for all intents
and purposes VENDOR shall be an independent contractor and not an agent or employee of
the CITY. VENDOR shall secure, at its expense, and be responsible for any and all payment
of Income Tax, Social Security, State Disability Insurance Compensation, Unemployment
Compensation, and other payroll deductions for VENDOR and its officers, agents, and
employees, and all business license, if any are required, in connection with the services to be
performed hereunder.
8. BUSINESS REGISTRATION CERTIFICATE AND OTHER
REQUIREMENTS.
VENDOR warrants that it possesses or shall obtain, and maintain a business
registration certificate pursuant to Chapter 5 of the Municipal Code, and any other licenses,
permits, qualifications, insurance and approval of whatever nature that are legally required of
VENDOR to practice its business or profession.
9. NOTICES.
Any notices to be given pursuant to this Agreement shall be deposited with the
United States Postal Service, postage prepaid and addressed as follows:

10. ATTORNEY'S FEES
In the event that litigation is brought by any party in connection with this Agreement,
the prevailing party shall be entitled to recover from the opposing party all costs and
expenses, including reasonable attorneys' fees, incurred by the prevailing party in the
exercise of any of its rights or remedies hereunder or the enforcement of any of the terms,
conditions or provisions hereof. The costs, salary and expenses of the City Attorney and
members of his office in enforcing this Agreement on behalf of the CITY shall be considered
as "attorneys' fees" for the purposes of this paragraph.
11. ASSIGNMENT.
VENDOR shall not voluntarily or by operation of law assign, transfer, sublet or
encumber all or any part of the VENDOR's interest in this Agreement without CITY's prior
written consent. Any attempted assignment, transfer, subletting or encumbrance shall be void
and shall constitute a breach of this Agreement and cause for the termination of this
Agreement. Regardless of CITY's consent, no subletting or assignment shall release
VENDOR of VENDOR's obligation to perform all other obligations to be performed by
VENDOR hereunder for the term of this Agreement.
12. VENUE.
The parties hereto agree that all actions or proceedings arising in connection with this
Agreement shaH be tried and litigated either in the State courts located in the County of San
Bernardino, State of California or the U.S. District Court for the Central District of
California, Riverside Division. The aforementioned choice of venue is intended by the
parties to be mandatory and not permissive in nature.
13. GOVERNING LAW.
This Agreement shaH be governed by the laws of the State of California.
14. SUCCESSORS AND ASSIGNS.
This Agreement shaH be binding on and inure to the benefit of the parties to this
Agreement and their respective heirs, representatives, successors, and assigns.
15. HEADINGS.
The subject headings of the sections of this Agreement are included for the purposes
of convenience only and shaH not affect the construction or the interpretation of any of its
proVIsIons.
16. SEVERABILITY.
If any provision of this Agreement is determined by a court of competent jurisdiction
to be invalid or unenforceable for any reason, such determination shaH not affect the validity
or enforceability of the remaining terms and provisions hereof or of the offending provision
in any other circumstance, and the remaining provisions of this Agreement shaH remain in
fuH force and effect.
17. ENTIRE AGREEMENT; MODIFICATION.
This Agreement constitutes the entire agreement and the understanding between the
parties, and supersedes any prior agreements and understandings relating to the subject
manner of this Agreement. This Agreement may be modified or amended only by a written
instrument executed by aH parties to this Agreement.

Dear Mr. Eckley:
Tiburon, Inc. is pleased to present this Enhancement Proposal for a Field Reporting Version Management
Program (VMP) upgrade. This VMP will bring the Tiburon systems at San Bernardino to the most
current level and will enable the City to deploy field-based reporting.
This Enhancement Proposal includes the basic services required to upgrade the City's:
RMS/Ti from version 7.3.3 to 7.5x
CMS/Ti from version 7.3.3 to 7.5x
ARS from version 7.3.3 to 7.5x (LAN & Mobile versions)
WebQuery
Tbe majority of the costs for the VMP upgrade are included in the annual maintenance fee. This VMP
does contain additional cost items. Tbese are listed under the heading "Price Description."
Please carefully review all software which is ancillary to your Tiburon-provided systems for items that
may require upgrading for specific operations.
NOTE: New server and/or workstation hardware or upgrades is required for 2.3x and 7.5x. Please refer to
attachments B-D.

Price Descriotion
This VMP contains cost items. These costs, associated witb hardware installation and training, are as
follows:

I) The Tiburon Annual Maintenance amount will increase by $17,050 for MobileCOM annually
effective tbe next maintenance period (after tbe one year warranty period). The $17,050 will be
included witb the annual maintenance invoice. This amount may be subject to an annual increase not
to exceed 5%.
2) This quote does not include taxes levied by any government agency for technical services. Taxes for
technical services, if applicable, are tbe responsibility oftbe Client.
Terms and Conditions
I) The work described herein will be scheduled to commence at a mutually agreeable date after tbe
Client's acceptance of tbis Enhancement Proposal.
2) The following are not included in tbis Enhancement Proposal:
. Hardware replacements or upgrades (except for tbe servers listed under "Price Description.")
. Crystal Reports, Oracle, SQL or otber third-party product upgrades.
. Client-specific documentation.
. Modifications to any third-party systems that may be used by RMS, ARS or CMS.
. Migration of existing customization (baseline versions oftbe applications are to be deployed).
. Services to uncratelbox any new servers or instalVconfigure tbem into racks.
. Transaction logging.
. Any new RMS or CMS modules. Only tbose RMS and CMS modules contained in tbe 7.3.3
system will be upgraded.
3) There is no warranty period. Maintenance continues for all systems throughout tbe entire VMP
process.

4) Any interfaces will be upgraded/migrated to the baseline versions.
5) Tiburon must approve the configuration for any server replacements or upgrades to be purchased
independently by Client.
6) This fixed price Enhancement Proposal is valid unless modified by Tiburon in writing prior to Client
acceptance of the Enhancement Proposal; otherwise, this Enhancement Proposal will expire on June
30, 2008.
7) The terms and conditions of this Enhancement Proposal and the Agreement referenced herein prevail
regardless of any conflicting or additional terms on any Purchase Order or other correspondence.
Any contingencies or additional terms obtained on any Purchase Order are not binding upon Tiburon.
All Purchase Orders are subject to approval and acceptance by Tiburon.
8) Client acknowledges acceptance of this Enhancement Proposal by issuing a City Purchase Order
referencing this quote by number.

Attachment A - Scope Description
Tasks may not always start and complete in a sequential manner, but may overlap. The completion of any
task is not contingent upon the completion of a previously defined task unless specifically identified.
General ResDonsibilities
The Client and Tiburon have several general responsibilities (in addition to specific responsibilities stated
within in each task):
Tiburon Responsibilities
I) Designate a Project Manager to oversee the project that will:
. Maintain project communication with the Client's Project Manager.
. Schedule and coordinate all Tiburon staff.
. Provide responses to Client inquiries within ten (10) business days.
Client Responsibilities
I) Designate a Project Manager to oversee the project that will:
. Schedule and coordinate all Client staff and third-party (vendors and/or departments) support.
. Provide responses to Tiburon inquiries within ten (10) business days.
2) Provide VPN remote access and on-site access to Client server and network equipment, including to
all development and system "root" accounts on all servers running Tiburon applications.
3) Provide all necessary hardware and third party product upgrades or replacements in accordance with
Tiburon's specifications.
4) Reconfigure (as necessary) any Crystal Reports to operate correctly with the upgraded systems.
5) Deploy any workstation client software, including mobile versions ofMDS and ARS (if applicable).

Task 1: Upgrade Initiation Teleconference
An Upgrade Initiation Teleconference will be scheduled for a mutually agreed-upon date/time and
conducted by Tiburon. Topics of discussion include:
. Personnel introductions;
. Roles, responsibilities and expectations;
. Chain of communication and authority;
. Upgrade process and scope; and
. Upgrade schedule.
Task 2: System Installation
Tiburon, with the Client's assistance as required, will install the system on the Client's hardware (on-
site).
For RMS/Ti and CMS/Ti:
I) Verify the installed system against the baseline source code for the VMP version.
. Create the directory structnre, file systems, user accounts and databases for the VMP version on the
server. (Note: the training system may be unavailable dnring all or part of the VMP.)
2) Install baseline RMS/Ti and CMS/Ti versions 7.5x and:
. Migrate identified tailoring.
. Create GUI build using tailoring from existing GUI build.
. Set up distribution paths.
. Assist Client in determining database connectivity settings to be used to connect to upgrade system.
Task 3: Geographic File
There are no changes to the formatting of the .tgf files or underlying ARC shape files required for the
VMP. Geographic file maintenance and responsibility for accuracy continue to reside with the Client.
However, changes made to address verification as well as directory structure changes will require remote
Tiburon support during the VMP to include:
. Installation of the current "tibtools" on the server. If new hardware is not being used, the new version
of"tibtools" must overwrite any existing version. Once this occurs, the Client will be unable to load
any new geofile into the legacy systems.
. Modifications to the Geographic Conversion Process (OCP) as required.
. Remote assistance to Client for any changes required for the placement of the .tgf files (ftp
point/accounts or GCT settings) as applicable.

Task 4: Interfaces
In many cases, interfaces are available in a production mode only. During implementation, individual

Any modifications required to the configuration or function of these interfaces as a result of the VMP are
the responsibility of the Client.
Task 5: Documentation
One (I) electronic copy of the baseline (non-Client specific) documentation will be provided for RMSrri
and CMSrri. Tiburon standard content, format and media.
Task 6: Functional Testing
Functional testing of each application will be performed by the Client. The Client will document
problems found using the Technical Service Request (TSR) reporting process through the Tiburon Client
Support Center (CSC). A new Tiburon Client Support (TCS) account specifically for the VMP will be
created for the Client.
Task 7: Demonstration Training
Tiburon will provide a maximum of one (I) business day of on-site training for RMSrri and CMSrri,
focusing specifically on the new functionality contained in the new version(s) of the application(s). The
intent of this training session is to assist the Client in determining the internal training requirements and
plan for their agency.
The Client must:
I) Provide a facility for training with a workstation (with a connection to the Tiburon systems) for the
instructor and a projection screen.
2) Provide a workstation (with a connection to the Tiburon systems) for each student in the class.

3) Schedule students to attend the training (maximum of eight (8) students).
4) Ensure that scheduled students are able to attend the courses for their complete duration.
Note: This Enhancement Proposal includes the following additional training:
. Five (5) days RMS/Ti and CMS/Ti training
. Five (5) days ARS training
. Three (3) days of ARS consultinglfield deployment assistance
Task 8: System Integration
Tiburon will remotely assist the client with testing the functionality of each interface. Any problems
found will be reported by the Client using the Technical Service Request (TSR) reporting process through
the Tiburon Client Support Center (CSC).
Task 9: Data Conversion
For RMSfri and CMSrri:
I) Client will provide a data conversion workstation, either a laptop or PC, installed on the Client's
network for the duration of the project:
. PC Anywhere is required.
. VPN network access is required.
. Tiburon will install data conversion software on this workstation.
2) RMSfri and CMSrri Initial Data Conversion
. The Initial Data Conversion will be used to develop a time estimate for how long the system will be
in "inquiry only mode" for the Final Data Conversion.
. The Client is responsible for testing the conversion of the data in the upgrade database, identifying
any exceptions and documenting corrections to be made for the Final Data Conversion.
3) RMSfri and CMSfri Final Data Conversion
. The Final Data Conversion will occur just prior to cutover.
. The existing system must be in "inquiry only mode" for the entire Final Data Conversion.
. Identified corrections from the Initial Data Conversion will be applied.
Task 10: System Cutover
Immediately following Final Data Conversion, the system will be placed into production operation.
. A System Cutover schedule will be jointly developed.
