By__ 23 ../ 24 25 26 27 28 -2- o o AGRBBMBRT 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 THIS AGREEMENT, made and entered into this , 1991, by and between the CITY a Charter City ("City"), and DIGITAL hereinafter referred to as ("Contractor"). day OF SAN EQUIPMENT of BERNARDINO, CORPORATION The Agreement outlined Standard Terms and descriptions, and apply like equipment serviced below is in addition to the Contractor's Conditions and applicable service to any future additions of peripheral or under this Agreement during its term. WITDSSBTR: WHEREAS, city did accept the proposal of the Contractor, NOW THEREFORE, THE PARTIES HERETO AGREE AS FOLLOWS: 1. TERM This Agreement is effective from the date of installation acceptance and shall continue for an initial term of five years from the effective date. Thereafter, city and Contractor may cancel this Agreement upon thirty (30) days prior written notice, which may be given during the initial term period. 2. CHARGES Maintenance service char~es for this Agreement have been established as a fixed pr~ce maintenance contract based on AQS Service Quotations 9109W80192, 9109W80253 and 9109W80194 which reflect the equipment to be maintained and the list price of the maintenance services for year one of the maintenance contract. The following are the proposed payments: MONTHLY ANNUALIZED YEAR 1: $ 8,452 $101,419 YEAR 2: $10,111 $121,329 YEAR 3 : $10,870 $130,444 YEAR 4: $11,671 $140,056 YEAR 5: $12,527 $150.321 TOTAL 5 YEAR: $643.570 3. RETIREMENT DISCLAIMER Individual software products which have been discontinued or reclassified may be withdrawn from service with a corresponding prorated reduction in maintenance charges upon one hundred eighty (180) days prior written notice which shall not be issued prior to the end of the first year of service. The prorated reduction shall be agreed to by the City and Contractor. 4. TERMINATION PENALTY Should the city, prior to the end of the term of this Agreement, (1) terminate this Agreement, or (2) delete any subsystems~ the City agrees to pay Contractor an amount equal to the difference of the standard list price as determined by the published list o o AGREEMENT WITH DIGITAL EQUIPMENT CORPORATION TO PROVIDE HARDWARE AND SOFTWARE MAINTENANCE FOR THE CITY'S NETWORKED COMPUTER 1 SYSTEM. 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 price effective at the beginning of each year of the maintenance contract and the actual price paid for services provided under this Agreement. This amount will be payable immediately upon such termination or deletion by the city. It is also agreed that if the City, in its sole discretion determines to: A. Sell Digital equipment covered under this Agreement B. Discontinue use of Digital equipment C. upgrade to newer Digital technoloqy D. Transfer equipment E. State/Local Government Non-Funding no termination penalty will be assessed against the city. Furth- er, City will receive a prorated reduction in maintenance charges which shall be mutually agreed to by Contractor and City.
