Staff Report
Subject:
Resolution approving an Agreement with the County of San Bernardino for pavement rehabilitation at
various locations and traffic signal modifications at Cajon Boulevard and State Street and authorization
for the Director of Finance to amend the Fiscal Year 2002/2003 budget.
Background:
Staff has been working with the County of San Bernardino toward developing a cooperative project to
rehabilitate the pavement at a number of locations and modify the traffic signal at Cajon Boulevard and
State Street/University Parkway to reduce delays. The specific pavement rehabilitation locations are as
follows:

Further details are provided in Exhibits A-L attached. Phase I of the cooperative project was recently
approved in the Fiscal Year 2002/2003 Budget. Phase II was included in the approved five-year CIP to
be completed in Fiscal Year 2003/2004.
Staff believes this cooperative project will be beneficial to both agencies. The selected projects
typically have elements under the jurisdiction of both the City and County of San Bernardino and
therefore lend themselves well to such a cooperative effort. If this agreement is approved, the lead
agency, as indicated in Exhibits A-K of the Agreement will proceed with preparation of improvement
plans, specifications, and estimated costs (PS&E); advertising for bids; award of contract; and
administration of the construction of the project per the attached Agreement. Exhibit L provides an
overall summary of the proposed projects.

Staff Report (continued)
As a part of the adopted Fiscal Year 2002/2003 budget the City appropriated $481,900 for the City's
share of this joint project. However, the County has recently initiated some project changes due to the
pending annexation of affected areas in the City. The revised project list includes deleting those projects
affected by the proposed annexation of County islands and adding additional segments of pavement
rehabilitation along Del Rosa Avenue to be constructed in FISCAL YEAR 2003/2004. Highland
Avenue, Orchid Drive, and Palm Avenue were all adjacent to the annexation areas and will be entirely
within the City limits if and when the annexation is completed.
Adding the referenced sections of Del Rosa Drivel A venue together with other approved projects will
result in a comprehensive pavement rehabilitation project affecting nearly all the roadway segments
along Del Rosa Drive and Del Rosa A venue from Pacific Street north along Del Rosa A venue to Del
Rosa Drive and then North along Del Rosa Drive to Bonita Vista Drive, traversing several Wards.
Based on the amended preliminary estimates, the City's total share will be $619,430 and the County's
share $1,425,460. The overall project has been broken into two phases; Phase I to be constructed during
Fiscal Year 2002/2003 and Phase II to be completed in the summer of Fiscal Year 2003/2004. The City's
share of Phase I is projected be $462,680 per Exhibit L out of a total estimated project cost of $1,430,340.
Phase II is estimated to cost $614,550 with the City's share being $156,750.
The County is requesting that five (5) copies of the Agreement be executed and returned to them for
processing before the Board of Supervisors.
Financial Impact:
For FY 2002/03 the City must budget the total expense for Phase I projects where the City is the lead
agency as well as the revenue associated with the County's project share, while budgeting only the City
share for projects where the County is the lead agency. (See Exhibit L)
In order to accommodate the revised project list, the City AB2928 budget must be amended to reflect
the total projected Fiscal Year 2002/2003 expenditures of $1,034,900 with $572,200 in revenue from
the County (See Exhibit L).
Recommendation:
That the Mayor and Common Council Adopt the attached Resolution and authorize the Director of
Finance to amend the Fiscal Year 2002/2003 budget to reflect the total projected Fiscal Year 2002/2003
expenditure of $1,034,900 with an increase in anticipated revenue of $572,200 in the AB2928 Fund
(Fund 135) associated with the County's share of the projects where the City is the lead agency.

BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY
OF SAN BERNARDINO AS FOLLOWS:
SECTION I. The Mayor of the City of San Bernardino is hereby authorized and
9 directed to execute on behalf of said City. a cooperative agreement with the County of San
10
Bernardino for pavement rehabilitation at various locations and modification of the traffic
11
12 signal at Cajon Boulevard and State Street as shown in this agreement. A copy of said
13 cooperative agreement is attached as Attachment" A" and made a part hereof.

SECTION 2.
The authorization to execute the above referenced agreement is
rescinded if the parties to the agreement fail to execute it within sixty (60) days of the passage

COOPERATIVE AGREEMENT
THIS CONTRACT is entered into in the State of California by and between the COUNTY OF SAN
BERNARDINO, hereinafter called the "COUNTY", and the CITY OF SAN BERNARDINO, hereinafter
called "CITY", hereby agree as follows:
WITNESSETH
WHEREAS, the COUNTY and the CITY desire to cooperate and jointly participate in
separate projects to rehabilitate and overlay various roads (see Exhibits A - J), and modifY a traffic signal
(see Exhibit K) hereinafter referred to as PROJECTS; and
WHEREAS, the construction portions of the PROJECTS are partially in the unincorporated area of
the COUNTY and partially within the incorporated area of the CITY (COUNTY and CITY fair share areas
indicated in Exhibits A - K), and will be of mutual benefit to the COUNTY and CITY; and
WHEREAS, it is estimated that the required CITY and COUNTY share for the PROJECTS, which

($619,430); and

WHEREAS, COUNTY and CITY desire to set forth responsibilities and obligations of each as
pertains to such participation and to the design, construction, inspection, administration, and funding of the
proposed PROJECTS.
NOW, THEREFORE, IT IS MUTUALLY AGREED as follows:
COUNTY AGREES TO:
1.1 Act as the Lead Agency in the design, award of contract, inspection, and construction of certain
PROJECTS as listed in Exhibits A through K that specifically name the COUNTY as the leading
agency.
1.2 Provide plans and specifications and all necessary construction engineering for the portion of the
PROJECTS in which the COUNTY is the Lead Agency, for the CITY's review and approval.
1.3 Construct the PROJECTS by contract in accordance with the plans and specifications of COUNTY
and Caltrans Design Manual, to the satisfaction of and subject to concurrence of the CITY.
1.4 Arrange for relocation of all utilities which interfere with construction of the PROJECTS within the
unincorporated area. (None Anticipated)
1.5 Obtain a no-cost permit from CITY for work within the CITY's right-of-way.
1.6 Provide a no-cost permit to the CITY for its work in COUNTYright-ofway.
1.7 Advertise, award, inspect, administer, and construct the portion of the PROJECTS in which the
COUNTY is the Lead Agency.
1.8 Require its contractors to maintain Workers' Compensation Insurance or a state-approved Self-
Insurance Program in an amount and form to meet all applicable requirements of the Labor Code of
the State of California, including Employer's Liability with $250,000 limits, covering all persons
providing services on behalf of the Contractor and all risks to such persons under this Agreement and
Comprehensive and Automobile Liability Insurance to include contractual coverage and automobile
liability coverage for owned, hired and non-owned vehicles. The policy shall have combined single
limits for bodily injury and property damage of not less than one milIion dollars ($1,000,000) which
policies name the CITY and the COUNTY as an additional named insured.
1.9 Provide adequate inspection of all items of work performed under the construction contract and
maintain adequate records of inspection and materials testing for review by CITY.
1.10 Pay for its share of the actual cost of construction of the PROJECTS. The cost of construction shall
include the cost of constructing the PROJECTS, including design, construction engineering and
overhead costs. COUNTY's share of cost of construction is estimated at $1,425,460.
1.11 Submit to CITY itemized accounting of the PROJECTS cost and a statement for CITY's actual share
of the costs as provided herein, for the portion of the PROJECTS in which the COUNTY is the lead
agency. Costs shall be amended following CITY and COUNTY acceptance of the final construction
cost accounting.
1.12 Pay the CITY for its share of actual cost for the portion of the PROJECTS in which the CITY is the
Lead Agency, upon inspection and a thorough cost accounting.
1.13 After acceptance of the construction contract, maintain those portions of the PROJECTS within the
unincorporated area of the COUNTY.
CITY AGREES TO:

IT IS MUTUALLY AGREED:
3.1 COUNTY agrees to indemnify and hold harmless the CITY, its officers, employees, agents, and
volunteers from any and all liabilities for injury to persons and damage to property arising out of any
negligent act or omission of County, its officers employees, agents or volunteers in connection with
County's performance of its obligation under this Agreement.
3.2 CITY agrees to indemnify and hold harmless the COUNTY, its officers, employees, agents, and
volunteers from any and all liabilities for injury to persons and damage to property arising out of any
negligent act or omission of City, its officers employees, agents or volunteers in connection with
City's performance of its obligation under this Agreement.
3.3 In the event the COUNTY and/or the CITY is found to be comparatively at fault for any claim,
action, loss or damage which results from their respective obligations under the Agreement, the
COUNTY and or CITY shall indemnify the other to the extent of its comparative fault.
3.4 After opening of bids, estimate of cost will be revised based on actual bid prices.
3.5 If after opening bids for any of the PROJECTS and if bids indicate a cost overrun of no more than
25% of the estimate, LEAD AGENCY may award the contract and not withstanding herein to the
contrary the COUNTY and the CITY shall pay for the cost of construction.
3.6 If, upon opening of bids for any ofthe projects, it is found that the costs exceed 25% of the estimated
cost of construction, COUNTY and CITY shall endeavor to agree upon an alternative course of
action. If, after 30 days, an alternative course of action is not mutually agreed upon in writing, that
PROJECT shall be deemed to be deleted from the Agreement by mutual consent.
3.7 This Agreement may be canceled upon thirty (30) days written notice of either party, however, costs
incurred up to the effective date of cancellation, in~luding claims arising from such action, shall be
shared in the manner provided heretofore.
3.& This Agreement shall terminate upon completion of the PROJECTS and payment of final billing by
the Leading Agency for its share of the PROJECTS.

THIS AGREEMENT shall inure to the benefit of and be binding upon the successors and assigns of both
parties.

SUBJECT: COOPERATIVE AGREEMENT WITH THE CITY OF SAN BERNARDINO FOR
CONSTRUCTION PROJECTS ON VARIOUS ROADS
RECOMMENDATION: Approve a Cooperative Agreement with the City of San Bernardino (City)
for the slurry seal, overlay or rehabilitation of various roads, in which the County will contribute
$1,425,460 towards the $2,044,890 estimated total cost of this project.
BACKGROUND INFORMATION: Various roads in the San Bernardino area are in need of
maintenance (slurry seal, overlay or rehabilitation per Exhibits A through L of the agreement).
Since these roads collectively are approximately 70% within the unincorporated area of the
County of San Bernardino and 30% within the incorporated area of the City of San Bernardino, a
cooperative agreement between the City and the County is recommended. The County agrees
to be the lead agency and is responsible to advertise, award and administer the construction
contract of a portion of these roads per Exhibit "L" of the Agreement. For the County's projects,
the City agrees to provide a no-cost permit to the County for work in the City's right-of-way. The
City agrees to be the lead agency and is responsible to advertise, award and administer the
construction contract for the remainder of these projects. For the City's projects, the County
agrees to provide a no-cost permit to the City for work in the County's right-of-way. Both the City
and the County agree to pay their respective portion of the costs of these projects upon
inspection and thorough cost accounting of each completed project.
REVIEW BY OTHERS: This item was reviewed by Deputy County Counsel Charles S. Scolastico
on October 22, 2002 and by the County Administrative Office (Tom Forster, Administrative
Analyst) on October 25, 2002.
FINANCIAL IMPACT: The total cost of this project is estimated to be $2,044,890. The
agreement specifies that the County's estimated share is $1,425,460. The City's estimated
share is $619,430. Appropriations are available in the Department's FY 2002/2003 budget.
$1,317,660 will be financed by the County Road Fund (SAA-TRA-TRA), and $107,800 will be
financed with Measure I Funds (SWW-TRA-TRA).

Enclosed for your information and files is a fully executed copy of the cooperative
agreement between the County of San Bemardino and the City of San Bernardino. This
agreement is for rehabilitation and overlay of several roads in the San Bernardino area as
well as the modification of a traffic signal (as outlined in exhibits "A" through "F" of the
Agreement). This agreement sets forth the conditions under which the County and City
will cooperate in the above-mentioned project(s).
This agreement has a total of 22 separate road sections, 3 different types of road
construction/maintenance and 5 projects that will be lead by the City. Therefore, in an
effort to provide the most accurate accounting of these project costs, please forward this
letter to your accounting department for coordination of invoicing. Please call Bobbi
Albano in our office to arrange a time to go over the procedures we (The County of San
