BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY OF SAN BERNARDINO AS FOLLOWS: SECTION 1. The Mayor of the City of San Bernardino is hereby authorized and directed to execute on behalf of said City an agreement with Neighborhood Awareness Program relating to funding for the 1981-1982 fiscal year, a copy of which is attached hereto, marked Exhibit "A" and incorporated herein by reference as fully as though set forth at length. I HEREBY CERTIFY that the foregoing resolution was duly adopted by the Mayor and Common Council of the City of San Bernardino at an Adiourned Reqular meeting thereof, held on the , 1981, by the following 17th day of Auqust vote, to wit: AYES: Council Members Castaneda. Strickler NAYS: Council Member Botts Council Member Hudson ABSENT: ~~~ f August / The foregoing resolution is day , 1981. 1- ~ o 1 A G R E E MEN T 2 (Neighborhood Awareness Program) 3 THIS AGREEMENT is entered into between the CITY OF SAN 4 BERNARDINO, a municipal corporation, referred to as "City", and 5 NEIGHBORHOOD AWARENESS PROGRAM, a nonprofit corporation, referred 6 to as "NAP". 7 City and NAP agree as follows: 8 1. Recitals. 9 (a) NAP has requested financial assistance from City fo 10 the 1981-1982 fiscal year. 11 (b) NAP represents that the expenditures authorized by 12 this agreement are for a valid municipal public purpose. The 13 purpose is to provide the citizens of San Bernardino with a 14 neighborhood burglary prevention program. 15 2. Payment. City shall pay to NAP the total sum of SIX 16 THOUSAND ONE HUNDRED DOLLARS ($6,100.00) for the term of this 17 agreement, payable in four installments of $1,525.00. The 18 payments shall be made as follows: August 24, 1981, October I, 20 19 1981, January I, 1982, and April I, 1982. 3. Term. This agreement shall commence July I, 1981, and 21 terminate June 30, 1982. 4. Use of Funds. The funds paid to NAP shall be used by it 22 23 24 25 26 27 28 solely for the purpose set forth in Paragraph l(b) of this agreement. At the end of the term, all unexpended funds shall be returned to City by NAP. 5. Accounting. Prior to the final payment under this agreement, and at such other times as may be requested by the City Administrator or Director of Finance of City, NAP shall submit to 1- 1 the City Administrator, with a copy to the Director of Finance, an 2 accounting of the proposed and actual expenditures of all revenues 3 accruing to the organization for the fiscal year ending June 30, 4 1982. Financial records shall be maintained by NAP in accordance 5 with generally accepted accounting principles, in a manner which 6 permits City to trace the expenditures of the funds. All books 1 land records of NAP are to be kept open for inspection at any time IldUring the business day by the City or its officers or agents. i 6. Temporary Withholding. The City Administrator, with the 'I II !concurrence of the Mayor and Common Council, is authorized to i , t .. . itemporar1ly w1thhold or term1nate the payment of funds to NAP when Ithe City Administrator determines that any violation of the I [agreement has occurred. Funds shall be withheld until the 7 8 9 10 11 12 13 14 violation is corrected to the satisfaction of the City 15 16 I 'Administrator and Mayor and Common Council. 7. Services Available to Residents. The services of NAP 17 shall be made available to residents and inhabitants of the City 18 of San Bernardino. No person shall be denied .service because of 19 race, color, creed, or sex. NAP shall have and comply with 20 Affirmative Action guidelines in its employment practices. 21 8. Hold Harmless. NAP agrees to indemnify and save harmless 22 the City and its employees and agents from all liabilities and 23 charges, expenses (including counsel fees), suits or losses 24 owever occurring, or damages arising or growing out of the use or 25 receipt of funds paid under this agreement, and all operations 26 under this agreement. Payments under this agreement are made with 27 the understanding that the City is not involved in the performance 28 of services or other activities of NAP. NAP and its employees and -2- .-) g I. 5,'1:;-;'/ 1 agents are independent contractors and not employees or agents of 2 City. 3 9. TerminatiOn. City shall have the right to terminate this 4 agreement and any funding of NAP for any reason by mailing a ten 5 (10) day written notice to NAP and this agreement shall terminate 6 ten (10) days after the mailing of such notice. Any remaining 7 unpaid funds shall not be prorated or paid to NAP. 8 10. Assignment. NAP shall not assign its interest in this 9 agreement without the prior written approval of City. 10 11. Notices.
