2 RESOLUTION OF THE CITY OF SAN BERNARDINO AUTHORIZING THE
EXECUTION UNDER PROTEST OF AN AGREEMENT WITH SOUTHERN CALIFORNIA
3 EDISON COMPANY RELATING TO SERVICE FOR STREET LIGHTING AND
REPEALING RESOLUTION NO. 82-223.

BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY
5 OF SAN BERNARDINO AS FOLLOWS:
6 SECTION 1. Recitals.
7 a. The City of San Bernardino, in order to proceed with
8 plans for street lighting assessment districts, is required to
9 have in effect a street lighting agreement with the Southern
10 California Edison Company, the sole supplier of central station
11 electrical service for the San Bernardino area.
12 b. Southern California Edison Company has presented its
13 form "standard contract" for street lighting services, and
14 refuses to negotiate any change therein, including changes merely
15 recognizing the established rights of the parties under that
16 Company's franchise from the City.
17 SECTION 2. Implementation.
18 The Mayor of the City of San Bernardino is hereby authorized
19 and directed to execute under protest on behalf of said City an
20 Agreement with Southern California Edison Company relating to
21 service for street lighting, a copy of which is attached hereto,
22 marked Exhibit "A" and incorporated herein by reference as fully
23 as though set forth at length.
24 SECTION 3. Resolution No. 82-223 is hereby repealed.
25 I HEREBY CERTIFY that the foregoing resolution was duly
26 adopted by the Mayor and Common Council of the City of San
27 Bernardino at a regular meeting thereof, held on the
28 2nd day of August , 1982, by the following vote,

AGREEMENT FOR SERVICE FOR STREET LIGHTING
THIS AGREEMENT, made thisday of 1982, by and
between the SOUTHERN CALIFORNIA EDISON CO PANY, a Corporation, here-
inafter designated as "Company", and the Mayor, acting for and on behalf of
the CITY COUNCIL OF THE CITY OF SAN BERNARDINO in the County of
San Bernardino, State of California, hereinafter designated as "Customer"
W I T N E S S E T H:
FOR AND IN CONSIDERATION OF the payments hereinafter to be made
by Customer to Company, Company agrees to furnish, in accordance with
its Tariffs as filed with and approved by the Public Utilities Commission of
the State of California (the Commission) electric energy to illuminate the
street lights located in and owned by said Customer, and to furnish all tools,
labor, material, lamps, equipment, and electric energy necessary to install,
maintain, and operate the street lighting system which is to be owned by
Company, as provided by Company's Rules, in said City for a period of
three (3) years, commencing July 1, 1982, and terminating June 30, 1985,
and from year-to-year thereafter, unless terminated as herein provided.
Section headings appearing in this agreement are inserted for convenience
only, and should not be construed as interpretations of text.
1. Location of Facilities
All installations shall be made at various locations within the City of

this reference is a copy of said plan marked Exhibit "A". Any modifications
or changes in locations as indicated on Exhibit "A" will be set forth on addi-
tional maps furnished from time to time by Customer for such purpose.
2. Term of Service.
Customer agrees to take, receive, and use for a continuous period
of not less than three (3) years from date the individual light or street light
system is first energized, the electric energy and service supplied and

1 furnished to each street light or street light system requested by Customer.
2 3. Applicable Rate Schedules.
3 Customer agrees to pay Company bimonthly therefor at the rates
4 and under the terms and conditions set forth in Rate Schedules Nos. LS -1,
5 LS -2, LS -3 and LS -4 if applicable at such higher or lower rates, pursuant to
6 such new or amended tariff schedules, applicable to Customer, as may from
7 time to time be ordered or allowed to become effective in accordance with law
8 by the Commission, regardless of how or by whom proceedings resulting in
9 such change may have been initiated, including proceedings initiated by
10 Company, and in accordance with Company's Rules on file from time to time
11 with said Commission. Copies of said Rate Schedules are attached hereto
12 marked Exhibit "B" and by this reference made a part hereof.
13 4. Utilization of Facilities.
14 Customer agrees to commence using the street lighting in a bonafide
15 manner within ninety (90) days after the date of completion of an installation
16 of a street light or street lighting system requested by Customer.
17 II 5. Underground Service.
18 It is understood and agreed that where electroliers are to be
19 served by means of Company-owned underground system that must be installed
20 to serve each street light or street lighting system, Customer will advance to
21 Company, Company's estimated difference in installed cost of the underground
22 system and a standard overhead system. Customer will advance to Company
23 Company's estimated cost of trenching, backfilling, and restoring pavement to
24 the satisfaction of the applicable public agency, or will furnish same including
25 therein Company's requirements.
26 6. Differential Charges.
27 Where Customer elects to have Company-owned ornamental electrolier.,
28 installed in a Company-owned system, Customer shall pay to Company Comp
29 estimated installed cost differential of said ornamental electrolier(s) in accor
30 with Exhibit "C" attached hereto and by this reference made a part hereof.
31 7. Installation.
32 It is further understood and agreed that the following conditions

are to govern: All poles, wires, lights, and electrical apparatus installed by
Company in furnishing service under this agreement, shall be so placed as
to work the least possible public and private inconvenience, and Customer
may at any time order the location of any part of the system changed by
Company at the expense of Customer to conform to the above requirements.
8. Ownership of Facilities.
It is understood and agreed that all poles, wires, fixtures, lamps,
and other appliances, supplied and used by Company in furnishing the
service herein provided for, shall at all times, be and remain the property
of Company.
9. Termination of Service.
Customer may request termination of service to a street light or
street lighting system prior to the expiration of the initial continuous three
(3) year installation period required by this agreement. In such event,
Company will discontinue energy thereto and billing therefor in accordance
with its filed Tariffs, and Company may, but is not obligated to, remove all
or any portion of said terminated street lighting facilities and to bill and
Customer will pay for installation and removal charges for facilities not
fulfilling said continuous three-year period requirement.
10. Termination of Agreement.
This agreement may be terminated by either party hereto at the
end of the initial three (3) year term or at the end of any succeeding annual
period by written notice given not less than sixty (60) days prior to the end
of said three (3) year term or of any succeeding annual period. Such
termination shall not affect the obligations or liabilities of either of the
parties hereto, or either of them, accruing at such date of termination. And
Company shall have the right to remove or abandon Company-owned street
lighting facilities, wholly or in part, upon expiration of this agreement or of
any renewal thereof.
11. Modification of System.
It is understood and agreed that should Customer request within
the initial three (3) year installation period 1) an increase or decrease in

I lamp size or 2) a change in mounting height of a luminaire, such changes
2 shall be at Customer expense, and on completion of modification, a new
3 initial three (3) year period shall commence. Further, should Customer
4 request relocation of an ornamental street lighting electrolier, or a wood
5 pole set for or serving only street lighting, such relocation shall be at
6 expense of Customer.
7 12. Labor Code.
8 The time of service for any workman employed to do any part of
9 the work contemplated by this contract is limited and restricted to eight
10 hours during any one calendar day and forty hours during any one calendar
11 week, except as permitted by the provisions of Section 1815 of the Labor
12 Code; it is further agreed that in the case of any violation in this regard
13 of the provisions of Section 1810-1815, inclusive, of said Labor Code,
14 Company shall forfeit to City the sum of $25 for each workman employed in
15 execution of this contract for each calendar day during which such workman
16 is required or permitted to work more than eight hours during any one
17 calendar day and forty hours during any one calendar week, except as
18 provided in Section 1815 aforesaid.
19 13. Jurisdiction of California Public Utilities Commission.
20 This agreement shall, at all times, be subject to such changes or
21 modifications by the Commission as said Commission may, from time to time,
22 direct in the exercise of its jurisdiction.
23 14. Energy Curtailment Service.
24 If Customer desires to take and receive service under the Energy
25 Curtailment Service optional provision set forth in Rate Schedules Nos. LS -1
26 and/or LS -2, City agrees to pay Company any additional facilities cost
27 encompassed in the providing of Midnight or Equivalent Service.
28 15. Charges for Added or Modified Facilities.
29 Customer agrees to pay Company for the estimated cost installed
30 of the additional equipment required and the removal cost of any equipment
31 currently installed as may be required in order to provide the energy curtail -

I ment service requested. Customer agrees it has or will incorporate in
2 Customer's budget, funds for such payment.
3 It is further agreed and understood that estimated costs for additional
4 equipment and/or labor is subject to review July first of each year.
5 Should Customer elect to terminate this agreement, the balance of any
6 additional facilities costs not yet paid to Company shall be due and payable
7 within thirty (30) days of presentation of a bill therefor.
8 16. Notification.
9 Customer shall, by appropriate written instructions and use of
10 maps, indicate those locations where it desires (a) Midnight or Equivalent
it Service, (b) facilities are to remain installed without electric energy supply,
12 and (c) new or additional facilities are to be installed or existing facilities
13 to be modified or removed in accordance with the Special Conditions of the
14 Schedule concerning removal or modification of equipment.
15 In addition, Customer shall indicate for each installation the effective
16 date and Energy Curtailment Service, or Removal or Modification of Equipment
17 desired.
18 17. Proration of Bills.
19 If Company shall be prevented by strikes, by order of court, by
20 public authority, by order of the Commission, or other causes beyond the
21 control of the parties hereto, or any of them, from furnishing the service
22 herein provided for, it shall not be liable in damages to Customer for such
23 failure but a proportionate reduction in the amounts payable to Company by
24 Customer for street lighting service hereunder, based on the period of
25 suspension of such service, shall be made in case of such failure.
26 18. Indemnity.
27 Customer agrees to hold harmless and indemnify Company, its
28 successors, and assigns, from and against all claims, liens, encumbrances,
29 actions, loss, damage, causes of action, expense and/or liability arising from
30 or resulting from loss or damage to property or injury to or death of persons
31 resulting in any manner whatsoever, directly or indirectly, by reason of any

interruption or modification of service requested by Customer.
IN WITNESS WHEREOF, the parties hereto have caused these

1. Standard Installation: The above rates are based upon a standard overhead installation where the Company
furnishes bracket or mast arm construction attached to wood poles with service supplied from overhead lines.
2. Other Than Standard Installation:
a. Where the applicant requests the installation of other than a standard installation and his request is acceptable to
the Company, the Company will install the requested equipment provided the applicant agrees to advance the
estimated difference in cost installed between such equipment and a standard overhead installation. If,in the opinion
of the Company, an existing wood pole could be utilized for said installation, the difference in cost installed shall
include no allowance for a wood pole. For an underground service installation, cost installed shall include, but is not
limited to, the cost of any necessary conduit, excavating, backfilling and restoring of the pavement in accordance
with the Company's specifications.
b. Advances made for other than a standard installation will not be refunded.
C. All facilities installed shall become and remain the sole property of the Company.
3. Hours of Service: Under the Company's standard all night operating schedule approximately 4,140 hours of service
per year will be furnished. Under the Company's midnight or equivalent service operating schedule approximately 2,090 hours of
.service per year will be furnished.
4. Energy Curtailment Service:
a. Where the customer requests the installation and/or removal of equipment in order to obtain Energy Curtailment
Service and such request is acceptable to the Company, the Company will comply with such request provided the
customer first agrees to pay to the Company the estimated cost installed of any additional equipment required
and/or the removal cost of equipment currently installed. Such payments will not be refunded and shall be paid in
advance or in installments acceptable to the Company over a period not to exceed three years. Facilities installed in
connection with such requests become and remain the sole property of the Company.
b. Facilities charges shall be applicable under this schedule when the Company has been requested to discontinue the
existing service by the customer and the customer has stipulated that the facilities are to be left in place for future
use.
S. Removal, Relocation or Modifkatlon of FaoRities:
a. Where street lighting service and facilities are ordered removed by a customer and such facilities, or any part
thereof, were in service for a period of less than 36 consecutive months, the customer shall pay to the Company a
nonrefundable amount equal to the total estimated cost installed less any customer contribution, plus the estimated
cost of removal less the estimated salvage of the facilities.

S. Removal, Relocation or Modification of Facilities: (Continued)
b. Where street lighting service and facilities were ordered removed or modified by a customer and such service and
facilities, or their equivalent, are ordered reinstalled within 36 months from the date of the order to remove or to
modify, the customer shall pay to the Company, in advance of the reinstallation, a nonrefundable amount equal to
the cost of removal or modification of the prior facilities and the estimated cost of such reinstallation.
c. Where street lighting facilities are ordered modified and/or relocated by a customer, the customer shall pay to the
Company, in advance of such modification and/or relocation, a nonrefundable amount equal to the estimated cost of
such modification and/or relocation. This includes facilities that now serve street light load only, but that may have
been installed originally to serve other than street light load.
d. Facilities removed or installed remain the sole property of the Company
S. Requirements and Restrictions:
a. The applicant for street light service shall specify the type of service, lamp size, and location of street lights.
b. Service shall not be furnished under this schedule where location, mounting height, and/or other considerations are
unacceptable to the Company.
c. The installation of street lighting equipment and facilities her:inunder is contingent upon the Company obtaining
easements, rights of way, and highway permits satisfactory to the Company for the required poles, lines, equipment,
and facilities.
d. In accordance with Rule No. 4, a written contract for a term of not less than one year and not more than five years is
required in order to receive street light service under the provisions of this schedule.
e. Should the applicant not commence using the street lighting in a bona fide manner within ninety (90) days after date
of completion and installation of a street light or street lighting system requested by the applicant, the Company will
bill, and the applicant shall pay, the applicable facilities charge(s).
7. Maintenance: The Company shall exercise reasonable care and diligence in maintaining its street light facilities.
Where the Company experiences, or expects to experience, maintenance costs exceeding its normal maintenance expense resulting
from, but not limited to, vandalism, the Company may require the customer to pay the excess maintenance expense.
S. Liability of Company: The Company shall not, by taking action pursuant to its tariffs, be liable for any loss, damage,
or injury, established or alleged, which may result, or be claimed to result, therefrom.

4. Removal of Equipment: Where street lighting service and facilities were ordered removed by a customer and such
service and facilities, or their equivalent, are ordered reinstalled within 36 months from the date of the order to remove, the
customer shall pay to the Company in advance of reinstallation a nonrefundable amount equal to the cost of removal of the prior
facilities and the estimated cost of such reinstallation. Company-owned facilities removed or installed remain the sole property of
the Company.
S. ModHbatlon of Facilities: Where the customer requests a modification of Company-owned facilities serving
customer -owned street light facilities, and such modifications are acceptable to the Company, the Company will perform the
requested modifications, provided the customer agrees to pay the cost of said modifications.
S. Energy Curtailment Service: Where the customer requests the installation and/or removal of equipment in order
to curtail energy requirements, and such request is acceptable to the Company, the Company will comply with such request
provided the customer first agrees to pay to the Company the estimated cost installed of any additional equipment required
and/or the removal cost of any equipment currently installed. Such payments will not be refunded and shall be paid in advance
or in installments acceptable to the Company over a period not to exceed three years. Facilities installed in connection with such
requests become and remain the sole property of the Company.
7. Contract: In accordance with Rule No. 4, a written contract for a term of not less than one year and not more than
five years is required in order to receive street light service under the provisions of this schedule. Should the customer terminate
service within 36 months of the date service is first supplied, the customer shall pay to the Company the cost of installation plus
the cost of removal less salvage for any Company-owned facilities installed to supply the customer's street light service.

only where, in the opinion of the Company, it is practical to supply this service.
e. For new or modified series installations requiring a new constant current regulating transformer, the customer shall
furnish and maintain the transformer; and service will be delivered at the primary side of the transformer,

SPECIAL CONDITIONS
1. Services Furnished: Maintenance service furnished by the Company for the lamps specified under this schedule shall
include the following:
a. Renewal of lamps after the original installation by the customer.
b. Regular inspection.
c. Periodic cleaning of refractors.
d. Labor of replacing lamps and refractors.
Incandescent lamps furnished will be extended service lamps only. Mercury vapor lamps and high pressure sodium vapor
lamps furnished will be as specified by the Company. Refractors for renewal shall be furnished by the customer.
2. Closed Service: Maintenance service furnished under this schedule is closed to new incandescent and mercury vapor
street light installations as of September 15, 1980, and to all existing incandescent and mercury vapor street light installations as
of January 1, 1982.
3. Restrictions: Maintenance service will be furnished only where, in the opinion of the Company, no undue hazard or
expense will result because of location, mounting height, or other reasons.

1 Company shall furnish, install and maintain ornamental electroliers
2 and appurtenances thereto in lieu of wood poles at the current installation
3 cost differential of $157.00 per concrete ornamental electrolier where the
4 electrolier is used in lieu of a wood pole, and $610.00 per concrete orna-
5 mental electrolier where the electrolier is used in the vicinity of an existing
6 wood pole, either Company's or other Utilities' pole, which could be
7 utilized for the street lighting luminaire installation, payable by Customer
8 to Company in a single payment which shall be made upon installation of
9 the electroliers. Funds for this current installation payment have been
10 incorporated in the 1982-1983 budget for this district.
11 It is understood and agreed that charges for additional ornamental

I asked Mr. Falkner to explain our current Street Light Agreement as it
related to street light and/or electrical utility relocation. Mr. Falkner
indicated that a street light placed at a customer's (City's) direction
would be relocated at the customer's (City's) expense. If their distribution
system had to be relocated due to a city street widening project, SCE would
relocate at their expense unless they were located on land or easement they
had acquired. If a street light was on a pole in their distribution system
and the entire system had to be relocated, the relocation expense (including
the incidental street light relocation) would normally be a SCE expense.
