TO REALIGN VIADUCT BOULEVARD BETWEEN 2ND STREET AND 3RD STREET (SS07-32). 5 BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY 6 OF SAN BERNARDINO AS FOLLOWS: 7 SECTION 1. Transtech Engineers, Inc., 198 N. Arrowhead Avenue, Suite "I", San 8 Bernardino, CA 92408, is competent, experienced and has provided the most advantageous and 9 best proposal for the Realigmnent of Viaduct Boulevard between 2nd Street and 3rd Street to 10 11 Align with Giovanola Avenue at 2nd Street, Grading and Circulation Around the Proposed 12 Metrolink Parking Structure, Redesign of Metrolink Parking Lot and Design of a Traffic Signal 13 at the Intersection of the Realigned Street and 2nd Street, pursuant to the Agreement for Services, 14 attached hereto and incorporated herein as Exhibit "A", for the not-to-exceed amount of 15 $110,725 plus $10,000 for 6 potholes, based on the Technical Proposal dated February 26, 2007, 16 17 Attachment "I" to Exhibit "A" and incorporated herein, and the Request for Proposal (RFP), attached hereto and incorporated herein as Exhibit "8." Pursliant to this determination, the 18 19 Purchasing Manager is hereby authorized and directed to issue Purchase Orders for said services 20 21 22 23 24 to said firm which references this Resolution. The Mayor is hereby authorized and directed to execute said Agreement on behalf of the City. SECTION 2. The authorization to execute the above referenced Agreement is rescinded if it is not executed within sixty (60) days of the passage of this resolution. III 25 26 27 28 11/ - I - 1 2 RESOLUTION . . . PENMAN, City Attorney .P~ -2- 2007-97 EXHIBIT" A" AGREEMENT FOR SERVICES FOR THE REALIGNMENT OF VIADUCT BOULEVARD BETWEEN 2ND STREET AND 3RD STREET TO ALIGN WITH GIOVANOLA AVENUE AT 2ND STREET, GRADING AND CIRCULATION AROUND THE PROPOSED METROLINK PARKING STRUCTURE, REDESIGN OF METROLINK PARKING LOT AND DESIGN OF A TRAFFIC SIGNAL AT THE INTERSECTION OF THE REALIGNED STREET AND 2ND STREET. THIS AGREEMENT is made and entered into this 2nd day of April 2007 ("Effective Date"), by and between the CITY OF SAN BERNARDINO, a charter city ("City"), and TRANSTECH ENGINEERS, INC. ("Consultant"). WITNESSETH: A. WHEREAS, City proposes to have Consultant provide Civilffraffic Engineering Services of a consulting engineering firm for the realigmnent of Viaduct Boulevard between 2nd Street and 3'd Street to align with Giovanola Avenue at 2nd Street, grading and circulation around the proposed Metrolink parking structure, redesign of Metrolink parking lot and design of a traffic signal at the intersection of the realigned street and 2nd Street as described below; and B. WHEREAS, Consultant represents that it has that degree of specialized expertise contemplated within California Government Code, Section 37103, and holds all necessary licenses to practice and perform the services herein contemplated; and C. WHEREAS, City and Consultant desire to contract for specific services in connection with the project described below (the "Project") and desire to set forth their rights, duties and liabilities in connection with the services to be performed; and D. WHEREAS, no official or employee of City has a financial interest, within the provisions of California Government Code, Sections 1090-1092, in the subject matter of this Agreement. NOW, THEREFORE, for and in consideration of the mutual covenants and conditions contained herein, the parties hereby agree as follows: 1.0. SERVICES PROVIDED BY CONSULTANT 1.1. Scope of Services. Consultant shall provide to the City the Civilffraffic Engineering Services of a consulting engineering firm for the realigmnent of Viaduct Boulevard between 2nd Street and 3'd Street to align with Giovanola Avenue at 2nd Street, grading and circulation around the proposed Metrolink parking structure, redesign of Metrolink parking lot and design of a traffic signal at the intersection of the realigned street and 2nd Street (the "Project") in accordance with the City's standards and Consultant's proposal dated February 26, 2007, attached hereto and incorporated herein as Attachment "I". Professional Practices. All professional services to be provided by Consultant pursuant to this Agreement shall be provided by personnel experienced in their respective fields and in a manner consistent with the standards of care, diligence and skill ordinarily exercised by professional consultants in similar fields and circumstances in accordance with sound professional practices. Consultant also warrants that it is familiar with all laws that may affect its performance of this Agreement and shall advise City of any changes in any laws that may affect Consultant's performance of this Agreement. 1.3. Warrantv. Consultant warrants that it shall perform the services required by this Agreement in compliance with all applicable Federal and California employment laws including, but not limited to, those laws related to minimum hours and wages; occupational health and safety; fair employment and employment practices; workers' compensation insurance and safety in employment; and all other Federal, State and local laws and ordinances applicable to the services required under this Agreement. Consultant shall indemnify, defend and hold harmless City from and against all claims, demands, payments, suits, actions, proceedings, and judgments of every nature and description including attorneys' fees and costs, presented, brought, or recovered against City for, or on account of any liability under any of the above-mentioned laws, which may be incurred by reason of Consultant's performance under this Agreement. 1.4. Non-discrimination. In performing this Agreement, Consultant shall not engage in, nor permit its agents to engage in, discrimination in employment of persons because of their race, religion, color, national origin, ancestry, age, physical handicap, medical condition, marital status, sexual gender or sexual orientation, or any other category protected by law, except as permitted pursuant to Section 12940 of the Government Code. Violation of this provision may result in the imposition of penalties referred to in Labor Code, Section 1735. 1.5 Non-Exclusive Al!feement. Consultant acknowledges that City may enter into agreements with other consultants for services similar to the services that are subject to this Agreement or may have its own employees perform services similar to those services contemplated by this Agreement. 1.6. Delegation and Assigmnent. This is a personal service contract, and the duties set forth herein shall not be delegated or assigned to any person or entity without the prior written consent of City. 1.7. Business License: The Consultant shall obtain and maintain a valid City Business Registration Certificate during the term of this Agreement. 1.8. Duty of Loyaltv/Conflict of Interest: The Consultant understands and agrees that as the City's consultant, Consultant shall maintain a fiduciary duty and a duty of loyalty to the City in performing Consultant's obligations under this Agreement. Consultant, in performing its obligations under this Agreement, is governed by California's conflict of interest laws, Government Code Section 87100 et seq., and Title 5: \_Public Works\ RFCA's\ 2007 All\ 04-02-07\. Realignment of Viaduct Blvd - Award of Agreement to Transtech\Standard Agreement Realignment of Viaduct Boulevard 04-02-07.doc 2 ~ 2, California Code of Regulations Section 18700 et seq. 2.0. COMPENSATION AND BILLING 2.1. Compensation. Over the term of this Agreement, Contractor shall be compensated for such services for the not-to-exceed amounts indicated in Fee Proposal dated February 26,2007, attached hereto and incorporated herein as Attachment "2". 2.2. Additional Services. Consultant shall not receive compensation for any services provided outside the scope of services specified in this Agreement unless the City, prior to Consultant performing the additional services, approves such additional services in writing. It is specifically understood that oral requests and/or approvals of such additional services or additional compensation shall be barred and are unenforceable. 2.3. Method of Billing. Consultant may submit invoices to City's Engineer for approval on a progress basis, but no more often than monthly. Said invoice shall be based on the total of all Consultant's services which have been completed to City's sole satisfaction. City shall pay Consultant's invoice within forty-five (45) days from the date City receives said invoice. Each invoice shall describe in detail, the services performed and the associated time for completion. Any additional services approved and performed pursuant to this Agreement shall be designated as "Additional Services" and shall identifY the number of the authorized change order, where applicable, on all invoices. 2.4. Records and Audits. Records of Consultant's services relating to this Agreement shall be maintained in accordance with generally recognized accounting principles and shall be made available to City or its Engineer for inspection and/or audit at mutually convenient times for a period of three (3) years from the Effective Date. 3.0. TIME OF PERFORMANCE 3.1. Commencement and Completion of Work. The professional services to be performed pursuant to this Agreement shall commence within five (5) days from the Effective Date of this Agreement. Said services shall be completed within four (4) months unless otherwise approved by the City Engineer. Failure to commence work in a timely manner and/or diligently pursue work to completion may be grounds for termination of this Agreement. 3.2. Excusable Delavs. Neither party shall be responsible for delays or lack of performance resulting from acts beyond the reasonable control of the party or parties. Such acts shall include, but not be limited to, acts of God, fire, strikes, material shortages, compliance with laws or regulations, riots, acts of war, or any other conditions beyond the reasonable control of a party. 5: \_Public Works \RFCA's\ 2007 All\ 04-02-07\ Realignment of Viaduct Blvd - Award of Agreement to Transtech\Standard Agreement Realignment of Viaduct Boulevard 04-02-07.doc 3 ~ r---- - 4.0. TERM AND TERMINATION 4.1. Term. This Agreement shall commence on the Effective Date and continue until satisfactory completion of all work contemplated herein. All work shall be completed within the time frame and in accordance with schedule submitted by Consultant, attached hereto and incorporated herein as Attachment "3". 4.2. Notice of Termination. The City reserves and has the right and privilege of canceling, suspending or abandoning the execution of all or any part of the work contemplated by this Agreement, with or without cause, at any time, by providing written notice to Consultant. The termination of this Agreement shall be deemed effective upon receipt of the notice of termination. In the event of such termination, Consultant shall immediately stop rendering services under this Agreement unless directed otherwise by the City. 4.3. Comoensation. In the event of termination, City shall pay Consultant for reasonable costs incurred and professional services satisfactorily performed up to and including the date of City's written notice of termination. Compensation for work in progress shall be prorated as to the percentage of work completed as of the effective date of termination in accordance with the fees set forth herein. In ascertaining the professional services actually rendered hereunder up to the effective date of termination of this Agreement, consideration shall be given to both completed work and work in progress, to complete and incomplete drawings, and to other documents pertaining to the services contemplated herein whether delivered to the City or in the possession of the Consultant. 4.4 Documents. In the event of termination of this Agreement, all documents prepared by Consultant in its performance of this Agreement including, but not limited to, finished or unfinished design, development and construction documents, data studies, drawings, maps and reports, shall be delivered to the City within ten (10) days of delivery of termination notice to Consultant, at no cost to City. Any use of uncompleted documents without specific written authorization from Consultant shall be at City's sole risk and without liability or legal expense to Consultant. 5.0. INSURANCE 5.1. Minimum Scooe and Limits of Insurance. Consultant shall obtain and maintain during the life of this Agreement all of the following insurance coverages: (a) Comprehensive general liability, including premises-operations, products/completed operations, broad form property damage, blanket contractual liability, independent contractors, personal injury with a policy limit of not less than One Million Dollars ($1,000,000.00), combined single limits, per occurrence and aggregate. S:\_Public Works\RFCA's\2007 All\04-02-07\Realignmentof Viaduct Blvd - Award of Agreement to Transtech \Standard Agreement Realignment of Viaduct Boulevard 04-02-07.doc 4 (b) Automobile liability for owned vehicles, hired, and non-owned vehicles, with a policy limit of not less than One Million Dollars ($1,000,000.00), combined single limits, per occurrence and aggregate. (c) Workers' compensation insurance as required by the State of California. (d) Professional errors and omissions ("E&O") liability insurance with policy limits of not less than One Million Dollars ($1,000,000.00), combined single limits, per occurrence and aggregate. Consultant shall obtain and maintain, said E&O liability insurance during the life of this Agreement and for three years after completion of the work hereunder. 5.2. Endorsements. The comprehensive general liability insurance policy shall contain or be endorsed to contain the following provisions: (a) Additional insureds: "The City of San Bernardino and its elected and appointed boards, officers, agents, and employees are addition- al insureds with respect to this subject project and contract with City." (b) Notice: "Said policy shall not terminate, nor shall it be cancelled, nor the coverage reduced, until thirty (30) days after written notice is given to City." (c) Other insurance: "Any other insurance maintained by the City of San Bernardino shall be excess and not contributing with the insurance provided by this policy." 5.3. Certificates of Insurance. Consultant shall provide to City certificates of insurance showing the insurance coverages and required endorsements described above, in a form and content approved by City, prior to performing any services under this Agreement. 5.4. Non-limiting. Nothing in this Section shall be construed as limiting in any way, the indemnification provision contained in this Agreement, or the extent to which Consultant may be held responsible for payments of damages to persons or property. 6.0. GENERAL PROVISIONS 6.1. Entire Agreement. This Agreement constitutes the entire Agreement between the parties with respect to any matter referenced herein and supersedes any and all other prior writings and oral negotiations. This Agreement may be modified only in writing, and signed by the parties in interest at the time of such modification. The terms S:\_Public Works\RFCA's\2007 All\04-02-07\Realigmnent 01 Viaduct Blvd - Award 01 Agreement to Transtech\Standard Agreement Realignment of Viaduct Boulevard 04-02-07.doc 5 of this Agreement shall prevail over any inconsistent provision in any other contract document appurtenant hereto, including exhibits to this Agreement. 6.2. Representatives. The Director of Development Services or her designee shall be the representative of City for purposes of this Agreement and may issue all consents, approvals, directives and agreements on behalf of the City, called for by this Agreement, except as otherwise expressly provided in this Agreement. Consultant shall designate a representative for purposes of this Agreement who shall be authorized to issue all consents, approvals, directives and agreements on behalf of Consultant called for by this Agreement, except as otherwise expressly provided in this Agreement. 6.3. Proiect Manal!ers. City shall designate a Project Manager to work directly with Consultant in the performance of this Agreement. Consultant shall designate a Project Manager who shall represent it and be its agent in all consultations with City during the term of this Agreement. Consultant or its Project Manager shall attend and assist in all coordination meetings called by City. 6.4. Notices. Any notices, documents, correspondence or other communications concerning this Agreement or the work hereunder may be provided by personal delivery, facsimile or mail and shall be addressed as set forth below. Such communication shall be deemed served or delivered: a) at the time of delivery if such communication is sent by personal delivery; b) at the time of transmission if such communication is sent by facsimile; and c) 48 hours after deposit in the U.S. Mail as reflected by the official U.S. postmark if such communication is sent through regular United States mail. In the event that litigation is brought by any party in connection with this Agreement, the prevailing party shall be entitled to recover from the opposing party all costs and expenses, including reasonable attorneys' fees, incurred by the prevailing party in the exercise of any of its rights or remedies hereunder or the enforcement of any of the terms, conditions, or provisions hereof. The costs, salary and expenses of the City Attorney and members of his office in enforcing this contract on behalf of the City shall be considered as "attorneys' fees" for the purposes of this paragraph. This Agreement shall be governed by and construed under the laws of the State of California without giving effect to that body of laws pertaining to conflict of laws. In the event of any legal action to enforce or interpret this Agreement, the parties hereto agree that the sole and exclusive venue shall be a court of competent jurisdiction located in San Bernardino County, California. 6.7. Assignment. Consultant shall not voluntarily or by operation of law assign, transfer, sublet or encumber all or any part of Consultant's interest in this Agreement without City's prior written consent. Any attempted assignment, transfer, subletting or encumbrance shall be void and shall constitute a breach of this Agreement and cause for termination of this Agreement. Regardless of City's consent, no subletting or assignment shall release Consultant of Consultant's obligation to perform all other obligations to be performed by Consultant hereunder for the term of this Agreement. 6.8 Indemnification and Hold Harmless. Consultant shall protect, defend, indemnifY and hold harmless City and its elected and appointed officials, officers, and employees from any and all claims, liabilities, expenses, including attorney fees, damage to property or injuries to or death of any person or persons or damages of any nature including, but not by way of limitation, all civil claims or workers' compensation claims, arising out of or in any way connected with the intentional or negligent acts, errors or omissions of Consultant, its employees, agents or subcontractors in the performance of this Agreement. 6.9. Indeoendent Contractor. Consultant is and shall be acting at all times as an independent contractor and not as an employee of City. Consultant shall secure, at his expense, and be responsible for any and all payment of Income Tax, Social Security, State Disability Insurance Compensation, Unemployment Compensation, and other payroll deductions for Consultant and its officers, agents, and employees, and all business licenses, if any are required, in connection with the services to be performed hereunder. 6.10 Ownershio of Documents. All fmdings, reports, documents, information and data including, but not limited to, computer tapes or discs, files and tapes furnished or prepared by Consultant or any of its subcontractors in the course of performance of this Agreement, shall be and remain the sole property of City. Consultant agrees that any such documents or information shall not be made available to any individual or organization without the prior consent of City. Any use of such documents for other projects not contemplated by this Agreement, and any use of incomplete documents, shall be at the sole risk of City and without liability or legal exposure to Consultant. City shall indemnifY and hold harmless Consultant from all claims, damages, losses, and expenses, including attorneys' fees, arising out of or resulting from City's use of such documents for other projects not contemplated by this Agreement or use of incomplete documents furnished by Consultant. Consultant shall deliver to City any findings, reports, documents, information, data, in any form, including but not limited to, computer tapes, discs, files audio tapes or any other Project related items as requested by City or its authorized representative, at no additional cost to the City. Consultant has been advised and is aware that all reports, documents, information and data including, but not limited to, computer tapes, discs or files furnished or prepared by Consultant, or any of its subcontractors, and provided to City may be subject to public disclosure as required by the California Public Records Act (California Government Code Section 6250 et. seq.). Exceptions to public disclosure may be those documents or information that qualify as trade secrets, as that term is defmed in the California Government Code Section 6254.7, and of which Consultant informs City of such trade secret. The City will endeavor to maintain as confidential all information obtained by it that is designated as a trade secret. The City shall not, in any way, be liable or responsible for the disclosure of any trade secret including, without limitation, those records so marked if disclosure is deemed to be required by law or by order of the Court. 6.12. Resoonsibilitv for Errors. Consultant shall be responsible for its work and results under this Agreement. Consultant, when requested, shall furnish clarification and/or explanation as may be required by the City's representative, regarding any services rendered under this Agreement at no additional cost to City. In the event that an error or omission attributable to Consultant occurs, then Consultant shall, at no cost to City, provide all necessary design drawings, estimates and other Consultant professional services necessary to rectify and correct the matter to the sole satisfaction of City and to participate in any meeting required with regard to the correction. 6.13. Prohibited EmDlovrnent. Consultant will not employ any regular employee of City while this Agreement is in effect. 6.14. Order of Precedence. In the event of an inconsistency or conflict in this Agreement and any of the attached Exhibits or Attachments, the terms set forth in this Agreement shall prevail. 6.15. Costs. Each party shall bear its own costs and fees incurred in the preparation and negotiation of this Agreement and in the performance of its obligations hereunder except as expressly provided herein. 6.16. No Third Partv Beneficiary Ril!hts. This Agreement is entered into for the sole benefit of City and Consultant and no other parties are intended to be direct or incidental beneficiaries of this Agreement and no third party shall have any right in, under or to this Agreement. 6.17. Headings. Paragraphs and subparagraph headings contained in this Agreement are included solely for convenience and are not intended to modify, explain or to be a full or accurate description of the content thereof and shall not in any way affect the meaning or interpretation of this Agreement. 6.18. Construction. The parties have participated jointly in the negotiation and drafting of this Agreement. In the event an ambiguity or question of intent or S:\]ublic Works\RFCA's\2007 All\04-02-07\Realignment of Viaduct Blvd - Award of Agreement to Transtech\Standard Agreement Realignment of Viaduct Boulevard Q4-02-07.doc 8 interpretation arises with respect to this Agreement, this Agreement shall be construed as if drafted jointly by the parties and in accordance with its fair meaning. There shall be no presumption or burden of proof favoring or disfavoring any party by virtue of the authorship of any of the provisions of this Agreement. 6.19 Amendments. Only a writing executed by the parties hereto or their respective successors and assigns may amend this Agreement. 6.20. Waiver. The delay or failure of either party at any time to require performance or compliance by the other of any of its obligations or agreements shall in no way be deemed a waiver of those rights to require such performance or compliance. No waiver of any provision of this Agreement shall be effective unless in writing and signed by a duly authorized representative of the party against whom enforcement of a waiver is sought. The waiver of any right or remedy in respect to any occurrence or event shall not be deemed a waiver of any right or remedy in respect to any other occurrence or event, nor shall any waiver constitute a continuing waiver. 6.21. Severability. If any provision of this Agreement is determined by a court of competent jurisdiction to be unenforceable in any circumstance, such determination shall not affect the validity or enforceability of the remaining terms and provisions hereof or of the offending provision in any other circumstance. Notwithstanding the foregoing, if the value of this Agreement, based upon the substantial benefit of the bargain for any party is materially impaired, which determination as made by the presiding court or arbitrator of competent jurisdiction shall be binding, then both parties agree to substitute such provision(s) through good faith negotiations. 6.22. Countemarts. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original. All counterparts shall be construed together and shall constitute one agreement. 6.23. Comorate Authoritv. The persons executing this Agreement on behalf of the parties hereto warrant that they are duly authorized to execute this Agreement on behalf of said parties and that by doing so, the parties hereto are formally bound to the provisions of this Agreement. The proposed alignment of Viaduct Boulevard will Chanje the existing southwesterly skewed alignment to a north-south street intersecting 2n Street at 90 degrees opposite Giovanola Avenue. Because the City may not have sufficient funding to construct the ultimate S-Iane roadway section of the realigned Via Duct Boulevard, it is required that the selected consultant provide for an interim three-lane section, which will provide for one lane of traffic in each direction and a center left turn lane or turn pockets. The design will be such that the roadway can be easily expanded in the future to its ultimate S-Iane configuration. The project scope also includes a fully actuated traffic signal at the intersection of the realigned Viaduct Boulevard and 2nd Street, including with the ability for interconnection with other signals along 2nd Street at some time in the future. A primary goal of this project will be to complete the design of the realignment of Viaduct Boulevard in a timely manner such that construction of the realignment can be completed prior to construction of the parking structure. Concurrent bidding of the realignment and the parking structure will be necessary. The City has acquired most of the right-of-way need for the realignment of Viaduct Boulevard. The City and SAN BAG own the parking lot and adjacent areas to the north and west. However, additional right-of-way from a private owner mal be needed at the southeasterly corner of the intersection of the realigned street and 3' Street. Additional right-of-way may also be needed at the south side of 2nd Street at its existing intersection with Giovanola Avenue. The design work includes site control plans, grading plans, drainage plans, water service plan to the parking structure, sewer plans, as well plans in the adjoining existing areas and proposed surface parking lot improvements on the east side of the structure. I PROJECT AREA 3 /SurveYing and civil engineering services to prepare complete plans and estimates and technical specifications related to the reconstruction of existing surface parking lot on the north side of the proposed parking structure, including the area north of 2nd Street and east of the Santa Fe Train Station building. The design work includes site control plans, grading plans, drainage plans, landscape plan, irrigation plan, and parking lot striping plan. d) Identification of existing R/W and preparation of legal descriptions and plats, if additional R/W is needed. e) Drainage modifications necessary to drain the redesigned parking lot, realigned road and the area surrounding the new parking structure. Hydrology and hydraulic calculations must be provided to support the proposed drainage design. Mt. Vernon Storm Drain, an interim facility, runs beneath the proposed realignment. Reinforcement or replacement of the storm drain may be necessary. f) Design of a fully actuated a-phase traffic signal for the intersection of Viaduct Boulevard/Giovanola Avenue and 2nd Street. The design of the traffic signal shall include a "spread-spectrum" interconnect capability along 2nd Street. g) Pothole existing underground utilities where a high probability for conflict exists. As required, a separate fee is provided in the proposed fee schedule for potholing on a per pothole basis separately from the design fee. h) Research existing right-of-way and identify need for additional right-of-way. Adequate right-of-way appears to exist; however, the scope includes checking the right-of-way in relation to the proposed street and signal design including the south side of 2nd Street. If additional right-of-way is required, prepare legal descriptions and plats of the right-of-way to be acquired. Acquisition of the right- of-way shall be the responsibility of the City. 2. Prepare the improvement plans, specifications, and cost estimates for the project in conformance with City of San Bernardino standards, Caltrans standards, and the requirements of the Manual of Uniform Traffic Control Devices (MUTCD) and California Supplement, latest edition. Plans, specifications, and estimate will conform to the following requirements: a) The plans will be prepared at a scale of 1 inch = 40 feet on standard 24" by 36" sheets, using the City of San Bernardino standard title block. I I I I I I I I [iJ Attachment" 1 ", Exhibit "A" b) The plans will clearly show existing conditions, including but not limited to, the location and type of signing and striping, pavement markings, storm drain facilities and street condition. c) The scope will include survey, research and other data or work needed to establish existing topography, lines and grades. Information readily available from City files shall be made available by the City at no charge. d) Street improvement plans will clearly indicate the type and location of existing and proposed storm drain and street improvements, including but not limited to curbs, gutters, curb ramps, and cross gutters, and street lights. e) A separate signing and striping plan sheet will be included showing the type and location of existing and proposed signing and striping, including but not limited to lane striping, stop bars, cross walks, pavement markings, raise pavement markers and any other traffic control devices. The signing and striping plan sheet will be drawn to a scale of 1" = 40" on a 24" x 36" sheet, which shall include a Standard title block of the City of San Bernardino. f) All improvements will be designed in compliance and accordance with the Americans with Disabilities Act (ADA). g) The street improvement plans will include, but not be limited to, curbs, gutters, berms, and curb ramps. Limits of pavement, sawcuts, removals and construction will also be shown. Improvements, which are intended to be completed in the future, will be clearly identified as such. h) The plans, specifications and cost estimates will be signed and sealed by a civil engineer licensed to practice civil engineering in the State of California. 3. Meet and confer with City staff periodically during the preliminary design phase to resolve design issues and ensure continuity with City standards and preferences. 4. Conduct utility research and identify the location and depth of all existing utilities within the limits of the proposed improvements. Consultant shall be responsible for identifying and resolving utility conflicts both overhead and underground. Copies of all written communication (including maps) between the consultant and utility companies shall be provided to the City. 5. Identify any additional improvements that are required to construct the proposed street improvements. Additional improvements may include but not be limited to curb and gutter, drainage improvements, storm drains, street widening, curbs, curb ramps, and channelization. 6. Submit an updated project schedule within 1 week of receiving a notice to proceed, indicating the design tasks and project timing from start to submittal of final PS&E. The schedule will include two (2) City plan reviews, each for 3 week duration for each plan. Provide an updated schedule showing progress and timing no less frequently than once a month. SUB-CONSULTANTS SAFEPROBE, INC. - DBE Sub-Contractor, Non-destructive Potholing for Utilities if necessary Safe Probe is a Caltrans certified DBE firm specializing in utility potholing. SafeProbe developed a nondestructive excavation technique to locate utilities and subsurface structures, and to determine their depths below ground. The service is provided utilizing a truck containing a soil agitator and a powerful vacuuming device, along with a storage container with state-of-the-art electronic equipment. Safe Probe conducts an electronic subsurface survey to locate and mark the position, path and estimated depth of all existing utilities. Potholing is performed using the air/vacuum soil extraction method for the purpose of locating, marking, measuring and recording the exact location of the existing underground utilities. Vacuum excavation utilizes the kinetic energy in a high velocity air stream to penetrate, expand and break up soil. The loosened chunks of soil and small rocks are then removed from the hole through the use of a very powerful vacuum. In this way, a hole is created that is typically 10 inches to two feet round or square, and as deep as required to expose the buried utility. The major advantages offered by vacuum excavation are safety, cost effectiveness and time efficiency (substantially less expensive than and operation takes half the time of conventional potholing method). This state-of-the-art technology, designed to identify and excavate to locate subsurface structures and utilities, is a nondestructive method with respect to the subsurface systems, and will never damage the buried utility. It is a soft-touch dig, suck and seek method of potholing. The test hole is then backfilled with the original soil unless permit regulations require a special fill. All holes are compacted in 6" stick lifts to provide maximum compaction and to maintain future integrity of the hole, and pavement is restored in-kind. . INTRODUCTION I . i I , I The City of San Bernardino is soliciting the services of a consulting engineering firm for realignment of Viaduct Boulevard between 3rd Street and 2nd Street to align with Giovanola Avenue at 2nd Street, grading and circulation around the proposed Metrolink parking structure, redesign of Metrolink parking lot and design of a traffic signal at the intersection of the realigned street and 2nd Street. II. BACKGROUND The City of San Bernardino is currently designing a parking structure to serve the existing Metrolink Station located at the Historic Santa Fe Depot. Construction of the new parking structure may start as early as June 2007 and be completed by July 2008. The primary parking lot servicing the Metrolink Station was constructed in the 1990 and will no longer be efficient when the new parking structure is completed. Therefore, the City is requesting a redesign of the parking lot to improve efficiency in relation to the parking structure. The siting of the parking structure is such that planned circulation and parking around the structure will necessitate reworking of the area surrounding the building and the realignment of a connector street between 3rd Street and 2nd Street currently known as Viaduct Boulevard. The proposal is to change the alignment of Viaduct Boulevard from its southwesterly skew to a north-south street so that it will intersect 2nd Street at 90 degrees opposite Giovanola Avenue. Note: The name of the realigned street has not yet been established. Sufficient funding may not be available to construct the ultimate 5.Iane roadway section. Therefore, the design shall provide for an interim three- lane section, which will provide for one lane of traffic in each direction and a center left turn lane or turn pockets. The design shall be such that the roadway can be easily expanded in the future to its ultimate 5-lane configuration. The design shall include a fully actuated traffic at the intersection of the realigned Viaduct Boulevard and 2nd Street. The signal shall be designed to provide for interconnection with other signals along 2nd Street at some time in the future. A primary goal of this project will be to complete the design of the realignment of Viaduct Boulevard in a timely manner such that Page 2 of 10 " r EXHIBIT "B" construction of the realignment can be completed prior to c~mstruction of the parking structure. Concurrent bidding of the realignment and the parking structure will be necessary. The City has acquired most of the right-of-way need for the realignment of Viaduct Boulevard. The City and SANBAG own the parking lot and adjacent areas to the north and west. However, additional right-of-way from a private owner may be needed at the southeasterly corner of the intersection of the realigned street and 3rd Street. Additional right-of-way may also be needed at the south side of 2nd Street at its existing intersection with Giovanola Avenue. The consultant shall identify right-of-way needs, if any, and prepare plats and legal descriptions for the right-of-way to be acquired. Attached is a copy of City Drawing No. 10552 showing the right-of-way, which has been acquired by the City. III. SCOPE OF SERVICES 1. Consultant shall prepare and complete all required construction documents, including plans, specifications, and cost estimates for the following items: a) Surveying and civil engineering services to prepare complete plans and estimates and technical specifications for the Realignment of Viaduct Boulevard 3rd Street and 2nd Street (aligning the new street with existing Giovanola Avenue south of 2nd Street). The City has already acquired the necessary Right-of-way for the project. The selected consultant shall conduct a design survey, and prepare all necessary plans, including roadway, drainage, sewer, signing and striping, street lighting, traffic signal at the new intersection of 2ndNiaductlGiavonalo), and removal plans ready for bidding. The design shall include necessary improvements on 2nd Street up to Mount Vernon Avenue. The consultant shall coordinate with necessary utility companies and obtain necessary clearances, service points and approvals, including obtaining electrical feed point for the new traffic signal (Project Area 1). b) Surveying and civil engineering services to prepare complete plans and estimates and technical specifications related to the proposed Metrolink Parking Structure to be located west of realigned Viaduct Boulevard and north of 2nd Street. The design work includes site control plans, grading plans, drainage plans, water service plan to the parking structure, sewer plans, as well plans in the adjoining existing areas and proposed surface parking lot improvements on the east side of the structure. The site control and grading plan shall include the foot print of the proposed parking structure, the vacant land area on the south side to 2nd Street and on the west side to Mount Vernon Avenue, up to 50' north of the Page 3 of 10 ~ ;, " J , ': . I , , l , c) EXHIBIT "B" proposed parking structure, and area east of the parking structure to realigned Via Duct Boulevard, The consultant shall coordinate with necessary utility companies and obtain necessary clearances, service points and approvals and provide plans to bring all necessary services for the parking structure to the edge of the foot print, at which point the parking structure (Project Area 2). Surveying and civil engineering services to prepare complete plans and estimates and technical specifications related to the reconstruction of existing surface parking lot on the north side of the proposed parking structure, including the area north of 2nd Street and east of the Santa Fe Train Station building. The design work includes site control plans, grading plans, drainage plans, landscape plan, irrigation plan, and parking lot striping plan (Project Area 3). d) Identification of existing RIW and preparation of legal descriptions and plats, if additional RIW is needed. e) Drainage modifications necessary to drain the redesigned parking lot, realigned road and the area surrounding the new parking structure. Hydrology and hydraulic calculations must be provided to support the proposed drainage design. Mt. Vernon Storm Drain, an interim facility, runs beneath the proposed realignment. Reinforcement or replacement of the storm drain may be necessary. f) Design of a fully actuated 8-phase traffic si~nal for the intersection of Viaduct Boulevard/Giovanola Avenue and 2" Street. The design of the traffic si~nal shall include a "spread-spectrum" interconnect capability along 2" Street. g) Pothole existing underground utilities where a high probability for conflict exists. Compensation for potholing shall be on a per pothole basis and shall be stated separately from the consultant's design fee. h) Research existing right-of-way and identify need for additional right-of- way. Adequate right-of-way appears to exist; however, the consultant shall be responsible for checking the right-of-way in relation to the proposed street and signal design including the south side of 2"d Street. If additional right-of-way is required, the consultant shall prepare legal descriptions and plats of the right-of-way to be acquired. Acquisition of the right-of-way shall be the responsibility of the City. 2. Consultant shall prepare the improvement plans, specifications, and cost estimates for the project in conformance with City of San Bernardino Page 4 of 10 EXHIBIT "B" ~ standards, Caltrans standards, and the requirements of the Manual of Uniform Traffic Control Devices (MUTCD) and California Supplement, latest edition. t: :~' I I ! , I I Plans, specifications, and estimate shall conform to the following requirements: a) The plans shall be prepared at a scale of 1 inch = 40 feet on standard 24" by 36" sheets, using the City of San Bernardino standard title block. A scale of 1 inch = 20 feet may be used subject to approval of the City Engineer. b) The plans shall clearly show existina conditions, including but not limited to, the location and type of signing and striping, pavement markings, storm drain facilities and street condition. c) Consultant shall be responsible for survey, research and other data or work needed to establish existing topography, lines and grades. Information readily available from City files will be made available to the consultant at no charge. d) Street improvement plans shall clearly indicate the type and location of existing and proposed storm drain and street improvements, including but not limited to curbs, gutters, curb ramps, and cross gutters, and street lights. e) A separate signing and striping plan sheet shall be included showing the type and location of existing and proposed signing and striping, including but not limited to lane striping, stop bars, cross walks, pavement markings, raise pavement markers and any other traffic control devices. The signing and striping plan sheet shall be drawn to a scale of 1" = 40" on a 24" x 36" sheet, which shall inclUde a Standard title block of the City of San Bernardino. f) All improvements shall be designed in compliance and accordance with the Americans with Disabilities Act (ADA). g) The street improvement plans shall include, but not be limited to, curbs, gutters, berms, and curb ramps. Limits of pavement, sawcuts, removals and construction should also be shown. Improvements, which are intended to be completed in the future, shall be clearly identified as such. Page 5 of 10 ~ EXHIBIT "B" j) The plans, specifications and cost estimates shall be signed and sealed by a civil engineer licensed to practice civil engineering in the State of California. 3. Consultant shall meet and confer with City staff periodically during the preliminary design phase to resolve design issues and ensure continuity with City standards and preferences. 4. Consultant shall conduct utility research and identify the location and depth of all existing utilities within the limits of the proposed improvements. Consultant shall be responsible for identifying and resolving utility conflicts both overhead and underground. Copies of all written communication (including maps) between the consultant and utility companies shall be provided to the City. 5. Consultant shall pothole existing underground utilities where a high probability for conflict with proposed improvements exists. Compensation for potholing shall be on a per pothole basis and cost of potholing shall be stated separately from the consultant's design fee. 6. Consultant shall identify any additional improvements that are required to construct the proposed street improvements. Additional improvements may include but not be limited to curb and gutter, drainage improvements, storm drains, street widening, curbs, curb ramps, and channelization. If additional improvements are required, consultant shall include the design of those improvements in the scope of the proposal and incorporate them into the plans, specifications and cost estimates. 7. Consultant shall submit an updated project schedule within 1 week of receiving a notice to proceed, indicating the design tasks and project timing from start to submittal of final PS&E. The Consultant shall estimate two (2) City plan reviews for each plan set. Each review should be estimated to take three (3) weeks for schedule purposes. Consultant shall provide an updated schedule showing progress and timing no less frequently than once a month. Upon completion of the consultant's work, the City shall have in hand, both an electronic, and a hard copy of an approved and signed set of completed plans, technical specifications, quantities, estimates and special provisions ready for bidding including all supporting data, calculations, utility locations, utility notices, survey data, and other details necessary to complete this project in a format acceptable to the City. Page 6 of 10 ~ J > , , ! i EXHIBIT "8" Consultant should expect to confer with the City at least once a month for updates on project progress, questions, problems and accomplishments. The project design must bo completed in no more than three (3) months after the notice to proceed is issued. IV PROPOSAL REQUIREMENTS A. Four (4) copies of the proposal shall be submitted to the following: City of San Bernardino Department of Development Services Public Works Division ATTN: Mr. Michael W. Grubbs, P.E. Project Manager 300 North "0" Street, 3m Floor San Bernardino, CA 92418 Proposals shall be received in hand by this Division up to the hour of 4:00 P.M. on Mondav. Februarv 26.2007. B. Responsive proposals will include, but not be limited to, the following: 1. Responsive proposals will present a Scope of Services that includes, at a minimum, the above described services and any other tasks necessary for completion of a competent design (PS&E) which will provide for the successful construction of the proposed improvements. 2. Identify the professional, technical and support staff that will be performing the work associated with the proposed scope of services. Short resumes may be included. but extensive resumes should be limited to key personnel only. 3. Include a timeline indicating project milestones for the delivery of final plans, specifications, and cost estimates ready for public bid, including but not limited to a flow chart showing project tasks and timing. Include allowances for review periods. 4. Include a list of similar projects recently completed by the Consultant, identifying the location, date, agency and contact person name, and address and phone number. Name of sub-consultants to be used for specific aspects of the project, including a summary of previous working arrangements on similar types of work. 7. Statement of local preference eligibility, including identification of any office located in the City of San Bernardino and the number of employees stationed at the office, the number of employees doing business inside the City limits, and a machine copy of your firm's City of San Bernardino Business license. 8. Items, actions or information the Consultant expects to be provided by the City. 9. Any comments or suggestion that the Consultant believes necessary to improve the finished project or to comply with the requirements of this RFP. 10. Separate sealed envelope. Fixed fee, broken down as indicate below, for the work required by this RFP, together with an hourly rate sheet applicable to this project for classifications above, including all materials and expenses, shall be submitted in a separate sealed envelope. Please note that the City will not payor compensate separately for travel time, courier services, mileage or reimbursement for travel to the City of San Bernardino to attend meetings or conduct the activities necessary to complete tasks required to be performed as part of consultant services. A separate fee (in the same sealed envelope) shall be stated for potho/ing. A price per pothole and an estimated number of potholes shall be provided. The fee proposal shall include the total fee and a separate fee breakdown for the traffic signal improvements, realignment of Viaduct Boulevard in Area 1, Civil Engineering work for the parking structure in Area 2, redesign of the existing Metrolink parking lot in Area 3 and drainage structures. This breakdown is necessary for cost tracking within the City's Capital Improvement Program. Page 8 of 10 .. , j ~I i " EXHIBIT "8" V. SELECTION PROCESS , , ";; t~ :~ The selection process will be based on a point system and will consist of three phases as follows: , ~ \ I I I I 1. First phase selection shall consist of an evaluation by staff (which may include the Development Services Director, City Engineer, a Senior Engineer and Project Manager) of proposals based on the above items identified in Section IV B (except No. 10). An additional five (5) points will be given to City of San Bernardino based consultants. In order to be deemed as "City of San Bernardino Based Consultant, the company shall have an office with a minimum of one (1) owner or employee doing business inside the City limits and shall possess a City Business License. The three (3) consultants with the highest points will continue to the interviews. A maximum of 100 points can be achieved in this phase of the selection process. The three consultants with the highest numerical scores will be invited to continue with the second phase of the selection process. 2. Second phase of the selection process will consist of staff evaluation of a presentation by the three consultants with the highest numerical Score from the first phase selection. The interview will be detailed questions on this specific project, including, but not limited to, personnel, schedule, project staging, and knowledge of the project. Five (5) points of local preference will also be awarded in this phase of the selection process for Consultants that meet the requirements identified in paragraph 1 above. A maximum of 100 points can be achieved in this phase of the selection process. 3. The third and final phase of the selection process will consist of staff submitting a final package to the Mayor and Council for consideration of approval. Final scores of the top three consultants will be submitted to the Mayor and Common Council with a recommendation to award an Agreement for Professional Services to the consultant with the highest numerical score. However, the Mayor and Common Council have the prerogative to award an Agreement for Professional Services to any of the top three consultants or reject all proposals. 4. If the Mayor and Common Council award an Agreement for Professional Services, the selected consultant will be requested to execute an Agreement for Professional Services (draft copy attached), Failure of the consultant to execute the Agreement within 60 days of approval by the Mayor and Common Council will void the approval. Page 9 of 10 'w 1 , i ~ }J I :' , " :i EXHIBIT "B" VI GENERAL , \; ~ This "Request for Proposal" does not commit the City to award a contract, pay any costs incurred in the preparation of a proposal in response to this request, procure or contract for any services. All proposals submitted in response to this request will become the property of the City and may be used by the City in any way deemed appropriate. The City reserves the right to accept or to reject, in part or in its entirety, the response to the request for proposal if such action is deemed to be in the best interest of the City. ~ ~ Any contract entered into as a result of this proposal shall be considered to include the items of work detailed in this proposal unless specifically deleted in the proposal at the request of the City. VII PAYMENT The Consultant that is recommended by Staff and approved by Mayor and Common Council shall attend the pre-design meeting to establish the start date. Once the Notice to Proceed has been given, the Consultant can submit for payments. The City will release funds at percentages with receipt of Plans, Notices, or Specifications. No payment shall be given above the percentage of completed work accepted by the City. The City shall hold 15% of the total cost for 360 calendar days after acceptance of plans and specifications by the City, or 45 calendar days after the City issues a Notice of Completion for the project, whichever occurs first. Addenda to this RFP, if any, will be faxed to prospective consultants no less than five (5) business days prior to the due date. Consultants shall be required to acknowledge receipt of all addenda as part of the proposal. Requests for additional information shall be directed to Mr. Michael W. Grubbs, P.E.
