8 SECTION 1. The Mayor of the City of San Bernardino is '

9 hereby authorized and directed to execute on behalf of said City

t2 liRamona, Inc. (relating to senior citizens), Family Service Agency

6 ~RAMONA, INC., a nonprofit community service organization, herein-
7 ~~after called "Service Organization". ~

8 I~ W I T N E S S E T H:
9 WHEREAS, the Mayor and Common Council of City, by
I t0 Resolution No. 79-324, authorized funding for Service Organization
u for the period July 1, 1979, through July 31, 1979; and
12 WHEREAS, the Mayor and Common Council are further willing
' t3 ito appropriate certain funds from the General Fund or special fund
to for the use of various community service organizations upon
15 certain conditions and with the understanding that receipt of said
16 funds shall not imply a continuing obligation of the City beyond
l7 the term of this agreement; and
lg WHEREAS, Service Organization has represented that the
19 expenditures authorized by this agreement are for valid municipal
20 public purposes, to wit: providing for a variety of educational,
2~ cultural and social activities for senior citizens,
22 NOW, THEREFORE, it is mutually agreed between the parties
23 hereto as follows:
24 1. The City shall pay to the Service Organization the
25 sum of Six Thousand Two Hundred Fifty-Three Dollars ($6,253.00)
26 payable in eleven monthly installments. The first payment
27 of Five Hundred Sixty-Eighty Dollars and Fifty Cents ($568.50)
28 shall be payable upon the execution of this agreement and all

1 subsequent payments in the amount of Five Hundred Sixty-Eight j
2 'Dollars and Forty-Five Cents ($568.45) shall be made on or
3 'before the 5th day of each succeeding month.
4 2. The funds paid to Service Organization shall be used
5 by it solely for the purposes set forth in the last Whereas
I
6 iClause of this agreement during the term commencing on August 1,
7 1979, and ending on June 30, 1980. A ten percent (10$) or less j
I
8 transfer of funds shall be allowed on any budget line item,
g provided the prior approval of the Director of Human Services is
i0 jfirst had and obtained. At the end of said term, all unexpended ~
I
U I~Igrant funds shall be returned to the City by the Service
I I
12 Organization.
~3 3. Prior to the final payment under this agreement, and
l4 at such other times as may be requested by the City Administrator i
i
i
t5 or Director of Finance of City, the Service Organization shall j
16 isubmit to the City Administrator, with a copy to the Director of
17 (Finance, an accounting of the proposed and actual expenditures of
18 said funds, including the line item amounts and purposes for
l9 which said funds have been spent or obligated, The accounting or
20 financial statement of Service Organization shall separate
21 expenditures for program services from management and general
22 expenditures. Expenditures for program services shall be ~
I
23 reported by the type of service function involved. Each function-
24 al classification shall include all of the costs applicable to thel
25 service provided, such as salaries and expenses of employees or
26 (consultants, costs of materials and supplies, long distance phone
27 icalls, automobile and travel costs, etc. Fiscal records shall be
y8 maintained by Service Organization in such a manner as to permit

1 the City to easily trace the expenditures of the funds. All ~
i
2 books and records of Service Organization are to be kept open for
3 inspection at any time during the business day by the City or its
i
q Ill officers or agents. The accounting report shall be submitted by
i
g ' the Service Organization in conformance with established City
6 ~Iguidelines and the format of audit reports required by the Human it
~ ~~IServices Department. Internal controls shall be implemented by ll~
i
g 'Service Organization to comply with these guidelines and said
q I!audit reports. Service Organization shall comply with any rule
it
~o 'for regulation of the Mayor and Common Council concerning services
i~
provided by organizations funded with City revenue, labor, equip-
12 Iment or supplies as may be now in effect or hereinafter enacted.
t3 4. The services of Service Organization funded hereunder
I
I4 'shall be made available to residents and inhabitants of the City
I
15 'of San Bernardino. No person shall be denied service because of
16 race, color, creed, or sex. Service Organization shall have and
comply with Affirmative Action guidelines in 'its employment
l8 practices.
19 5. City reserves the right to require Service Organizatio
20 to obtain the prior written consent of City for the imposition of
21 any charges or fees, and the amounts thereof for such funded
22 services, and of any rules and regulations governing said
23 services.
24 6. Service Organization is notified that it must and
25 agrees to make application for or seek funds from other sources
26 and evidence of such application shall be made available to City
27 prior to any consideration for further funds for the next fiscal
28 year. Receipt of any revenue from such other sources during this

t (fiscal year must be reported immediately to the Director of ~
2 (Human Services.

3 ~ 7. The Director of Human Services, with the concurrence
i
q Hof the Mayor and Common Council, is authorized to place a tem-
i
5 iporary freeze on or terminate the payment of funds to Service
6 iOrganization when any violation of the agreement, in the discre-
7 iltion of said Director, occurs and the same shall continue until
g such violation is corrected to the satisfaction of the Director
9 with the concurrence of the Mayor and Common Council.

i 8. Service Organization hereby covenants and agrees to
u indemnify and save harmless the City and its employees and agents
12 (from all liabilities and charges, expenses (including counsel
13 fees), suits or losses however occurring, or damages arising or
~4 growing out of the use or receipt of the funds paid hereunder
IS and all operations under this agreement; payments hereunder are
16 made with the understanding that the City is not involved in the
17 performance of services or other activities of Service
t8 Organization. Service Organization and its employees and agents
i
19 are independent contractors and not employees or agents of the
2Q City in performing said services.
2t 9. The Service Organization agrees to conform to and abid
22 by the provisions of "Section 1. Recommendations", of a portion
23 of a report entitled "Report of the Special Council Subcommittee
24 for Social Service Funds" dated and adopted on February 18, 1975,
25 and on file in the Office of the City Clerk of City.
26 10. If Service Organization shall fail to comply with any
27 term, condition or provision of this agreement or to expend or
28 use the funds as herein provided, the City may terminate this

t lagreement by mailing written notice to Service Organization, and
2 this agreement shall thereupon terminate forthwith.

3 ~ City shall have the right to terminate this agreement and 1
a any funding hereunder for any reason by mailing a ten (10) day III
g "`written notice to Service Organization and this agreement shall
6 (terminate ten (10) days after the mailing of such notice; and
7 lthereafter any unpaid funds shall not be prorated or paid to

9 WHEREAS, the Mayor and Common Council of City, by
10 (Resolution No. 79-324, authorized funding for Service Organization]
ll for the period July 1, 1979, through July 31, 1979; and

t2 ~ WHEREAS, the Mayor and Common Council are further willing
13 Ito appropriate certain funds from the General Fund or special fund
Ia for the use of various community service organizations upon
t5 certain conditions and with the understanding that receipt of said
t6 funds shall not imply a continuing obligation of the City beyond
17 the term of this agreement; and
~g WHEREAS, Service Organization has represented that the
19 expenditures authorized by this agreement are for valid municipal
20 public purposes, to wit: operation of a hot meal program for
21 senior citizens,
22 NOW, THEREFORE, it is mutually agreed between the parties
23 hereto as follows:
Zq 1. The City shall pay to the Service Organization the
25 sum of Seven Thousand Ninety-Five Dollars ($7,095.00) payable
26 in eleven equal monthly installments of Six Hundred Forty-Five
27 Dollars ($645.00). The first payment shall be payable upon
28 the execution of this agreement and all subsequent payments

1 'shall be made on or before the 5th day of each succeeding month. i

22 NOW, THEREFORE, it is mutually agreed between the parties
23 hereto as follows:
24 1. The City shall pay to the Service Organization the
25 sum of Twelve Thousand Eight Hundred Ninety Dollars and Sixty-

26 Seven Cents ($12,890.67), payable in eleven monthly installments.
27 The first payment of One Thousand One Hundred Seventy-One Dollars
28 and Ninety-Seven Cents ($1,171.97) shall be payable upon the
I I'lexecution of this agreement and all subsequent payments in the
2amount of One Thousand One Hundred Seventy-One Dollars and Eighty-
3 Seven Cents ($1,171.8:) shall be made on or before the 5th day of
q each succeeding month.

23 NOW, THEREFORE, it is mutually agreed between the parties

25 1. The City shall pay to the Service Organization the
~ 26 sum of Eighteen Thousand Five Hundred Eighty-Seven Dollars and
I
i 27 Eighty-Three Cents ($18,587.83) payable in eleven monthly install-
2g ments. The first payment of One Thousand Six Hundred Eighty-Nine
29 Dollars and Eighty-Three Cents ($1,689.83) shall be payable
t :upon the execution of this agreement and all subsequent payments
2 'in the amount of One Thousand Six Hundred Eighty-Nine Dollars and I
3 Eighty Cents ($1,689.80) shall be made on or before the 5th

2a NOW, THEREFORE, it is mutually agreed between the parties

26 1. The City shall pay to the Service Organization the
27 sum of Five Thousand Three Hundred Sixty-Nine Dollars and Fifty
28 Cents ($5,369.50) payable in eleven monthly installments.
