'. 1 ,. . 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 RESOLUTION NO, "-/q - ~(') RESOLUTION OF THE CITY OF SAN BERNARDINO AUTHORIZING THE EXECUTION OF AN AGREEMENT WITH PRE-ENGINEERED LANDS, INC., URBAN PACIFIC EQUITIES CORPORATION, AND PACER DEVELOPMENT CORPORATION RELATING TO THE DEPOSIT OF FUNDS FOR AN ENVIRONMENTAL IMPACT REPORT, BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY OF SAN BERNARDINO AS FOLLOWS: SECTION 1. The Mayor of the City of San Bernardino is hereby authorized and directed to execute on behalf of said City an Agreement with Pre-Engineered Lands, Inc., Urban Pacific Equities Corporation, and Pacer Development Corporation relating to the deposit of funds for an environmental impact report, a copy of which is attached hereto, marked Exhibit "I" and incor- porated herein by reference as fully as though set forth at lengt I HEREBY CERTIFY that the foregoing resolution was duly adopted by the Mayor and Common Council of the City of San Bernardino at. (Deposit for Environmental Impact Report) AGREEMENT is made and entered into this /7/'1 day of , 1979, by and between the CITY OF SAN BERNARDINO, corporation, hereinafter called "City", and PRE- ENGINEERED LANDS, INC., a California corporation, URBAN PACIFIC EQUITIES CORPORATION, a California corporation, and PACER DEVELOP- MENT CORPORATION, a California corporation, hereinafter called nOwners". WIT N E SSE T H: WHEREAS, Owners own certain real property shown on Exhibit "A" attached hereto and incorporated herein by reference which real property is located within the City of San Bernardino; and WHEREAS, Owners desire to develop their property, and City is contemplating tract map evaluation of the property; and WHEREAS, City has determined that an environmental impact report is necessary for all of the real property illustrated in Exhibit "A" prior to holding tentative tract map public hearings for the proposed development; and WHEREAS, Owners desire to deposit with City certain funds to be used by City for the purposes outlined herein to enable City to have a proper and accurate environmental impact report prepared by an outside consultant selected by City, NOW, THEREFORE, in consideration of the performance of the mutual covenants and promises herein contained, at the time and in the manner specified herein, the parties hereto agree as follows: EXHIBIT "I" u~";:""?; '. ~, . Owners shall, concurrently with the execution of this 2 agreement, deposit with City the sum of nine thousand nine hundred 3 dollars ($9,900.00) in lawful money of the united States of 4 America. 5 6 2. City shall use the funds deposited by Owners to pay a consultant for its services with respect to Owners' property as 8 provided in an agreement between the consultant and the City. (\ Owners are familiar with the agreement dated\~~ ~ 1979, between City and Ultrasystems, Inc., the consultant, where- , 7 9 10 by Ultrasystems, Inc. agrees to perform the required consulting 11 services. Owners agree to be bound by that agreement and 12 authorize City to expend from the deposit all amounts necessary 13 to compensate the consultant for its services pursuant to the 14 agreement. 3. Owners agree to be responsible for, and to pay to 16 City upon demand, any and all additional sums required to obtain 15 17 an adequate environmental impact report for the proposed 18 tentative tract maps. 19 4. In the event all of the deposit is not required for 20 payment to consultant for the environmental impact report, then 21 City shall, after the report is received and when consultant is 22 fully compensated, refund any excess funds to Owners. 23 5. Owners hereby agree to, and shall, hold City, its 24 elective and appointive boards, commissions, officers, agents and 25 employees harmless from any and all liabilities and claims of 26 consultant as a result of City's agreement with consultant. 27 28 -2- .
