RESOLUTION OF THE CITY OF SAN BERNARDINO AUTHORIZING THE
EXECUTION OF AN AGREEMENT WITH PERSON TO PERSON COMMUNICATIONS,
INC. RELATING TO CONSULTING SERVICES FOR C.E.T.A. PROGRAMS.

BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY I
OF SAN BERNARDINO AS FOLLOWS:

SECTION 1. The Mayor of the City of San Bernardino is
7
hereby authorized and directed to execute on behalf of said City
8
an Agreement with Person to Person Communications, Inc. relating
9
to consulting services for C.E.T.A. Programs, a copy of which
10
is attached hereto, marked Exhibit "A" and incorporated herein
11
by reference as fully as though set forth at length.

THIS AGREEMENT is made and entered into this t:b ~ day of
~~~ , 1979, by and between the CITY OF SAN BERNARDINO,

a municipal corporation, hereinafter called "City", and PERSON
6
TO PERSON COMMUNICATIONS, INC., a corporation, hereinafter
7
called "Consultant".

WIT N E SSE T H:
9 WHEREAS, City's C.E.T.A. Department has received the
10 sum of $350,000.00 for a special On-the-Job Training Program
II for Veterans, referred to as HIRE II; and
12 WHEREAS, this sum of money must be spent, or committed to
13 be spent, on or before March 31, 1979; and
14 WHEREAS, special publicity and promotional efforts are
15 necessary to be able to accomplish this task; and
16 WHEREAS, Consultant has the capability to communicate
17 directly with individual private sector employers; and
18 WHEREAS, Consultant also has the capability to give City-
19 wide publicity to the HIRE II Program for Veterans and other
20 C.E.T.A. programs,
21 NOW, THEREFORE, in consideration of the mutual promises
22 and obligations of the parties set forth herein, City and Con-
23 sultant agree as follows:

1. Duties of Consultant. Consultant shall:
25
(a) Provide consulting services relating to promotion
26 of various manpower programs available through City's C.E.T.A.

Payment by City.

vided by Consultant hereunder, the City shall pay the sum of
10
five dollars ($5.00) per hour for all services rendered by
11

The total number of hours shall not exceed one
12 hundred (100) hours per month, and the total amount of money
13 paid to Consultant shall not exceed the sum of five hundred
14 dollars ($500.00) per month.
3. Tarm. This agreement shall be effective on ":/!7?~

, 1979, and continue in effect for six months there-
17 after.

4. Unilateral Termination. This agreement may be
19 terminated by either party by giving thirty (30) days' advance
20 written notice to the other party, and this agreement shall
21 terminate forthwith thirty (30) days following the date said
22 written notice is given. In the event this agreement is ter-
23 minated for any reason whatsoever, Consultant shall receive
24 compensation on a pro rata basis for that portion of the month
25 for which it held itself available and performed as a Consultant
26 prior to termination.

5. Amandment. This agreement may be amended or modified
28 only by written agreements signed by both parties and failure on

1 the part of either party to enforce any provision of this agree-
2 ment shall not be construed as a waiver of the right to compel
3 enforcement of such provision or provisions nor act to release
4 any surety from its obligations under this agreement.

6. Assignment. This agreement shall not be assigned by
6 Consultant without the prior written consent of City.

7. Notices. All notices herein required shall be in
8 writing, and delivered in person or sent by first class mail,
9 postage prepaid, addressed as follows:

8. Relationship of Parties. It is understood that the
14 contractual relationship of the Consultant to the City is that
15 of independent contractor.

9. Hold Harmless Agreement. Consultant hereby agrees to,
17 and shall, hold City, its elective and appointive boards,
18 commissions, officers, agents and employees, harmless from any
19 liability for damage or claims for damage for personal injury,
20 including death, as well as from claims for property damage which
21 may arise from Consultant's operations under this agreement.
22 Consultant agrees to, and shall, defend City and its elective and
23 appointive boards, commissions, officers, agents and employees
24 from any suits or actions at law or in equity for damages caused,
25 or alleged to have been caused, by reason of any of the aforesaid
26 operations.
