BACKGROUND:
On September 18, 2006, the City of San Bernardino (the "City") and Arrowhead Central Credit Union
("ACCU") entered into an agreement entitled, "License Agreement Regarding Off-Site Electronic
Message Center Freeway Sign for Arrowhead Credit Union Park" (the "Licensing Agreement")
attached as Exhibit "E" to the Resolution to allow for a computerized, off-site, freeway advertising
sign (the "Sign") to be placed on a lot on "G" Street across from the Arrowhead Credit Union Park
Baseball Stadium (the "Stadium") and adjacent to the 1-215 Freeway. On March 2, 2006, Caltrans
issued Permit Number RD08-0062 approving the placement of the Sign at the desired location.
The intent of the Sign was to promote the Stadium which is owned by the Agency and leased to the
City. ACCU is the major sponsor of the Stadium and contributes to the Stadium financially through its
naming rights. ACCU also intends that those companies and entities having a direct sponsorship or
other relationship with the Stadium such as Toyota of San Bernardino who is a major stadium sponsor
or Amapola Rico Taco who is one of the stadiums caterers, will be entitled to advertise on the Sign as
well. In addition to promoting attendance at the Stadium, with the additional increase in sales tax
revenues, the Licensing Agreement also provides for certain additional annual revenues for the City, as
well as a specified amount of advertising time per hour to promote City events and other public
information items that would be of general interest to the public.
In reliance of the development entitlements granted by the City, the LicensingAgreement with the City
and Caltrans permit, ACCU has now expended in excess of $1.2 million on the construction of the
Sign which went into limited operation in March of this year.
CURRENT ISSUE:
The State of California Business and Professions Code Section 5273 ("Code") states that no off-site
freeway sign may be erected or displayed within a redevelopment project area unless the applicable
redevelopment agency has given its consent. In addition, the Code further states that only businesses
and activities that are conducted within the project area in which the Sign is erected may advertise on
that off-site freeway sign. The project area for this particular case is Central City Redevelopment
Project Area, which is an amalgamation of the former Central City Redevelopment Project Area,
Meadowbrook Redevelopment Project Area, Central City South Redevelopment Project Area and
Central City East Redevelopment Project Area ("Project Area") (See Exhibit "A" Attached), which
were merged between 1977 and 1983. Hence, it appears that the Sign was entitled and the Licensing
Agreement entered into without the knowledge of the existence of the State Code.

Consequently, ACCU is requesting that the Agency grant its consent to the type of advertisement
permissible under the Code. It is requested that the Commission grant official consent and make the
following findings and determinations pursuant to the Code on the following items which are exhibits
to the Resolution:
I. Describe for Caltrans, the precise boundaries of the Project Area as per the Project Area map
attached as Exhibit "A" on the understanding that this Project Area may be amended or merged
with other project areas by the Commission in the future.
2. Approve the execution and delivery to Caltrans of the Consent Form, attached as Exhibit "B"
by the Executive Director.
3. Approve the document entitled, "QualifYing Businesses and Activities" to be undertaken
pursuant to the Freeway Sign Licensing Agreement which identifies the eligible businesses and
activities within the Project Area boundaries and sets forth the criteria for use of the off-site
freeway advertising sign attached as Exhibit "C", which may be amended from time-to-time by
further Commission action.
4. Approve the list of businesses and eligible activities that may advertise on the sign attached as
Exhibit "D".
The effectiveness of the proposed resolution is subject to the Agency receiving approval from ACCU
within 3 calendar days following adoption of the Resolution that the Agency is granted 6 minutes per
hour of free advertising time on the Sign every day of the year for the purpose of advenising Agency
programs and sponsored events. These 6 minutes per hour are in addition to those minutes already
allocated to the City under the terms of the Licensing Agreement.
This matter has now gained some urgency as ACCU has since received a citation from Caltrans dated
April 12, 2007, for operating a freeway sign in a redevelopment project area without the proper
consent, including a list of businesses eligible to advertise on the Sign. Consequently, adoption of said
resolution is recommended.

AND DETERMINATIONS AND GRANTING OF OFFICIAL CONSENT
PURSUANT TO STATE OF CALIFORNIA BUSINESS & PROFESSIONS
CODE SECTION 5273 REGARDING A CERTAIN OFF-SITE
ADVERTISING SIGN ADJACENT TO 1-215 FREEWAY TO
ARROWHEAD CENTRAL CREDIT UNION, A STATE CHARTERED
CREDIT UNION (CENTRAL CITY REDEVELOPMENT PROJECT
AREA)
WHEREAS, the Mayor and Common Council of the City of San Bernardino
("Council") have previously adopted the appropriate Redevelopment Plans for the (i) Central
City Redevelopment Project Area in-1965, (ii) the Meadowbrook Redevelopment Project Area
in 1958, (iii) the Central City South Redevelopment Project Area in 1976, and (iv) the Central
City East Redevelopment Project Area in 1976, and all such adoptions having been
accomplished pursuant to the requirements of the Community Redevelopment Law ("CRL");
and
WHEREAS, State legislation adopted in 1977 and merged the Central City
Redevelopment Project -Area and the Meadowbrook Redevelopment Project Area due to
financial reasons that existed at that time, and said redevelopment project areas then became
known as the "Merged Central City-Meadowbrook Redevelopment Project Area"; and
WHEREAS, the Community Development Commission of the City of San Bernardino
(the "Commission") has been duly empowered by the Council to take all actions as the
governing body for the Redevelopment Agency of the City of San Bernardino (the "Agency");
and
WHEREAS, in accordance with the later enacted provisions of the CRL to provide a
mechanism for the merger of redevelopment project areas of any community redevelopment
agency within the State, in 1983 the Merged Central City-Meadowbrook Redevelopment
Project Area was further merged by appropriate action of the Council to include the Central
City South Redevelopment Project Area and the Central City East Redevelopment Project Area

(collectively known as and referred to hereinafter as the "Central City Redevelopment Project

Area"); and
WHEREAS, the State of California Business & Professions Code Section 5273 allows
advertising displays advertising those businesses and activities developed within the boundaries
of, and a part of, an individual redevelopment agency project to be considered to be on the
premises anywhere within the limits of that project when all of the land is contiguous or is
separated only by a public highway or public facilities developed or relocated for inclusion
within the project as a part of the original redevelopment plan for a period not to exceed 10
years or the completion of the project, whichever occurs first, with the consent of the
redevelopment agency governing the project; and
WHEREAS, regulations promulgated pursuant to said Business & Professions Code
Section 5273 requires the Agency to certify that the display is in the boundary area of the
Agency project and such display will only advertise businesses and activities within the
redevelopment project where the advertising display is placed; and
WHEREAS, the City of San Bernardino (the "City") has previously approved certain
entitlements to allow for the placement of an off-site freeway advertising sign located west of
"G" Street and approximately 60 feet north of Valley within the Central City Redevelopment
Project Area, and Arrowhead Central Credit Union ("ACCU") has expended substantial funds
in reliance upon the entitlements as previously granted by the City together with that certain
agreement entitled "License Agreement Regarding off-site Electronic Message Center Freeway
Sign for Arrowhead Central Credit Union" entered into by and between the City and ACCU
(the "Freeway Sign Licensing Agreement") on September 18, 2006; and
WHEREAS, the intent of the City and ACCU by entering into the Freeway Sign
Licensing Agreement was to promote the Agency owned baseball stadium, as presently leased

by the City, commonly known as the Arrowhead Credit Union Park, and the City and ACCU
intended that those companies and entities having a direct sponsorship or other relationship
with the Arrowhead Credit Union Park should have the right to advertise on the freeway reader
board sign constructed pursuant to the Freeway Sign Licensing Agreement; and

WHEREAS, it is the intent of the Freeway Sign Licensing Agreement to provide
revenues to the City from the off-site freeway advertising sign being located within the Central
City Redevelopment Project Area and to provide a certain amount of advertising time on said
off-site freeway advertising sign for City announcements and other public information items of
general interest to the community; and
WHEREAS, the Commission, by the adoption of this Resolution seeks to (i) describe
for the California Departrnent of Transportation ("Caltrans") the precise boundaries of the
Central City Redevelopment Project Area as set forth on the rnapsas attached hereto as Exhibit
"A", (ii) approve the execution and delivery to Caltrans of the Consent form attached hereto as
Exhibit "B", (iii) approve the definition of qualifYing businesses and activities in the Central
City Redevelopment Project Area that may seek to advertise on the advertising display attached
hereto as Exhibit "c" and as may be amended from time-to-time by further actions of this
Commission or clarified as further set forth therein, and (iv) approve the list of businesses and
activities that are herein approved by the Commission to be advertised on the off-site freeway
advertising sign as said list is currently attached hereto as Exhibit "D"; and
WHEREAS, the Freeway Advertising Sign Agreement is attached hereto as Exhibit "E"
for reference purposes only.
NOW, THEREFORE, THE COMMUNITY DEVELOPMENT COMMISSION OF
THE CITY OF SAN BERNARDINO DOES HEREBY FIND AND DETERMINE, AS
FOLLOWS:

Section 1. The Commission hereby finds and determines that the recitals as set
forth above are accurate and correct in all respects.
Section 2. The Commission hereby approves and certifies the maps as attached
hereto as Exhibit "A" which when reviewed collectively, represent the entire Central City
Redevelopment Project Area that is applicable to the off-site freeway advertising sign pursuant
to the Freeway Sign Licensing Agreement. To the extent that the Mayor and Common Council
amend the applicable Central City Redevelopment Project Area in the future to include
additional territory, or to merge other redevelopment project areas with that of the current

boundaries Qf the Central City Redevelopment Project Area, such maps as attached to this
Resolution shall be deemed to be automatically amended to include any and all such additional

Section 3.
The Commission hereby approves the form of the Caltrans Consent as

attached hereto as Exhibit "B" and authorizes its execution and delivery to Caltrans by the

Chairperson and Executive Director of the Agency.
Section 4.
The Commission hereby approves the document attached hereto as
Exhibit "C" and entitled "Qualifying Businesses and Activities to be Undertaken Pursuant to
the Freeway Sign Licensing Agreement" which sets forth the criteria for the use of the off-site
freeway advertising sign pursuant to the Freeway Sign Licensing Agreement. Such document
as attached hereto as Exhibit "C" may be amended from time-to-time by the official action of
the Commission together with such clarifications and interpretations as further described
therein. Upon each amendment to said Exhibit "C", Agency staff shall transmit a copy of each
such amendment thereto to Caltrans for informational purposes and to ensure compliance with
the Caltrans Consent as approved in the form attached hereto as Exhibit "B".
Section 5.
The Commission hereby approves the document attached hereto as
Exhibit "D" and entitled "List of Businesses and Eligible Activities for Advertising on the Off-
Site Freeway Sign" which sets forth the precise company name and business entity and/or
activity that is intended to utilize the off-site freeway advertising sign pursuant to the Freeway
Sign Licensing Agreement and this Resolution. Such document as attached hereto as Exhibit
"D" may be amended form time-to-time by the written approval of the Chairperson of the
Agency and the Executive Director of the Agency without the requirement for any further
approval or ratification of such amendments to said Exhibit "D" by this Commission.
Section 6.
Nothing contained in this Resolution shall prevent the Commission from
acting in the future at its sole and absolute discretion to amend, modify or rescind this
Resolution, in whole or in part, in any manner and to alter, amend or delete any of the Exhibits
as attached hereto, including, but not limited to the Caltrans Consent as attached hereto as

Commission as provided in this Section 6, the Executive Director of the Agency shall cause to
be dispatched to Caltrans and the parties to the Freeway Sign Licensing Agreement certified
copies of all such subsequent official actions of the Commission with respect to this
Resolution.
Section 7.
The approvals as contained in this Resolution are subject to the Agency
receiving written confirmation from ACCD within three (3) calendar days after the date of
adoption of this resolution granting daily advertising time available to the Agency, without
cost, on the off-site freeway advertising sign equal to six (6) minutes per hour for each hour of
every calendar day, including weekends and holidays, during the hours of 6:00AM until
II :OOPM. In the event such written confirmation is not timely received by the Agency, this
Resolution shall be null and void and shall be of no further force and effect.
Section 8.
This Resolution shall take effect from and after its date of adoption by
this Commission and shall remain in full force and effect until amended, modified or rescinded

I. Elil!ible Businesses in the Central City Redevelopment Proiect Area:
Eligible businesses include all businesses that have their principal place of business
within the Central City Redevelopment Project Area as shown on the records of the City Clerk
of the City for Business Registration Certification and Licensing purposes. The Agency shall
undertake to provide such a list to Caltrans immediately upon the adoption of the attached
approving Resolution and thereafter as changes are deemed necessary based upon information
supplied by the City Clerk.

Eligible businesses also include those businesses that operate one or more branch
operations or business activities from a physical location within the Central City
Redevelopment Project Area regardless of the location of the main office or principal place of

Eligible businesses include those companies, whether or not registered as having a
business license within the Central City Redevelopment Project Area, who conduct any portion
of their business activities within the said Central City Redevelopment Project Area. Such
business activities may include, but shall not be limited to, the following: delivery of goods or
supplies; furnishing of services of any nature; advertising on any location within the Central
City Redevelopment Project Area; having identifiable customers, clients or patients located in

Area within its territorial jurisdiction; promotional activities of the Agency and the City for any
of their officially designated redevelopment projects, programs and activities on a City-wide

III. Further Amendments to Determine Elil!ible Businesses and Activities:
The Chairperson and the Executive Director may interpret or clarify any provision of

Licensing Agreement" as may be necessary, at anytime, in the future.

IV.
PROHIBITED BUSINESSES AND ACTIVITIES:

Those businesses and activities as set forth in the Freeway Sign Licensing
Agreement, as currently existing, shall be prohibited from advertising on the off-site freeway
advertising sign. In addition, all political advertisements, whether for an individual candidate
or a ballot measure or any similar proposition, shall be prohibited from advertising on the off-
site freeway advertising sign. There shall be no advertising of business addresses with
locations that are solely outside of the City unless approved in writing by the Executive
Director of the Agency. In the situation with multiple business locations both within and
outside of the City, such business locations that are other than within the City may be displayed
in a form, if substantially less prominent than the business location that is located within the

The Executive Director of the Agency shall make the final decision as to the
appropriateness of all advertisements appearing on the off-site freeway sign.

LICENSE AGREEMENT REGARDING OFF-SITE ELECTRONIC MESSAGE
CENTER FREEWAY SIGN FOR ARROWHEAD CREDIT UNION PARK
THIS LICENSE AGREEMENT (the "Agreement" is entered into and effective as of
SeDtember 18, 2006, at San Bernardino County, California, by and between the City of San
Bernardino, a municipal corporation and a charter city, ("City"), and Arrowhead Central Credit Union,
a State chartered credit union, ("Owner", on the basis of the recitals set forth below.
RECITALS
A. Owner is the owner of that real property in San Bemardino County, California, more
particularly described in Exhibit "An attached hereto and incorporated herein by reference (the "Rem
Property"). The Real Property is situated near the Arrowhead Credit Union Park (the "Park").
B. City and Owner (collectively, the "Parties") have determined that an Off-Site Electronic
Message Center Freeway Sign (the "Sign") is necessary to increase awareness of the Park.
C. Increased awareness of the Park will result in increased sales and will thereby benefit both
Owner and City through increased sales tax revenue.
D. This Agreement is intended to set forth the terms and conditions regarding the
development, maintenance and use of the Sign on the Real Property.
E. In addition to increased sales tax revenue, City will receive benefits from this Agreement in
the form of (i) increased use of the adjacent sports facility owned by City; (ii) revenue sharing from the
Sign; and (iii) the City's opportunity to display community-oriented messages, informational
announcements, and to promote the overall positive image of the City of San Bernardino on the Sign -
all as set forth in this Agreement.

F. On June 20, 2005, the Mayor and Common Council of the City approved Development
Code Amendment No. 04-02 and Conditional Use Permit No. 04-06, to allow construction of the Sign
on the Real Property.
G. Both Development Code Amendment No. 04-02 and Conditional Use Permit No. 04-06
require that the Sign be subject to a license agreement with the City as approved by the City's Mayor
and Common Council.
H. This Agreement satisfies that requirement for a license agreement as stated in Development
Code Amendment No. 04-02 and Conditional Use Permit No. 04-06.
AGREEMENT
IT IS HEREBY AGREED, on the basis of the foregoing facts and for valuable consideration,
the receipt and sufficiency of which are acknowledged, as follows:
1. Real ProDertv Matters. The Real Property consists of two (2) separate legal parcels. As
indicated on Exhibit "AU these parcels shall be referred to herein as "Parcel A" and "Parcel B." The
Sign will be constructed on. Parcel A.
1.1 Conveyance or Parcel B. Prior to the Commencement Date (as hereinafter
defined), Owner will convey Parcel B to City pursuant to the grant deed attached hereto as Exhibit "B"
(the "Parcel B Deed"). Except as expressly stated in the Parcel B Deed, the conveyance will be
without any express or implied representations and/or warranties by Owner. This conveyance is for
the sole purpose of placing title to Parcel B in the City's name so that the provisions oflhis Agreement
will constitute covenants that run with the land as to Parcel A and Parcel B. Except as expressly stated
in this Agreement to the contrary, City shall have no right to (and City shall not) transfer, convey,
assign, encumber, enter upon or use any portion of Parcel B. During City's ownership of Parcel B, (a)
City shall not create or permit any lien, claim or title exception to arise as to Parcel B without Owner's

express prior written consent; and (b) if requested in writing by Owner, City shall promptly execute
and deliver easements and other documents applicable to Parcel B.
1.2 License Granted. During the City's ownership of Pan:el B, City hereby grants
Owner a license to access, enter upon and use Parcel B at any time for the purposes of constructing,
inspecting, repairing, or maintaining the Sign. No fee or other charge shall be payable to the City in
cOlUlection with the license.
1.3 Memorandum of License Al!reement. Attached hereto as Exhibit "C" is a
Memorandum of License Agreement (the "Memorandum"). Concurrently with Owner's execution of
the Pan:el B Deed, Owner and City shall execute (with signatures duly notarized) the Memorandum.
Concurrently with the recordation of the Pan:el B Deed, the Parties shall cause the Memorandum to be
recorded in the Office of the San Bernardino County Recorder (immediately following the Parcel B
Deed).

1.4 Reconvevance of Parcel B. Within thirty (30) days after the expiration or the
termination of the Term (as hereinafter defIned), City shall convey Pan:el B to the person and/or entity
that then owns Pan:el A, pursuant to a grant deed in the form of Exhibit "D" attached hereto (the
"Parcel B Reconveyance Deed"). City shall cause title to Parcel B to be free and clear of all
exceptions to title other than those that existed when Owner conveyed Parcel B to City.
1.5 Termination of Memorandum. Concurrently with City's execution of the J'an:el
B Reconveyance Deed, City and the then Owner of Pan:el A shall execute (with signatures duly
notarized) a notice of termination of the Memorandum in the form of Exhibit "E" attached hereto (the.
"Termination of Memorandum"). Concurrently with the recordation of the Pan:el B Reconveyance
Deed, the Parties shall cause the Termiitation of Mcmorandum to be recorded in the OffIce of the San
Bernardino County Recorder (immediately preceding the Parcel B Reconveyance Deed).

1.6 Costs and Fees. Recording costs, documentary transfer taxes and other out of
pocket expenses incurred in connection with the subsections set forth above shall be paid fifty percent
(50%) by City and (50%) by Owner.
1.7 Covenants Run with the La.d. The provisions of this Agreement shall constitute
covenants that run with the land and shall be binding upon and inure to the benefit of the current and
future owners of Parcel A and Parcel B during such ownership.
2. Commencement Date. As used in this Agreement, the "Commencement Date" shall be
the date on or by which all of the following matters have occurred: (a) City has issued Building
Permit(s) for construction of the Sign (b) Owner has notified City in writing that the Sign has been
fully constructed, tested and is ready for immediate commercial use; and (c) City has approved Final
Inspection of the construction of the Sign.
3. Term. The term of this Agreement (the "Term") shall commence on the execution of this
Agreement and expire twenty (20) years thereafter, unless terminated sooner pursuant to Paragraph 8,
herein.
4. Sil!D Installation.
A. Owner agrees to install and maintain in good condition for twenty (20) years from the date of
this Agreement, the Sign visible to motorists on 1-215 as approved by the City with Conditional Use
Permit No. 04-06. Should Owner sell the Sign, then City agrees that Owner may also, without City's
further consent, assign and transfer this Agreement and all obligations of both City and Owner
hereunder.
B. Such sign shall be subject to all licenses and permits and approval of all applicable
govemmental agencies which approvals shall not be unreasonably withheld. As of the

Commencement Date of this Agreement, City acknowledges that the sign complies with all
applicable ordinances, orders, and all other requirements of the City.
C. City shall have no responsibility whatsoever for the selection of the contractors, for the
construction work on said Sign, nor responsibility for the finished product.
D. Owner hereby agrees to comply with all applicable laws, statutes, ordinances or
regulations of every level of government, which affect the installation, maintenance, and use of
said Sign during the term of this Agreement.
5. City Use of SI!!D.
For the twenty (20) year term of this Agreement, the City shall be permitted the right to
use the Sign three (3) minutes per every hour of airtime on a "use it or lose it" basis. City shall
have no right to accumulate any unused airtime. Owner may grant additional airtime to City at
Owner's sole discretion. The City may use its allotment of time for various community-oriented
messages, informational announcements, and to promote the overall positive image of the City
of San Bernardino. All other uses of the Sign shall be at Owner's sole and absolute discretion in
accordance with the provisions of this Agreement and all applicable Federal, State and local
laws and regulations. In the event the City does not have a sufficient number of community
oriented announcements, informational messages, or positive image advertisements to use the
City's entire minutes of time allotted, the City may, at its option and sole discretion, relinquish
its rights to any or all of the Wlused portion of the City's allocated time to the Owner for its
usage as it deems fit and proper without any further compensation due to City. Further, City may
not sell or otherwise allow any of its allotted time to be used by any other third party without the
express written consent of Owner, which consent may be withheld in Owner's sole and absolute
discretion.

All uses of the Sign by the City will be submitted to the Owner by the City Manager in
a mediwn and format acceptable to Owner and provided at the City's sole expense. The City
Manager may submit the City's messages and announcements to Owner, or designee, for re-
programming of the Sign twice per month, generally on the 1st day and the 15th day of each
month. If however, the I Jl or 15th day falls on a Friday, Saturday, or Sunday, then the deadline
for submittal of all advertising copy and messages shall be the following Monday by 5:00 p.m.
6. ReveDue SbariDf!:.
Owner shall pay the City of San Bernardino in accordance with the following schedule. Years
are measured from the Commencement Date.

Revenue sharing shall constitute payment for all rights provided to City, under this
Agreement and for the operation of sign. Fees shall be due and payable thirty (30) days after the
first anniversary date of this agreement and then on said date for each year of this agreement.

Owner and City agree to comply with all applicable laws, rules, ordinances and
regulations concerning the content of any and all messages displayed on the Sign. Further,

Owner agr~s not to display messages with content advertising adult entertainment, tobacco
products or alcoholic beverages, with the exception that Owner may advertise events or other
functions that are sponsored by companies affiliated with alcoholic beverages. City and Owner
agree to meet at least once a year to, in good faith, negotiate and discuss the ban on allowing
alcoholic beverages advertisements and content.
Owner shall have at its sole option and discretion the right to approve any and all
content of messages to be displayed on the Sign in accordance with the provisions of this
Agreement and all applicable Federal, State and 10ca1laws and regulations.
8. Termination. This Agreement may be terminated at any time by thirty (30) days written
notice by Owner. City may terminate this Agreement only upon material breach of the Agreement by
Owner and then only after City has provided notice to Owner of the breach and a reasonable
opportunity for Owner to cure the breach. An opportunity shall be considered reasonable if Owner is
afforded at least 30 days to cure any alleged breach except that as to any breach related to sign content,
Owner shall immediately cure the breach upon notice provided by City. The terms of this contract shall
remain in force unless mutually amended. In the event of termination of this Agreement. Owner shall
remove the Sign within 30 days.
9. Indemnity,
Owner hereby agrees to indemnify, defend, and hold harmless the City and the Economic
Development Agency, their officers. agents, and employees from and against any and all
liability, expense and claims for damages of any nature whatsoever, including but not limited to,
costs, bodily injury, death, personal injury, or property damage (including, without limitation,
reasonable costs of defense and reasonable attorney's fees), asserted by a third party, arising out
of or related to Owner in its performance of this Agreement, or from any of Owner's message

content, except that such duty to indemnify, defend, and hold hannJess shall not apply where
injury to person or property is caused by the City's willful misconduct or negligence. City
hereby agrees to indemnify, defend, and hold harmless the Owner and their officers, agents, and
employees from and against any and all liability, expense and claims for damages of any nature
whatsoever, including but not limited to, costs, bodily injury, death, personal injury, or property
damage (including, without limitation, reasonable costs of defense and reasonable attorney's
fees), asserted by a third party, arising out of or related to City's performance of this Agreement
or from any of City's message content, except that such duty to indemnify, defend, and hold
harmless shall not apply where injury to person or property is caused by the Owner's willful
misconduct or negligence.
City may access Owner's property (parcel A) on which the Sign is located, upon Owner's prior
. written consent, to perform maintenance to or for any easement or other right of way that the
City may have. City agrees to indemnify, defend and hold hannJess the Owner and its
employees, agents aI\d assigns with respect to any and all claims, losses, damages, liabilities and
expenses suffered by any of the parties in connection the City's entrance upon and access to
Owner property.
10. Insurance.
While not restricting or limiting the foregoing. during the term of this Agreement.
Owner shall maintain in effect policies of comprehensive public, general and automobile
liability insurance, in the amount of$l,OOO,OOO.OO combined single limit, and statutory worker's
compensation coverage, and shall file copies of said policies with the City's Risk Manager prior
to undertaking any work under this Agreement. City shall be set forth as an additional named

insured in each policy of insurance provided hereunder. The Certificate of Insurance furnished to
the City shall require the insurer to notify City of any change or termination in the policy.
11. Non-DiscrImination.
In the performance of this Agreement and in the hiring and recruitment of employees, Owner
shall not discriminate on the basis of race, creed, color, religion, sex, physical handicap, ethnic
background or country of origin.
12. No Emplovment.
Owner shall perform work tasks provided by this Agreement but for all intents and purposes,
Owner shall be an independent contractor and not an agent or employee of the City.
13. Notices.
Notices given pursuant to this Agreement shall be in writing and deposited with the United
States Postal Service postage prepaid and addressed as follows:

Nothing in this paragraph shall be construed to prevent the giving of notice by personal service.
14. MedIation and Arbitration.
If a dispute, claim or controversy arises out of or related to this Agreement, or the breach thereof,
the parties agree first to try in good faith to settle the dispute by mediation before resorting to
arbitration. Should the parties fail to settle the matter by mediation, then any dispute, claim or
controversy arising out of or relating to this Agreement or the breach, termination, enforcement,

interpretation or validity thereof, including the detennination of the scope or applicability of this
agreement to arbitrate, shall be determined by arbitration in the City of San Bernardino and
administered by Judicial Arbitration Mediation Services (JAMS), Inland Empire, pursuant to its
Comprehensive Arbitration Rules and Procedures or Streamlined Arbitration Rules and Procedures.
Judgment on the Award may be entered in any court having jurisdiction. This clause shall not
preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate
jurisdiction.
15. Attornevs' Fees. Should suit be brought to enforce or interpret any part of this
Agreement, the prevailing party in the suit shall be entitled to recover, as an element of costs of suit
and not as damages, reasonable attorneys' fees to be fixed by the court. The prevailing party shall be
the party entitled to recover its costs of suit, regardless ofwbether such suit proceeds to final judgment.
A party not entitled to recover its costs shall not be entitled to recover attorneys' fees. No sum for
attorneys' fees shall be counted in calculating the amount of a judgment for the purposes of
detennining if a party is entitled to recover costs or attorneys' fees. The costs, salary and expenses of
the City Attorney or members of his office shall be considered attorneys' fees for the purposes of this
Agreement. The costs, salary and expenses of Owner's in-house legal counsel shall be considered
attorneys' fees for the purposes of this Agreement..
16. Miscellaneous. Each and all of the provisions hereof shall be binding upon and inure to the
benefit of all successors and assigns. This Agreement may not be recorded except with the written
permission of Owner. Each of the counterparts of this Agreement executed simultaneously herewith
by all parties hereto shall be deemed an original of this Agreement. This Agreement constitutes the
entire agreement between the parties and recites the entire consideration given and accepted by the
parties, and no representations not expressed herein or endorsed hereon have been made by either party

or agents. This Agreement may be modified in writing only, signed by the parties at the time of the
modification. The invalidity of any provision of this Agreement shalI in no way affect the validity of
any other provision hereof.
