2 RESOLUTION OF THE CITY OF SAN BERNARDINO AUTHORIZING THE
EXECUTION OF AN AGREEMENT WITH AUTOMATIC DATA PROCESSING, IN-
3 CORPORATED, RELATING TO PAYROLL SERVICES FOR THE CETA TITLE IV
SUMMER YOUTH EMPLOYMENT PROGRAM (SYEP).

BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY
5 OF SAN BERNARDINO AS FOLLOWS:

SECTION 1. The Mayor of the City of San Bernardino is
hereby authorized and directed to execute on behalf of said City
an agreement with Automatic Data Processing, Incorporated, re-
lating to payroll services for the Ceta Title IV Summer Youth
10
Employment Program (SYEP), a copy of which is attached hereto,
11
marked Exhibit "A" and incorporated herein by reference as
12
fully as though set forth at length.

THIS AGREEMENT is made and entered into this

, 1980, by and between the CITY OF SAN BERNARDIN),

a municipal corporation, referred to as "City", and AUTOMATIC DATA
6
PROCESSING, INCORPORATED, a California corporation referred to as
7
"Contractor" .

The parties agree as follows:

1. General. Contractor agrees to provide and administer
10
payroll services for the CETA Title IV Summer Youth Employment
11
Program (SYEP) for the summer of 1980.
12
2. Scope of Work. Contractor shall provide a comprehensiv
,payroll system, as described in its proposal dated March 28, 1980,
13

a copy of which is attached, marked Attachment "I". Specific
, duties of Contractor shall be as directed by City's Contract
I
,
: Administrator. For purposes of this agreement, the Executive
I Director of the San Bernardino Employment & Training Administratio

shall be the Contract Administrator.

3. Term. The term Qf this agreement shall be for the
20
! period commencing on the date of execution and terminating Septem-
ber 30, 1980.

4. Payment by City. Contractor shall bill City within
; five days after the first day of each month, setting forth an
23

itemization of services provided during the previous month. City
25
shall pay Contractor for services provided herein, at the rates
26
set forth in Attachment "I", payable within ten days after Con-
27
tractor's bill is delivered to City's Director of Finance.

5. Personnel. No person holding any City office or

1 employment may be employed by Contractor.

6. Termination. This agreement may be terminated by City
3 with or without cause, upon the giving of thirty days notice to
4 Contractor.

7. Licenses and Permits. Contractor shall procure and
6 keep in force during the term of this agreement, any and all
7 licenses and permits required by any federal, state or local laws
8 or regulations.

8. Workers' Compensation. Contractor shall provide workers'
10 compensation coverage for all employees employed in performance
11 of this agreement. Contractor shall provide to City an insurance
12 certificate evidencing such insurance.

9. Hold Harmless. Contractor shall hold City, its
elective and appointive boards, commissions, officers, agents and
employees, harmless from any liability for damage of claims for
damage for personal injury, including death, as well as from
clai~s for property damage which may in any manner arise from
Contractor's operations under this agreement. "Contractor's
operations" include operations, acts or omissions by Contractor
or by anyone or more persons directly or indirectly employed by,

or acting as agent for Contractor.
Contractor agrees to, and
shall, defend City and its elective and appointive boards,
commissions, officers, agents and employees from any suits or
actions at law or in equity for damages caused, or alleged to
have been caused, by reason of any of Contractor's operations.
10. Assignment. Contractor shall not assign this agree-
ment without the prior written consent of City.
11. Amendment. This agreement may be amended or modified

only by written agreement signed by both parties and failure on
the part of either party to enforce any provision of this agree-
ment shall not be construed as a waiver of the right to compel
enforcement of such provision or provisions, nor act to release
any surety from its obligations under this agreement.
12. Successors, Etc. The covenants and conditions of thi
agreement shall apply to and bind the successors and legal repre-
sentatives of the parties hereto and all covenants are to be
construed as conditions.
13. Notices. All notices required shall be in writing
and delivered in person or sent by certified mail, postage pre-
paid, addressed as follows:

15. Entire Agreement. This agreement represents the
entire agreement between the parties.

I. Input
A. Worksheet
1. More flexible - we will give you a choice of ~ksheet,
paycards or ~k with you to customize your input.
2. More control - Input errors are easier to spot with
batch totals. Bank Systems do not always have batching
totals .
3. Flexible rrethod of locking hours and rates enables you
to pay by exception..
4. Pick up and delivery available at a low cost option.
II. Output
A.. ADP breaks out hours, earnings, and VOluntary deductions for
analysis - this saves tine when researching problems by
having all necessary information in one place.
B. Checks - Pay rates and Y.T.D. prints on check at no addi-
tional charge. This feature is a cost option feature on
Bank Systems.
C. Current and year-to-date pay information and enployee narres
carried in year-to-date register. Bank Systems don't
always carry all enployees once they are terminated.
D. ADP has the expertise of processing a wide range of C.E.T.A.
payrolls nationwide.
E. Bank Systems normally use a cashiers check. ADP has a no
cost option of carpany check or cashiers check. Using a
cashiers check banks debit the account the night the pay-
roll is processed. The current cost of =ey makes it
seem wiser to use ~ C1Nll check and not. be penalized for
three or four days floaE'"'. This factor is nm-e dramatized
with current interest rates.
F. Sore Bank Systems charge for all active enployees on file
whether paid or not. In other ~ds, every enployee on
file is charged for the check fee each payroll cycle.

G. Pick up and delivery option available as an option upon
request.
H. ADP has a strong management reportir,g system for swecial-
ized reporting, if required.
