Synopsis of Previous Council Action:
08/07/06 Adopted FY 2006/07 Five-Year Capital Improvement Program (CIP), which included
Project No. SS07-32 "Realign Street on Viaduct Boulevard between 2"d Street and 3`d
Street"in FY 2007/08.
Recommended Motion:
1. Authorize the Director of Finance to amend the FY 2006/07 by transferring $80,000 from Account No.
129-367-5504-7156 "Street and Safety Improvements (SS-C)" to a new Account No. 129-367-5504-
7741 "Realign Street on Viaduct Boulevard between 2"d Street and 3`d Street(SS07-32)", and
2. Authorize the Director of Finance to amend the FY2006/07 by transferring $40,725 from Account No.
250-370-5504-7338 "City-Wide Traffic Signal Improvements" to a new Account No. 250-370-5504-
7740"Install Traffic Signal at Realigned Viaduct Boulevard and 2nd Street(TC08-01), and

Subject:
Resolution approving Agreement for Professional Design Services with Transtech Engineers, Inc.
to realign Viaduct Boulevard between 2nd Street and 3`d Street (SS07-32) and installation of a
traffic signal at Viaduct Boulevard and 2nd Street (TC08-01) and authorization for the Director of
Finance to amend the FY 2006/07 Budget.
Background:
On August 7, 2006, the Mayor and Common Council adopted the FY 2006/07 Capital
Improvement Program (CIP). The CIP included provisions for a parking structure to serve the
Metrolink facility containing approximately 350 spaces located on the north side of 2"d Street
between Mt. Vernon Avenue and Viaduct Boulevard.
Viaduct Boulevard currently extends southwesterly from 3`d Street to 2"d Street on a skewed
alignment. The existing alignment conflicts with the planned location of the parking structure;
therefore, realignment of Viaduct Boulevard prior to, or concurrently with, the construction of the
parking structure will be necessary.
Right-of-way for the new alignment was acquired in 2006. Funding in the amount of$500,000 for
Project No. SS07-32 is proposed in the FY 2007/08 CIP to realign Viaduct Boulevard to a north-
south alignment to intersect Giovanola Avenue at 2"d Street. A traffic signal is anticipated to be
required at the intersection of the realigned Viaduct Boulevard and 2"d Street and is being
recommended for funding in the FY 2007/08 CIP as TC08-01.
The Metrolink parking structure is currently being designed and may be ready for bidding as early
as August of 2007. Since the new parking structure will occupy land that is currently part of
Viaduct Boulevard, it is essential that the design of the realignment be completed prior to start of
construction of the parking structure. Access to the structure cannot be completed until completion
of the realignment of Viaduct Boulevard.
Further, the design of the site work around the parking structure and the redesign of the existing
parking lot currently serving the Metrolink Station needs to be completed in order to a have an
efficient, fully functional parking structure. The layout of the existing Metrolink parking lot needs
to be completely revised in order to gain more spaces, improve circulation, improve disabled
access from the new structure to the station, and provide upgraded landscaping and lighting.
To address these concerns, staff issued a Request for Proposals (RFP) on February 1, 2007, to
consultants who, in the past, have expressed interest in similar types of work. The consultants were
asked to propose design services for improvements to three areas to compliment the parking
structure project. The areas are:
Area 1 —The realignment of Viaduct Boulevard between 3`d Street and 2nd Street, the traffic signal
at Viaduct Boulevard and 2"d Street and improvement to the north side of 2nd Street to close off the
existing Viaduct Boulevard/2"d Street intersection.
Area 2 — Site and drainage improvements needed for proper circulation around the parking
structure.

Area 3 — Site, drainage and lighting improvements for the existing Metrolink parking lot northerly
of� Street and easterly of the Mt. Vernon Bridge, including the vacated portion of 3`d Street east
of the Mt. Vernon Bridge.
Proposals were received from the following firms on February 26, 2007:

The proposals were reviewed (Phase I) and the consultants interviewed (Phase II) in accordance
with the consultant selection process approved by the Mayor and Common Council on September
2, 2003. The Phase I rating system included such factors as past experience with similar types of
projects, adequacy and experience of staff, completeness of proposal, past experience working
with the consultant and understanding the requirements of the project. Based on review of
proposals and interviews with the four consultants, the staff reviewers/evaluators selected the team
of Transtech Engineers, Inc. based on their qualifications and staff's previous experience with the
firm, completeness of the proposal, understanding of the project, and other criteria. The
reviewers/evaluators feel that the proposal submitted by Transtech Engineers, Inc. best meets the
needs of the City and recommends award of a design contract to Transtech.
Proposed fees for services were as follows:

Transtech has extensive experience with work at the Santa Fe Depot. The firm provided project
management and inspection services for the Historic Restoration of the Santa Fe Depot and is
currently providing project management services for design of the Metrolink Parking Structure.
The proposal submitted by Transtech Engineers, Inc. offers the lowest proposed consultant fee and
was determined to be clearly superior by the rating panel based on a consideration of all the rating
factors.
Attached is an Agreement with Transtech Engineers, Inc. for the proposed work marked Exhibit
"A". Staff recommends approval of the Agreement.

Transtech Engineering, Inc. estimates that the design services under terms of the Agreement can be
completed by August 2007. However, other constraints related to bidding and processing
approvals through Caltrans will extend the start of construction to March of 2008. The following
table indicates the proposed construction sequencing and timetable for the parking structure and
surrounding work:
STAGE 1: Construction of new alignment of Viaduct Boulevard for 5-lane
section(from east right-of-way) begins. Construction will start in project area 2,
parking structure site improvements, without impacting existing Viaduct 3/08 to 7/08
Boulevard. Minor encroachment into surface parking north of parking structure
will be necessary for excavation/grading; however, Viaduct Boulevard will be
kept open to traffic.

STAGE 1-A: Construct traffic signal (on-going during various stages, with Full signal

Financial Impact:
No funding currently exists for this project, however, EDA has pledged $500,000 to meet a
condition of approval for the La Placita Project. Project No. SS07-32 for the Realignment of
Viaduct Boulevard between 2"d Street and 3` Street is proposed for funding in FY 07/08. Also,
Project No. TC08-01 for installation of a Traffic Signal at the intersection of Viaduct Boulevard

with 2nd Street is proposed for funding FY 07/08 due to the urgency to accomplish the design of
the realignment.
Staff has identified funding in Account No. 129-367-5504-7156 "Street and Safety Improvements
(SS-C)" and Account No. 250-370-5504-7338 "City-Wide Traffic Signal Improvements" which is
available for transfer to fund this project. These are annual accounts and full funding will be
restored as part of the FY 07/08 Capital Improvement Program (CIP). No project will be delayed
as a result of these transfers.
An application has been submitted to the City for development of the land between 2nd Street and
3`d Street and Viaduct Boulevard and "K" Street (the La Placita project). If the development
proceeds, the developer will have a condition of approval to pay 50% of the cost of design and
construction of the realignment of Viaduct Boulevard and the traffic signal at the intersection of
Viaduct Boulevard and 2nd Street as its fair share of the cost of the project.
Recommendation:
1. Authorize the Director of Finance to amend the FY2006/07 by transferring $80,000 from
Account No. 129-367-5504-7156 "Street and Safety Improvements (SS-C)" to a new Account
No. 129-367-5504-7741 "Realign Street on Viaduct Boulevard between 2nd Street and 3rd
Street(SS07-32) , and
2. Authorize the Director of Finance to amend the FY2006/07 by transferring $40,725 from
Account No. 250-370-5504-7338 "City-Wide Traffic Signal Improvements" to a new Account
No. 250-370-5504-7740 "Install Traffic Signal at Realigned Viaduct Boulevard and 2nd Street
(TC08-01), and
3. Adopt Resolution.

BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY

7 SECTION 1. Transtech Engineers, Inc., 198 N. Arrowhead Avenue, Suite "I", San

Bernardino, CA 92408, is competent, experienced and has provided the most advantageous and
9
best proposal for the Realignment of Viaduct Boulevard between 2nd Street and 3rd Street to
10
11 Align with Giovanola Avenue at 2"d Street, Grading and Circulation Around the Proposed
12 Metrolink Parking Structure, Redesign of Metrolink Parking Lot and Design of a Traffic Signal
13 at the Intersection of the Realigned Street and 2"d Street, pursuant to the Agreement for Services,
14 attached hereto and incorporated herein as Exhibit "A", for the not-to-exceed amount of
15 $110,725 plus $10,000 for 6 potholes, based on the Technical Proposal
dated February 26, 2007,

Attachment "1" to Exhibit "A" and incorporated herein, and the Request for Proposal (RFP),

18 attached hereto and incorporated herein as Exhibit "B." Pursuant to this determination, the
19 Purchasing Manager is hereby authorized and directed to issue Purchase Orders for said services
20 to said firm which references this Resolution. The Mayor is hereby authorized and directed to
21 execute said Agreement on behalf of the City.
22 SECTION 2. The authorization to execute the above referenced Agreement is rescinded
23 if it is not executed within sixty (60) days of the passage of this resolution.

" AGREEMENT FOR SERVICES FOR THE REALIGNMENT OF VIADUCT
BOULEVARD BETWEEN 2" STREET AND 3RD STREET TO ALIGN WITH
GIOVANOLA AVENUE AT 2ND STREET, GRADING AND CIRCULATION
AROUND THE PROPOSED METROLINK PARKING STRUCTURE,
REDESIGN OF METROLINK PARKING LOT AND DESIGN OF A TRAFFIC
SIGNAL AT THE INTERSECTION OF THE REALIGNED STREET AND 2ND
STREET.
THIS AGREEMENT is made and entered into this day of
2007 ("Effective Date"), by and between the CITY OF SAN BERNARDINO, a charter
city ("City"), and TRANSTECH ENGINEERS, INC. ("Consultant").
WITNESSETH :
A. WHEREAS, City proposes to have Consultant provide Civil/Traffic Engineering
Services of a consulting engineering firm for the realignment of Viaduct Boulevard
between 2"d Street and 3rd Street to align with Giovanola Avenue at 2nd Street, grading
and circulation around the proposed Metrolink parking structure, redesign of Metrolink
parking lot and design of a traffic signal at the intersection of the realigned street and 2nd
Street as described below; and
B. WHEREAS, Consultant represents that it has that degree of specialized expertise
contemplated within California Government Code, Section 37103, and holds all
necessary licenses to practice and perform the services herein contemplated; and
C. WHEREAS, City and Consultant desire to contract for specific services in
connection with the project described below (the "Project") and desire to set forth their
rights, duties and liabilities in connection with the services to be performed; and
D. WHEREAS, no official or employee of City has a financial interest, within the
provisions of California Government Code, Sections 1090-1092, in the subject matter of
this Agreement.
NOW, THEREFORE, for and in consideration of the mutual covenants and
conditions contained herein, the parties hereby agree as follows:
1.0. SERVICES PROVIDED BY CONSULTANT
1.1. Scope of Services. Consultant shall provide to the City the Civil/Traffic
Engineering Services of a consulting engineering firm for the realignment of Viaduct
Boulevard between 2nd Street and 3rd Street to align with Giovanola Avenue at 2nd Street,
grading and circulation around the proposed Metrolink parking structure, redesign of
Metrolink parking lot and design of a traffic signal at the intersection of the realigned
street and 2nd Street (the "Project") in accordance with the City's standards and
Consultant's proposal dated February 26, 2007, attached hereto and incorporated herein
as Attachment "I".

1.2. Professional Practices. All professional services to be provided by
Consultant pursuant to this Agreement shall be provided by personnel experienced in
their respective fields and in a manner consistent with the standards of care, diligence and
skill ordinarily exercised by professional consultants in similar fields and circumstances
in accordance with sound professional practices. Consultant also warrants that it is
familiar with all laws that may affect its performance of this Agreement and shall advise
City of any changes in any laws that may affect Consultant's performance of this
Agreement.
1.3. Warranty. Consultant warrants that it shall perform the services required
by this Agreement in compliance with all applicable Federal and California employment
laws including, but not limited to, those laws related to minimum hours and wages;
occupational health and safety; fair employment and employment practices; workers'
compensation insurance and safety in employment; and all other Federal, State and local
laws and ordinances applicable to the services required under this Agreement.
Consultant shall indemnify, defend and hold harmless City from and against all claims,
demands, payments, suits, actions, proceedings, and judgments. of every nature and
description including attorneys' fees and costs, presented, brought, or recovered against
City for, or on account of any liability under any of the above-mentioned laws, which
may be incurred by reason of Consultant's performance under this Agreement.
1.4. Non-discrimination. In performing this Agreement, Consultant shall not
engage in, nor permit its agents to engage in, discrimination in employment of persons
because of their race, religion, color, national origin, ancestry, age, physical handicap,
medical condition, marital status, sexual gender or sexual orientation, or any other
category protected by law, except as permitted pursuant to Section 12940 of the
Government Code. Violation of this provision may result in the imposition of penalties
referred to in Labor Code, Section 1735.
1.5 Non-Exclusive Agreement. Consultant acknowledges that City may enter
into agreements with other consultants for services similar to the services that are subject
to this Agreement or may have its own employees perform services similar to those
services contemplated by this Agreement.
1.6. Deleization and Assignment. This is a personal service contract, and the
duties set forth herein shall not be delegated or assigned to any person or entity without
the prior written consent of CO.
1.7. Business License: The Consultant shall obtain and maintain a valid City
Business Registration Certificate during the term of this Agreement.
1.8. Duty of Loamy/Conflict of Interest: The Consultant understands and
agrees that as the City's consultant, Consultant shall maintain a fiduciary duty and a duty
of loyalty to the City in performing Consultant's obligations under this Agreement.
Consultant, in performing its obligations under this Agreement, is governed by
irk California's conflict of interest laws, Government Code Section 87100 et seq., and Title

2, California Code of Regulations Section 18700 et seq.
2.0. COMPENSATION AND BILLING
2.1. Compens_ttion. Over the term of this Agreement, Contractor shall be
compensated for such services for the not-to-exceed amounts indicated in Fee Proposal
dated February 26, 2007, attached hereto and incorporated herein as Attachment "2".
2.2. Additional Services. Consultant shall not receive compensation for any
services provided outside the scope of services specified in this Agreement unless the
City, prior to Consultant performing the additional services, approves such additional
services in writing. It is specifically understood that oral requests and/or approvals of
such additional services or additional compensation shall be barred and are
unenforceable.
2.3. Method of Billing. Consultant may submit invoices to City's Engineer for
approval on a progress basis, but no more often than monthly. Said invoice shall be
based on the total of all Consultant's services which have been completed to City's sole
satisfaction. City shall pay Consultant's invoice within forty-five (45) days from the date
City receives said invoice. Each invoice shall describe in detail, the services performed
and the associated time for completion. Any additional services approved and performed
pursuant to this Agreement shall be designated as "Additional Services" and shall
identify the number of the authorized change order, where applicable, on all invoices.
2.4. Records and Audits. Records of Consultant's services relating to this
Agreement shall be maintained in accordance with generally recognized accounting
principles and shall be made available to City or its Engineer for inspection and/or audit
at mutually convenient times for a period of three (3) years from the Effective Date.
3.0. TIME OF PERFORMANCE
3.1. Commencement and Completion of Work. The professional services to be
performed pursuant to this Agreement shall commence within five (5) days from the
Effective Date of this Agreement. Said services shall be completed within four (4)
months unless otherwise approved by the City Engineer. Failure to commence work in a
timely manner and/or diligently pursue work to completion may be grounds for
termination of this Agreement.
3.2. Excusable Delays. Neither party shall be responsible for delays or lack of
performance resulting from acts beyond the reasonable control of the party or parties.
Such acts shall include, but not be limited to, acts of God, fire, strikes, material shortages,
compliance with laws or regulations, riots, acts of war, or any other conditions beyond
the reasonable control of a party.

4.0. TERM AND TERMINATION
4.1. Term. This Agreement shall commence on the Effective Date and
continue until satisfactory completion of all work contemplated herein. All work shall be
completed within the time frame and in accordance . with schedule submitted by
Consultant, attached hereto and incorporated herein as Attachment "3".
4.2. Notice of Termination. The City reserves and has the right and privilege
of canceling, suspending or abandoning the execution of all or any part of the work
contemplated by this Agreement, with or without cause, at any time, by providing written
notice to Consultant. The termination of this Agreement shall be deemed effective upon
receipt of the notice of termination. In the event of such termination, Consultant shall
immediately stop rendering services under this Agreement unless directed otherwise by
the City.
4.3. Compensation. In the event of termination, City shall pay Consultant for
reasonable costs incurred and professional services satisfactorily performed up to and
including the date of City's written notice of termination. Compensation for work in
progress shall be prorated as to the percentage of work completed as of the effective date
of termination in accordance with the fees set forth herein. In ascertaining the
professional services actually rendered hereunder up to the effective date of termination
of this Agreement, consideration shall be given to both completed work and work in
progress, to complete and incomplete drawings, and to other documents pertaining to the
services contemplated herein whether delivered to the City or in the possession of the
Consultant.
4.4 Documents. In the event of termination of this Agreement, all documents
prepared by Consultant in its performance of this Agreement including, but not limited
to, finished or unfinished design, development and construction documents, data studies,
drawings, maps and reports, shall be delivered to the City within ten (10) days of delivery
of termination notice to Consultant, at no cost to City. Any use of uncompleted
documents without specific written authorization from Consultant shall be at City's sole
risk and without liability or legal expense to Consultant.
5.0. INSURANCE
5.1. Minimum Scope and Limits of Insurance. Consultant shall obtain and
maintain during the life of this Agreement all of the following insurance coverages:
(a) Comprehensive general liability, including premises-operations,
products/completed operations, broad form property damage,
blanket contractual liability, independent contractors, personal
injury with a policy limit of not less than One Million Dollars
($1,000,000.00), combined single limits, per occurrence and
I aggregate.

(b) Automobile liability for owned vehicles, hired, and non-owned
vehicles, with a policy limit of not less than One Million Dollars
($1,000,000.00), combined single limits, per occurrence and
aggregate.
(c) Workers' compensation insurance as required by the State of
California.
(d) Professional errors and omissions ("E&O") liability insurance with
policy limits of not less than One Million Dollars ($1,000,000.00),
combined single limits, per occurrence and aggregate. Consultant
shall obtain and maintain, said E&O liability insurance during the
life of this Agreement and for three years after completion of the
work hereunder.
5.2. Endorsements. The comprehensive general liability insurance policy shall
contain or be endorsed to contain the following provisions:
(a) Additional insureds: "The City of San Bernardino and its elected
and appointed boards, officers, agents, and employees are addition-
al insureds with respect to this subject project and contract with
City."
(b) Notice: "Said policy shall not terminate, nor shall it be cancelled,
nor the coverage reduced, until thirty (30) days after written notice
is given to City."
(c) Other insurance: "Any other insurance maintained by the City of
San Bernardino shall be excess and not contributing with the
insurance provided by this policy."
5.3. Certificates of Insurance. Consultant shall provide to City certificates of
insurance showing the insurance coverages and required endorsements described above,
in a form and content approved by City, prior to performing any services under this
Agreement.
5.4. Non-limiting. Nothing in this Section shall be construed as limiting in any
way, the indemnification provision contained in this Agreement, or the extent to which
Consultant may be held responsible for payments of damages to persons or property.
6.0. GENERAL PROVISIONS
6.1. Entire Agreement. This Agreement constitutes the entire Agreement
between the parties with respect to any matter referenced herein and supersedes any and
all other prior writings and oral negotiations. This Agreement may be modified only in
writing, and signed by the parties in interest at the time of such modification. The terms

of this Agreement shall prevail over any inconsistent provision in any other contract
document appurtenant hereto, including exhibits to this Agreement.
6.2. Representatives. The Director of Development Services or her designee
shall be the representative of City for purposes of this Agreement and may issue all
consents, approvals, directives and agreements on behalf of the City, called for by this
Agreement, except as otherwise expressly provided in this Agreement.
Consultant shall designate a representative for purposes of this Agreement
who shall be authorized to issue all consents, approvals, directives and agreements on
behalf of Consultant called for by this Agreement, except as otherwise expressly
provided in this Agreement.
6.3. Project Managers. City shall designate a Project Manager to work directly
with Consultant in the performance of this Agreement.
Consultant shall designate a Project Manager who shall represent it and be
its agent in all consultations with City during the term of this Agreement. Consultant or
its Project Manager shall attend and assist in all coordination meetings called by City.
6.4. Notices. Any notices, documents, correspondence or other
communications concerning this Agreement or the work hereunder may be provided by
personal delivery, facsimile or mail and shall be addressed as set forth below. Such
communication shall be deemed served or delivered: a) at the time of delivery if such
communication is sent by personal delivery; b) at the time of transmission if such
communication is sent by facsimile; and c) 48 hours after deposit in the U.S. Mail as
reflected by the official U.S. postmark if such communication is sent through regular
United States mail.

6.5. Attorneys' Fees. In the event that litigation is brought by any party in
connection with this Agreement, the prevailing party shall be entitled to recover from the
opposing party all costs and expenses, including reasonable attorneys' fees, incurred by
the prevailing party in the exercise of any of its rights or remedies hereunder or the
enforcement of any of the terms, conditions, or provisions hereof. The costs, salary and
expenses of the City Attorney and members of his office in enforcing this contract on
behalf of the City shall be considered as "attorneys' fees" for the purposes of this
paragraph.

6.6. Governing Lam.. This Agreement shall be governed by and construed
under the laws of the State of California without giving effect to that body of laws
pertaining to conflict of laws. In the event of any legal action to enforce or interpret this
Agreement, the parties hereto agree that the sole and exclusive venue shall be a court of
competent jurisdiction located in San Bernardino County, California.
6.7. Assignment. Consultant shall not voluntarily or by operation of law
assign, transfer, sublet or encumber all or any part of Consultant's interest in this
Agreement without City's prior written consent. Any attempted assignment, transfer,
subletting or encumbrance shall be void and shall constitute a breach of this Agreement
and cause for termination of this Agreement. Regardless of City's consent, no subletting
or assignment shall release Consultant of Consultant's obligation to perform all other
obligations to be performed by Consultant hereunder for the term of this Agreement.
6.8 Indemnification and Hold Harmless. Consultant shall protect, defend,
indemnify and hold harmless City and its elected and appointed officials, officers, and
employees from any and all claims, liabilities, expenses, including attorney fees, damage
to property or injuries to or death of any person or persons or damages of any nature
including, but not by way of limitation, all civil claims or workers' compensation claims,
arising out of or in any way connected with the intentional or negligent acts, errors or
omissions of Consultant, its employees, agents or subcontractors in the performance of
this Agreement.
6.9. Independent Contractor. Consultant is and shall be acting at all times as an
independent contractor and not as an employee of City. Consultant shall secure, at his
expense, and be responsible for any and all payment of Income Tax, Social Security,
State Disability Insurance Compensation, Unemployment Compensation, and other
payroll deductions for Consultant and its officers, agents, and employees, and all business
licenses, if any are required, in connection with the services to be performed hereunder.
6.10 Ownership of Documents. All findings, reports, documents, information
and data including, but not limited to, computer tapes or discs, files and tapes furnished
or prepared by Consultant or any of its subcontractors in the course of performance of
this Agreement, shall be and remain the sole property of City. Consultant agrees that any
such documents or information shall not be made available to any individual or
organization without the prior consent of City. Any use of such documents for other
projects not contemplated by this Agreement, and any use of incomplete documents, shall
be at the sole risk of City and without liability or legal exposure to Consultant. City shall
indemnify and hold harmless Consultant from all claims, damages, losses, and expenses,
including attorneys' fees, arising out of or resulting from City's use of such documents
for other projects not contemplated by this Agreement or use of incomplete documents
furnished by Consultant. Consultant shall deliver to City any findings, reports,
documents, information, data, in any form, including but not limited to, computer tapes,
Aw discs, files audio tapes or any other Project related items as requested by City or its
authorized representative, at no additional cost to the City.

6.11 Public Records Act Disclosure. Consultant has been advised and is aware
that all reports, documents, information and data including, but not limited to, computer
tapes. discs or files furnished or prepared by Consultant, or any of its subcontractors, and
provided to City may be subject to public disclosure as required by the California Public
Records Act (California Government Code Section 6250 et. seq.). Exceptions to public
disclosure may be those documents or information that qualify as trade secrets, as that
term is defined in the California Government Code Section 6254.7, and of which
Consultant informs City of such trade secret. The City will endeavor to maintain as
confidential all information obtained by it that is designated as a trade secret. The City
shall not, in any way, be liable or responsible for the disclosure of any trade secret
including, without limitation, those records so marked if disclosure is deemed to be
required by law or by order of the Court.
6.12. Responsibility for Errors. Consultant shall be responsible for its work and
results under this Agreement. Consultant, when requested, shall furnish clarification
and/or explanation as may be required by the City's representative, regarding any
services rendered under this Agreement at no additional cost to City. In the event that an
error or omission attributable to Consultant occurs, then Consultant shall, at no cost to
City, provide all necessary design drawings, estimates and other Consultant professional
services necessary to rectify and correct the matter to the sole satisfaction of City and to
participate in any meeting required with regard to the correction.
6.13. Prohibited Employment. Consultant will not employ any regular
employee of City while this Agreement is in effect.
6.14. Order of Precedence. In the event of an inconsistency or conflict in this
Agreement and any of the attached Exhibits or Attachments, the terms set forth in this
Agreement shall prevail.
6.15. Costs. Each party shall bear its own costs and fees incurred in the
preparation and negotiation of this Agreement and in the performance of its obligations
hereunder except as expressly provided herein.
6.16. No Third Party Beneficiary Rights. This Agreement is entered into for the
sole benefit of City and Consultant and no other parties are intended to be direct or
incidental beneficiaries of this Agreement and no third party shall have any right in,
under or to this Agreement.
6.1.7. Headings. Paragraphs and subparagraph headings contained in this
Agreement are included solely for convenience and are not intended to modify, explain or
to be a full or accurate description of the content thereof and shall not in any way affect
the meaning or interpretation of this Agreement.
6.18. Construction. The parties have participated jointly in the negotiation and
drafting of this Agreement. In the event an ambiguity or question of intent or

interpretation arises with respect to this Agreement, this Agreement shall be construed as
if drafted jointly by the parties and in accordance with its fair meaning. There shall be no
presumption or burden of proof favoring or disfavoring any party by virtue of the
authorship of any of the provisions of this Agreement.
6.19 Amendments. Only a writing executed by the parties hereto or their
respective successors and assigns may amend this Agreement.
6.20. Waiver. The delay or failure of either party at any time to require
performance or compliance by the other of any of its obligations or agreements shall in
no way be deemed a waiver of those rights to require such performance or compliance.
No waiver of any provision of this Agreement shall be effective unless in writing and
signed by a duly authorized representative of the party against whom enforcement of a
waiver is sought. The waiver of any right or remedy in respect to any occurrence or
event shall not be deemed a waiver of any right or remedy in respect to any other
occurrence or event, nor shall any waiver constitute a continuing waiver.
621. Severabilitv. If any provision of this Agreement is determined by a court
of competent jurisdiction to be unenforceable in any circumstance, such determination
shall not affect the validity or enforceability of the remaining terms and provisions hereof
or of the offending provision in any other circumstance. Notwithstanding the foregoing,
if the value of this Agreement, based upon the substantial benefit of the bargain for any
party is materially impaired, which determination as made by the presiding court or
arbitrator of competent jurisdiction shall be binding, then both parties agree to substitute
such provision(s) through good faith negotiations.
6.22. Counterparts. This Agreement may be executed in one or more
counterparts, each of which shall be deemed an original. All counterparts shall be
construed together and shall constitute one agreement.
6.23. Corporate Authority. The persons executing this Agreement on behalf of
the parties hereto warrant that they are duly authorized to execute this Agreement on
behalf of said parties and that by doing so, the parties hereto are formally bound to the
provisions of this Agreement.

The proposed street, parking lot, site and signal improvements will be part of th
proposed Metrolink Parking Structure, which is currently under design by an architectu ae
firm retained by the City. The City's goal is to incorporate the above indicated site
improvements into the parking structure project to improve accessibility to the structure,
improve surface parking lot conditions and increase surface parking spaces, improve
street and site circulation and safety in the area.
The existing parking lot, which is located north of the proposed parking structure, is the
primary parking servicing the Metrolink Station. This parking lot was constructed in the
1990 and will no longer be efficient when the new parking structure is completed.
Therefore, the redesign of this parking lot is required to improve efficiency in relation to
the parking structure.

SAFEPROBE, INC. - DBE Sub-Contractor, Non-destructive Potholing for Utilities if necessary
SafeProbe is
a Caltrans certified DBE firm specializing in utility potholing. SafeProbe
developed a nondestructive excavation technique to locate utilities and subsurface structures,
' and to determine their depths below ground. The service is provided utilizing
containing a soil agitator and a powerful vacuuming device, along with a storage ontainer
with state-of-the-art electronic equipment. SafeProbe conducts an electronic subsurface
survey to locate and mark the position, path and estimated depth of all existing utilities.
Potholing is performed using the air/vacuum soil extraction method for the purpose of
locating, marking, measuring and recording the exact location of the existing underground
utilities. Vacuum excavation utilizes the kinetic energy in a high velocity air stream to
penetrate, expand and break up soil. The loosened chunks of soil and small -rocks are then
' removed from the hole through the use of a very

cost effectiveness and time efficiency (substantially less expensive than and operation takes

I.
INTRODUCTION
The City of San Bernardino is soliciting the services of a consulting engineering
firm for realignment of Viaduct Boulevard between 3rd Street and 2nd Street to
align with Giovanola Avenue at 2nd Street, grading and circulation around the
Proposed Metrolink parking structure, redesign of Metrolink parking lot and
design of a traffic signal at the intersection of the realigned street and Street. 2nd
II. BACKGROUND
The City of San Bernardino is currently designing a parking structure to serve
the existing Metrolink Station located at the Historic Santa Fe Depot.
Construction of the new parking structure may start as early as June 2007 and
be completed by July 2008.
The primary parking lot servicing the Metrolink Station was constructed in the
1990 and will no longer be efficient when the new parking structure is
completed. Therefore, the City is requesting a redesign of the parking lot to
improve efficiency in relation to the parking structure.
The siting of the parking structure is such that planned circulation and parking
around the structure will necessitate reworking of the area surrounding the
building and the realignment of a connector street between 3 d Street and 2nd
Street currently known as Viaduct Boulevard. The proposal is change the
alignment of Viaduct Boulevard from its southwesterly skew to a north-south
street so that it will intersect 2nd Street at 90 degrees opposite Giovanola
Avenue. Note- The name of the realigned street has not yet been established.
Sufficient funding may not be available to construct the ultimate 5-lane
roadway section. Therefore, the design shall provide for an interim three-
lane section, which will provide for one lane of traffic in each direction
and a center left turn lane or turn pockets. The design shall be such that
the roadway can be easily expanded in the future to its ultimate 5-lane
configuration.

construction of the realignment can be completed prior to construction of
the parking structure. Concurrent bidding of the realignment and the
parking structure will be necessary.
The City has acquired most of the right-of-way need for the realignment of
Viaduct Boulevard. The City and SANBAG own the parking lot and adjacent
areas to the north and west. However, additional right-of-way from a private
owner may be needed at the southeasterly corner of the intersection of the
realigned street and 3rd Street. Additional right-of-way may also be needed at
the south side of 2�d Street at its existing intersection with Giovanola Avenue.
The consultant shall identify right-of-way needs, if any, and prepare plats and
legal descriptions for the right-of-way to be acquired. Attached is a copy of City
Drawing No. 10552 showing the right-of-way, which has been acquired by the
City.
III• SCOPE OF SERVICES
1. Consultant shall prepare and complete all required construction documents,
including plans, specifications, and cost estimates for the following items:
a) Surveying and civil engineering services to prepare complete plans and
estimates and technical specifications for the Realignment of Viaduct
Boulevard 3rd Street and 2nd Street (aligning the new street with
existing Giovanola Avenue south of 2nd Street). The City has already
acquired the necessary Right-of-way for the project. The selected
consultant shall conduct a design survey, and prepare all necessary
plans, including roadway, drainage, sewer, signing and striping, street
lighting, traffic signal at the new intersection of 2nd/Viaduct/Giavonalo),
and removal plans ready for bidding. The design shall include
necessary improvements on 2nd Street up to Mount Vernon Avenue.
The consultant shall coordinate with necessary utility companies and
obtain necessary clearances, service points and approvals,

b) Surveying and civil engineering services to prepare complete plans and
estimates and technical specifications related to the proposed Metrolink
Parking Structure to be located west of realigned Viaduct Boulevard and
north of 2nd Street. The design work includes site control plans, grading
plans, drainage plans, water service plan to the parking structure sewer
plans, as well plans in the adjoining existing areas and proposed surface
parking lot improvements on the east side of the structure. The site
control and grading plan shall include the foot print of the proposed
parking structure, the vacant land area on the south side to 2nd Street
and on the west side to Mount Vernon Avenue, up to 50' north of the

proposed parking structure, and area east of the parking structure to
realigned Via Duct Boulevard. The consultant shall coordinate with
necessary utility companies and obtain necessary clearances, service
points and approvals and provide plans to bring all necessary services
for the parking structure to the edge of the foot print, at which point the
parking structure (Project Area 2).
C) Surveying and civil engineering services to prepare complete plans and
estimates and technical specifications related to the reconstruction of
existing surface parking lot on the north side of the proposed parking
structure, including the area north of 2nd Street and east of the Santa Fe
Train Station building. The design work includes site control plans,
grading plans, drainage plans, landscape plan, irrigation plan, and
parking lot striping plan (Project Area 3).
d) Identification of existing RAN and preparation of legal descriptions and
plats, if additional R/V11 is needed.
e) Drainage modifications necessary to drain the redesigned parking lot,
realigned road and the area surrounding the new parking structure.
Hydrology and hydraulic calculations must be provided to support the
proposed drainage design. Mt. Vernon Storm Drain, an interim facility,
runs beneath the proposed realignment. Reinforcement or replacement
of the storm drain may be necessary.
f) Design of a fully actuated 8-phase traffic si�nal for the intersection of
Viaduct Boulevard/Giovanola Avenue and 2T Street. The design of the
traffic signal shall include a "spread-spectrum" interconnect capability
along 2' Street.
g) Pothole existing underground utilities where a high probability for conflict
exists. Compensation for potholing shall be on a per pothole basis and
shall be stated separately from the consultant's design fee.
h) Research existing right-of-way and identify need for additional right-of-
way. Adequate right-of-way appears to exist; however, the consultant
shall be responsible for checking the right-of-way in relation to the

The signing and striping plan sheet shall be drawn to a scale of I" =40,
on a 24" x 36" sheet, which shall include a Standard title block of the City
of San Bernardino.

j) The plans, specifications and cost estimates shall be signed and sealed
by a civil engineer licensed to practice civil engineering in the State of

California.
3. Consultant shall meet and confer with City staff periodically during he
preliminary design phase to resolve design issues and ensure continuity
with City standards and preferences.
4. Consultant shall conduct utility research and identify the location and depth
of all existing utilities within the limits of the proposed improvements.
Consultant shall be responsible for identifying and resolving utility conflicts
both overhead and underground. Copies of all written communication
(including maps) between the consultant and utility companies shall be
provided to the City.
5. Consultant shall pothole existing underground utilities where a high
probability for conflict with proposed improvements exists. Compensation
for potholing shall be on a per pothole basis and cost of potholing shall be
stated separately from the consultant's design fee.
6. Consultant shall identify any additional improvements that are required to
construct the proposed street improvements. Additional improvements may
include but not be limited to curb and gutter, drainage improvements, storm
drains, street widening, curbs, curb ramps, and channelization. If additional
improvements are required, consultant shall include the design of those
improvements in the scope of the proposal and incorporate them into the
plans, specifications and cost estimates.
7. Consultant shall submit an updated project schedule within 1 week of
receiving a notice to proceed, indicating the design tasks and project timing
from start to submittal of final PS&E. The Consultant shall estimate two 2
City plan reviews for each plan set. Each review should be estimated to take
three (3) weeks for schedule purposes. Consultant shall provide an updated
schedule showing progress and timing no less frequently than once a
month.
Upon completion of the consultant's work, the City shall have in hand, both an
electronic,, and a hard copy of an approved and signed set of completed plans,
technical specifications, quantities, estimates and snPrinl ^r
bidding including all supporting data, calculations, vutil utility locations, utility

notices, survey data, and other details necessary to complete this project in a
format acceptable to the City.

Consultant should expect to confer with the City at least once a month for
updates on project progress, questions, problems and accomplishments. The

the notice to proceed is issued.
IV PROPOSAL REQUIREMENTS

Proposals shall be received in hand by this Division up to the hour of

B. Responsive proposals will include, but not be limited to, the following:
1. Responsive proposals will present a Scope of Services that
includes, at a minimum, the above described services and any
other tasks necessary for completion of a competent design
(PSBE) which will provide for the successful construction of the
proposed improvements.
2. Identify the professional, technical and support staff that will be
performing the work associated with the proposed scope of
services. Short resumes may be included, but extensive resumes
should be limited to key personnel only.
3. Include a timeline indicating project milestones for the delivery of
final plans, specifications, and cost estimates ready for public bid,
including but not limited to a flow chart, showing project tasks an
timing. Include allowances for review periods. d
4. Include a list of similar projects recently completed by the
Consultant, identifying the location, date, agency and contact
person name, and address and phone number.

necessary to improve the finished project or to comply with the
requirements of this RFP.
10. Separate sealed envelope. Fixed fee, broken down as indicate
below, for the work required by this RFP, together with an hourly
rate sheet applicable to this project for classifications above,
including all materials and expenses, shall be submitted in a
separate sealed envelope. Please note that the City will not
Pay or compensate separately for travel time, courier
services, mileage or reimbursement for travel to the City of
San Bernardino to attend meetings or conduct the activities
necessary to complete tasks required to be performed as
part of consultant services.
A separate fee (in the same sealed envelope) shall be stated for
Potholing. A price per pothole and an estimated number of
potholes shall be provided.

V. SELECTION PROCESS
The selection process will be based on a point system and will consist

2. Second phase of the selection process will consist of staff evaluation of
a presentation by the three consultants with the highest numerical score
from the first phase selection. The interview will be detailed questions
on this specific project, including, but not limited to, personnel, schedule,
Project staging, and knowledge of the project. Five (5) points of local
preference will also be awarded in this phase of the selection process for
Consultants that meet the requirements identified in paragraph 1 above.
A maximum of 100 points can be achieved in this phase of the selection
process.
3. The third and final phase of the selection process will consist of staff
submitting a final package to the Mayor and Council for consideration of
approval. Final scores of the top three consultants will be submitted to
the Mayor and Common Council with a recommendation to award an
Agreement for Professional Services to the consultant with the highest
numerical score. However, the Mayor and Common Council have the
prerogative to award an Agreement for Professional Services to any of
the top three consultants or reject all proposals.

V

VI GENERAL
This "Request for Proposal" does not commit the City to award a contract, pay
any costs incurred in the preparation of a proposal in response to this request,
procure or contract for any services. All proposals submitted in response to this
request will become the property of the City and may be used by the City in any
way deemed appropriate. The City reserves the right to accept or to reject, in
part or in its entirety, the response to the request for proposal if such action is
deemed to be in the best interest of the City.
Any contract entered into as a result of this proposal shall be considered to
include the items of work detailed in this proposal unless specifically deleted in
the proposal at the request of the City.
VII PAYMENT
The Consultant that is recommended by Staff and approved by Mayor and
Common Council shall attend the pre-design meeting to establish the start
date. Once the Notice to Proceed has been given, the Consultant can submit
for payments. The City will release funds at percentages with receipt of Plans,
Notices, or Specifications. No payment shall be given above the percentage of
completed work accepted by the City. The City shall hold 15% of the total cost
for 360 calendar days after acceptance
or 45 calendar days after the City issues a Notice off Complet Completion specifications by the City,
whichever occurs first. p or the project,

AROUND THE PROPOSED METROLINK PARKING STRUCTURE,
REDESIGN OF METROLINK PARKING LOT AND DESIGN OF A TRAFFIC
SIGNAL AT THE INTERSECTION OF THE REALIGNED STREET AND 2ND
STREET.
THIS AGREEMENT is made and entered into this day of
2007 ("Effective Date"), by and between the CITY OF SAN BERNARDINO, a charter
city ("City"), and TRANSTECH ENGINEERS, INC. ("Consultant").
WITNESSETH :
A. WHEREAS, City proposes to have Consultant provide Civil/Traffic Engineering
Services of a consulting engineering firm for the realignment of Viaduct Boulevard
between 2nd Street and 3rd Street to align with Giovanola Avenue at 2nd Street, grading
and circulation around the proposed Metrolink parking structure, redesign of Metrolink
parking lot and design of a traffic signal at the intersection of the realigned street and 2nd
Street as described below; and
B. WHEREAS, Consultant represents that it has that degree of specialized expertise
contemplated within California Government Code, Section 37103, and holds all
necessary licenses to practice and perform the services herein contemplated; and
C. WHEREAS, City and Consultant desire to contract for specific services in
connection with the project described below (the "Project") and desire to set forth their
rights, duties and liabilities in connection with the services to be performed; and
D. WHEREAS, no official or employee of City has a financial interest, within the
provisions of California Government Code, Sections 1090-1092, in the subject matter of
this Agreement.
NOW, THEREFORE, for and in consideration of the mutual covenants and
conditions contained herein, the parties hereby agree as follows:
1.0. SERVICES PROVIDED BY CONSULTANT
1.1. Scope of Services. Consultant shall provide to the City the Civil/Traffic
Engineering Services of a consulting engineering firm for the realignment of Viaduct
Boulevard between 2nd Street and 3rd Street to align with Giovanola Avenue at 2nd Street,
grading and circulation around the proposed Metrolink parking structure, redesign of
Metrolink parking lot and design of a traffic signal at the intersection of the realigned
street and 2nd Street (the "Project") in accordance with the City's standards and
Consultant's proposal dated February 26, 2007, attached hereto and incorporated herein
as Attachment "I".

1.2. Professional Practices. All professional services to be provided by
Consultant pursuant to this Agreement shall be provided by personnel experienced in
their respective fields and in a manner consistent with the standards of care, diligence and
skill ordinarily exercised by professional consultants in similar fields and circumstances
in accordance with sound professional practices. Consultant also warrants that it is
familiar with all laws that may affect its performance of this Agreement and shall advise
City of any changes in any laws that may affect Consultant's performance of this
Agreement.
1.3. Warranty. Consultant warrants that it shall perform the services required
by this Agreement in compliance with all applicable Federal and California employment
laws including, but not limited to, those laws related to minimum hours and wages;
occupational health and safety; fair employment and employment practices; workers'
compensation insurance and safety in employment; and all other Federal, State and local
laws and ordinances applicable to the services required under this Agreement.
Consultant shall indemnify, defend and hold harmless City from and against all claims,
demands, payments, suits, actions, proceedings, and judgments of every nature and
description including attorneys' fees and costs, presented, brought, or recovered against
City for, or on account of any liability under any of the above-mentioned laws, which
may be incurred by reason of Consultant's performance under this Agreement.
1.4. Non-discrimination. In performing this Agreement, Consultant shall not
engage in, nor permit its agents to engage in, discrimination in employment of persons
because of their race, religion, color, national origin, ancestry, age, physical handicap,
medical condition, marital status, sexual gender or sexual orientation, or any other
category protected by law, except as permitted pursuant to Section 12940 of the
Government Code. Violation of this provision may result in the imposition of penalties
referred to in Labor Code, Section 1735.
1.5 Non-Exclusive Agreement. Consultant acknowledges that City may enter
into agreements with other consultants for services similar to the services that are subject
to this Agreement or may have its own employees perform services similar to those
services contemplated by this Agreement.
1.6. Delegation and Assignment. This is a personal service contract, and the
duties set forth herein shall not be delegated or assigned to any person or entity without
the prior written consent of City.
1.7. Business License: The Consultant shall obtain and maintain a valid City
Business Registration Certificate during the term of this Agreement.
1.8. Duty of Loyalty/Conflict of Interest: The Consultant understands and
agrees that as the City's consultant, Consultant shall maintain a fiduciary duty and a duty
of loyalty to the City in performing Consultant's obligations under this Agreement.
Consultant, in performing its obligations under this Agreement, is governed by
California's conflict of interest laws, Government Code Section 87100 et seq., and Title

2.0. COMPENSATION AND BILLING
2.1. Compensation. Over the term of this Agreement, Contractor shall be
compensated for such services for the not-to-exceed amounts indicated in Fee Proposal
dated February 26, 2007, attached hereto and incorporated herein as Attachment "2''.
2.2. Additional Services. Consultant shall not receive compensation for any
services provided outside the scope of services specified in this Agreement unless the
City, prior to Consultant performing the additional services, approves such additional
services in writing. It is specifically understood that oral requests and/or approvals of
such additional services or additional compensation shall be barred and are
unenforceable. -
2.3. Method of Billing. Consultant may submit invoices to City's Engineer for
approval on a progress basis, but no more often than monthly. Said invoice shall be
based on the total of all Consultant's services which have been completed to City's sole
satisfaction. City shall pay Consultant's invoice within forty-five (45) days from the date
City receives said invoice. Each invoice shall describe in detail, the services performed
and the associated time for completion. Any additional services approved and performed
pursuant to this Agreement shall be designated as "Additional Services" and shall
identify the number of the authorized change order, where applicable, on all invoices.

2.4. Records and Audits. Records of Consultant's services relating to this
Agreement shall be maintained in accordance with generally recognized accounting
principles and shall be made available to City or its Engineer for inspection and/or audit
at mutually convenient times for a period of three (3) years from the Effective Date.
3.0. TIME OF PERFORMANCE
3.1. Commencement and Completion of Work. The professional services to be
performed pursuant to this Agreement shall commence within five (5) days from the
Effective Date of this Agreement. Said services shall be completed within four (4)
months unless otherwise approved by the City Engineer. Failure to commence work in a
timely manner and/or diligently pursue work to completion may be grounds for
termination of this Agreement.
3.2. Excusable Delays. Neither party shall be responsible for delays or lack of
performance resulting from acts beyond the reasonable control of the party or parties.
Such acts shall include, but not be limited to, acts of God, fire, strikes, material shortages,
compliance with laws or regulations, riots, acts of war, or any other conditions beyond
the reasonable control of a party.

4.0. TERM AND TERMINATION
4.1. Term. This Agreement shall commence on the Effective Date and
continue until satisfactory completion of all work contemplated herein. All work shall be
completed within the time frame and in accordance with schedule submitted by
Consultant, attached hereto and incorporated herein as Attachment "Y'.
4.2. Notice of Termination. The City reserves and has the right and privilege
of canceling, suspending or abandoning the execution of all or any part of the work
contemplated by this Agreement, with or without cause, at any time, by providing written
notice to Consultant. The termination of this Agreement shall be deemed effective upon
receipt of the notice of termination. In the event of such termination, Consultant shall
immediately stop rendering services under this Agreement unless directed otherwise by
the City.
4.3. Compensation. In the event of termination, City shall pay Consultant for
reasonable costs incurred and professional services satisfactorily performed up to and
including the date of City's written notice of termination. Compensation for work in
progress shall be prorated as to the percentage of work completed as of the effective date
of termination in accordance with the fees set forth herein. In ascertaining the
professional services actually rendered hereunder up to the effective date of termination
of this Agreement, consideration shall be given to both completed work and work in
progress, to complete and incomplete drawings, and to other documents pertaining to the
services contemplated herein whether delivered to the City or in the possession of the
Consultant.
4.4 Documents. In the event of termination of this Agreement, all documents
prepared by Consultant in its performance of this Agreement including, but not limited
to, finished or unfinished design, development and construction documents, data studies,
drawings, maps and reports, shall be delivered to the City within ten (10) days of delivery
of termination notice to Consultant, at no cost to City. Any use of uncompleted
documents without specific written authorization from Consultant shall be at City's sole
risk and without liability or legal expense to Consultant.
5:0. INSURANCE
5.1. Minimum Scope and Limits of Insurance. Consultant shall obtain and
maintain during the life of this Agreement all of the following insurance coverages:
(a) Comprehensive general liability, including premises-operations,
products/completed operations, broad form property damage,
blanket contractual liability, independent contractors, personal
injury with a policy limit of not less than One Million Dollars
($1,000,000.00), combined single limits, per occurrence and
aggregate.

(b) Automobile liability for owned vehicles, hired, and non-owned
vehicles, with a policy limit of not less than One Million Dollars
($1,000,000.00), combined single limits, per occurrence and
aggregate.
(c) Workers' compensation insurance as required by the State of
California.
(d) Professional errors and omissions ("E&O") liability insurance with
policy limits of not less than One Million Dollars ($1,000,000.00),
combined single limits, per occurrence and aggregate. Consultant
shall obtain and maintain, said E&O liability insurance during the
life of this Agreement and for three years after completion of the
work hereunder.
5.2: Endorsements. The comprehensive general liability insurance policy shall
contain or be endorsed to contain the following provisions:
(a) Additional insureds: "The City of San Bernardino and its elected
and appointed boards, officers, agents, and employees are addition-
al insureds with respect to this subject project and contract with
City."
(b) Notice: "Said policy shall not terminate, nor shall it be cancelled,
nor the coverage reduced, until thirty (30) days after written notice
is given to City."
(c) Other insurance: "Any other insurance maintained by the City of
San Bernardino shall be excess and not contributing with the
insurance provided by this policy."
5.3. Certificates of Insurance. Consultant shall provide to City certificates of
insurance showing the insurance coverages and required endorsements described above,
in a form and content approved by City, prior to performing any services under this
Agreement.
5.4. Non-limiting. Nothing in this Section shall be construed as limiting in any
way, the indemnification provision contained in this Agreement, or the extent to which
Consultant may be held responsible for payments of damages to persons or property.
6.0. GENERAL PROVISIONS
6.1. Entire Agreement. This Agreement constitutes the entire Agreement
between the parties with respect to any matter referenced herein and supersedes any and
all other prior writings and oral negotiations. This Agreement may be modified only in
writing, and signed by the parties in interest at the time of such modification. The terms

of this Agreement shall prevail over any inconsistent provision in any other contract
document appurtenant hereto, including exhibits to this Agreement.
6.2. Representatives. The Director of Development Services or her designee
shall be the representative of City for purposes of this Agreement and may issue all
consents, approvals, directives and agreements on behalf of the City, called for by this
Agreement, except as otherwise expressly provided in this Agreement.
Consultant shall designate a representative for purposes of this Agreement
who shall be authorized to issue all consents, approvals, directives and agreements on
behalf of Consultant called for by this Agreement, except as otherwise expressly
provided in this Agreement.
6.3. Project Managers. City shall designate a Project Manager to work directly
with Consultant in the performance of this Agreement.
Consultant shall designate a Project Manager who shall represent it and be
its agent in all consultations with City during the term of this Agreement. Consultant or
its Project Manager shall attend and assist in all coordination meetings called by City.
6.4. Notices. Any notices, documents, correspondence or other
communications concerning this Agreement or the work hereunder may be provided by
personal delivery,-facsimile or mail and shall be addressed as set forth below. Such
communication shall be deemed served or delivered: a) at the time of delivery if such
communication is sent by personal delivery; b) at the time of transmission if such
communication is sent by facsimile; and c) 48 hours after deposit in the U.S. Mail as
reflected by the official U.S. postmark if such communication is sent through regular
United States mail.

6.5. Attornevs' Fees. In the event that litigation is brought by any party in
connection with this Agreement, the prevailing party shall be entitled to recover from the
opposing party all costs and expenses, including reasonable attorneys' fees, incurred by
the prevailing party in the exercise of any of its rights or remedies hereunder or the
enforcement of any of the terms, conditions, or provisions hereof. The costs, salary and
expenses of the City Attorney and members of his office in enforcing this contract on
behalf of the City shall be considered as "attorneys' fees" for the purposes of this
paragraph.

6.6. Governing_Law. This Agreement shall be governed by and construed
under the laws of the State of California without giving effect to that body of laws
pertaining to conflict of laws. In the event of any legal action to enforce or interpret this
Agreement, the parties hereto agree that the sole and exclusive venue shall be a court of
competent jurisdiction located in San Bernardino County, California.
6.7. Assignment. Consultant shall not voluntarily or by operation of law
assign, transfer, sublet or encumber all or any part of Consultant's interest in this
Agreement without City's prior written consent. Any attempted assignment, transfer,
subletting or encumbrance shall be void and shall constitute a breach of this Agreement
and cause for termination of this Agreement. Regardless of City's consent, no subletting
or assignment shall release Consultant of Consultant's obligation to perform all other
obligations to be performed by Consultant hereunder for the term of this Agreement.
6.8 - Indemnification and Hold Harmless. Consultant shall protect, defend,
indemnify and hold harmless City and its elected and appointed officials, officers, and
employees from any and all claims, liabilities, expenses, including attorney fees, damage
to property or injuries to or death of any person or persons or damages of any nature
including, but not by way of limitation, all civil claims or workers' compensation claims,
arising out of or in any way connected with the intentional or negligent acts, errors or
omissions of Consultant, its employees, agents or subcontractors in the performance of
this Agreement.
6.9. Independent Contractor. Consultant is and shall be acting at all times as an
independent contractor and not as an employee of City. Consultant shall secure, at his
expense, and be responsible for any and all payment of Income Tax, Social Security,
State Disability Insurance Compensation, Unemployment Compensation, and other
payroll deductions for Consultant and its officers, agents, and employees, and all business
licenses, if any are required, in connection with the services to be performed hereunder.
6.10 Ownership of Documents. All findings, reports, documents, information
and data including, but not limited to, computer tapes or discs, files and tapes furnished
or prepared by Consultant or any of its subcontractors in the course of performance of
this Agreement, shall be and remain the sole property of City. Consultant agrees that any
such documents or information shall not be made available to any individual or
organization without the prior consent of City. Any use of such documents for other
projects not contemplated by this Agreement, and any use of incomplete documents, shall
be at the sole risk of City and without liability or legal exposure to Consultant. City shall
indemnify and hold harmless Consultant from all claims, damages, losses, and expenses,
including attorneys' fees, arising out of or resulting from City's use of such documents
for other projects not contemplated by this Agreement or use of incomplete documents
furnished by Consultant. Consultant shall deliver to City any findings, reports,
documents, information, data, in any form, including but not limited to, computer tapes,
discs, files audio tapes or any other Project related items as requested by City or its
authorized representativ,-, at no additional cost to the City.

6.11 Public Records Act Disclosure. Consultant has been advised and is aware
that all reports, documents, information and data including, but not limited to, computer
tapes, discs or files furnished or prepared by Consultant, or any of its subcontractors, and
provided to City may be subject to public disclosure as required by the California Public
Records Act (California Government Code Section 6250 et. seq.). Exceptions to public
disclosure may be those documents or information that qualify as trade secrets, as that
term is defined in the California Government Code Section 6254.7, and of which
Consultant informs City of such trade secret. The City will endeavor to maintain as
confidential all information obtained by it that is designated as a trade secret. The City
shall not, in any way, be liable or responsible for the disclosure of any trade secret
including, without limitation, those records so marked if disclosure is deemed to be
required by law or by order of the Court.
6.12. Responsibility for Errors. Consultant shall be responsible for its work and
results under this Agreement. Consultant, when requested, shall furnish clarification
and/or explanation as may be required by the City's representative, regarding any
services rendered under this Agreement at no additional cost to City. In the event that an
error or omission attributable to Consultant occurs, then Consultant shall, at no cost to
City, provide all necessary design drawings, estimates and other Consultant professional
services necessary to rectify and correct the matter to the sole satisfaction of City and to
participate in any meeting required with regard to the correction.
6.13. Prohibited Employment. Consultant will not employ any regular
employee of City while this Agreement is in effect.
6.14. Order of Precedence. In the event of an inconsistency or conflict in this
Agreement and any of the attached Exhibits or Attachments, the terms set forth in this
Agreement shall prevail.
6.15. Costs. Each party shall bear its own costs and fees incurred in the
preparation and negotiation of this Agreement and in the performance of its obligations
hereunder except as expressly provided herein.
6.16. No Third Party Beneficiary Rights. This Agreement is entered into for the
sole benefit of City and Consultant and no other parties are intended to be direct or
incidental beneficiaries of this Agreement and no third party shall have any right in,
under or to this Agreement.
6.17. Headings. Paragraphs and subparagraph headings contained in this
Agreement are included solely for convenience and are not intended to modify, explain or
to be a full or accurate description of the content thereof and shall not in any way affect
the meaning or interpretation of this Agreement.
6.18. Construction. The parties have participated jointly in the negotiation and
drafting of this Agreement. In the event an ambiguity or question of intent or

interpretation arises with respect to this Agreement, this Agreement shall be construed as
if drafted jointly by the parties and in accordance with its fair meaning. There shall be no
presumption or burden of proof favoring or disfavoring any party by virtue of the
authorship of any of the provisions of this Agreement.
6.19 Amendments. Only a writing executed by the parties hereto or their
respective successors and assigns may amend this Agreement.
6.20. Waiver. The delay or failure of either party at any time to require
performance or compliance by the other of any of its obligations or agreements shall in
no way be deemed a waiver of those rights to require such performance or compliance.
No waiver of any provision of this Agreement shall be effective unless in writing and
signed by a duly authorized representative of the party against whom enforcement of a
waiver is sought. The waiver of any right or remedy in respect to any occurrence or
event shall not be deemed a waiver of any right or remedy in respect to any other
occurrence or event, nor shall any waiver constitute a continuing waiver.
6.21. Severability. If any provision of this Agreement is determined by a court
of competent jurisdiction to be unenforceable in any circumstance, such determination
shall not affect the validity or enforceability of the remaining terms and provisions hereof
or of the offending provision in any other circumstance. Notwithstanding the foregoing,
if the value of this Agreement, based upon the substantial benefit of the bargain for any
party is materially impaired, which determination as made by the presiding court or
arbitrator of competent jurisdiction shall be binding, then both parties agree to substitute
such provision(s) through good faith negotiations.
6.22. Counterparts. This Agreement may be executed in one or more
counterparts, each of which shall be deemed an original. All counterparts shall be
construed together and shall constitute one agreement.
6.23. Corporate Authority. The persons executing this Agreement on behalf of
the parties hereto warrant that they are duly authorized to execute this Agreement on
behalf of said parties and that by doing so, the parties hereto are formally bound to the
provisions of this Agreement.

The proposed street, parking lot, site and signal improvements will be part of the
proposed Metrolink Parking Structure, which is currently under design by an architectural
firm retained by the City. The City's goal is to incorporate the above indicated site
improvements into the parking structure project to improve accessibility to the structure.

The existing parking lot, which is located north of the proposed parking structure, is the
primary parking servicing the Metrolink Station. This parking lot was constructed in the
1990 and will no longer be efficient when the new parking structure is completed.
Therefore, the redesign of this parking lot is required to improve efficiency in relation to
the parking structure.

Also, the siting of the parking structure is such that planned circulation and parking around
the structure will necessitate reworking of the area surrounding the building and the
rea'ignment of a connector street between 3'C Street and 2rd Street currently known as
Viaduct Boulevard. The proposed alignment of .Viaduct Boulevard will change the existing
southwesterly skewed alignment to a north-south street intersecting 2n Street at 90
degrees opposite Giovanola Avenue.
Because the City may not have sufficient funding to construct the ultimate 5-lane roadway
section of the realigned Via Duct Boulevard, it is required that the selected consultant
provide for an interim three-lane section, which will provide for one lane of traffic in each
direction and a center left turn lane or turn pockets. The design will be such that the
roadway can be easily expanded in the future to its ultimate 5-lane configuration.
The project scope also includes a fully actuated traffic signal at the intersection of the
realigned, Viaduct Boulevard and 2nd Street, including with the ability for interconnection
with other signals along 2 Street at some time in the future.
A primary goal of this project will be to complete the design of the realignment of Viaduct
Boulevard in a timely manner such that construction of the realignment can be completed
prior to construction of the parking structure. Concurrent bidding of the realignment and
the parking structure will be necessary.
owl The City has acquired most of the right-of-way need for the realignment of Viaduct
Boulevard. The City and SANBAG own the parking lot and adjacent areas to the north
and west. However, additional right-of-way from a private owner may be needed at the
southeasterly corner of the intersection of the realigned street and 3' Street. Additional
right-of-way may also be needed at the south side of 2nd Street at its existing intersection
with Giovanola Avenue. The consultant is required to identify right-of-way needs, if any,
and prepare plats and legal descriptions for the right-of-way to be acquired.

1 . Prepare and complete all required construction documents, including plans,
specifications, and cost estimates for the following items:

plans and estimates and technical specifications for the Realignment of Viaduct
Boulevard 3rd Street and 2nd Street (aligning the new street with existing
Giovanola Avenue south of 2nd Street). The City has already acquired the
necessary Right-of-way for the project. Conduct a design survey, and prepare all
necessary plans, including roadway, drainage, sewer, signing and striping, street
lighting, traffic signal at the new intersection of 2nd/Viaduct/Giavonalo), and
removal plans ready for bidding. The design will include necessary
improvements on 2nd Street up to Mount Vernon Avenue. The consultant shall
coordinate with necessary utility companies and obtain necessary clearances,
service points and approvals, including obtaining electrical feed point for the new
traffic signal.

plans, drainage plans, water service plan to the parking structure, sewer plans, as
well plans in the adjoining existing areas and proposed surface parking lot
improvements on the east side of the structure. The site control and grading plan
will include the foot print of the proposed parking structure, the vacant land area
on the south side to 2nd Street and on the west side to Mount Vernon Avenue, up
to 50' north of the proposed parking structure, and area east of the parking

structure to realigned Via Duct Boulevard. Coordinate with necessary
companies and obtain necessary clearances, service points and approvals uantd
provide plans to bring all necessary services for the parking structure to the edge
of the foot print, at which point the parking structure.
C) EPROJECT AREA 3 Surveying and civil engineering services to prepare complete
plans and estimates and technical specifications related to the reconstruction of
existing surface parking lot on the north side of the proposed parking structure,
including the area north of 2nd Street and east of the Santa Fe Train Station
building. The design work inc udes site control plans, grading plans, drainage
plans, landscape plan, irrigation plan, and parking lot striping plan.

g) Pothole existing underground utilities where a high probability for conflict exists.
As required, a separate fee is provided in the proposed fee schedule for potholing
on a per pothole basis separately from the design fee.
h) Research existing right-of-way and identify need for additional right-of-way.
Adequate right-of-way appears to exist; however, the scope includes checking
the right-of-way in relation to the proposed street and signal design including the
south side of 2nd Street. If additional- right-of-way is required, prepare legal
descriptions and plats of the right-of-way to be acquired. Acquisition of the right-
of-way shall be the responsibility of the City.
2. Prepare the improvement plans, specifications, and cost estimates for the project in
conformance with City of San Bernardino standards, Caltrans standards, and the
requirements of the Manual of Uniform Traffic Control Devices ;MUTCDI and
California Supplement, latest editioi1. Plans, specifications, and estimate will conform
to the following requirements:
a) The plans will be prepared at a scale of 1 inch = 40 feet on standard 24" by 36"
sheets, using the City of San Bernardino standard title block. A scale of 1 inch -
20 feet may be used subject to approval of the City Engineer.

b) The plans will clearly show existing conditions, including but not limited to the
location and type of signing and striping, pavement markings, storm drain
facilities and street condition.
c The scope will include elude survey, research and other data or work needed to
establish existing topography, lines and grades. Information readily available
' from City files shall be made available by the City at no charge.
d) Street improvement plans will clearly indicate the type and location of existing
and proposed storm drain and street improvements, including but not limited to
curbs, gutters, curb ramps, and cross gutters, and street lights.
' e) A separate signing and striping plan sheet will be included showing the type and
location of existing and proposed signing and striping, including but not limited to
lane striping, stop bars, cross walks, pavement markings, raise pavement
markers and any other traffic control devices. The signing and striping plan sheet
will be drawn to a scale of 1" = 40" on a 24" x 36" sheet, which shall include a
' Standard title block of the City of San Bernardino.
f) All improvements will be designed in compliance and accordance with the
' Americans with Disabilities Act (ADA).
g) The street improvement plans will include, but not be limited to, curbs, gutters,
berms, and curb ramps. Limits of pavement, sawcuts, removals and construction
will also be shown. Improvements, which are intended to be completed in the
future, will be clearly identified as such.

SAFEPROBE, INC. - DBE Sub-Contractor, Non-destructive Potholing for Utilities if necessary
SafeProbe is a Caltrans certified DBE firm specializing in utility potholing. SafeProbe
developed a nondestructive excavation technique to locate utilities and subsurface structures,
and to determine their depths below ground. The service is provided utilizin g
containing a soil agitator and a powerful vacuuming device, along with a storage container
with state-of-the-art electronic equipment. SafeProbe conducts an electronic subsurface
survey to locate and mark the position, path and estimated depth of all existing utilities.
Potholing is performed using the air/vacuum soil extraction method for the purpose of
locating, marking, measuring and recording the exact location of the existing underground
utilities. Vacuum excavation utilizes the kinetic energy in a high velocity air stream to
penetrate, expand and break up soil. The loosened chunks of soil and small rocks are then
' removed from the hole through the use of a very powerful vacuum. In this way, a hole is
created that is typically 10 inches to two feet round or square, and as deep as required to
expose the buried utility. The major advantages offered by vacuum excavation are safety,
' cost effectiveness and time efficiency (substantially less expensive than and operation takes
half the time of conventional potholing method). This state-of-the-art technology, designed
to identify and excavate to locate subsurface structures and utilities, is a nondestructive
method with respect to the subsurface systems, and will never damage the buried utility. It is
a soft-touch dig, suck and seek method of potholing. The test hole is then backfilled with the
original soil unless permit regulations require a special fill. All holes are compacted in 6" stick
lifts to provide maximum compaction and to maintain future integrity of the hole, and
�, pavement is restored in-kind.

I. INTRODUCTION
The City of San Bernardino is soliciting the services of a consulting engineering
firm for realignment of Viaduct Boulevard between 3rd Street and 2nd Street to
align with Giovanola Avenue at 2nd Street, grading and circulation around the
proposed Metrolink parking structure, redesign of Metrolink parking lot and
Street.

II. BACKGROUND
The City of San Bernardino is currently designing a parking structure to serve
the existing Metrolink Station located at the Historic Santa Fe Depot.
Construction of the new parking structure may start as early as June 2007 and
be completed by July 2008.
The primary parking lot servicing the Metrolink Station was constructed in the
1990 and will no longer be efficient when the new parking structure is
completed. Therefore, the City is requesting a redesign of the parking lot to
improve efficiency in relation to the parking structure.
The siting of the parking structure is such that planned circulation and parkin
around the structure will necessitate reworking of the area surrounding the
building and the realignment of a connector street between 3`d Street and 2nd
Street currently known as Viaduct Boulevard. The proposal is to change the
alignment of Viaduct Boulevard from its southwesterly skew to a north-south
street so that it will intersect 2�d Street at 90 degrees opposite Giovanola
Avenue. Note: The name of the realigned street has not yet been established.
Sufficient funding may not be available to construct the ultimate 5-lane
roadway section. Therefore, the design shall provide for an interim three-
lane section, which will provide for one lane of traffic in each direction
and a center left turn lane or turn pockets. The design shall be such that
the roadway can be easily expanded in the future to its ultimate 5-lane
configuration.
The design shall include a fully actuated traffic at the intersection of the
realigned Viaduct Boulevard and 2nd Stream+

A primary goal of this project will be to complete the design of the
realignment of Viaduct Boulevard in a timely manner such that

construction of the realignment can be completed prior to construction of
the parking structure. Concurrent bidding of the realignment and the
parking structure will be necessary.
The City has acquired most of the right-of-way need for the realignment of
Viaduct Boulevard. The City and SANBAG own the parking lot and adjacent
areas to the north and west. However, additional right-of-way from a private
owner may be needed at the southeasterly corner of the intersection of the
realigned street and 3`d Street. Additional right-of-way may also be needed at
the south side of 2nd Street at its existing intersection with Giovanola Avenue.
The consultant shall identify right-of-way needs, if any, and prepare plats and
legal descriptions for the right-of-way to be acquired. Attached is a copy of City
Drawing No. 10552 showing the right-of-way, which has been acquired by the
City.
III. SCOPE OF SERVICES
1. Consultant shall prepare and complete all required construction documents,
including plans, specifications, and cost estimates for the following items:
a) Surveying and civil engineering services to prepare complete plans and
estimates and technical specifications for the Realignment of Viaduct
Boulevard 3rd Street and 2nd Street (aligning the new street with
existing Giovanola Avenue south of 2nd Street). The City has already
acquired the necessary Right-of-way for the project. The selected
consultant shall conduct a design survey, and prepare all necessary
plans, including roadway, drainage, sewer, signing and striping, street
lighting, traffic signal at the new intersection of 2nd/Viaduct/Giavonalo),
and removal plans ready for bidding. The design shall include
necessary improvements on 2nd Street up to Mount Vernon Avenue.
The consultant shall coordinate with necessary utility companies and
obtain necessary clearances, service points and approvals,
obtaining electrical feed point for the new traffic signal (Project Area )Jng
b) Surveying and civil engineering services to prepare complete plans and
estimates and technical specifications related to the proposed Metrolink
Parking Structure to be located west of realigned Viaduct Boulevard and
north of 2nd Street. The design work includes site control plans, grading
plans, drainage plans, water service plan to the parking structure, sewer
plans, as well plans in the adjoining existing areas and proposed surface
parking lot improvements on the east side of the structure. The site
control and grading plan shall include the foot print of the proposed
parking structure, the vacant land area on the south side to 2nd Street
and on the west side to Mount Vernon Avenue, up to 50' north of the

proposed parking structure, and area east of the parking structure to
realigned Via Duct Boulevard. The consultant shall coordinate with
necessary utility companies and obtain necessary clearances, service
points and approvals and provide plans to bring all necessary services
for the parking structure to the edge of the foot print, at which point the
parking structure (Project Area 2).
C) Surveying and civil engineering services to prepare complete plans and
estimates and technical specifications related to the reconstruction of
existing surface parking lot on the north side of the proposed parking
structure, including the area north of 2nd Street and east of the Santa Fe
Train Station building. The design work includes site control plans,
grading plans, drainage plans, landscape plan, irrigation plan, and
parking lot striping plan (Project Area 3).
d) Identification of existing R/W and preparation of legal descriptions and
plats, if additional R/W is needed.
e) Drainage modifications necessary to drain the redesigned parking lot,
realigned road and the area surrounding the new parking structure.
Hydrology and hydraulic calculations must be provided to support the
proposed drainage design. Mt. Vernon Storm Drain, an interim facility,
runs beneath the proposed realignment. Reinforcement or replacement
of the storm drain may be necessary.
17 Design of a fully actuated 8-phase traffic si�nal for the intersection of
Viaduct Boulevard/Giovanola Avenue and 2" Street. The design of the
traffic signal shall include a "spread-spectrum" interconnect capability
along 2" Street.
g) Pothole existing underground utilities where a high probability for conflict
exists. Compensation for potholing shall be on a per pothole basis and
shall be stated separately from the consultant's design fee.
h) Research existing right-of-way and identify need for additional right-of-
way. Adequate right-of-way appears to exist; however, the consultant
shall be responsible for checking the right-of-way in relation to the
Proposed street and signal design including the south side of 2"d Street.
If additional right-of-way is required the consultant shall prepare legal
descriptions and plats of the right-of-way to be acquired. Ac uisitio

Plans, specifications, and estimate shall conform to the following

storm drain facilities and street condition.
C) Consultant shall be responsible for survey, research and other data or
work needed to establish existing topography, lines and grades.
Information readily available from City files will be made available to the
consultant at no charge.
d) Street improvement plans shall clearly indicate the type and location of
existing and proposed storm drain and street improvements, including
but not limited to curbs, gutters, curb ramps, and cross gutters, and
street lights.
e) A separate signing and striping plan sheet shall be included showing the
type and location of existing and proposed signing and striping including
but not limited to lane striping, stop bars, cross walks, pavement
markings, raise pavement markers and any other traffic control devices.
The signing and striping plan sheet shall be drawn to a scale of 1" = 40"
on a 24" x 36" sheet, which shall include a Standard title block of the City
of San Bernardino.

Consultant shall be responsible for identifying and resolving utility conflicts
both overhead and underground. Copies of all written communication
(including maps) between the consultant and utility companies shall be
provided to the City.
5. Consultant shall pothole existing underground utilities where a high
probability for conflict with proposed improvements exists. Compensation
for potholing shall be on a per pothole basis and cost of potholing shall be
stated separately from the consultant's design fee.
6. Consultant shall identify any additional improvements that are required to
construct the proposed street improvements. Additional improvements may
include but not be limited to curb and gutter, drainage improvements, storm
drains, street widening, curbs, curb ramps, and channelization. If additional
improvements are required, consultant shall include the design of those
improvements in the scope of the proposal and incorporate them into the
plans, specifications and cost estimates.
7. Consultant shall submit an updated
receiving a notice to proceed, indicating the design asks and 1project tim of ing
from start to submittal of final PS&E. The Consultant shall estimate two (2)
City plan reviews for each plan set. Each review should be estimated to take
three (3) weeks for schedule purposes. Consultant shall provide an updated
schedule showing progress and timing no less frequently than once a
month.
Upon completion of the consultant's work, the City shall have in hand, both an
electronic, and a hard copy of an approved and signed set of completed plans,
technical specifications, quantities, estimates W,ld
bidding including all supporting °"" special provisions ready for
notices, survey data, and other details necessary to complete locations, utility
format acceptable to the City. p ete this project in a

Consultant should expect to confer with the C,ty at least once a month for
updates on project proa-ess, questions, problems and accomplishments. The
Project design must b', completed in no more than three (3) months after
the notice to proceed is issued.
IV PROPOSAL REQUIREMENTS
A. Four (4) copies of the proposal shall be submitted to the following:

Proposals shall be received in hand by this Division up to the hour of
4:00 P.M. on Monday February 26 2007
B. Responsive proposals will include, but not be limited to, the following:
1. Responsive proposals will present a Scope of Services that
includes, at a minimum, the above described services and any
other tasks necessary for completion of a competent design
(PSBE) which will provide for the successful construction of the
proposed improvements.
2. Identify the professional, technical and support staff that will be
performing the work associated with the proposed scope of
services. Short resumes may be included, but extensive resumes
should be limited to key personnel only.
3. Include a timeline indicating project milestones for the delivery of
final plans, specifications, and cost estimates ready for public bid,
including but not lir?tited to a flow chart showing
timing. Include allowances for review periods. project tasks and

Consultant, identifying the location, date, agency and contact
person name, and address and phone number.

5. Previous obligations with other projects (related to time and
availability of staff).
6. Name of sub-consultants to be used for specific aspects of the
project, including a summary of previous working arrangements
on similar types of work.
7 Statement of local preference eligibility, including identification of
any office located in the City of San Bernardino and the number of
employees stationed at the office, the number of employees doing
business inside the City limits, and a machine copy of your firm's
City of San Bernardino Business License.
8. Items, actions or information the Consultant expects to be
Provided by the City.
9. Any comments or suggestion that the Consultant believes
necessary to improve the finished project or to comply with the
requirements of this RFP. .
10. Separate sealed envelope. Fixed fee, broken down as indicate
below, for the work required by this RFP, together with an hourly
rate sheet applicable to this project for classifications above,
including all materials and expenses, shall be submitted in a
separate sealed envelope. Please note that the City will not
pay or compensate separately for travel time, courier
services, mileage or reimbursement for travel to the City of
San Bernardino to attend meetings or conduct the activities
necessary to complete tasks required to be performed as
part of consultant services.
A separate fee (in the same sealed envelope) shall be stated for
potholing. A price per pothole and an estimated number of
Potholes shall be provided.
The fee proposal shall include the total fee and a separate fee
breakdown for the traffic signal improvements, realignment of
Viaduct Boulevard in Area i
parking structure in Area 2, redesign Engineering of the e tenor work
tr the
parking lot in Area 3 and drainage structures. This breakdown is
necessary for cost tracking within the City's Capital Improvement
Program.

V. SELECTION PROCESS
The selection process will be based on a point system and will c
phases as follows: onsist of three
1. First phase selection shall consist of an evaluation by staff ma

identified in Section IV B (except No. 10). An additional five (5) points
will be given to City of San Bernardino based consultants. In order to be
deemed as "City of San Bernardino Based Consultant, the company
shall have an office with a minimum of one (1) owner or employee doing
business inside the City limits and shall Possess a
License. The three (3) consultants with the highest points (will Business e
to the interviews. A maximum of 100 points can be acon
hieved in this
phase of the selection process. The three consultants with the highest
numerical scores will be invited to continue with the second phase of the
selection process.
2. Second phase of the selection process will consist of staff evaluation of
a presentation by the three consultants with the highest numerical score
from the first phase selection. The interview will be detailed questions
on this specific project, including, but not limited to, personnel, schedule,
project staging, and knowledge of the project. Five (5) points of local
preference will also be awarded in this phase of the selection process for
Consultants that meet the requirements identified in paragraph 1 above.
A maximum of 100 points can be achieved in this phase of the selection
process.
3. The third and final phase of the selection process will consist of staff
submitting a final package to the Mayor and Council for consideration of
approval. Final scores of the top three consultants will be submitted to
the Mayor and Common Council with a recommendation to award an
Agreement for Professional Services to the consultant with the highest
numerical score. However, the Mayor and Common Council have the
prerogative to award an Agreement for Professional Services to any of
the top three consultants or'reject all proposals.

VI GENERAL
This "Request for Proposal" does not commit the City to award a contract, pay
any costs incurred in the preparation of a proposal in response to this request
procure or contract for any services All proposals submitted in response to this
request will become the property of the City and may be used by the City in any
way deemed appropriate. The City reserves the right to accept or to reject, in
part or in its entirety, the response to the request for proposal if such action is
deemed to be in the best interest of the City.
Any contract entered into as a result of this proposal shall be considered to
include the items of work detailed in this proposal unless specifically deleted in
the proposal at the request of the City.
VII PAYMENT
