SUBJECT
Resolution authorizing the Director of Finance or designee to issue a purchase order to Fairview
Ford in the amount of$122,349.45 for a paramedic squad vehicle.
BACKGROUND
On September 2006, the Mayor and Common Council approved resolution #2006-308
authorizing the City to enter into a new agreement with the County of San Bernardino to provide
fire protection and paramedic services to the County's unincorporated areas within the City of
San Bernardino's sphere of influence from July I, 2006 through June 30, 2011.
The agreement allowed the City to reclassify and hire fire personnel to staff a new paramedic
squad. The addition of the paramedic squad helps maintain adequate fire and EMS service to the
citizens of San Bernardino. On December 13, 2006, a Request for Quote (RFQ) #F-07-22 was
issued to solicit formal bids for a paramedic squad vehicle.
Notices inviting bids from qualified vendors were distributed to the San Bernardino Area
Chamber of Commerce, the City's Web Site, and advertised in The Sun Newspaper. The RFQ
#F-07-22 packages were mailed to twelve (12) vendors including four (4) local vendors. On
January 9, 2007, the City received (4) bid quotes and the bid responses are as follows:

Fire and Public ServiceslFleet personnel have reviewed the bids received and have done a
thorough analysis of the technical specifications. The City's Fleet Manager has negotiated a price
with low bidder Fairview Ford for fabric.ation of this vehicle, using the next lowest bidder,
Taylor Made Ambulance in New Port, AR, for the build up of the specialized equipment to meet
the Fire Department's specifications.
Attached for your review is the quote from Fairview Ford, Taylor Made Ambulances, and the
technical specifications delineating the model, parts, and warranty for the 2008 F-450 paramedic
squad vehicle (attachment A).
Therefore, due to the specialized nature of the vehicle and the advantages of doing business with
a local vendor and in accordance with the City of San Bernardino Municipal Code Section
3.04.010(B)(3), the Fire Department is requesting that the Director of Finance be authorized to
accept the negotiated purchase and reject all formal bids received for the paramedic squad
vehicle under RFQ #F-07-22.

The vehicle, including subsequent build up, will be purchased through Fairview Ford for a total
amount of$122,349.45 including tax.
FINANCIAL IMPACT
The total amount to be awarded to Fairview Ford is not-to-exceed $122,349.45. Funding is
budgeted in account #001-202-5701 (Emergency Operations-Motor Vehicles) for the
procurement of the paramedic squad vehicle.

BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY
OF SAN BERNARDINO AS FOLLOWS:
SECTION 1. That all formal bids for a paramedic squad vehicle pursuant to Bid

Specification #F-07-22 are hereby rejected.

SECTION 2. That Fairview Ford has agreed to be the primary vendor for the negotiated
12
purchase of a Paramedic Squad Vehicle in accordance with Bid Specifications #F-07-22 for a total
13
amount of$122,349.45.

SECTION 3. That this purchase is exempt from the formal contract procedures of Section
15
3.04.010 of the Municipal Code, pursuant to Section 3.040.010(B)(3) of said Code.

SECTION 4. That the Mayor and Common Council of the City of San Bernardino authorize
17
the Mayor to execute on behalf of said City a Vendor Services Agreement with Fairview Ford for
18
the purchase of a paramedic squad vehicle. A copy of said Agreement is attached hereto marked
19

Exhibit "A" and incorporated herein by reference as though fully set forth at length.

SECTION 5. That the Purchasing Manager is directed to issue a purchase order to Fairview
22
Ford in an amount "not to exceed $122,349.45." The Purchase Order shall reference the number of
23
this Resolution and Bid Specifications #F-07-07, and shall incorporate the terms and conditions of
24
the bid proposal ofFairview Ford.

SECTION 6. The authorization to execute the above-referenced Agreement and Purchase
26
Order is rescinded ifnot issued within sixty (60) days of the passage of this resolution.

VENDOR SERVICE AGREEMENT
This Vendor Service Agreement is entered into this 19th day of March
2007, by and between Fairview Ford ("VENDOR") and the City of San Bernardino
("CITY" or "San Bernardino").
WITNESSETH:
WHEREAS, the Mayor and Common Council has determined that it is advantageous
and in the best interest of the CITY to contract for the purchase of a paramedic squad vehicle;
and
WHEREAS, the City of San Bernardino did solicit and accept quotes from available
vendors for the purchase of a paramedic squad vehicle.
NOW, THEREFORE, the parties hereto agree as follows:
1. SCOPE OF SERVICES.
For the remuneration stipulated, San Bernardino hereby engages the services of
VENDOR to provide those products and services as set forth in this purchase agreement.
2. COMPENSATION AND EXPENSES.
a. For the services delineated above, the CITY, upon presentation of an invoice, shall
pay the VENDOR up to the amount of $122,349.45 for a paramedic squad vehicle.
b. No other expenditures made by VENDOR shall be reimbursed by CITY,
3. TERM; SEVERABILITY.
The term of this Agreement shall be for a period of one year.
This Agreement may be terminated at any time by thirty (30) days written notice by
either party. The terms of this Agreement shall remain in force unless mutually amended. The
duration of this Agreement may be extended with the written consent of both parties.

4. INDEMNITY.
CITY agrees to indemnify and hold harmless VENDOR, its officers, agents and
volunteers from any and all claims, actions, or losses, damages and/or liability resulting from
CITY's negligent acts or omissions arising from the CITY's performance of its obligations
under the Agreement.
VENDOR agrees to indemnify and hold harmless the CITY, its officers, agents, and
volunteers from any and all claim, actions, or losses, damages and/or liability resulting from
VENDOR's negligent acts or omissions arising from the VENDOR's performance of its
obligations under the Agreement.
In the event the CITY and/or the VENDOR is found to be comparatively at fault for any
claim, action, loss, or damage which results from their respective obligations under the
Agreement, the CITY and/or VENDOR shall indemnify the other to the extent of this
comparative fault.
S. INSURANCE.
While not restricting or limiting the foregoing, during the term of this Agreement,
VENDOR shall maintain in effect policies of comprehensive public, general and automobile
liability insurance, in the amount of $1,000,000.00 combined single limit, and statutory
worker's compensation coverage, and shall file copies of said policies with the CITY's Risk
Manager prior to undertaking any work under this Agreement. CITY shall be set forth as an
additional named insured in each policy of insurance provided hereunder. The Certificate of
Insurance furnished to the CITY shall require the insurer to notify CITY of any change or
termination in the policy.
6. NON-DISCRIMINATION.
In the performance of this Agreement and in the hiring and recruitment of employees,
VENDOR shall not discriminate on the basis of race, creed, color, religion, sex, physical
handicap, ethnic background or country of origin.
7. INDEPENDENT CONTRACTOR.
VENDOR shall perform work tasks provided by this Agreement, but for all intents and
purposes VENDOR shall be an independent contractor and not an agent or employee of the
CITY. VENDOR shall secure, at its expense, and be responsible for any and all payment of
Income Tax, Social Security, State Disability Insurance Compensation, Unemployment
. Compensation, and other payroll deductions for VENDOR and its officers, agents, and
employees, and all business license, if any are required, in connection with the services to be
performed hereunder.
8. BUSINESS REGISTRATION CERTIFICATE AND OTHER REQUIREMENTS.
VENDOR warrants that it possesses or shall obtain, and maintain a business registration
certificate pursuant to Chapter 5 of the Municipal Code, and any other license, permits,
qualifications, insurance and approval of whatever nature that are legally required of VENDOR
to practice its business or profession.
9. NOTICES.
Any notices to be given pursuant to this Agreement shall be deposited with the United
States Postal Service, postage prepaid and addressed as follows:

10. ATTORNEYS' FEES
In the event that litigation is brought by any party in connection with this Agreement,
the prevailing party shall be entitled to recover from the opposing party all costs and expenses,
including reasonable attorneys' fees, incurred by the prevailing party in the exercise of any of
its rights or remedies hereunder or the enforcement of any of the terms, conditions or
provisions hereof. The costs, salary and expenses of the City Attorney and members of his
office in enforcing this Agreement on behalf of the CITY shan be considered as "attorneys'
fees" for the purposes of this paragraph.
11. ASSIGNMENT.
VENDOR shan not voluntarily or by operation of law assign, transfer, sublet or
encumber an or any part of the VENDOR's interest in this Agreement without CITY's prior
written consent. Any attempted assignment, transfer, subletting or encumbrance shall be void
and shan constitute a breach of this Agreement and cause for the termination of this
Agreement. Regardless of CITY's consent, no subletting or assignment shan release VENDOR
of VENDOR's obligation to perform an other obligations to be performed by VENDOR
hereunder for the term of this Agreement.
12. VENUE.
The parties hereto agree that an actions or proceedings arising in connection with this
Agreement shan be tried and litigated either in the State courts located in the County of San
Bernardino, State of California or the U.S. District Court for the Central District of California,
Riverside Division. The aforementioned choice of venue is intended by the parties to be the
mandatory and not permissive in nature.
13. GOVERNING LAW.
This Agreement shan be governed by the laws of the State of California.
14. SUCCESSORS AND ASSIGNS.
This Agreement shall be binding on and inure to the benefit of the parties to this
Agreement and their respective heirs, representatives, successors, and assigns.
15. HEADINGS.
The subject headings of the sections of this Agreement are included for the purposes of
convenience only and shall not affect the construction or the interpretation of any of its
provIsIons.
16. ENTIRE AGREEMENT; MODIFICATION.
This Agreement constitutes the entire agreement and the understanding between the
parties, and supercedes any prior agreements and understandings relating to the subject manner
of this Agreement. This Agreement may be modified or amended only by a written instrument
executed by all parties to this Agreement.
IN WITNESS THEREOF, the parties hereto have executed this Agreement on the day
and date set forth below.

TEST REPORT
INTRODUCTION
As requested, Certified Inspection Service of Buford, Georgia has conducted two
static load tests on a completed modular ambulance body manufactured by Taylor Made
Ambulance. These tests were performed on the roof and on the curb side of the body.
The testing was conducted at your facility in Newport, AR on December 13th and 14th,
2004.
PURPOSE
As we understand it, the purpose for performing these tests is to meet the requirements
of an upcoming purchase specification. The tested modular body is a standard 161" unit
complete with cabinets, that is normally installed on a Type I or Type III ambulance.
PROCEDURE
The body was placed on steel I beams under the floor longitudinal members to
simulate the frame of a truck. On top of the body was placed a distribution plate
measuring 16 foot l~ng and 9 foot wide. Two water tank on oak pallets were. placed on
the distribution plate. These tanks each hold 2100 gallons of liquid. Deflection
measurements were taken at point zero (empty), 50% and fully loaded. While the total
load was applied, the modular doors were opened and closed. Following this test, the
body was turned with its curb side down and the load was reapplied, measurements taken
and the rear door opened.

RESULTS
The total load aPplied including the weight of tank, pallets and distribution plate was
35,860 pounds. With the load applied, the body exhibited no weld cracking or
deformation, and the doors opened and closed smoothly. See attached photos for
verification.
COMMENTS
The federal standard AMD 00 I, requires an ambulance body be submitted to 150% of
the vehicles curb weight. . Generally, the type of body tested, when installed on the truck
chassis, would have a curb weight of around 10,000 pounds and would.be subjected to a
static load of 15,000 pounds. This test exceeded that requirement by 20,860 pounds or

TAYLOR MADE AMBULANCES WARRANTS THAT EACH AMBULANCE SOLD AS A NEW
VEHICLE AND PARTS MANUFACTURED BY IT WILL BE FREE FROM DEFECTS IN
MATERIAL AND WORKMANSHIP UNDER NORMAL USE AND SERVICE FOR TWENTY
FOUR (24) MONTHS OR 24,000 MILES WHICH EVER OCCURS FIRST AFTER THE DATE OF
DELIVERY TO THE ORIGINAL RETAIL CUSTOMER.
THIS WARRANTY (TOGETHER WITH REMEDIES FOR BREECH THEREOF) IS LIMITED TO
THE AMBULANCE BEING DELIVERED TO THE WORKSHOP OF ANY AUTHORIZED
AGENT OF TAYLOR MADE AMBULANCES WHERE THE AGENT WILL, WITHOUT
CHARGE, EITHER REPAIR THE DEFECTIVE PART OR REPLACE IT WITH A NEW PART.
TAYLOR MADE AMBULANCES DOES NOT PROVIDE ADDITIONAL WARRANTY
COVERAGE ON THE ADD-ON COMPONENTS SUCH AS LIGHT BULBS, LIGHTS, SIRENS,
ALTERNATORS, ETC AS THESE ITEMS ARE COVERED BY A SEPARA TE WARRANTY AS
PROVIDED BY THE INDIVIDUAL COMPONENT MANUFACTURER AND PASSED
THROUGH TO THE END USER. IT IS THE RESPONSIBILITY OF THE CUSTOMER TO FILL
OUT AND COMPLETE ALL ENCLOSED WARRANTY CARDS. THE CHASSIS IS COVERED
UNDER THE WARRANTY PROVIDED BY THE CHASSIS MANUFACTURER.
PERSONS WHO ARE TO PERFORM REPAIR WORK ARE TO CALL TAYLOR MADE
AMBULANCES FOR AN AUTHORIZATION NUMBER PRIOR TO BEGINNING ANY
REPAIRS. FAILURE TO COMPLY WITH THIS PROVISION VOIDS ANY LIABILITY ON THE
PART OF TA YLOR MADE AMBULANCES TO HONOR THIS WARRANTY REQUEST.
TAYLOR MADE AMBULANCES DOES NOT WARRANT ANY VEHICLE ON WHICH THE
ODOMETER HAS BEEN ALTERED OR UPON WHICH MILEAGE CANNOT BE
DETERMINED. TAYLOR MADE AMBULANCES DOES NOT WARRANT ANY VEHICLE
REPAIRS DUE TO DAMAGE OR DETERIORATION DUE TO NORMAL USE, WEAR AND
TEAR, OR EXPOSURE, NOR DUE TO THE REPAIR BY SOMEONE OTHER THAN AN
AUTHORIZED AGENT, NOR DUE TO THE FAILURE OF THE OWNER TO MAINTAIN THE
SAME.
TAYLOR MADE AMBULANCES RESERVES THE RIGHT TO MAKE A PHYSICAL
INSPECTION BY THEIR AUTHORIZED AGENT OR THE CHASSIS MANUFACTURER'S
AGENT FOLLOWING ANY COMPLAINT.

20 YEAR WARRANTY ON ALL-ALUMINUM MODULAR BODY AND/OR CABINETRY
TAYLOR MADE AMBULANCES WARRANTS TO THE ORIGINAL PURCHASER FOR A PERIOD OF 20
YEARS THAT THE ALL-ALUMINUM MODULAR BODY AND IF APPLICABLE, ALL-ALUMINUM
CABINETRY FABRICATED BY TAYLOR MADE AMBULANCES SHALL BE STRUCTURALLY SOUND
AND FREE FROM DEFECTS IN MATERIAL AND WORKMANSHIP AND SHALL REMAIN FREE FROM
DAMAGE DUE TO RUSTING OR ELECTROLYSIS SO LONG AS SAID ALL-ALUMINUM MODULAR
BODY IS OWNED AND OPERATED BY THE ORIGINAL PURCHASER.
EXCLUDED FROM THIS WARRANTY ARE ITEMS SUCH AS PAINT, WINDOWS, DOOR HARDWARE
AND OTHER ITEMS WHICH ARE COVERED UNDER SEPARATE WARRANTIES. THIS WARRANTY IS
TRANSFERABLE TO FUTURE OWNERS NOT TO EXCEED THE ORIGINAL 20 YEARS AND TO THE
EXTENT THAT TAYLOR MADE AMBULANCES IS NOTIFIED IN WRITING OF SUCH CHANGES IN
OWNERSHIP. THIS WARRANTY IS ALSO RENEWABLE EACH TIME TAYLOR MADE AMBULANCES
REMOUNTS THE ALL-ALUMINUM MODULAR BODY ONTO A NEW CHASSIS.
THIS WARRANTY IS CONDITIONED UPON THE NORMAL USE AND REASONABLE MAINTENANCE OF
SUCH MODULAR BODY AND/OR INTERIOR ALUMINUM CABINETRY. PROMPT WRITTEN NOTICE OF
ALL DEFECTS SHALL BE DIRECTED TO TAYLOR MADE AMBULANCES OR TO THE AUTHORIZED
TAYLOR SER VICE REPRESENTATIVE. SAID DEFECT SHALL NOT RESULT FROM MISUSE,
NEGLIGENCE, ACCIDENT OR OVERLOADING BEYOND THE APPLICABLE WEIGHT RATING. IF SUCH
CONDITIONS ARE NOT COMPLIED WITH, THIS WARRANTY SHALL BECOME NULL AND VOID AND
THEREFORE, UNENFORCEABLE. SHOULD REPAIRS BECOME NECESSARY UNDER THE TERMS OF
THIS WARRANTY, THE EXTENT OF SUCH REPAIR SHALL BE DETERMINED SOLELY BY TAYLOR
MADE AMBULANCES AND PERFORMED SOLELY BY TAYLOR MADE AMBULANCES OR AT A
FACILITY DESIGNATED BY TAYLOR MADE AMBULANCES. THE EXPENSE OF ANY
TRANSPORTATION TO AND/OR FROM SUCH REPAIR FACILITY SHALL BE THE RESPONSIBILITY OF
THE PURCHASER/OWNER AND IS NOT AN ITEM COVERED BY THIS WARRANTY. TAYLOR MADE
AMBULANCES RESERVES THE UNRESTRICTED RIGHT TO MAKE CHANGES AT ANY TIME IN THE
DESIGN OF AND/OR IMPROVEMENTS TO ITS PRODUCTS WITHOUT IMPOSING ANY OBLIGATION ON
ITSELF TO MAKE CORRESPONDING CHANGES OR IMPROVEMENTS TO PRODUCTS PREVIOUSLY
MANUFACTURED.
TAYLOR MADE AMBULANCES MUST ALSO BE NOTIFIED OF ANY ACCIDENT INVOLVING THE
AMBULANCE IN WHICH THERE IS DAMAGE TO THE MODULAR BODY. TAYLOR MADE
AMBULANCES REQUESTS THAT DET A.ILED INFORMATION AND OR PHOTOGRAPHS OF THE
DAMAGE BE PROVIDED AT TIME OF NOTIFICATION. WE RESERVE THE RIGHT TO REQUIRE THE
VEHICLE BE RETURNED TO OUR FACILITY FOR INSPECTION AND REPAIR.
THIS WARRANTY SHALL ALSO BE NULL AND VOID IF THE VEHICLE IS REMOUNTED TO A NEW
CHASSIS BY ANY VENDOR OTHER THAN TAYLOR MADE AMBULANCES.
THIS MANUFACTURERS WARRANTY IS PROVIDED IN PLACE OF ANY AND ALL REPRESENTATIONS
OR EXPRESSED OR IMPLIED WARRANTIES. NO PERSON IS AUTHORIZED TO MAKE ANY
REPRESENTATIONS OR WARRANTY ON BEHALF OF TAYLOR MADE AMBULANCES OR ANY OF ITS
DISTRIBUTORS OTHER THAN AS SET FORTH IN THE MANUFACTURER'S WARRANTY. YOUR RIGHT
TO SERVICE AND REPLACEMENT OF PARTS ON THE TERMS EXPRESSLY SET FORTH ARE YOU
EXCLUSIVE REMEDIES AND NEITHER THE MANUFACTURER NOR ANY OF ITS DISTRIBUTORS
SHALL BE LIABLE FOR DAMAGES, WHETHER ORDINARY, INCIDENTAL OR CONSEQUENTIAL.

ELECTRICAL WARRANTY
TAYLOR MADE AMBULANCES HEREBY WARRANTS THAT THE ELECTRICAL
SYSTEM SHALL BE FREE FROM DEFECTS FROM WORKMANSHIP FOR A PERIOD
NOT TO EXCEED SIX YEARS OR 72,000 MILES FROM DATE OF DELIVERY TO
ORIGINAL PURCHASER.
THIS WARRANTY DOES NOT INCLUDE THE INDIVIDUAL COMPONENTS SUCH AS
LIGHT BARS, SIRENS, RELAYS, ETC. WHICH ARE COVERED BY THE WARRANTIES
PROVIDED BY THE INDIVIDUAL COMPONENT MANUFACTURERS.

TAYLOR MADE AMBULANCES HEREBY WARRANTS THE PAINT TO BE FREE FROM
DEFECTS IN WORKMANSHIP FOR A PERIOD OF FOUR YEARS WITH UNLIMITED
MILEAGE.
THIS WARRANTY IS VOID IF:
1. AMBULANCE IS INVOLVED IN A WRECK AND REPAINTED AS A RESULT
THEREOF
2. PROPER MAINTENANCE PROCEDURES HAVE NOT BEEN PERFORMED TO
MAINTAIN THE PAINT FINISH.

DEFECT PRIOR TO THE WARRANTY AUTHORIZATION.
