STAFF REPORT
Subject: Fine Arts Conunission Funding awards for Fiscal Year (FY) 2003-2004
Background: Eleven organizations submitted applications requesting fine arts grants in the
amount of $179,188 for the 2003-04 Fiscal Year. A total of $133,500 was
budgeted for fine arts in FY 03-04.
In addition to grant requests received from nine organizations that have applied for and received
grants last year, the conunission also reviewed grants from two new organizations, the Inland
Empire Symphonic Choir, which it approved, and the Emanuel United Methodist Church, which
was declined, following consultation with the City Attorney's office, due to its proposal giving
rise to concerns involving separation of church and state.
The deadline for submission for grant applications was October 15, 2003. Copies of the
applications were sent to members of the Fine Arts Commission for review prior to their meeting
October 22, 2003, at which time the conunissioners discussed the applications. Oral interviews
were held with the applicants at the October 22, 2003 meeting. Conunissioners reviewed
interview notes and application packages before their November 4, 2003 meeting at which time
they deliberated and made final decisions on grant allocations.
The Fine Arts Conunission was charged with making difficult decisions about how to effectively
allocate the limited funds budgeted for the promotion of the arts in the City of San Bernardino.
The following is the reconunendation of the Fine Arts Conunission for Fiscal Year 2003-04:

Financial Impact: The reconunended awards total $133,500, the total amount budgeted for fine
arts in Fiscal Year 2003-04.

that the Inland Empire Symphonic Choir is operating as an arm of the Foundation for California
State University, San Bernardino.
The Foundation was incorporated to support the University is such things as administration of
functions that may operate outside of the University's State funding. The Symphonic Choir is
not a legal entity, however the Foundation serves in the capacity of the legal entity that assumes
responsibility for Symphonic Choir's obligations in this regard. You will receive the appropriate
Certificates of Insurance from the Foundation's insurer.
It would most likely be best if future agreements were drafted between the City and the
Foundation, with the Foundation's Executive Director's office listed as the office for legal
notices related to the agreement. Of course, Dr. Teresa Morris is our contact for any operational
matters.

BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE
CITY OF SAN BERNARDINO AS FOLLOWS:
SECTION 1.
The Mayor of the City of San Bernardino is hereby
authorized and directed to execute on behalf of said City an Agreement with Canto Bello
Master Chorale, a copy of which is attached hereto marked Exhibit "A" and incorporated
herein by references as fully as though set forth at length.
SECTION 2.
The authorization to execute the above referenced agreement
is rescinded if the .parties to the agreement fail to execute it within sixty (60) days of the
passage of this resolution.

Synopsis: Canto Bello Master Chorale
The Canto Bello Master Chorale, a San Bernardino-based organization,
continues to rise in popularity.
Citizens of a variety of ages and professions are part ofthis chorale
presenting a repertory of classic choral works.
The Chorale accompanying Orchestra is the San Bernardino Symphonic
Orchestra and a good networking system is in effect.

THIS AGREEMENT is entered into between the CITY
OF SAN BERNARDINO, a municipal corporation, referred
to as "CityN and the Canto Bello Master Chorale, a
non-profit organization, referred to an "OrganizationN
The parties agree as follow:
1 .
Recitals.
A. Organization has requested financial
Assistance from City for fiscal year 2003-04, in order
to assist in defraying the expense of certain
concerts, shows, festivals, or events of activities
sponsored by Organizations as set forth Organization's
grant proposal (hereinafter "the proposalN) approved
by the Fine Arts Commission of the City. A copy of
said proposal is on file in the Mayor's Office of
Cultural Affairs. The terms of the proposal are
incorporated herein by reference and shall govern the
use~ of the funds provided herein. The financial
assistance provided for this agreement is made on a
one-time only basis, and receipt of said funds shall
not imply a continuing obligation of the City beyond
the terms of this Agreement.
B. The expenditure is for valid municipal
public purpose, to wit: for the promotion of art
appreciation in San Bernardino, as more fully set
forth in the proposal submitted by Organization.

budget for the 2003-04 fiscal year, the total sum of
$5,200.00 dollars, to cover the costs per Fine Arts
grant application agreement.
3. Use of Funds. The funds paid to Organization
shall be used solely for the purposes set forth in
Paragraph 1 and in strict compliance with the
provisions set forth in the agreement. No deviation
from the agreement shall be made without the expressed
approval of the City of San Bernardino. Said funds
shall be expended by June 30, 2004, and any unexpended
funds shall be returned to City by Organization.
4. Accounting. Within 20 days after the
completion of the event, the Organization shall submit
to the Mayor's Office, with copy to the Director of
Finance, an accounting of the actual expenditures
connected with said event as it relates to the fund
which were provided by the City. Financial records
shall be maintained in accordance with generally
accepted accounting principles by Organization in such
manner as to permit City to easily trace the
expenditures of the funds. All books and records of
Organization are to be kept open for inspection at any
time during the business day by the City or its
officers or agents. Failure to submit the financial
records in accordance with this section will result in
the Organization reimbursing the City.
5. Hold Harmless. Organization covenants and
agrees to defend, indemnify, and hold harmless the
City its elected and appointed boards, commissions,
officers, attorneys, agents and employees from all
liabilities and charges, expenses (including counsel
fees), suits or

losses however occurring, or damages arising or
growing out of the use or receipt of the funds paid
hereunder and all operations under this agreement.
Payments hereunder are made with the understanding
that the City is not involved in the performance of
services or other activities of Organization.
Organization and its employees and agents are
independent contractors and are not employees or
agents of the City in performing said services. The
costs, salary and expenses of the City Attorney and
members of his office in enforcing this agreement on
behalf of the City shall be considered as "counsel
feesH for the purposes of this paragraph.
6. Termination. City shall have the right to
terminate this Agreement and any funding remaining
unpaid hereunder for any reason by mailing a ten-day
written notice to Organization and this agreement
shall terminate ten days after the mailing of such
notice. In event this Agreement is terminated for
reasons of improper use of funds or use of funds for
any purpose other than those authorized, any
unexpended portion of funds provided by City shall be
returned to City. In addition, Organization shall
reimburse to City any funds expended which were used
for any purpose other than those authorized under this
Agreement.
7. Assignment. Organization shall not assign
its interest in this Agreement without the prior
written approval of City.
8. Insurance. Organization shall take out
and maintain during the life of this Agreement such
public liability and property damage insurance, naming
the City its elective and appointive boards,
commissions, officers, attorneys, agents, and
employees as additional

property damage which may arise from Organization's or
its agents' operation hereunder, whether such
operations be by Organization or its agent or by

Organization or its agents, and the amounts of such
insurance shall be as follows:
la) Public Liability Insurance. In an amount not
less that $1,000,000 for injuries, including, but not
limited to, death, to any person, and subject to the
same limit for each person, in an amount not less than
$100,000 on account of anyone occurrence.

Synopsis: CSUSB Foundation, Coyote Conservatory
For the Arts
The CSUSB Foundation, Coyote Conservatory for the Arts is a new
children's organization, created to provide to the children of the City of
San Bernardino a safe, enjoyable and diverse environment to explore the
various aspects of the arts.
Young citizens of a variety of ages and backgrounds are part of this
conservatory with programming that includes visual arts, puppetry,
creative drama, acting, dance, musical theatre and theater crafts.
The Puppetry Place will have emphasis on creating and performing with
puppets.

Synopsis: Inland Dance Theatres Inc.
The Inland Dance Theatre will present the 26th production of Tchaikowsky's Nutcracker Ballet
on December 6-9, 2001 at the California Theatre.
During these past 25 years over 100,000 school children have viewed with delight a live ballet.
Both cast and audience is drawn from the Inland Empire. Special rates are given to youth and
low-income families. The Nutcracker Ballet has become an established holiday tradition in the
City of San Bernardino.

and all operations under this agreement. Payments
hereunder are made with the understanding that the City
is not involved in the performance of services or other
activities of Organization. Organization and its
employees and agents are independent contractors and are
not employees or agents of the City in performing said
services. The costs, salary and expenses of the City
Attorney and members of his office in enforcing this
agreement on behalf of the City shall be considered as
ucounsel fees" for the purposes of this paragraph.
6. Termination. City shall have the right to
terminate this Agreement and any funding remaining
unpaid hereunder for any reason by mailing a ten-day
written notice to Organization and this agreement shall
terminate ten days after the mailing of such notice. In
event this Agreement is terminated for reasons of
improper use of funds or use of funds for any purpose
other than those authorized, any unexpended portion of
funds provided by City shall be returned to City. In
addition, Organization shall reimburse to City any funds
expended which were used for any purpose other than
those authorized under this Agreement.
7. Assignment. Organization shall not assign
its interest in this Agreement without the prior written
approval of City.
8. Insurance. Organization shall take out and
maintain during the life of this Agreement such public
liability and property damage insurance, naming the City
its elective and appointive boards, commissions,
officers, attorneys, agents and employees as additional

insured by Organization and its agents performing acts
covered by this Agreement from the claims for personal
injury, including death, as well as from claims for
property damage which may arise from Organization's or
its agents' operation hereunder, whether such operations
be by Organization or its agent or by anyone directly or
indirectly employed by either Organization or its
agents, and the amounts of such insurance shall be as
follows:
(a) Public Liability Insurance. In an amount not
less that $1,000,000 for injuries, including, but not
limited to, death, to any person, and subject to the
same limit for each person, in an amount not less than
$100,000 on account of anyone occurrence.

any such document or instrument, the terms and
conditions of this Agreement shall prevail.
12. Non-Discrimination. Organization agrees that
for the term of this Agreement it shall not discriminate
in employment recruitment, hiring, admission practices,
advertising or in an other manner on the basis of race,
color, creed, religion, national origin, sex, physical
handicap, or marital status.

Synopsis: Junior University of San Bernardino, Inc.
Junior University of San Bernardino, Inc. began in 1962 as a Children's summer
activity in the backyard of Robert Henleys' home.
Junior University's productions moved to a larger venue in 1965 - The Perris Hill
Park Bowl.
Each June many hundreds of children and adults participate in open auditions. A
cast of 65-80 are selected. Ages range from 10 years and older. The season opens
in mid-July for a 14 night run.
Free tickets are provided, to Goodwill Industries, Hill Acres Children's Home,
Center ofIndividuals with disabilities and other City Institutions.

THIS AGREEMENT is entered into between the CITY
OF SAN BERNARDINO, a municipal corporation, referred
to as MCity" and the Junior University of San
Bernardino, Inc., a non-profit organization, referred
to an MOrganization"
The parties agree as follow:
1. Recitals.
A. Organization has requested financial
Assistance from City for fiscal year 2003-04, in
order to assist in defraying the expense of certain
concerts, shows, festivals, or events of activities
sponsored by Organizations as set forth
Organization's grant proposal (hereinafter Mthe
proposal") approved by the Fine Arts Commission of
the City. A copy of said proposal is on file in the
Mayor's Office of Cultural Affairs. The terms of the
proposal are incorporated herein by reference and
shall govern the uses of the funds provided herein.
The financial assistance provided for this agreement
is made on a one-time only basis, and receipt of said
funds shall not imply a continuing obligation of the
City beyond the terms of this Agreement.
B. The expenditure is for valid municipal
public purpose, to wit: for the promotion of art
appreciation in San Bernardino, as more fully set
forth in the proposal submitted by Organization.
2. Payment. Upon presentation of a claim to
the Mayor's Office, City shall pay to Organization

budget for the 2003-04 fiscal year, the total sum of
$7,000.00 dollars, to cover the costs per Fine Arts
grant application agreement.
3. Use of Funds. The funds paid to
Organization shall be used solely for the purposes
set forth in Paragraph I and in strict compliance
with the provisions set forth in the agreement. No
deviation from the agreement shall be made without
the expressed approval of the City of San Bernardino.
Said funds shall be expended by June 30, 2004, and
any unexpended funds shall be returned to City by
Organization.
4. Accounting. Within 20 days after the
completion of the event, the Organization shall
submit to the Mayor's Office, with copy to the
Director of Finance, an accounting of the actual
expenditures connected with said event as it relates
to the fund which were provided by the City.
Financial records shall be maintained in accordance
with generally accepted accounting principles by
Organization in such manner as to permit City to
easily trace the expenditures of the funds. All books
and records of Organization are to be kept open for
inspection at any time during the business day by the
City or its officers or agents. Failure to submit the
financial records in accordance with this section
will result in the Organization reimbursing the City.
5. Hold Harmless. Organization covenants and
agrees to defend, indemnify, and hold harmless the
City, its elected and appointed boards, commissions,
officers, attorneys, agents and employee from all
liabilities and charges, expenses (including counsel
fees), suits or

The San Bernardino-Riverside Counties District Metropolitan Opera Auditions,
one of sixteen regional auditions, includes the states of California, Arizona, and
southern Nevada.
The Metropolitan Opera Auditions for the Inland Empire was formed in 1959 and
is one of six local Districts of Metropolitan Opera Council auditions.
These auditions afford our local singers the opportunity to compete and provide
contacts with producers and directors in the vocal concert structure. Several
previous winners have successful careers with various National and International
Opera companies.

Synopsis: Prime Time Choraliers
The Prime Time Choraliers was formed in 1986 by Mrs. Millie Marshall
and was an outgrowth of American Association of Retired Persons. The
organization provides an opportunity to senior citizens to enjoy and
share their love of music and performing with many groups in San
Bernardino. The ages of it's members range from 55 to 89.
Citizens of a variety of backgrounds are part of this choir presenting a
varied repertory of musical performance.

Recitals.
A. Organization has requested finan~ial
Assistance from City for fiscal year 2003-04, in
order to assist in defraying the expense of certain
concerts, shows, festivals, or events of activities
sponsored by Organizations as set forth
Organization's grant proposal (hereinafter "the
proposalU) approved by the Fine Arts Commission of
the City. A copy of said proposal is on file in the
Mayor's Office of Cultural Affairs. The terms of the
proposal are incorporated herein by reference and
shall govern the uses of the funds provided herein.
The financial assistance provided for this agreement
is made on a one-time only basis, and receipt of said
funds shall not imply a continuing obligation of the
City beyond the terms of this Agreement.
B. The expenditure is for valid municipal
public purpose, to wit: for the promotion of art
appreciation in San Bernardino, as more fully set
forth in the proposal submitted by Organization.
2. Payment. Upon presentation of a claim to
the Mayor's Office, City shall pay to Organization

budget for the 2003-04 fiscal year, the total sum of
$2,297.00 dollars, to cover the costs per Fine Arts
grant application agreement.
3. Use of Funds. The funds paid to
Organization shall be used solely for the purposes
set forth in Paragraph I and in strict compliance
with the provisions set forth in the agreement. No
deviation from the agreement shall be made without
the expressed approval of the City of San Bernardino.
Said funds shall be expended by June 30, 2004, and
any unexpended funds shall be returned to City by
Organization.
4. Accounting. Within 20 days after the
completion of the event, the Organization shall
submit to the Mayor's Office, with copy to the
Director of Finance, an accounting of the actual
expenditures connected with said event as it relates
to the fund which were provided by the City.
Financial records shall be maintained in accordance
with generally accepted accounting principles by
Organization in such manner as to permit City to
easily trace the expenditures of the funds. All books
and records of Organization are to be kept open for
inspection at any time during the business day by the
City or its officers or agents. Failure to submit the
financial records in accordance with this section
will result in the Organization reimbursing the City.
5. Hold Harmless. Organization covenants and
agrees to defend, indemnify, and hold harmless the
City, its elective and appointed boards, commissions,
officers, attorneys, agents and employees from all
liabilities and charges, expenses (including counsel
fees), suits or

losses however occurring, or damages arising or
growing out of the use or receipt of the funds paid
hereunder and all operations under this agreement.
Payments hereunder are made with the understanding
that the City is not involved in the performance of
services or other activities of Organization.
Organization and its employees and agents are
independent contractors and are not employees or
agents of the City in performing said services. The
costs, salary and expenses of the City Attorney and
members of his cffice in enforcing this agreement on
behalf of the City shall be considered as "counsel
fees" for the purposes of this paragraph.
6. Termination. City shall have the right to
terminate this Agreement and any funding remaining
unpaid hereunder for any reason by mailing a ten-day
written notice to Organization and this agreement
shall terminate ten days after the mailing of such
notice. In event this Agreement is terminated for
reasons of improper use of funds or use of funds for
any purpose other than those authorized, any
unexpended portion of funds provided by City shall be
returned to City. In addition, Organization shall
reimburse to City any funds expended which were used
for any purpose other than those authorized under
this Agreement.

Synopsis: Sinfonia Mexicana Society
The City of San Bernardino is indeed fortunate in having many citizens of diverse
cultures and faiths.
1) The Sinfonia Mexican Society was organized in 1984 under the auspicious
of the San Bernardino Symphony Orchestra with the purpose of creating
community awareness and appreciation of the classic music of Mexican
composers.
2) Later a new popular component Mariachi, the folk music of Mexico was
introduced with great success.
3) In 1997 a Mariachi Youth instructional program was developed which
continues to enroll youth between 8-17 years of age.

THIS AGREEMENT is entered into between the CITY
OF SAN BERNARDINO, a municipal corporation, referred
to as "City" and the Sinfonia Mexicana, a non-profit
organization, referred to an "Organization"
The parties agree as follow:
1. Recitals.
A. Organization has requested financial
Assistance from City for fiscal year 2003-04, in
order to assist in defraying the expense of certain
concerts, shows, festivals, or events of activities
sponsored by Organizations as set forth
Organization's grant proposal (hereinafter "the
proposal") approved by the Fine Arts Commission of
the City. A copy of said proposal is on file in the
Mayor's Office of Cultural Affairs. The terms of the
proposal are incorporated herein by reference and
shall govern the uses of the funds provided herein.
The financial assistance provided for this agreement
is made on a one-time only basis, and receipt of said
funds shall not imply a continuing obligation of the
City beyond the terms of this Agreement.
B. The expenditure is for valid municipal
public purpose, to wit: for the promotion of art
appreciation in San Bernardino, as more fully set
forth in the proposal submitted by Organization.
2. Payment. Upon presentation of a claim to
the Mayor's Office, City shall pay to Organization

budget for the 2003-04 fiscal year, the total sum of
$58,000.00 dollars, to cover the costs per Fine Arts
grant application agreement.
3. Use of Funds. The funds paid to
Organization shall be used solely for the purposes
set forth in Paragraph 1 and in strict compliance
with the provisions set forth in the agreement. No
deviation from the agreement shall be made without
the expressed approval of the City of San Bernardino.
Said funds shall be expended by June 30, 2004, and
any unexpended funds shall be returned to City by
Organization.
4. Accounting. Within 20 days after the
completion of the event, the Organization shall
submit to the Mayor's Office, with copy to the
Director of Finance, an accounting of the actual
expenditures connected with said event as it relates
to the fund which were provided by the City.
Financial records shall be maintained in accordance
with generally accepted accounting principles by
Organization in such manner as to permit City to
easily trace the expenditures of the funds. All books
and records of Organization are to be kept open for
inspection at any time during the business day by the
City or its officers or agents. Failure to submit the
financial records in accordance with this section
will result in the Organization reimbursing the City.
5. Hold Harmless. Organization covenants and
agrees to defend, indemnify, and hold harmless the
City, its elective and appointive boards,
commissions, officers, attorneys, agents and
employees from all liabilities and charges, expenses

fees), suits or losses however occurring, or damages
arising or growing out of the use or receipt of the
funds paid hereunder and all operations under this
agreement. Payments hereunder are made with the
understanding that the City is not involved in the
performance or services or other activities of
Organization. Organization and its employees and
agents are independent contractors and are not
employees or agents of the City in performing said
services. The costs, salary and expenses of the City
Attorney and members of his office in enforcing this
agreement on behalf of the City shall be considered
as ftcounsel fees" for the purposes of this paragraph.
6. Termination. City shall have the right to
terminate this Agreement and any funding remaining
unpaid hereunder for any reason by mailing a ten-day
written notice to Organization and this agreement
shall terminate ten days after the mailing of such
notice. In event this Agreement is terminated for
reasons of improper use of funds or use of funds for
any purpose other than those authorized, any
unexpended portion of funds provided by City shall be
returned to City. In addition, Organization shall
reimburse to City any funds expended which were used
for any purpose other than those authorized under
this Agreement.

acts covered by this Agreement from the claims for
personal injury, including death, as well as from
claims for property damage which may arise from
Organization's or its agents' operation hereunder,
whether such operations be by Organization or its
agent or by anyone directly or indirectly employed by
either Organization or its agents, and the amounts of
such insurance shall be as follows:
(a) Public Liability Insurance. In an amount
not less that $1,000,000 for injuries, including, but
not limited to, death, to any person, and subject to
the same limit for each person, in an amount not less
than $100,000 on account of anyone occurrence.

11. Entire Agreement. This Agreement and any
other documents of instruments attached hereto or
referred to herein integrate all terms and conditions
mentioned herein or incidental hereto, and supersede
all negotiations and prior writing in respect to the
subject matter hereof. In the event of conflict
between the terms conditions or provisions of this
Agreement, and any such document or instrument, the
terms and conditions of this Agreement shall prevail.
12. Non-Discrimination. Organization agrees
that for the term of this Agreement it shall not
discriminate in employment recruitment, hiring,
admission practices, advertising or in an other
manner on the basis of race, color, creed, religion,
national origin, sex, physical handicap, or marital
status.

Synopsis: Inland Empire Symphonic Choir
The Inland Empire Symphonic Choir is the official chorus of
the San Bernardino Symphony Orchestra at the California
Theatre. It is comprised of members of the community and the
campus at Cal State University, San Bernardino.
Although the choir receives some funding from Cal State, the
majority of its funding comes from fund raising and grant
activity. Nearly half of the choir's audience is comprised of
complimentary admissions, which go, primarily, to students.

AGREEMENT
Fine Arts Funding
THIS AGREEMENT is entered into between the CITY OF
SAN BERNARDINO, a municipal corporation, referred to as
"City" and the Inland Empire Symphonic Choir, a non-
profit organization, referred to an "Organization"
The parties agree as follow:
1. Recitals.
A. Organization has requested financial
Assistance from City for fiscal year 2003-04, in order
to assist in defraying the expense of certain concerts,
shows, festivals, or events of activities sponsored by
Organizations as set forth Organization's grant proposal
(hereinafter "the proposal") approved by the Fine Arts
Commission of the City. A copy of said proposal is on
file in the Mayor's Office of Cultural Affairs. The
terms of the proposal are incorporated herein by
reference and shall govern the uses of the funds
provided herein. The financial assistance provided for
this agreement is made on a one-time only basis, and
receipt of said funds shall not imply a continuing
obligation of the City beyond the terms of this
Agreement.
B. The expenditure is for valid municipal public
purpose, to wit: for the promotion of art appreciation
in San Bernardino, as more fully set forth in the
proposal submitted by Organization.
2. Payment. Upon presentation of a claim to the
Mayor's Office, City shall pay to Organization from the

budget for the 2003-4 fiscal year, the total sum of
$683.00 dollars, to cover the costs per Fine Arts grant
application agreement.
3. Use of Funds. The funds paid to Organization
shall be used solely for the purposes set forth in
Paragraph 1 and in strict compliance with the provisions
set forth in the agreement. No deviation from the
agreement shall be made without the expressed approval
of the City of San Bernardino. Said funds shall be
expended by June 30, 2004, and any unexpended funds
shall be returned to City by Organization.
4. Accounting. Within 20 days after the
completion of the event, the Organization shall submit
to the Mayor's Office, with copy to the Director of
Finance, an accounting of the actual expenditures
connected with said event as it relates to the fund
which were provided by the City. Financial records shall
be maintained in accordance with generally accepted
accounting principles by Organization in such manner as
to permit City to easily trace the expenditures of the
funds. All books and records of Organization are to be
kept open for inspection at any time during the business
day by the City or its officers or agents. Failure to
submit the financial records in accordance with this
section will result in the Organization reimbursing the
City.
5. Hold Harmless. Organization covenants and
agrees to defend, indemnify, and hold harmless the City
its ~lected and appointed boards, commissions, officers,
attorneys, agents and employees from all liabilities and
charges, expenses (including counsel fees), suits or

losses however occurring, or damages arising or growing
out of the use or receipt of the funds paid hereunder
and all operations under this agreement. Payments
hereunder are made with the understanding that the City
is not involved in the performance of services or other
activities of Organization. Organization and its
employees and agents are independent contractors and are
not employees or agents of the City in performing said
services. The costs, salary and expenses of the City
Attorney and members of his office in enforcing this
agreement on behalf of the City shall be considered as
"counsel fees" for the purposes of this paragraph.
6. Termination. City shall have the right to
terminate this Agreement and any funding remaining
unpaid hereunder for any reason by mailing a ten-day
written notice to Organization and this agreement shall
terminate ten days after the mailing of such notice. In
event this Agreement is terminated for reasons of
improper use of funds or use of funds for any purpose
other than those authorized, any unexpended portion of
funds provided by City shall be returned to City. In
addition, Organization shall reimburse to City any funds
expended which were used for any purpose other than
those authorized under this Agreement.
7. Assignment. Organization shall not assign
its interest in this Agreement without the prior written
approval of City.
8. Insurance. Organization shall take out and
maintain during the life of this Agreement such public
liability and property damage insurance, naming the City
its elective and appointive boards, commissions,
officers, attorneys, agents and employees as additional

insured by Organization and its agents performing acts
covered by this Agreement from the claims for personal
injury, including death, as well as from claims for
property damage which may arise from Organization's or
its agents' operation hereunder, whether such operations
be by Organization or its agent or by anyone directly or
indirectly employed by either Organization or its
agents, and the amounts of such insurance shall be as
follows:
(a) Public Liability Insurance. In an amount not
less that $1,000,000 for injuries, including, but not
limited to, death, to any person, and subject to the
same limit for each person, in an amount not less than
$100,000 on account of anyone occurrence.

(c) Workers Compensation. Organization shall
provide worker compensation insurance in the amount
required by state law if the funds provided hereunder
are to be paid as a salary to any employee of

shall require that all rights of subrogation under such

(d) The Certificate of Insurance furnished to the
City shall require the insurer to notify the City of any
change or termination in the policy.

9. Obligation. Organization hereby convenants
that it has taken all actions necessary to make the
adherence to the obligations imposed by this agreement a
binding obligation of the organization.
10. Notices. All notices herein required shall be
in writing and delivered in person or sent by certified
mail, postage prepaid addressed as follows:

11. Entire Agreement. This Agreement and any
other documents of instruments attached hereto or
referred to herein integrate all terms and conditions
mentioned herein or incidental hereto, and supersede all
negotiations and prior writing in respect to the subject
matter hereof. In the event of conflict between the
terms conditions or provisions of this Agreement, and
any such document or instrument, the terms and
conditions of this Agreement shall prevail.
12. Non-Discrimination. Organization agrees that
for the term of this Agreement it shall not discriminate
in employment recruitment, hiring, admission practices,
advertising or in an other manner on the basis of race,
color, creed, religion, national origin, sex, physical
handicap, or marital status.
