R4_1hR RESOLUTION OF THE CITY OF SAN BERNARDINO AUTHORIZING THE EXECUTION OF A MEMORANDUM OF UNDERSTANDING WITH THE COUNTY OF SAN BERNARDINO, ACTING THROUGH ITS COMMUNITY SERVICES DEPARTMENT NUTRITION FOR SENIORS PROGRAM RELATING TO A NUTRITION FOR SENIORS PROGRAM. 2 3 4 5 6 BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY OF SAN BERNARDINO AS FOLLOWS: 7 SECTION 1. The Mayor of the City of San Bernardino is hereby 8 authorized and directed to execute on behalf of said City a 9 Memorandum of Understanding with the County of San Bernardino, 10 acting through its Community Services Department Nutrition for 11 Seniors Program relating to a Nutrition for Seniors Program, a 12 copy of which is attached hereto, marked Exhibit "A" and 13 incorporated herein by reference as fully as though set forth at 14 length. 15 I HEREBY CERTIFY that the foregoing resolution was duly 16 adopted by the Mayor and Common Council of the City of San 17 Bernardino at a regular meeting thereof, held on 18 the 17th day of September , 1984, by the following vote, 19 to wit: 20 AYES: Council Members Castaneda, Reilly, Hernandez, 21 Ouiel, Frazier, Strickle~ 22 NAYS: None 23 ABSENT: Coul'cil ~lerober ~'arks of Septer-:'}ler , 1984. 24 25 The foregoing resolution is 26 27 m: I lij 1,1 . ,?t/_ ~/_F MEMORANDUM OF UNDERSTANDING (Nutrition for Seniors program) THIS AGREEMENT, entered into effective as of July 1, 1984, by and between the COUNTY OF SAN BERNARDINO, acting through its COMMUNITY SERVICES DEPARTMENT NUTRITION FOR SENIORS PROGRAM, hereinafter referred to as COUNTY, and CITY OF SAN BERNARDINO, hereinafter referred to as CONTRACTOR, shall govern conditions for purchase of raw food and other supplies for the senior nutrition. IT IS MUTUALLY UNDERSTOOD AND AGREED THAT: 1. COUNTY's Buyer shall do the purchasing and shall utilize the bid system in so procuring raw foods and related items. Bids shall be submitted on a regular schedule as agreed upon by both parties, and awarded to the vendor(s) submitting the lowest bid based on both quantity and quality. The Buyer shall have final authority in all buying. 2. The Buyer shall place the orders for CONTRACTOR, based on the information submitted by CONTRACTOR on a regularly established schedule. This schedule shall be established by the Buyer and presented to all users of this buying service within ten (10) days of the signing of this contract. Once ordered, no changes shall be allowed. 3. All bills for raw food and supplies thus ordered shall be sent to and paid by CONTRACTOR directly. COUNTY will accept no liability or responsibility for any delinquent or unpaid invoices and will provide no information to vendors concerning other contractors. . 4. Any discrepancies in deliveries, such as shortages, or inferior, spoiled or damaged merchandise, shall be reported promptly to the Buyer, who shall give assistance and directions as necessary. The Buyer shall be responsible for contacting the vendor and reporting the problem or problems. 5. All activities carried out under this agreement shall be in full compliance with the Contractors Manual published by the federal Office on Aging and the California Department of Aging Adminstrative Manual. 6. Reimbursement to COUNTY for Buyer's Services shall be $7,500.00 per year, payable in twelve (12) equal installments of $625.00. The first installment shall be paid upon receipt of the first increment of funds from the Office on Aging. The eleven (11) subsequent installments shall be paid by the tenth calendar day of each month. If said payment is not received by the fifteenth calendar day of the month, the COUNTY has the right to refuse service to said CONTRACTOR. 7. The City of San Bernardino will hold the County of San Bernardino, and its Community Services Department Nutrition for Seniors Program harmless for any fiscal or programmatic mistakes, errors, omissions, and liability, except for intentional misconduct or gross negligence of COUNTY or its agents or employees. 8. This agreement may be renegotiated, and amended by mutual consent of both parties and/or by order of the Office on Aging. Such amendment shall be in writing and signed by both parties. -2- . 9.
