RESOLUTION OF THE CITY OF SAN
EXECUTION OF AN AGREEMENT WITH THE
LOAN OF SAN BERNARDINO'S FLAMMABLE
UNI'f TO RIALTO.

BE IT RESOLVED BY 'I'HE MAYOR AND COMMON COUNCIL OF THE CITY OF
5 SAN BERNARDINO AS FOLLOWS:

SECTION 1. The Mayor of the City of San Bernardino is hereby
7 authorized and directed to execute on behalf of said City an
8 Agreement with the City of Rialto relating to the loan of San
9 Bernardino's flammable liquid, Twin Agent fire fighting unit to
10 Rialto, a copy of which is attached hereto, marked Exhibit "A" and
11 incorporated herein by reference as fully as though set forth at
12 length.

A G R E E MEN T

(Use of Twin Agent Unit)

THIS AGREEMENT is made and entered into this
day of
4 , 1983, by and between the CITY OF SAN BERNARDINO,
5 a municipal corporation, hereinafter called "San Bernardino", and
6 the CITY OF RIALTO, a municipal corporation, hereinafter called
7 "Rial to" .
8 San Bernardino and Rialto agree as follows:

1. Recitals.

(a) San Bernardino has a flammable liquid, Twin Agent
11 fire fighting unit which has been taken out of service because
12 six City fire engines now have a light water delivery system.

(b) Rialto desires that the unit be loaned to it for
14 assignment at the Rialto Airport.

(c) Rialto has agreed to respond the Twin Agent unit to
16 the City of San Bernardino when requested.

(d) This proposal is beneficial to both agencies,
18 because the unit will remain in service and will be available to
19 San Bernardino if necessary.
2. Term. This agreement shall commence on July 1, 1983, and
20
21 shall continue in full force and effect until terminated by either
22 party, as provided in paragraph 5 of this agreement.
3. Consideration. In consideration for the use of the Twin
23

Agent unit, Rialto shall, at its expense, adequately house,
25
maintain and repair said Tvlin Agent unit as is necessary to keep
26
the Twin Agent unit in good operating condition, and shall respond
27
the Twin Agent unit to the City of San Bernardino upon request.

4. Responsibility for Equipment. While in Rialto's
EXHIBIT A
1 possession, Rialto shall be responsible for the repair or
2 replacement of the Twin Agent unit if lost, damaged, stolen or
3 otherwise destroyed, to the extent of six thousand dollars, the
4 fair market value of the property as determined by San Bernardino.
5 Each party shall be responsible for replacing all extinguishing
6 agents used to fight flammable liquid fires when in use by that
7 party. During any use by San Bernardino of the Twin Agent unit,
8 San Bernardino shall be responsible for the repair or replacement
9 of the Twin Agent unit; provided, however, should San Bernardino
10 decide not to repair or replace the Twin Agent unit, this
11 agreement shall terminate forthwith.

5. Termination. Either party may terminate this agreement
13 upon thirty (30) days written notice to the other party, or Rialto
14 may relinquish or San Bernardino may repossess the Twin Agent unit
15 upon like notice to the other party, except that San Bernardino
16 may repossess the Twin Agent unit without written notice whenever
17 it deems that the saIne is not being maintained in accordance with
18 this agreement. Rialto shall cooperate with San Bernardino with
19 respect to such repossession. Upon termination thereof, Rialto
20 agrees to return said Twin Agent unit in the same condition as
21 received, reasonable wear and tear, acts of God, and conditions
22 over which it has no control excepted.

6. Notices. All notices herein required shall be in writing
24 and delivered in person or sent by certified mail, postage
25 prepaid, addressed as follows:
