BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY OF SAN BERNARDINO AS FOLLOWS: SECTION 1. That Enterprise Electronic Datacom In. of Temecula, California is a selected source provider of both the security software and networking hardware needed to establish wireless "hot-spots" at City facilities. That the Mayor and Common Council authorize an exemption from the regular bid process in accordance with Section 3.04.010, Section B.3 of the San Bernardino Municipal Code. SECTION 2. That the Mayor and Common Council authorize the Purchasing Manager to issue a purchase order for $46,498.60 to Enterprise Electronic Datacom Inc, for the purchase of wireless networking hardware and security software. The Purchase Order shall reference the number of this resolution and shall read "Police Wireless Hot-Spot Hardware and Security Software. Enterprise Electric Datacom Inc. Quote 10-29-2005. Not to exceed $46,498.60." (Enterprise) will provide the labor and materials detailed below to complete the configuration, installation, and testing of a Cisco Access Control Server appliance (ACS) in the computer room at the San Bernardino Police Station. This proposal includes a one year Cisco Smartnet warranty for the ACS appliance. Enterprise will provide the labor and materials detailed below to complete the installation of 10 wireless hot spots in various locations in San Bernardino. The hot spot installation will include the mounting of the antenna mast, antenna, antenna cable, and the access point. A network drop will be installed between the access point and the network switch. Each access point will be configured and tested. Notes . Enterprise is not responsible for Internet or other connectivity between the San Bernardino Police Station and any of the remote locations. . Enterprise is not responsible for providing or configuring router, firewalls, gateways, switches or other devices not provided by Enterprise. . All remote locations are to be within the San Bernardino City limits. . This proposal makes not provisions for man lifts to complete the installations. If the sites chosen by the city require man lifts to complete the installations of the hot spots this cost will be an additional charge. . No electrical work is included in this proposal. U Terms and Conditions/Proposal Acceptance 1. Bid price will remain in effect for sixty days. 2. Any additions and/or change orders will be done on a firm quote or on a time and material basis, once an authorization form is signed by the customer and returned to Enterprise. 3. This project is bid for the work to be performed on a continuous basis, start to finish. Any project stoppage due to the customer or other trades may involve additional charges. 4. Invoicing shall be monthly, based on progress oflabor and material. 5. Full payment not to exceed thirty days from original invoice date. The customer agrees to pay a service charge of 1 Y2% per month on unpaid balance. 6. Enterprise reserves the right to stop work when any invoice exceeds thirty days past due. 7. Any objections or questions related to any application for payment must be raised within twenty days from original invoice date. The customer agrees that any objections or questions not raised within twenty days are waived. 8. Any controversy or claim arising out of or relating to this Contract, or breach thereof, shall be settled by arbitration in accordance with the rules of the American Arbitration Association, and judgment upon the award rendered by the arbitrator(s) is binding to all parties including, but not limited to, preparation cost, court cost and reasonable attorney fees.
