CDCj2003-36 2 3 A RESOLUTION OF THE COMMUNITY DEVELOPMENT COMMISSION OF THE CITY OF SAN BERNARDINO APPROVING AND AUTHORIZING THE EXECUTIVE DIRECTOR OF THE AGENCY TO EXECUTE THE AMENDMENT NO.4 (TWO (2) YEAR EXTENSION) TO THE DIANA L. SANCHEZ, NEIGHBORHOOD INITIATIVE PROGRAM (NIP) COORDINATOR CONSULTANT SERVICES AGREEMENT, SUBJECT TO FUNDING APPROVAL BY THE COUNTY OF SAN BERNARDINO NIP PROGRAM 4 5 6 7 8 WHEREAS, Agency and Consultant have previously entered into an Agreement dated November 15, 1999 ("Agreement"), and as subsequently amended on November 20, 2000, November 19, 2001 and November 18, 2002 for the purpose of implementing and administering the Neighborhood Initiative Grant Program ("NIP"). 9 10 11 12 THE COMMUNITY DEVELOPMENT COMMISSION OF THE CITY OF SAN BERNARDINO DOES HEREBY RESOLVE, DETERMINE AND ORDER, AS FOLLOWS: 13 14 Section 1. The Executive Director or his/her designee is hereby authorized and 15 directed to execute on behalf of the Redevelopment Agency of the City of San Bernardino ("Agency") the two (2) year contract extension ("Amendment No.4") to the Professional Services Agreement by and between Diana 1. Sanchez ("Consultant") and the Agency to provide assistance to the Agency in the implementation and administration of the Neighborhood Initiative Program (NIP) pursuant to the Cooperation Agreement between the Agency and the County of San Bernardino (the "County") as approved by the Community Development Commission on September 7, 1999 and as subsequently amended March 19,2001 which is on file with the Agency Secretary. A copy of Amendment No. 4 to the Professional Services Agreement is attached hereto as Exhibit "A" and incorporated herein by this reference in its entirety. 16 17 18 19 20 21 22 23 24 1/1 /II 25 -1- P:\Agendas\Resolullons\Resolutions\2003\03-11-03 NIP Contract Renewal CDC Reso.doc minor corrections, additions, and clarifications to the Agreement, provided said changes are approved by Agency Counsel and are not substantive in nature, and do not increase the monetary impact to the Agency. Sanchez (Consultant"). RECIT ALS WHEREAS, Agency and Consultant have previously entered into an Agreement dated November 15, 1999 ("Agreement"), and as subsequently amended on November 20, 2000 ("Amendment No. I"), November 19, 2001 ("Amendment No.2") and November 18, 2002 ("Amendment No.3") for the purpose of implementing and administering the Neighborhood Initiative Grant Program ("NIP"); and WHEREAS, Agency and Consultant desire to amend specific provISIOns of the Agreement ("Amendment No.4") to extend the Agreement for an additional two (2) years as provided herein subject to funding by the County of San Bernardino ("County)" NOW, THEREFORE, in consideration of the mutual covenants herein set forth and the mutual benefits to be derived therefrom, the parties agree to modify the Agreement in the following two sections only: Section 3. Terms (a): "This Amendment No. 4 to the Agreement shall provide for the Agreement to be extended for an additional two (2) years, commencing on November 20, 2003 and shall remain in full force and effect for a period of twenty-four (24) months thereafter, unless terminated sooner for the convenience of either party as provided in Section 24 of the Agreement. It is further understood between the parties that this Amendment No.4 is conditioned upon the Agency receiving Neighborhood Initiative Program (NIP) funds pursuant to the County of San Bernardino and Redevelopment Agency September 7, 1999 Cooperative Agreement. Should the NIP Funds not be available to the Agency, then this Amendment No.4 shall terminate upon such notice to the Agency that NIP Funds are no longer available." Section 8 - Compensation: "The maximum compensation for services rendered under this Amendment No.4, including all Consultant's costs shall not exceed $65,300 for the twelve (12) month period commencing November 20,2003 and the twelve (12) month period commencing November 20, 2004. During the term of this Agreement, Agency shall pay Consultant this compensation in twenty-four (24) equal installments for each twelve (12) month period. Consultant shall provide an itemized invoice to the Agency.
