CDC/2001-47 2 3 RESOLUTION OF THE COMMUNITY DEVELOPMENT COMMISSION OF THE CITY OF SAN BERNARDINO APPROVING AND AUTHORIZING THE EXECUTIVE DIRECTOR TO EXECUTE AMENDMENT NO. 1 TO THE AGREEMENT BETWEEN THE REDEVELOPMENT AGENCY AND OLDTIMERS FOUNDATION, INC., IN THE AMOUNT OF $40,000, TO CONTINUE THE ELDERLY/SPECIAL NEEDS MINOR HOME REPAIR GRANT PROGRAM 4 5 6 7 WHEREAS, the Community Development Commission of the City of San Bernardino (the "Commission") is the governing body of the Redevelopment Agency of the City of San Bernardino (the "Agency"), a public body corporate and politic, organized and existing pursuant to the Community Redevelopment Law (California Health and Safety Code Section 33000, et seq.); and 8 9 10 11 12 WHEREAS, the Agency and Oldtimers Foundation, a California non-profit Corporation (the "Contractor") entered into that certain ih day of August 2000 Agreement (the "Agreement") for the purpose of implementing the elderly/special needs minor home repair grant program as described in the Scope of Services Exhibit "A" of the Agreement; and WHEREAS, the Agency and Contractor agree to continue the Grant Program for low income homeowners for the fiscal year 2001/2002 and ending June 30, 2002; and WHEREAS, the Agency and Contractor agree that all other terms ofthe original 13 14 15 16 17 18 Agreement remain unchanged, and in full force and affect. 19 20 NOW, THEREFORE, THE COMMUNITY DEVELOPMENT COMMISSION ACTING ON BEHALF OF THE REDEVELOPMENT AGENCY OF THE CITY OF SAN BERNARDINO DOES HEREBY RESOLVE, DETERMINE AND ORDER AS FOLLOWS: 21 22 Section 1. The Commission hereby approves Amendment No.1 attached hereto as 23 Exhibit "A". 24 Section 2. The Executive Director of the Agency is hereby authorized to execute 25 Amendment No. 1 on behalf of the Agency in substantially the form attached hereto, together with such non substantive changes therein as may be approved by the Executive Director and -1- OldtilTleI'S . The Executive Director or such other designated representative of the 2 Agency is further authorized to do any and all things and take any and all actions as may be 3 deemed necessary or advisable to effectuate the purposes of Amendment No.1. II CDC/2001-47 EXHIBIT "A" 2 3 AMENDMENT NO.1 TO OLDTIMERS FOUNDATION AGREEMENT 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 -4- 01dtimers CDC/2001-47 AMENDMENT NO.1 TO THE AGREEMENT DATED AUGUST 7, 2000 BETWEEN THE REDEVELOPMENT AGENCY AND THE OLDTIMERS FOUNDATION FOR 2 THE ELDERLY/SPECIAL NEEDS HOME REPAIR GRANT PROGRAM 3 4 THIS AMENDMENT NO.1 ("Amendment No.1") amends the Agreement, date 5 August 7,2000, (the "Agreement"), and is dated as of this 5th day of November 2001, by an 6 between the Redevelopment Agency of the City of San Bernardino, a public body corporate an 7 politic ("Agency"), and Oldtimers Foundation, Inc., a California non-profit corporation 8 ("Contractor") in view of the facts set forth in the following Recitals; 9 RECITALS 10 WHEREAS, the Agency and Contractor have previously entered into an Agreement fo 11 the purpose of allowing the Contractor to implement an affordable housing improvemen 12 program known as the "Elderly/Special Needs Minor Home Repair Grant Program" (referred t 13 as the "Program") as described in the Agreement, to assist the Agency in effectuating its low 14 and moderate-income housing requirements pursuant to the California Redevelopment Law; 15 WHEREAS, the Agency and Contractor desire to amend the Agreement as set forth i 16 this Amendment No. I to increase the amount appropriated for the "Program", and extend th 17 term of the Agreement. 18 NOW, THEREFORE, IN CONSIDERATION OF THE MUTUAL COVENANTS HEREIN SET FORTH AND THE MUTUAL BENEFITS TO BE DERIVED THEREFROM 19 20 THE CONTRACTOR AND THE AGENCY HERETO AGREE AS FOLLOWS: 21 Section 1. The meaning of the words and phrases as used in this Amendment No.1 shal 22 be the same as set forth in the Agreement. The text of the Agreement (and all exhibit 23 accompanying the Agreement) is hereby incorporated into this Amendment No. 1 by thi 24 reference. 25 -1- P:\Fom1S\Housing Fonlls\Housing Misc\Oldtimers Amend l.doc CDC/2001-47 Section 2. Section II - Responsibilities of the Contractor, of the Agreement is hereb 2 amended by this Amendment No. I to read as follows: 3 "Section 4. Time of Performance - The Services to be performed under and 4 pursuant to the Agreement and Amendment No. 1 shall be for period 5 commencing on the date Amendment No. 1 is approved by the Commission 6 (the "Effective Date") and ending June 30, 2002. The Executive Director of 7 the Agency, is authorized to extend the completion date of this Amendment 8 No. 1 for up to one hundred and twenty (120) days and approve any other 9 minor, non-substantive modifications to this Agreement as long as such 10 modifications are in writing and approved by the parties upon the same terms 11 and conditions as specified herein. 12 Section 3. Section IV - Compensation, of the Agreement is hereby amended by thi 13 Amendment No.1 to read as follows: 14 "Section 1. Compensation - In consideration of the performance of the Scope 15 of Services (Exhibit "A" of the Agreement) by the Contractor, the Agency 16 shall pay to the Contractor Forty Thousand ($40,000) dollars as set forth on 17 Exhibit "B" of the Agreement." 18 Section 4.
