A RESOLUTION OF THE COMMUNITY DEVELOPMENT
COMMISSION OF THE CITY OF SAN BERNARDINO
AWARDING A PUBLIC WORKS CONTRACT OF THE
REDEVELOPMENT AGENCY OF THE CITY OF SAN
BERNARDINO FOR THE CONSTRUCTION AND
INSTALLATION OF THE CINEMASTAR PUBLIC STREET
AND PUBLIC PARKING LOT NO. 1 IMPROVEMENTS

7 WHEREAS, the Community Development Commission of the City of
8 San Bernardino (the "Commission") is the governing body of the
9 Redevelopment Agency of the City of San Bernardino (the "Agency");
10 and
11
12 WHEREAS, the Agency has previously entered into a certain
13 Disposition and Development Agreement, dated October 29, 1996 (the
14 "Theater DDA") , with MDA-San Bernardino Associates, L.L.C. (the
15 "Developer") which provides, among other things, for the Agency to
16 finance, construct and install certain public off-site improvements
17 as necessary or convenient in connection with the Cinemastar
18 Theater Project; and
19
20 WHEREAS, the Agency as part of its obligations under the
21 Theater DDA, has previously prepared certain construction plans and
22 improvement specifications for the public works improvements
23 referred to as the "Cinemastar Public Street and Public Parking Lot
24 No. 1 Improvements" (the "Public Works Project") and the Agency has
25 previously published a notice inviting bids for the award of a
26 contract to construct and install the Public Works Project; and

WHEREAS, it is appropriate for the Commission to take the
2 action as set forth in this Resolution with respect to the Public
3 Works Project.

5 NOW, THEREFORE, THE COMMUNITY DEVELOPMENT COMMISSION ACTING ON
6 BEHALF OF THE REDEVELOPMENT AGENCY OF THE CITY OF SAN BERNARDINO
7 DOES HEREBY RESOLVE, DETERMINE AND ORDER AS FOLLOWS:

Section 1.
The Commission hereby acknowledges its receipt
10 of the Agency staff report as relates to the Public Works Contract.

Section 2.
The Commission hereby approves the performance
13 of the construction and installation of the Public Works Project by
14 Holland-Lowe,Inc., a California corporation ("Contractor") for the
15 total contract price payable by the Agency of Four Hundred Fifty
16 Five Thousand Three Hundred and Five Dollars and Eighty Five Cents
17 ($455,305.85) as set forth in document entitled "Bid Price Detail"
18 in accordance with the document entitled "1999 Contract for
19 Cinemastar
Public
Street
and
Public
Parking
Lot
No.
1
20 Improvements," (the "Contract") included in the "Project Bid
21 Documents" as on file with the Agency Secretary.
The Commission
22 hereby awards the Contract to the Contractor. The Chairperson of
23 the Commission is hereby authorized and directed to execute the
24 Contract on behalf of the Agency substantially in the form as
25 included in the Project Bid Documents, together with technical and
26 conforming changes recommended by Agency Counsel, upon receipt from
27 the Contractor of the appropriate evidence of insurance, the

1 payment bond and the performance bond, all as set forth in the
2 Contract.

Section 3.
The Commission hereby appropriates the sum of
5 $523,600.00 from the funds of the Agency available to pay for the
6 costs and obligations assumed by the Agency under the Theater DDA
7 to pay for the cost of the construction and installation of the
8 Public Works Project pursuant to the Contract.

CONTRACT FOR CINEMASTAR
PUBLIC STREET AND
PUBLIC PARKING LOT NO. 1 IMPROVEMENTS
THIS 1999 CONTRACT FOR CINEMASTAR PUBLIC STREET AND PUBLIC
PARKING LOT NO. 1 IMPROVEMENTS (the "Contract") is dated October

(the "Contractor") and the Redevelopment
Agency of the City of San Bernardino (the "Agency") and this
Contract is entered into for the performance by the Contractor of
the work of improvement (the "Work") on the public works project
(the "Project") described in the Agency's Notice Inviting Bids and
the Project Bid Documents, as follows:
CINEMASTAR
PUBLIC STREET AND
PUBLIC PARKING LOT NO. 1 IMPROVEMENTS
NOW THEREFORE, THE PARTIES TO THIS CONTRACT HEREBY AGREE AS
FOLLOWS:
Section 1. In addition to the usage of the words, terms and
phrases as specially set forth in this Contract, the meaning of the
other defined words and phrases as used in this Contract shall be
the same as set forth in the Project Bid Documents.
The words "Commencement Date" refer to the date on which the
Chairperson of the Community Development Commission executes
this Contract on behalf of the Agency.
The words "Contract Documents" refer to and include each of
the documents identified under the definition of the term
"Project Bid Documents" below, and the following additional
documents:
Contract;
Evidence of Insurance;
Payment Bond;
Performance Bond;
City Permits.
The words "Contract Price" means the total amount of money for
which the Contract is awarded. The Contract Price means the

sum as set forth by the Contractor in the Bid Price Detail,
less any deductions as may be ordered during the course of
performance of the Contract by the Engineer, plus any
additional amounts as may be payable under one or more written
Modifications of this Contract.
The word "Proj ect" means and refers to the public works
project described in the Agency's Notice Inviting Bids, and
each Addendum issued by the Agency prior to the award of the
Contract.
The words"Project Bid Documents" refer the following:
Notice Inviting Bids;
Special Provisions;
Standard Specifications;
Maps, Plans and Drawings;
Addendum No. 1 and No.2; and
Bid Form and Bidder Certification, including
Exhibit "A" - Affidavit of Noncollusion
Exhibit "B" - Bid Price Detail
Exhibit "C" - Identification of Subcontractors
The word "Work" means and refers to that which is proposed to
be constructed or done under the Contract by the Contractor,
including the furnishing of all labor, materials and
equipment.
Section 2. Contractor represents and agrees that the entire
and integrated agreement between the parties is set forth in this
Contract. This Contract supersedes all prior negotiations,
representations or agreements, either written or oral. The
representations and warranties of the Contractor as set forth in
the Bid Form and Certification are true and correct. The Project
Bid Documents and the Contract Documents, and each of them, are
hereby incorporated by this reference in this Contract and are made
a part hereof.
Section 3. The Contractor shall fully and faithfully perform
the Work described in the Project Bid Documents. The Contractor
shall begin the performance of the Work on the Commencement Date.
The Commencement Date is the date indicated next to the
signature of the Chairperson of the Community Development
Commission of the City of San Bernardino on page 6, below. The
Contractor shall substantially complete the Work within forty (40)

calendar days following the Commencement Date, except that in the
event that the Work may be suspended under Section 6-3.2 of the
Standard Specifications for more than six (6) hours on any day, the
Contractor shall be entitled to an extension of one full calendar
day for the substantial completion of the Work for each such day
the Work may remain suspended.
If the Work is not substantially completed within forty (40)
calendar days following the Commencement Date,the Contractor
understands and acknowledges that the Agency will suffer damage,
and the Contractor and the Agency each agree that it is impractical
and unfeasible to determine in advance the actual amount of damages
which the Agency will sustain if the Work is not substantially
completed wi thin such period of time. Accordingly, the parties
agree that liquidated damages are payable by the Contractor to the
Agency at the rate of Five Hundred Dollars ($500.00) per day for
each day in excess of the time specified in the Project Bid
Documents and the Contract Documents for the substantial completion
of the Work, subject to the time adjustments under Section 6-9 of
the Standard Specifications and Section 3, above. The Contractor
and its Surety shall be liable for payment of any sum of liquidated
damages payable to the Agency.
Section 4.
(a) The Agency shall pay the Contractor the Contract Price
for the performance of the Contract. The Contract Price is

deductions provided in the Project Bid Documents and the Contract
Documents, plus any additional amount as may be payable by the
Agency under the terms of any written Modification of this
Contract, if applicable.
(b) The Agency shall make two (2) progress payments to the
Contractor of the Contract Price upon receipt by the Agency of a
completed Application for Payment, as follows:
(i) the first progress payment shall cover the Work
performed between the Commencement Date and the
twentieth (20th) calendar day of the Work;
(ii) the second progress payment shall cover the Work
performed between the twenty-first (21st)
calendar day and the fortieth (40th) calendar day
of the Work;

(iii)
the remaining balance of the Contract Price
(after the progress payments under (i) and (ii),
above), shall be paid by the Agency to the
Contractor when the Contract has been fully
performed by the Contractor; provided however,
the Contractor shall remain responsible for a
period of one (1) year following the Completion
Date to correct defective workmanship and
materials as set forth in Section 6-8 of the
Standard Specifications.
Section 5. Each Application for Payment shall be based on the
most recent schedule of values submitted by the Contractor to the
Engineer in accordance with the Project Bid Documents. The
schedule of values shall allocate the entire Contract Price among
the various portions of the Work, as completed or performed through
the end of the period covered by the Application for Payment. The
schedule of values shall be prepared in such form and supported by
such data to substantiate its accuracy as the Engineer may require.
This schedule, unless objected to by the Engineer, shall be used as
a basis for reviewing the Contractor's Application for Payment.
Each Application for Payment shall indicate the percentage of
completion of each portion of the Work as of the end of the period
covered by the Application for Payment. Subj ect to the other
provisions of the Project Bid Documents and the Contract Documents,
the amount of each progress payment of the Contract Price under
Section 4(b) (i) and (ii) shall be computed as follows:
(1) take that portion of the Contract Price properly
allocable to completed Work as determined by multiplying the
percentage completion of each portion of the Work by the share of
the Contract Price allocated to that portion of the Work in the
schedule of values, less a retainage of ten percent (10%). Pending
final determination of cost to the Agency of any changes in the
Work, amounts of such changes which are not in dispute shall be
included as provided in Section 9-3.1 of the Standard
Specifications;
(2) add that portion of the Contract Price properly allocable
to materials and equipment delivered and suitably stored at the
si te of the Work for subsequent incorporation in the completed
construction (or, if approved in advance by the Agency, suitably
stored off site of at a location agreed upon in writing), less a
retainage of ten percent (10%);

(3) subtract the
Agency under Section
applicable; and
aggregate of previous payments made by the
4(b) for each portion of the Work, as
(4) subtract those amounts, if any, which the Engineer has
ordered withheld or which the Engineer has determined to be
deductions as indicated under Section 9-3.1 of the Standard
Specifications.
Section 6. Except with the Agency's prior approval, the
Contractor shall not make advance payments to suppliers for
materials or equipment which have not been delivered and stored at
the site of the Work.
Section 7. The final payment of the Contract Price under
Section 4 (b) (iii), constituting the entire unpaid balance of the
Contract Price (less any adjustments under Section 5(4), and any
sum withheld by the Agency under a stop notice), shall be made by
the Agency to the Contractor when:
(1) the Contractor has fully performed the Contract except
for the Contractor's responsibility to correct Work, and to satisfy
other requirements, if any, which extend beyond final payment;
(2) a final certificate for payment has been issued by the
Engineer; and
(3) 35 days have elapsed from the acceptance of the Work by
the Board.
Section 8. The Contractor covenants by and for itself and its
successors and assigns, and all persons claiming under or through
them, that there shall be no discrimination against or segregation
of, any person or group of persons on account of race, color,
creed, religion, sex, marital status, national origin, or ancestry
in the performance of this contract, nor shall the Contractor or
any person claiming under or through him or her, establish or
permit any such practice or practices of discrimination or
segregation with reference to the selection of Subcontractors,
vendees, or employees in the performance of this Contract.

THE CONTRACTOR AND THE AGENCY hereby acknowledge the execution
of this Contract as evidenced by the authorized signatures of the
officers of each of them which appear below. The Commencement Date
for the performance of the Work shall be the date indicated next to

Development Department of the State of California, from ~e wages
of employees of the Principal and subcontractors pursuant to

that no change, extension of time, alteration, or addition to the
terms of the Contract or to the work to be performed thereund~r or

THIS 1999 CONTRACT FOR CINEMASTAR PUBLIC STREET AND PUBLIC
PARKING LOT NO. 1 IMPROVEMENTS (the "Contract") is dated October

(the "Contractor") and the Redevelopment
Agency of the City of San Bernardino (the "Agency") and this
Contract is entered into for the performance by the Contractor of
the work of improvement (the "Work") on the public works project
(the "Project") described in the Agency's Notice Inviting Bids and
the Project Bid Documents, as follows:

PUBLIC PARKING LOT NO. 1 IMPROVEMENTS
NOW THEREFORE, THE PARTIES TO THIS CONTRACT HEREBY AGREE AS
FOLLOWS:
Section 1. In addition to the usage of the words, terms and
phrases as specially set forth in this Contract, the meaning of the
other defined words and phrases as used in this Contract shall be
the same as set forth in the Project Bid Documents.
The words "Commencement Date" refer to the date on which the
Chairperson of the Community Development Commission executes
this Contract on behalf of the Agency.
The words "Contract Documents" refer to and include each of
the documents identified under the definition of the term
"Project Bid Documents" below, and the following additional
documents:
Contract;
Evidence of Insurance;
Payment Bond;
Performance Bond;
City Permits.
The words "Contract Price" means the total amount of money for
which the Contract is awarded. The Contract Price means the

calendar days following the Commencement Date, except that in the
event that the Work may be suspended under Section 6-3.2 of the
Standard Specifications for more than six (6) hours on any day, the
Contractor shall be entitled to an extension of one full calendar
day for the substantial completion of the Work for each such day
the Work may remain suspended.
If the Work is not substantially completed within forty (40)
calendar days following the Commencement Date,the Contractor
understands and acknowledges that the Agency will suffer damage,
and the Contractor and the Agency each agree that it is impractical
and unfeasible to determine in advance the actual amount of damages
which the Agency will sustain if the Work is not substantially
completed within such period of time. Accordingly, the parties
agree that liquidated damages are payable by the Contractor to the
Agency at the rate of Five Hundred Dollars ($500.00) per day for
each day in excess of the time specified in the proj ect Bid
Documents and the Contract Documents for the substantial completion
of the Work, subject to the time adjustments under Section 6-9 of
the Standard Specifications and Section 3, above. The Contractor
and its Surety shall be liable for payment of any sum of liquidated
damages payable to the Agency.
Section 4.
(a) The Agency shall pay the Contractor the Contract Price
for the performance of the Contract. The Contract Price is

deductions provided in the Project Bid Documents and the Contract
Documents, plus any additional amount as may be payable by the
Agency under the terms of any written Modification of this
Contract, if applicable.
(b) The Agency shall make two (2) progress payments to the
Contractor of the Contract Price upon receipt by the Agency of a
completed Application for Payment, as follows:
(i) the first progress payment shall cover the Work
performed between the Commencement Date and the
twentieth (20th) calendar day of the Work;
(ii) the second progress payment shall cover the Work
performed between the twenty-first (21st)
calendar day and the fortieth (40th) calendar day
of the Work;

the remaining balance of the Contract Price
(after the progress payments under (i) and (ii),
above), shall be paid by the Agency to the
Contractor when the Contract has been fully
performed by the Contractor; provided however,
the Contractor shall remain responsible for a
period of one (1) year following the Completion
Date to correct defective workmanship and
materials as set forth in Section 6-8 of the
Standard Specifications.
Section 5. Each Application for Payment shall be based on the
most recent schedule of values submitted by the Contractor to the
Engineer in accordance with the Project Bid Documents. The
schedule of values shall allocate the entire Contract Price among
the various portions of the Work, as completed or performed through
the end of the period covered by the Application for Payment. The
schedule of values shall be prepared in such form and supported by
such data to substantiate its accuracy as the Engineer may require.
This schedule, unless objected to by the Engineer, shall be used as
a basis for reviewing the Contractor's Application for Payment.
Each Application for Payment shall indicate the percentage of
completion of each portion of the Work as of the end of the period
covered by the Application for Payment. Subj ect to the other
provisions of the Project Bid Documents and the Contract Documents,
the amount of each progress payment of the Contract Price under
Section 4 (b) (i) and (ii) shall be computed as follows:
(1) take that portion of the Contract Price properly
allocable to completed Work as determined by multiplying the
percentage completion of each portion of the Work by the share of
the Contract Price allocated to that portion of the Work in the
schedule of values, less a retainage of ten percent (10%). Pending
final determination of cost to the Agency of any changes in the
Work, amounts of such changes which are not in dispute shall be
included as provided in Section 9-3.1 of the Standard
Specifications;
(2) add that portion of the Contract Price properly allocable
to materials and equipment delivered and suitably stored at the
si te of the Work for subsequent incorporation in the completed
construction (or, if approved in advance by the Agency, suitably
stored off site of at a location agreed upon in writing), less a
retainage of ten percent (10%);

less any deductions as may be ordered during the course of
performance of the Contract by the Engineer, plus any
additional amounts as may be payable under one or more written
Modifications of this Contract.
The word "proj ect" means and refers to the public works
project described in the Agency's Notice Inviting Bids, and
each Addendum issued by the Agency prior to the award of the
Contract.
The words"Project Bid Documents" refer the following:
Notice Inviting Bids;
Special Provisions;
Standard Specifications;
Maps, Plans and Drawings;
Addendum No. 1 and No.2; and
Bid Form and Bidder Certification, including
Exhibit "A" - Affidavit of Noncollusion
Exhibit "B" - Bid Price Detail
Exhibit "C" - Identification of Subcontractors
The word "Work" means and refers to that which is proposed to
be constructed or done under the Contract by the Contractor,
including the furnishing of all labor, materials and
equipment.
Section 2. Contractor represents and agrees that the entire
and integrated agreement between the parties is set forth in this
Contract. This Contract supersedes all prior negotiations,
representations or agreements, either written or oral. The
representations and warranties of the Contractor as set forth in
the Bid Form and Certification are true and correct. The Project
Bid Documents and the Contract Documents, and each of them, are
hereby incorporated by this reference in this Contract and are made
a part hereof.
Section 3. The Contractor shall fully and faithfully perform
the Work described in the Project Bid Documents. The Contractor
shall begin the performance of the Work on the Commencement Date.

Contractor shall not make advance payments to suppliers for
materials or equipment which have not been delivered and stored at
the site of the Work.
Section 7. The final payment of the Contract Price under
Section 4 (b) (iii), constituting the entire unpaid balance of the
Contract Price (less any adjustments under Section 5(4), and any
sum withheld by the Agency under a stop notice), shall be made by
the Agency to the Contractor when:
(1) the Contractor has fully performed the Contract except
for the Contractor's responsibility to correct Work, and to satisfy
other requirements, if any, which extend beyond final payment;
(2) a final certificate for payment has been issued by the
Engineer; and
(3) 35 days have elapsed from the acceptance of the Work by
the Board.
Section 8. The Contractor covenants by and for itself and its
successors and assigns, and all persons claiming under or through
them, that there shall be no discrimination against or segregation
of, any person or group of persons on account of race, color,
creed, religion, sex, marital status, national origin, or ancestry
in the performance of this contract, nor shall the Contractor or
any person claiming under or through him or her, establish or
permit any such practice or practices of discrimination or
segrega tion with reference to the selection of Subcontractors,
vendees, or employees in the performance of this Contract.

NOTICE rNVITING BIDS FOR A PUBLIC WORKS CONTRACT
NOTICE IS HEREBY GIVEN that the REDEVELOPMENT AGENCY OF THE CITY OF
SAN BERNARDINO (the "Agency") will receive sealed bids for the
construction and installation of the public works improvements
referred to as:
CINEMASTAR PUBLIC STREET AND PUBLIC PARKING LOT NO. 1
IMPROVEMENTS
In accordance with the Project Bid Documents on file in the Office
of the Agency Secretary. The Agency has obtained an engineers
estimate of the construction and installation cost of the public
works project described above (the "Project") which is in a range
of between $2b3,000.00 and $289,000.00. The Agency tentatively
plans to award a contract for the performance of the Project as of
September 20, 1999 or as soon thereafter as may be practical. The
work or the improvement of the Project shall be completed within
forty (40) days following the commencement date.
Sealed bids shall be delivered to the Agency Secretary, 201 North
"E" Street, Suite 301, San Bernardino, California, with the words
"CinemaStar Public Street and Public Parking Lot No. 1
Improvements" clearly marked on the outside of the envelope. Bids
will be received up to the hour of 3: 00 p.m., Pacific Time on
Friday, September 10, 1999, following which all bids will be
publicly opened, and examined and declared in the Agency Conference
Room.
No bid will be received and examined after opening unless it is
made on the bid form furnished by the Agency. All bids shall be
signed, sealed, and accompanied by cash, cashier's check, certified
check or bid bond made payable to the Redevelopment Agency of the
City of San Bernardino in the amount often percent of the Bid
Price. Such sum of cash, check, or bond shall be given as a
guarantee that the bidder will enter into the contr'act for the
Project if awarded to such bidder by the Agency. In the event the
bidder refuses to execute the contract, the use by the public of
the Project will be delayed, and the public will suffer great
damage. From the nature of the case, it would be extremely
difficult and impractical to fix an amount of damages. Therefore,
the Agency and the bidder as a condition of its submission of its

bid to the Agency agree that the sum of 10% percent of the Bid
Price shall be paid to the Agency upon the condition above set
forth as liquidated damages "and not as a forfeiture. All bonds
furnished pursuant to this notice must be underwritten by a surety
company having a rating in Best's Insurance Guide, current edition
of at least "A."
The successful bidder/contractor shall deliver a payment bond and
a faithful performance bond to the Agency at the time of the
Contract and the successful bidder/contractor may substitute
securities for any monies withheld by the Agency to ensure
performance under the contract as provided for in California Public
Contracts Code Section 10263.
MANDATORY PREBID CONFERENCE AND SITE-WALK
A mandatory Pre-Bid Conference and Site-Walk will be conducted for
the Project by the Agency on Monday August 31, 1999. Interested
bidders shall report to the mandatory Pre-Bid Conference at 10:00
a.m., Monday August 31, 1999, at the Agency offices, 201 North "E"
Street, Suite 301, San Bernardino, California 92401. All bidders
will be required to sign the attendance log at the beginning and at
the end of the mandatory Pre-Bid Conference and Site-Walk.
Bids received from bidders who failed to attend the mandatory Pre-
Bid Conference and Site-Walk shall be returned to the bidder
unopened.
The bidder shall possess a Class "A" contractor's license at the
time the contract for the Project is awarded by the Agency. The
bidder shall preform, with its own organization, contract work
amounting to at least 25 percent of the Bid Price.
Pursuant to the California Labor Code, the State Department of
Industrial Relations has determined the general prevailing rate of
per diem wages for each craft or type of worker needed to execute
the contract which may be awarded to the successful bidder by the
Agency. In the event such contractor or any subcontractor employed
by it pays a worker less than stipulated prevailing rate for such
work or craft, the contractor will be liable for all forfeitures
and additional wage payments as provided in California Labor Code
Sections 1775 and 1776.
The Agency reserves the right to reject any or all bids and also
reserves the right to waive any technical errors and discrepancies
in bids submitted in the public interest. Bidders are urged to
familiarize themselves with the Project Bid Documents.

The Agency encourages bids from all minority and women-owned firms.
On final analysis and consideration of an award of a contract to
the lowest responsible bidder, such bidder shall be designated by
the Agency without regard to gender, race, creed, or color.
No bidder may withdraw its bid within 45 days after the date of bid

specifications may be obtained from the Agency Secretary, 201 North

SPECIAL PROVISIONS
SECTION I
1.1 GENERAL
The Work which is called for in the Notice Advertising for Bids and the Project Bid Documents shall
be done in accordance with the Standard Specifications for Public Works Construction, 1997 Edition,
and City of San Bernardino Standard Drawings, insofar as the same apply, and in accordance with
these Special Provisions and by addendum which may be issued prior to the award of the Contract to
the lowest responsible bidder.
1.2 DEFINITIONS
Whenever in the Standard Specifications the following terms are used, they shall be understood to
mean and refer to the following:

1.6 SUBMISSION OF EXECUTED PAYMENT AND FAITHFUL PERFORMANCE BONDS
The Payment Bond and the Faithful Performance Bond shall be filed with the Engineer before the
Contract is executed by the Agency in accordance with Section 2-4, "CONlRACT BONDS," of the
Standard Specifications. The general forms of these bonds are attached as an appendix to these
Special Provisions.
1.7 CONSTRUCTION SCHEDULE AND COMMENCEMENT OF WORK. TIME OF
COMPLETION AND LIOUlDATED DAMAGES
Attention is directed to the provisions in Section 6-1, "Construction Schedule and Commencement
of Work," in Section 6-7.1, "Time of Completion," and in Section 6-9, "Liquidated Damages," of the
Standard Specifications and these Special Provisons.
The Contractor shall diligently prosecute the Work to completion before the expiration of
~ CALENDAR DAYS
following the "Commencement Date." The Commencement Date shall be the date indicated next to
the signature of the authorized officer of the Agency as shall be noted on page 6 of the Contract.
The Contractor shall pay to the Agency the sum of Five Hundred Dollars ($500.00) per day as
liquidated damages under Section 6-9 of the Standard Specifications, for each calendar day delay in
finishing the Work in excess of the number of calendar days prescribed above.
1.8 COMMERCIAL GENEAL LIABILITY INSURANCE
The Contractor's attention is directed to Section 7-3, "Liability Insurance," of the Standard
Specifications, providing that the Contractor shall furnish the Agency with a policy or certificate of
commercial general liability insurance with with evidence of due and proper endorsement (the "CGL
Policy") as prescribed therein, prior to execution of the Contract. In addition to the provisions of
Section 7-3 of the Standard Specifications, the following provisions shall apply to the CGL Policy:
. the CGL Policy shall be on an occurrence basis;
. the CGL Policy shall not contain any intra-insured exclusions as between insured
persons and organizations;
. no limits ofliability or exclusions from coverage under the CGL Policy shall limit
the liability of the Contractor to the Agency under the Contract nor relieve the
Contractor of any covenant or obligation of the Contractor to the Agency; and
. the CGL Policy of the Contractor shall be primary to and not contributing to any
insurance carried by the Agency or the City of San Bernardino whose insurance shall
be considered excess insurance only

. The CGL Policy shaIl name the Agency and the City of San Bernardino and the
officials, officers, employees and consultants of each of them as additionaIly insured.
The endosement to the CGL Policy shaIl be provided by an officer or duly authorized
agent of the insurnce company and shaIl be notarized to that affect. "ACCORD"
forms are not acceptable nor are forms signed by an insurance broker, unless such
broker has been given a Power of Attorney to bind the insurance provider. (See
sample forms included in the appendix of these Special Provisions.)
. The CGL Policy shaIl be issued by a California admitted insurance company with a
"General Policy Holder" insurance company rating as reported by Bests Insurance
Guide, current edition, of not less than "B"+(viii) or better.
1.9 WORKER'S COMPENSATION INSURANCE
The Contractor's attention is directed to Section 7-4, "Worker's Compensation Insurance," of the
Standard Specifications, providing that the Contractor shaIl file a signed certification Certificate of
Worker's Compensation Insurance before execution of the Contract.
1.10 PAYMENTOFPREVALINGWAGERATE
The Contractor and all Subcontractors shaIl pay each craft or worker employed on the Project not less
than the prevailing wage rates specified in the Prevailing Wage Order of the Department ofIndustrial
Relations on file with the Agency Secretary. Each bidder may obtain a copy of such order upon
request by contacting the Agency project manager, Mr. John Hoeger at (909) 384-5081. The Engineer
shaIl have the right to interview any craft or worker on the Project site or at another location in order
to verify payment of prevailing wage rates in accordance with applicable law. Prevailing wages shall
comply with current rates and all updates.
1.11 PAYROLL RECORDS
(a) The Contractor's attention is directed to the foIlowing provisions of Labor Code Section 1777.
The Contractor shaIl also be responsible for the compliance with these provisions by his
subcontractors.
(b) The Contractor and all subcontractors shaIl keep an accurate payroll record, showing the
name, address, social security number, work classification, straight time, and overtime hours
worked each day and week, and the actual per diem wages paid to each journeyman,
apprentice, worker, or other employee employed by it in connection with the Project.
(c) The payroll records enumerated under subdivision (b) shall be certified and shall be available
for inspection by the Engineer at all reasonable hours at the principal office ofthe Contractor
and a certified copy of an employee's payroll record shall be made available for inspection or
furnished to such employee or his or her authorized representative on request.

(d) The Contractor shall file a certified copy of the records enumerated in subdivision (b) with
the Engineer on a weekly basis. It will be the Contractor's responsibility to submit the records
enumerated in subdivision (b) for all its Subcontractors, in addition to its own employees.
Failure to submit the records enumerated in subdivision (b) on a timely basis shall constitute
good and sufficient reason for withholding the payment for Work accomplished.
1.1.2 COMPLIANCE WITH ENVIRONMENTAL LAWS
(a) The words and phrases set forth below shall have the following definitions:
(1) "hazardous material" means and includes any material that because of its
quality, concentration or physical or chemical characteristics, poses a
significant present or potential hazard to human health and safety or to the
environment if released into the workplace or the environment. Hazardous
materials include hazardous wastes, toxic substances, petroleum products and
motor fuels and similar substances and materials, including all substances and
materials defined as hazardous or toxic substances or materials under
California Health and Safety Code Section 25501(1) and (m) or other
similarly applicable state, federal or local law.
(2) "environmental laws" means and includes the various health and safety laws
and regulations of state, federal and local agencies pertaining to the
manufacture, use, storage, disposal, release, and reporting relating to
hazardous materials. Environmental laws include, without limitation, the
Resource Conservation and Recovery Act, 42 D.S.C. Section 6901, et ~.,
Comprehensive Environmental Response, Compensation, and Liability Act
of 1980,42 D.S.C. Section 9601, et seq., and the Hazardous Waste Control
Law, Health and Safety Code Section 25100, et seq.
(b) The Contractor shall not cause or permit any hazardous materials to be used,
generated, manufactured, produced, stored, brought upon, or released, on, under or
about the site of the Work, or transported to and from the site of the Work, by the
Contractor, its agents, employees or Subcontractors, in violation of any
environmental law. The Contractor shall indemnify, defend and hold harmless the
Agency from any damage, cost, expense, liability, fine, or penalty resulting from any
unauthorized discharge, emission, spill, storage, release, disposal or use of any
hazardous materials, or any other act or omission by the Contractor, its officers,
agents, employees or Subcontractors relating to hazardous substances which have
been disposed, stored, used or released or transported from the site of the work by the
Contractor, its officers, agents, employees or Subcontractors which may give rise to
civil or criminal liability under federal, state or local environmental law. This

obligation of the Contractor shall survive the termination of this Contract, and shall
apply whenever the Agency incurs cost or liability arising from any use or activity of
the Contractor relating to hazardous materialsin connection with the performance of
the Work through and including the completion date.
Without limiting the foregoing, if an uncontrolled, sudden, unauthorized or
prohibited release of any hazardous material occurs on, under or about the site of the
Work which is caused by the Contractor, its agents, employees or Subcontractors, at
any time from the commencement date through and including the Completion Date,
the Contractor shall, at its sole cost and expense, promptly take all actions necessary
to return the site of the Work to the condition existing prior to such uncontrolled,
sudden, unauthorized or prohibited release.
1.13 ADDENDUMS
The Agency reserves the right to issue one or more addendums to these Special Provisions and to the Plans
and to any of the other Project Bid Documents or to the Contract Documents.
Each addendum shall be in writing and shall be transmitted to each person who has paid the Agency the sum
of$15.00 for a copy of the Project Bid Documents as set forth in the Notice Inviting Bids.
After the date of the mandatory prebid conference and site-walk on August 31, 1999, any addendum issued
after August 31, 1999 shall only be transmitted to bidders who executed the attendance log at the prebid
conference.
Each addendum shall be deemed to be included in the Project Bid Documents and the Contract Documents.

SECTION 2
GENERAL
2.1 INCREASED OR DECREASED OUANTnl~S
If the total quantity of any item of materials or supplies or units of work to be provided by the
Contractor as part of the Work which is subject to the provisions in Section 3-2.2.1, "Increased or
Decreased Quantities," of the Standard Specifications varies by more than 25 percent, compensation
payable to the Contractor will be determined in accordance with said Section 3-1.2.1 and these Special
Provisions.
When the compensation payable for the number of units of an item ofW ork performed in excess of
125 percent of the extension (or total) of the Contract Unit Price for such item is less than $1,500, the
Engineer reserves the right to make no adjustment in said price, except that an adjustment will be
made if requested in writing by the Contractor. Such Contractor's request shall be accompanied by
adequate, detailed data to support costs of the item.
Should the total pay quantity of any item of Work required under the Contract be less than 75 percent
of the extension (or total) of the Contract Unit Price for such item, the Engineer reserves the right to
make no adjustment in said price, except that an adjustment will be made if requested in writing by
the Contractor. Such Contractor's request shall be accompanied by adequate, detailed data to support
costs of the item.
The payment of the total pay quantity of such item of Work will in no case exceed the payment which
would be made for the performance of75 percent of the Engineer's Estimate of the quantity of the
original Contract Unit Price.
2.2 SOUND CONTROL REOUlREMENTS
Sound control shall comply with Chapter 8.54 of the City of San Bernardino Municipal Code and
these Special Provisions.
The noise level from the Contractor's operations, between the hours of9:00 p.m. and 6:00 a.m., shall
not exceed 86 d.b.a. at the distance of 50 feet. This requirement in no way relieves the Contractor from
responsibility for complying with local ordinances regulating noise levels.
Said noise level requirements shall apply to all equipment on the job or related to the job, including
but not limited to trucks, transit mixers or transient equipment that mayor may not be owned by the
Contractor. The use of loud signals shall be avoided in favor of light warnings except those required
by safety laws for the protection of personnel.

2.3 PERMITS AND CITY BUSINESS LICENSE

The Contractor shall apply for and obtain a City Business Registration prior to the execution of the
Contract at the Contractor's sole expense. The Contractor shall apply for and obtain a City demolition
permit, a City construction permit, and a City street encroachment permit before proceeding with any
Work at the site of the Project, at the Contractor's sole expense.
2.4 EXTRA WORK
Any extra work done shall conform to the provisions of Section 3.3, "Extra Work," of the Standard
Specifications, subject to the restrictions of the Public Contracts Code Section 20452 and Section
20455. However, equipment rental rates shall conform to State of California Business and
Transportation Agency, Department of Transportation, Division of Construction, "LABOR AND
EQUIPMENT RENTAL RATES," latest edition, unless the extra work is done for a negotiated price.
2~ HOURS OF LABOR
In the event that the Engineer or its representative is required by the Contractor's operations to work
more than forty (40) hours in any given week, or on any Saturday, Sunday, or Holiday, in the setting
of Lines and Grades or performing inspections, the Contractor shall pay an amount to the Agency
equal to one-and-a-half(l-l/2) times the Engineer's normal wages and fringe benefits. Such amount
shall be deducted from the next payment due the Contractor.
Designated legal holidays are: January 15', the third Monday in January, the last Monday in May, July
4'\ the first Monday in September, November 11th, Thanksgiving Day, and December 25th. When a
designated legal holiday falls on a Sunday, the following Monday shall be a designated legal holiday.
When a designated legal holiday falls on a Saturday, the preceding Friday shall be designated a legal
holiday.
2.6 PAYMENTS AND SUBSTITUTE SECURITY FOR AMOUNS WITHHELD AS THE
RET AINAGE
Attention is directed to Section 9-3, "Payments," and Section 9-3.2, "Partial and Final Payment," of
the Standard Specifications and Section 4 of the form of the Contract attached in the appendix to these
Special Provisions.
The Contractor has the right, at the request and expense of the Contractor, under Public Contract Code
Section 10263 to provide for a substitute of securities for any monies withheld by the Agency as the
retention amount pending final paynment at the time of completion of the Work. The provisions of
Public Contract Code Section 10263 are incorporated in these Special Provisions by this reference.
No payment will be made by the Agency for any materials which are furnished but not incorporated
in the Work.
2.7 PROJECT APPEARANCE

The Contractor shall maintain a neat appearance to the Project and the Work.
In any area visible to the public, the following shall apply:
When practicable, broken concrete and other debris developed during demolition shall be
disposed of concurrently with its removal. If stockpiling is necessary, the material shall be
removed or disposed of weekly.
2.8 COOPERATION AND COLLATERAL WORK
Attention is directed to Section 7-7, "Cooperation and Collateral Work" of the Standard Specifications
and these Special Provisions.
Certain companies, governmental agencies, or their contractors may be working within and adjacent
to thesite of the Work. The Contractor shall exercise due caution to prevent any damage to any of the
existing improvements.
The Contractor shall at the direction of the Engineer coordinate its operations and cooperate with other
contractors wqrking within and adjacent to the site of the Work to minimize interference.
The Contractor shall protect all existing structures and facilities which are adjacent to the limits of the
Work to be done under the Contract, in accordance with Section 7-9, "Protection and Restoration of
Existing Improvement," of the Standard Specifications.
2.9 DISPOSAL OF EXCESS EXCA V A TED OR REMOVED MA TERlAL
Unless otherwise specified, all excess excavation, existing improvements and removed material shall
become the property of the Contractor and shall be lawfully transported and disposed of by the
Contractor in compliance with all environmental laws away from the site of the Work.
2.10 ATTORNEYS' FEES
The prevailing party in any legal action to enforce or interpret any provisions of the Project Bid
Documents or the Contract Documents will be entitled to recover from the losing party all attorneys'
fees, court costs, and necessary disbursements in connection with that action. The costs, salary, and
expenses ofthe Agency Attorney, and members of the office of the Agency Attorney, in connection
with that action shall be considered as attorneys' fees for the purposes of this Section 2.10 of these
Special Provisions.
2.11 UTILITIES
Underground utilities shown on the plans are based upon data supplied by the utility owner and a
topographic survey along "E" and 4th Streets. It is the Contractor's responsibility to contact all utility
agencies to verify all utility information, removal of utilities' vaults no longer active, and coordinate
all work with respect to the utilities possible obstructions.

The Contractor shall notify Underground Service Alert (USA) by caJling 1-800-422-4133, two (2)
days prior to beginning work to mark locations. Following such notice, the Contractor shaJl submit
date of notice and the ticket number assigned to the Engineer.
2.U MEASUREMENT AND PAYMENT
Attention is directed to Section 9 of the Standard Specifications and these Special Provisions.
The unit prices (the "Contract Unit Prices") to be paid for the items of Work as set forth as the
Contract Price in the Bid Price Detail (See Exhibit "B" of the Bid Form and Bidder Certification) shall
include full compensation for furnishing aJllabor, materials, tools, and equipment and doing all work
involved in furnishing and instaJling the materials complete and in place, in accordance with the
details shown on the Plans and as described herein.
All incidental parts which are neither shown on the Plans nor otherwise specified, and which are
necessary to complete the construction of improvements as shown on the Plans and as specified
herein, shall be furnished and installed as though such parts were shown on the Plans or specified, and
no additional compensation will be aJlowed therefor.
Full compensation for conforming to the requirements of Section 2 of these Special Provisions shall

SECTION 3
TRAFFIC AND ACCESS
3.1 GENERAL
Attention is directed to Section 7-10, "Public Convenience and Safety," of the Standard Specifications
and these Special Provisions.
Warning signs, lights, and devices for use in perfonnance of work upon highways shall confonn to
the "Manual of Traffic Controls," 1990 Edition, published by the State of California, and the "Work
Area Traffic Control Handbook", 1990 Edition, adopted by the City of San Bernardino, California,
for work within street right of way.
The Contractor shall so conduct its operations as to offer the least possible obstruction and
inconvenience to the public. Convenient access to abutting properties shall be maintained whenever
possible and as directed by the Engineer.
A full width of at least one traveled lane shall remain open at all times on public streets.
Personal vehicles of the Contractor's employees shall not be parked on the traveled way at any time.
The Contractor shall notify local authorities of its intent to begin Work at least five (5) calendar days
before Work is begun unless a shorter period of notice is approved by the Engineer. The Contractor
shall cooperate with local authorities relative to handling traffic through the area and shall make his
own arrangements relative to keeping the working area clear of parked vehicles.
All places of business adjacent to the limits of any Work shall be notified by the Contractor in writing
at least five (5) days prior to commencement of Work unless a shorter period of notice is approved by
the Engineer. This notification shall explain the sequence of Work and indicate any restrictions to
parking areas. Verbal notification shall be given to all places of business at least 18 hours in advance
of commencing Work.
3.1 PARKING RESTRICTIONS
Unless otherwise provided herein, the Contractor may post temporary "NO PARKING" signs within
the area ofW ork as required to facilitate construction operations, subject to approval of the Engineer.
3.3 PUBLIC CONVENIENCE
During the progress of Work, adequate provisions shall be made by the Contractor to accommodate
the nonnal vehicular and pedestrian traffic along the adjacent public streets so as to cause a minimum
of inconvenience to the general public.

The Contractor shall furnish, install, and upon completion of the Work, remove all signs and warning
devices required for directing, protecting, and detouring the public during construction.
Emergency vehicles shall be permitted access to the Work area at all time.
3.4 COST OF ALL CONSTRUCTION AND VEIDCLE TRAFFIC CONTROL SIGNAGE SHALL
BE INCLUDED IN CONTRACT PRICE
Full compensation for the cost offumishing, installing, maintaining and replacing all signs, lights,
flares, barricades and other traffic control devices necessary to expedite passage of pedestrians and
motor vehicle traffic through the Work area or to temporarily exclude pedestrians and vehicles from
the public parking lot area shall be considered as included in the Contract Price and included in the
various items of Work involved, and no additional compensation will be allowed therefor.

SECTION 4
DESCRIPTION OF WORK
4.1 GENERAL
The Work to be performed consists of modifying the layout and the reconstruction of Public Parking
Lot No.1. Such elements of the Work will require removal and replacement of access driveways and
curb, gutter and sidewalk on "F" Street, institution of new landscape features and lighting, and
construction of parking lot lights, planters, trees, irrigation system, patching of asphalt, cold milling,
asphalt overlay, and emulsion-aggregate slurry, and striping.
Work.will also include improvements in areas adjacent to the CinemaStar Theater on "E" Street.
Such elements of the w: ork will include removal of driveway approaches, removal of abandoned utility
vaults, traffic striping, sidewalk, street lights and trees and bus stop features, and construction of new
curb and gutter, vehicle turnouts, sidewalks, relocations of fire hydrants and trees, and traffic striping.
Work on 4th Street includes removal of driveway approach, Omnitran's bus stop shelter and
construction of curb and gutter and sidewalk.
The removal of certain existing features and the installation and construction of other items or details
not mentioned above but which are that are required by the Plans, these Special Provisions and any
addendum issued by the Agency prior to the award of the Contract and any written Modifications
which may be approved after the Commencement Date are also part of the Work.

SECTION 5
DEMOLITION - REMOVAL.; RELOCATION
5.1 GENERAL
The Work covered by this section shall consist of furnishing all necessary labor, materials, equipment,
tools and supervision for the demolition and removal of existing facilities and appurtenances as
indicated on the drawings and specified herein.
5.2 MATERIALS
Traffic barricades; cones, specific work area perimeter tape, and materials to cap ends of existing
water irrigation lines, and electrical conduit which are abandoned in place.
5.3 EXECUTION
(a) Removal of driveway aprons, curb and gutter, and sidewalk within street right of way shall
not be 'performed unless the replacement of curb and gutter and sidewalk follows immediately
thereafter.
(b) Any closure of sidewalks to pedestrian traffic must be approved by the City Engineer.
( c) . Comply with provisions of Section 2 of these Special Provions for utilities and Section 3 of
these Special Provisions for traffic control.
(d) Existing electrical conduit may remain and ends capped but the wires and pu I I boxes shall be
removed.
(e) The edges of asphalt pavement and concrete shall be saw cut prior to removal.
(f) Existing trees that are removed and not shown for reuse in the Plans shall become the
property of the Contractor.
(g) All existing materials and equipment not shown for reuse in the Plans shall become the
property of the Contractor and are to be hauled and disposed of in accordance with applicable
ordinances and laws.
(h) Asphalt pavement grindings from cold milling shall be used as compacted base in existing
planter areas and/or trenches. The soil shall be removed to a depth of 10 inches below the
adjacent paved surface, subgrade compacted to 90% and asphalt concrete grindings
compacted to 95% percent to within 3 inches of the surface.

(i) '.' . Cold milling operations, to a 0.1 foot depth, shan be perfonned in accordance with Subsection
302-5.2, "Cold Milling Asphalt Concrete Pavement" of the Standard Specifications and
Section 6 "Cold Milling" of these Special Provisions.
G) The two existing bus shelters on 4th Street shan be removed by Contractor and salvaged and
delivered by Contractor to a location to be detennined by Omnitrans. After removal of posts
and other anchorage, the sidewalk shan be restored to the satisfaction of the Engineer. Notify
Omnitrans 7 days in advance of such work.
(k) At the "E" Street turnout the existing tree hardware and street light to be removed by
Contractor and salvaged and delivered by Contractor to the City yard. The existing water
hydrant shan be removed and relocated by the Contractor to the satisfaction of the City of San
Bernardino Municipal Water Department.
5.3 MEASUREMENT AND PAYMENT
The payment for Demolition - Removal - Relocation shan be at the Contract prices for each item
included on Bid Schedule "A," "Demolition" and the applicable item numbers on Bid Schedule "C,"
"E" Street; Bi~ Schedule "D," 4th Street; and Bid Schedule "F," Landscaping.

SECTION 6
COLD MILLING
6.1 GENERAL
Cold milling operations shall be performed in accordance with Subsection 302-5.2, "Cold Milling
Asphalt, Concrete Pavement", of the Standard Specifications and these Special Provisions.
The cold milling machine shall be adjustable for slope and depth and shall be able to deep cut in one
pass a maximum of 3 inches without producing fumes or smoke. The rotor teeth shall cut in an
upward direction as to the direction of travel adjusting the cut depth until the desired grade/gradation
has been achieved.
The milled area shall be o. I foot in depth, neat and uniform and the adjacent surfacing to remain in
place and shall not be damaged in any way.
6.2 MATERIAL
None
6.3 MEASUREMENT AND PAYMENT
The Contract unit price per square foot for "Cold Milling" shall include full compensation for
conforming to the requirements of this Section and/or for furnishing all labor, materials, tools,
equipment, and incidentals, and for doing all elements ofthe Work involved in cold milling and no
additional compensation will be allowed therefor.

SECTION 7
ASPHALT CONCRETE PAVEMENT
7.1 GENERAL
The Work covered by this Section includes subgrade preparation, aggregate base or asphalt concrete
grinding, asphalt concrete pavement patches, cleaning all cracks, sealing cracks 1/4 inch or greater,
and asphalt concrete overlay. Asphalt concrete shall comply with the requirements of Section 203-6
and 302-5, "Asphalt Concrete Pavement," of the Standard Specifications and these Special Provisions.
7.2 MATERIALS
(a) Asphalt concrete pavement overlay shall be Class D2-AR4000 and 3-inch asphalt concrete
patch shall be Class C2-AR4000.
(b) Asphalt tack coat may be either AR4000/AR8000 paving asphalt.
(c) Recyc"led asphalt grinding from cold milling the asphalt concrete pavement and/or crushed
aggregate base.
(d) Rubberized crack seal "Crafeco" or "Percal Polymerles" or approved equal.
7.3 EXECUTION
(a) Subgrade for asphalt concrete pavement patches shall be removed 9 inches below the adjacent
pavement surface and compacted to 90% relative compaction.
(b) Compact a 6-inch layer of asphalt concrete grinding or aggregate base to 95% relative
compaction.
(c) Prior to placing 3 inches of asphalt concrete pavement, apply tack coat to faces of existing
pavement.
(d) For utility trenches, when compacted backfill is within 9 inches of the adjacent surface,
follow same procedure as Items Band C.
(e) Apply paving asphalt (tack coat) to cold planed surfaces atthe rate of 0.05 gallons per square
yard in accordance with Section 302-5.4 of the Standard Specifications.
7.4 MEASUREMENT AND PAYMENT
The Contract price per square foot for constructing 0.1 foot overlay shall include cleaning and sealing
of cracks and applying tack coat and no additional compensation will be allowed. The Contract Price

SECTION 8
SLURRY SEAL
8.1 GENERAL
The quality of materials, measurement of quantities, method of application and related requirements
for the furnishing and applying of slurry seal shall comply with Section 203-5 and Section 302-4,
"Emulsion-Aggregate Slurry," of the Standard Specifications, these Special Provisions and as directed
by the Engineer.
Prior to placing slurry seal, asphalt pavement patches and overlay cracks shall be cleaned, herbicide
applied and cracks larger than 1/4 inch shall be sealed.
8.2 MATERIALS
The crack sealing material shall be rubberized crack seal, "Crafeco" or "Percal Polymerles" or
approved equ~l. Herbicide shall be "Round-Up" or approved equal.
The materials for slurry seal prior to mixing are emulsified asphalt, set-control additives, water and
aggregate. The materials and ingredients shall comply for the Section 203-5, "Emulsion Aggregate
Sluny," of the Standard Specifications and these Special Provisions.
Emulsified asphalt shall be of a quick set type. The quick set type shall comply with the Subsection
203-5.2, "Materials," of the Standard Specifications.
The additives for quick setting emulsion and the asphalt modifier shall be a type approved by the
Engineer. The amount of additive and asphalt modifier to be included in the quick set slurry shall be
that amount necessary to ensure that the applied slurry can support vehicular traffic within 60 minutes
after the last ~pplication.
Water shall be potable and compatible with the other ingredients of the slurry. Water shall be of such
quality that the asphalt will not separate from the emulsion before the slurry seal is in place in the
work. Ifnecessary for workability, a set control agent that will not adversely affect the slurry seal may
be used,
Aggregate shall be rock dust or other mineral aggregates approved by the Engineer and shall conform
to the requirements of Section 200, "Rock Materials", and Subsection 203-5.2, "Materials", of the
Standard Specifications. The Contractor shall provide an aggregate stock pile 24 hours prior to
starting the work. The material shall be free from vegetable matter and other deleterious substances.
Latex shall be added to the emulsified asphalt. The latex shall be Ultrapave 65VC (compatible with
the emulsified asphalt for this project) manufactured by Textile Rubber and Chemical Co., 1300
Tiarco Dr., S.W. Dalton, GA 30720, phone number (706) 277-1300, or an approved equal.

The latex shall be added to the emulsified asphalt at the asphalt plant at the rate of 2-1I2 parts latex
to 100 parts emulsified asphalt by volume. Latex mixed in the emulsified asphalt shall be kept in a
suspended state by an agitating mixer every three days.
83 ~OMFOSmON AND GRADING
The grading of the combined aggregate and the percentage of emulsified asphalt shall be Type 11 in
accordance with the requirements of Subsection 203-5.3, "Composition and Grading," ofthe Standard
Specifications.
8.4 MIX DESIGN
The mix design shall comply with Subsection 203-5.4 at the Standard Specifications.

The equipment for mixing shall be performed by continuous-flow mixer and slurry spreading
equipment. Prior to the award of the Contract, the apparent successful bidder shall allow inspection,
by the Engineer, of the vehicles designated for the Work. Those vehicles that pass inspection will
have their l.D. numbers recorded and will be the only vehicles allowed to work on the site of the
Work. Quality and safety of equipment will have a bearing on the award of the Contract. All
equipment, tools and machines used in the performance of this element of the Work shall be
maintained in satisfactory working order at all times.
The slurry mixer shall be a multi-blade or spiral continuous-flow-unit in good working condition,
capable of delivering accurately a predetermined proportion of aggregate, water, emulsion, and
accelerator or retardant to the mixer and discharging the thoroughly mixed slurry on a continuous
basis. Each mixer shall have a metering device to measure the quality of water in gallons used in each
load of slurry and a separate metering device or equivalent which meets the approval of the Engineer
to measure the quantity of emulsified asphalt used in each load of slurry. Emulsion storage
compartments on all slurry mixing equipment shall be calibrated in 10-gallon increments. An accurate
measuring device calibrated in 10-gallon increments shall be carried on each slurry machine. The
Contractor shall also furnish a measuring stick calibrated in 10-gallon increments to measure the oil
in the trailer storage tanks. All slurry mixing machines shall be equipped with a Fines Feeder for the
adding of cement or aluminum sulfate. In the event the metering devices stop working, the slurry units
will stop the application process until they are fixed. The mixer shall thoroughly blend all materials
to form a homogeneous mass before leaving the mixer.
The slurry spreading equipment shall be equipped with a spreader box to prevent loss of slurry seal
from all sides and with a flexible rear strike-off. It shall be capable oflaying wet slurry twelve (12)
feet wide in one (1) pass. It shall have suitable means for side tracking to compensate for deviations
in pavement geometry. The spreading box shall drag a flexible canvas with width of the spreader box
to ensure smoothness of the slurry mixes laid in place. The box shall be kept clean and build-up of
. asphalt and aggregate shall not be permitted. The Contractor shall have three (3) trucks capable of

laying slurry on the job site at all times when this operation is in progress.. These trucks shall be
avaIlable for inspection by the Engineer at least 48 hours prior to commencing such elements of the
Work.
8.6 MACHINE CALffiRATION AND VERIFICATION
The Contractor shall provide a "drive-up-on" scale weighing device at all times at the project site or
an alternate site approved by the Engineer. The weighing device shall show the net weight of the
aggregate bins on each slurry machine before the machine and product will be approved for applying
slurry on the project and before leaving and returning to stockpile area.
Each slurry mixing unit to be used in performance of the work shalI be calibrated in the presence of
the Engineer prior to construction. Previous calibration documentation covering the exact materials
to be used may be accepted provided they were made during the calendar year. The documentation
shalI include an individual calibration of each material at various settings, which can be related to the
machine's metering device(s). No machine will be alIowed to work on the project until the calibration
has been completed and/or accepted.
8.7 PREPARATION OF THE SURFACE
Surface oil and grease shall be removed and sealed with emulsified Gilsonite or an equivalent material
approved by the Engineer before the application of the slurry seal.
Any vegetation in the area of the slurry seal shalI be removed and an approved chemical herbicide
applied at least ten (10) days prior to the placing of the slurry and/or crack sealing. The chemical used
shall be Round Up or an equivalent approved by the Engineer.
Prior to applying slurry seal, all vegetation shall be removed from cracks in the pavement and any
cracks greater than 1/4-inch in width shall be cleaned and sealed. Prior to sealing, an approved
herbicide shalI be applied to all cracks in accordance with the manufacturer's recommendations.
All manholes, utility covers and valve box covers within the area to be sealed shall first be protected
by covers or oiled and cleaned to the satisfaction of the Engineer after final application of slurry seal.
Contractor shall furnish a power street sweeper with operator to clean the asphalt pavement the same
day the street is to be sealed; and when necessary as deemed by the Engineer, sweep the streets
showing raveling after the slurry seal has set. The sweeper shall have a steel gutter broom, a rear
plastic broom, and three (3) yard minimum capacity hopper. Ifwater is used, cracks will be allowed
to dry thoroughly before slurry sealing. Manholes, valve boxes, drop inlets and other service entrances
will be protected from the slurry seal by a suitable method. The Engineer shall approve the surface
preparation prior to sealing.
8.8 APPLICATION

The Work consists of mixing asphaltic emulsion, aggregate, additive and water and spreading the
mixture on the pavement where shown on the Plans. In placing sluny, the slurry machine shall move
no faster than 150 feet a minute, or when chadder marks appear. An extra long ton of slurry is made
up of 2000 pounds of aggregate plus emulsified asphalt, accelerator or retardant, and water.
Quantities shall be approved by the Engineer.
The sluny seal shall be Type II and applied at the rate of 11 pounds per square yard to 15 pounds per
square yard, and shaH conform to the requirements of Subsection 302-4.3, "Application," of the
Standard Specifications.
The slurry mix shall be of the desired consistency upon leaving the mixer and no additional materials
shaH be added. A sufficient amount of slurry shall be carried in aH parts of the spreader at aH times
so that a complete coverage is obtained.
Overloading of the spreader shaH be avoided. No lumping, baHing or unmixed aggregate shaH be
permitted. In placing slurry, the slurry machine shall move no faster than 150 feet a minute or when
chatter marks appear.
No streaks, such as those caused by oversized aggregate, will be left in the finished surface. If excess
oversize develops, the job will be stopped until the Contractor proves to the City that the situation has
been corrected.
Each slurry crew shaH be composed of a coordinator at the project site at all times, a competent quick-
set mixing man, a competent driver, two squeegee men, and sufficient laborers for hand work and
cleanup. One slurry crew shaH be assigned to one area to ensure consistency of slurry application.
AH concrete surfaces to be joined by the slurry seal with exception of paraHel curb and gutter, shaH
be covered with tar paper or any approved material. Slurry shaH be applied with a maximum overlap
of the concrete gutter of two (2) inches. Any slurry material exceeding the two (2) inches shall be
removed by the Contractor prior to completion of the project. The overlap dimension of the
longitudinal lap joint shall not exceed six (6) inches unless directed otherwise by the Engineer. Care
shall be taken to insure straight lines along curbs and shoulders. No runoff on these areas will be
permitted. Lines at intersections will be kept straight to provide a good appearance.
No excess buildup, uncovered areas or unsightly appearance shall be permitted on longitudinal or
transverse joints. An excessive overlap will not be permitted on longitudinal joints. The Contractor
shall provide suitable width spreading equipmentto produce a minimum number oflongitudinaljoints
throughout the project. Half passes and odd width passes will be used only in minimum amounts. If
half passes are used, they shall not be the last pass of any paved area.
The slurry mixture shall possess sufficient stability so that premature breaking of the slurry seal in the
spreader box does not occur. The mixture shall be homogeneous during and following mixing and
spreading, it shall be free of excess water or emulsion and free of segregation of the emulsion and
aggregate fines from the coarser aggregate.

When necessary to provide vehicular or pedestrian crossings over the fresh slurry, the Engineer shall
direct the Contractor to spread sufficient sand or rock dust on the affected area to eliminate tracking
or damage to the slurry. Sand or rock dust used for this purpose shall be at the Contractor's expense.
All areas such as manways, gutters, and intersections shall have the slurry seal removed as specified
by the Engineer. The Contractor shall remove any debris associated with the performance of the work,
on a daily basis.
Any arterial streets with raised pavement markers and reflectors will be protected and cleaned by the
Contractor to original state by water and soap immediately behind slurry spreader box. A backplate
sprayer with sufficient volume and pressure to clean the wet slurry off raised pavement marker and
reflector without damaging surrounding slurry mixture shall be used.
Contractor shall protect and clean all utilities to original state. Any manhole cover, water valve cover,
utility v~ult cover and/or drainage facility cover found to be inadequately protected and/or cleaned
shall be cleaned by means such as sandblasting to remove all slurry material (including material
remaining from previous applications) from the metal surface or it shall be replaced by the Contractor
at his expense.
The Contractor shall roll all cul-de-sacs, dead-end streets, and knuckle curves.
8.9 QUALITY CONTROL
The Contractor shall be responsible to make sure that all the materials and mixtures meet the
specifications of the Standard Specifications and these Special Provisions. The Contractor will permit
the Engineer to take samples of materials and mixtures used in the Project at the Engineer's discretion.
The test results will be compared to Specifications.
If any two successive tests fail on the stockpile material, the job shall be stopped. It is the
responsibility of the Contractor, at his own expense, to provide satisfactory evidence to the Engineer
that the conditions have been corrected. If any two successive tests ofthe mix from the same machine
fail, the use ofthe machine shall be suspended. It will be the responsibility of the Contractor, at his
own expense. to provide satisfactory evidence to the Engineer that the problems have been corrected
and that the machine is working properly.
Cost for any testing ordered by the Engineer shall be paid for in the following manner:
(a) Tests which produce results indicating a failure to meet the requirements of the Standard
Specifications or these Special Provisions, as applicable, shall be paid for by the Contractor
as a deduction from the Contract Price payable.
(b) Tests which produce results indicating compliance with the requirements of the Standard
Specifications or these Special Provisions, as applicable, will be paid for by the Agency in
addition to the Contract Price payable.
8.10 MEASUREMENT AND PAYMENT

The Contractor shall supply the Agency with licensed weighmaster's certificates of weight for all
aggregates delivered to the job during the course of each day. Aggregate so certified as being.
delivered to the Project shall be used only in the slurry mixture. Materials shall be delivered to the
Project only in the presence of Agency representative. The Contractor shall also present Weighmaster
certificates for the amount of such aggregate remaining at the completion of the Project at no cost to
the Agency. Payment of the applicable amount of the Contract Unit Price shall be determined by
deducting the amount of aggregate remaining on the Project from the amount delivered to the Project,
all as shown on licensed Weighmaster's Certificates.
There shall be no outside work done utilizing materials from the tanks or stockpiles stored for the
Work.
The Contractor sha\1 submit to the Agency a certified affidavit and delivery tickets which show
quantities of each material delivered to the job site and used on the Project.
The Contract Unit Price paid per ton for Slurry Seal sha\1 include fu\1 compensation for furnishing a\1
labor, materials, tools, equipment and incidentals, and for doing a\1 the Work involved in cleaning and
sealing cracks, constructing the slurry seal, complete in place, including testing for and furnishing the
mix design, cleaning the surface before and after the project, protecting and cleaning a\1 utilities,
manholes anlvalve covers, furnishing added water and set control additives, mixing water with
asphaltic emulsion for coating the pavement, and protecting the seal until it has set on all locations,
as specified in the Standard Specifications and these Special Provisions, and as directed by the
Engineer and no additional compensation will be provided therefor.

SECTION 9
PORTLAND CEMENT CONCRETE
9.1 GENERAL
Portland Cement Concrete construction shall comply with Section 201-1, "Portland Cement
Concrete," and Section 303-5, "Concrete Curb, Walks, Gutters, Cross Gutters, Alley Intersections,
Access Ramps and Driveways," of Standard Specifications, as shown on the Plans, Standard Drawings
and these Special Provisions.
Portland Cement Concrete shall be Class 560-C-3250 with a maximum slump of 4 inches.
The Contractor shall protect all existing structures and facilities which are adjacent to the limits ofthe
work to be done under this Contract, in accordance with Section 7-9, "Protection and Restoration of
Existing Improvements," of the Standard Specifications and these Special Provisions.
9.2 MEASUREMENT AND PAYMENT
(a) Payment for driveway approach shall be at the Contract Unit Price for each.
(b) Payment for concrete sidewalk shall be at the Contract Unit Price per square foot.
(c) Payment for concrete curb shall be at the Contract Unit Price per linear foot.

SECTION 10
TRASH ENCLOSURE
10.1 GENERAL
The work covered by this section shall consist of furnishing all necessary labor, materials, equipment,
tools and supervision for the construction of all masonry and metal work as shown on the Plans and
the City of San Bernardino Drawing 508.
10.2 MATERIALS
.(a) All masonry used for construction shall be grade N-I units ASTM C-90. Color and type of
block match existing slump block.
(b) Grout shall be 1 part Portland cement, 3 parts sand, 2 parts No.4 concrete aggregate.
(c) Mortar shall be I part Portland cement, 1/2 part lime putty, 4-1/2 parts sand.
(d) Reinforcing steel shall be Grade 40, conforming ASTM A 615.
10.3 EXECUTION
(a) All work for the masonry shall comply with the applicable sections of the Standard
Specifications (Section 303-4).
(b) All work for the metal shall comply with the applicable sections of the Standard
Specifications (Section 304).
( c) Remove all excess material from the site of the Work and disposal of it in a legal manner.
10.4 MEASUREMENT AND PAYMENT
Payment for the Trash Enclosure and the installation of the steel gates and concrete pad shall be at the
lump sum amount shown in the Contract Price.

SECTION 11
PAINTING
11.1 GENERAL
The work covered by this section shall consist of necessary labor, materials, equipment, tools, and
supervision for painting stripes, pavement markings, directional arrows and striping for diagonal
parking.
11.2 MATERIALS
(a) Paint shall conform to.Section 10-1 of the Standard Specifications and shall be rapid dry.
(b) Reflective material shall be applied to the final coat in accordance with Section 210-1.65 of
the Standard Specifications.
11.3 EXECUTION
(a) Painting shall conform to Section 310-5.6 of the Standard Specifications.
(b) All existing conflicting striping shall be removed by sand blasting.
(c) Apply paint in two coats. The first coat shall be thoroughly dry before the second coat is
applied.
11.4 MEASUREMENT AND PAYMENT
(a) Payment for handicapped symbols shall be at the Contract price per each symbol for this bid
item.
(b) Payment for parking space shall be at the Contract price for each space.
(c) Payment for diagonal striping shall be the lump sum Contract Unit Price amount as shown
in the Bid Price Detail.
(d) Payment for lettering striping shall be the lump sum Contract Unit Price amount as shown in

SIGNS
12.1 GENERAL
The work covered by this section shall consist of furnishing all necessary labor, materials, equipment,
tools and supervision for the installation of the signs.
12.2 MATERIALS
Signs, posts, footings
12.3 EXECUTION
(a) All signs shall be installed with concrete footings that are capable of securely supporting the
sign in 70 mile per hour winds.
(b) The Contractor will provide the handicapped signs as noted on Sheet C-1. The existing
handicapped signage that meets the California Disability Act may be re-used in lieu of new
signage.
(c) Relocate the existing signs as designated by the Agency.
12.4 MEASUREMENT AND PAYMENT
Payment for the signs shall be at the Contract Unit Price for each as shown in the Bid Price Detail.

SECTION 13
PUBLIC PARKING LOT LIGHTING
13.1 GENERAL
(a) Parking lot lighting systems shaII confonn to these specifications.
(b) All material shall be new and shall bear the label of the Underwriter's Laboratories, where
applicable.
(c) All work shall be done in compliance with the latest edition of the Standard Specifications,
the National Electrical Code, the California State Safety Orders and all other codes, rules and
requirements of authorities havingjurisdiction. Particular attention is directed to Sections 209
and 307 of the Standard Specifications.
In case of conflict between any Standard Specification and these policies and procedures,
these policies and procedures shall take precedence over and be used in lieu of such
confliCting portions except for work on State Highways.
(d) Parking lot lighting systems shall be installed in confonnity with the following specifications:
(1) The parking lot lighting systems shall be metered systems and shall become, upon
acceptance, the sole property of the City of San Bernardino.
(2) InstalIation shall mean the excavation and backfill of trenches, installing conduit and
conductors, lighting standards, foundations, luminaires and lamps, service panel, and
all other related devices and fittings necessary for a complete and operable parking
lot lighting system.
(3) Contractors shaII observe all sections of the Municipal Code, City of San Bernardino,
in relation to obstruction of passageways for vehicles and/or pedestrians, the
providing of barricades, warning lights, etc., safety at or near the construction site.
Attention is directed to Section 6 of the Standard Specifications.
(e) All pavement, concrete curb and sidewalk removed or damaged or any conduit, water line,
sewer, etc. damaged shall be repaired or replaced in accordance with Title 12, Municipal
Code ofthe City of San Bernardino, and any amendments there, particularly with respect to
the methods of cutting pavements, backfilling, temporary resurfacing and street cut penn its.

THIS 1999 CONTRACT FOR CINEMASTAR PUBLIC STREET AND PUBLIC
PARKING LOT NO. 1 IMPROVEMENTS (the ~Contract") is dated September
, 1999 by and between
(the ~Contractor") and the Redevelopment
Agency of the City of San Bernardino (the ~Agency") and this
Contract is entered into for the performance by the Contractor of
the work of improvement (the ~Work") on the public works project
(the ~Project") described in the Agency's Notice Inviting Bids and
the Project Bid Documents, as follows:

NOW THEREFORE, THE PARTIES TO THIS CONTRACT HEREBY AGREE AS
FOLLOWS:
Section 1. In addition to the usage of the words, terms and
phrases as specially set forth in this Contract, the meaning of the
other defined words and phrases as used in this Contract shall be
the same as set forth in the Project Bid Documents.
The words ~Commencement Date" refer to the date on which the
Executive Director of the Agency executes this Contract on
behalf of the Agency.
The words ~Contract Documents" refer to and include each of
the documents identified under the definition of the term
~Project Bid Documents" below, and the following additional
documents:
Contract;
Evidence of Insurance;
Payment Bond;
Performance Bond;
City Permits.
The words ~Contract Price" means the total amount of money for
which the Contract is awarded. The Contract Price means the

sum as set forth by the Contractor in the Bid Price Detail,
less any deductions as may be ordered during the course of
performance of the Contract by the Engineer, plus any
additional amounts as may be payable under one or more written
Modifications of this Contract.
The word "Project" means and refers to the public works
project described in the Agency's Notice Inviting Bids, and
each Addendum issued by the Agency prior to the award of the
Contract.
The words"project Bid Documents" refer the following:
Notice Inviting Bids;
Special Provisions;
Standard Specifications;
Maps, Plans and Drawings;
Addendum No. and No. ; and
Bid Form and Bidder Certification, including
Exhibit "A" Affidavit of Noncollusion
Exhibit "B" - Bid Price Detail
Exhibit "c" - Identification of Subcontractors
The word "Work" means and refers to that which is proposed to
be constructed or done under the Contract by the Contractor,
including the furnishing of all labor, materials and
equipment.
Section 2. Contractor represents and agrees that the entire
and integrated agreement between the parties is set forth in this
Contract. This Contract supersedes all prior negotiations,
representations or agreements, either written or oral. The
representations and warranties of the Contractor as set forth in
the Bid Form and Certification are true and correct. The Project
Bid Documents and the Contract Documents, and each of them, are
hereby incorporated by this reference in this Contract and are made
a part hereof.
Section 3. The Contractor shall fully and faithfully perform
the Work described in the Project Bid Documents. The Contractor
shall begin the performance of the Work on the Commencement Date.
The Commencement Date is the date indicated next to the
signature of the Executive Director of the Agency on page 6, below.
The Contractor shall substantially complete the Work within forty
{4D) calendar days following the Commencement Date, except that in

the event that the Work may be suspended under Section 6-3.2 of the
Standard Specifications for more than six (6) hours on any day, the
Contractor shall be entitled to an extension of one full calendar
day for the substantial completion of the Work for each such day
the Work may remain suspended.
If the Work is not substantially completed within forty (40)
calendar days following the Commencement Date,the Contractor
understands and acknowledges that the Agency will suffer damage,
and the Contractor and the Agency each agree that it is impractical
and unfeasible to determine in advance the actual amount of damages
which the Agency will sustain if the Work is not substantially
completed wi thin such period of time. Accordingly, the parties
agree that liquidated damages are payable by the Contractor to the
Agency at th~'rate of Five Hundred Do11ars ($500.00) per day for
each day in excess of the time specified in the proj ect Bid
Documents and the Contract Documents for the substantial completion
of the Work, subject to the time adjustments under Section 6-9 of
the Standard Specifications and Section 3, above. The Contractor
and its Surety'shall be liable for payment of any sum of liquidated
damages payable to the Agency.
Section 4.
(a) The Agency shall pay the Contractor the Contract Price
for the performance of the Contract. The Contract Price is
Dollars ($ ), subject to such
deductions provided in the Project Bid Documents and the Contract
Documents, plus any additional amount as may be payable by the
Agency under the terms of any written Modification of this
Contract, if applicable.
(b) The Agency shall make two (2) progress payments to the
Contractor of the Contract Price upon receipt by the Agency of a
completed Application for Payment, as follows:
(i) the first progress payment shall cover the Work
performed between the Commencement Date and the
twentieth (20th) calendar day of the Work;
(H)
the second progress payment shall cover the Work
performed between the twenty-first (21st)
calendar day and the fortieth (40th) calendar day
of the Work;

the remaining balance of the Contract Price
(after the progress payments under (i) and (ii),

above), shall be paid by the Agency to the
Contractor when the Contract has been fully
performed by the Contractor; provided however,
the Contractor shall remain responsible for a
period of one (1) year following the Completion
Date to correct defective workmanship and
materials as set forth in Section 6-8 of the
Standard Specifications.
Section 5. Each Application for Payment shall be based on the
most recent schedule of values submitted by the Contractor to the
Enginee!C in accordance with the Project Bid Documents. The
schedule of values shall allocate the entire Contract Price among
the various portions of the Work, as completed or performed through
the end of the period covered by the Application for Payment. The
schedule of values shall be prepared in such form and supported by
such data to substantiate its accuracy as the Engineer may require.
This schedule, unless objected to by the Engineer, shall be used as
a basis for reviewing the Contractor's Application for Payment.
Each Application for Payment shall indicate the percentage of
completion of each portion of the Work as of the end of the period
covered by the Application for Payment. Subj ect to the other
provisions of the Project Bid Documents and the Contract Documents,
the amount of each progress payment of the Contract Price under
Section 4(b) (i) and (ii) shall be computed as follows:
(1) take that portion of the Contract Price properly
allocable to completed Work as determined by multiplying the
percentage completion of each portion of the Work by the share of
the Contract Price allocated to that portion of the Work in the
schedule of values, less a retainage of ten percent (10%). Pending
final determination of cost to the Agency of any changes in the
Work, amounts of such changes which are not in dispute shall be
included as provided in Section 9-3.1 of the Standard
Specifications;
(2) add that portion of the Contract Price properly allocable
to materials and equipment delivered and suitably stored at the
site of the Work for subsequent incorporation in the completed
construction (or, if approved in advance by the Agency, suitably
stored off site of at a location agreed upon in writing), less a
retainage of ten percent (10%);
(3) subtract the
Agency under Section

Section 6. Except with the Agency's prior approval, the
Contractor shall not make advance payments to suppliers for
materials or equipment which have not been delivered and stored at
the site of the Work.
Section 7. The final payment of the Contract Price under
Section 4 (b) (iii), constituting the entire unpaid balance of the
Contract Price (less any adjustments under Section 5(4), and any
sum withheld by the Agency under a stop notice), shall be made by
the Agency to the Contractor when:
(1) the Contractor has fully performed the Contract except
for the Contractor's responsibility to correct Work, and to satisfy
other requirements, if any, which extend beyond final payment;
(2) a final certificate for payment has been issued by the
Engineer; and
(3) 35 days have elapsed from the acceptance of the Work by
the Board.
Section 8. The Contractor covenants by and for itself and its
successors and assigns, and all persons claiming under or through
them, that there shall be no discrimination against or segregation
of, any person or group of persons on account of race, color,
creed, religion, sex, marital status, national origin, or ancestry
in the performance of this contract, nor shall the Contractor or
any person claiming under or through him or her, establish or
permit any such practice or practices of discrimination or
segregation with reference to the selection of Subcontractors,
vendees, or employees in the performance of this Contract.

POLICY
MINORITY, WOMEN AND OTHER BUSINESS ENTERPRISES
AND CITY PROCUREMENTS
It is the policy of the City of San Bernardino to provide Minority Business Enterprises
(MBEs), Women Business Enterprises (WBEs) and all other enterprises an equal opportunity to
participate in the performance of all city contracts. Bidders and proposers shall assist the City in
implementing this policy by taking all reasonable steps to ensure that all available business
enterprises, including local MBEs and WBEs, have an equal opportunity to compete for and
participate in city contracts. Bidders' or proposers' good faith efforts to reach-out to MBEs, WBEs
and all other business enterprises shall be determined by the following factors:
(1) The bidder or proposer attended pre-solicitation or pre-bid meetings, if any,
scheduled by the City to inform all bidders or proposers of the requirements for the project for which
the contract will be awarded. The City may waive this requirement if the bidder or proposer certifies
it is informed as to those project requirements.
(2) The bidder or proposer identified and selected specific items of the project for
which the contract will be awarded to be performed by sub-contractors to provide an opportunity for
participation by MBEs, WBEs and other business enterprises. The bidder or proposer shall, when
economically feasible, divide total contract requirements into small portions or quantities to permit
maximum participation ofMBEs, WBEs and other business enterprises.
(3) The bidder or proposer advertised for bids or proposals from interested business
enterprises not less than ten calendar days prior to the submission of bids or proposals, in one or
more daily or weekly newspapers, trade association publications, minority or trade oriented
publications, trade journals, or other media specified by the City.
(4) The bidder or proposer provided written notice of its interest in bidding on the
contract to those business enterprises, including MBEs and WBEs, having an interest in participating
in such contracts. All notices of interest shall be provided not less than ten calendar days prior to the
date the bids or proposals were required to be submitted. In all instances, the bidder or proposer
must document that invitations for sub-contracting bids were sent to available MBEs, WBEs and
other business enterprises for each item of work to be performed.
The Mayor's Affirmative Action Office shall be available to help identify interested
MBEs. WBEs and other business enterprises.
(5) The bidder or proposer documented efforts to follow up initial solicitations of
interest by contacting the business enterprises to determine with certainty whether the enterprises
were interested in performing specific portions of the project.

(6) The bidder or proposer provided interested enterprises with information about the
plans, specifications and requirements for the selected sub-contracting work.
(7) The bidder or proposer requested assistance from organizations that provide
assistance in the recruitment and placement ofMBEs, WBEs and other business enterprises not less
than fifteen days prior to the submission of bids or proposals,
(8) The bidder or proposer negotiated in good faith with interested MBEs, WBEs and
other business enterprises and did not unjustifiably reject as unsatisfactory bids or proposals prepared
by any enterprise, as determined by the City. As documentation the bidder or proposer must submit
a list of all sub-bidders for each item of work solicited, including dollar amounts of potential work
for MBEs, WBEs and other business enterprises.
(9) The bidder or proposer documented efforts to advise and assist interested MBEs,
WBEs and other business enterprises in obtaining bonds, lines of credit, or insurance required by the
City or contractor.
If the City has established expected levels of participation for MBE and WBE sub-
contractors, failure to meet those levels shall not be a basis for disqualification of the bidder or
proposer. A determination of the adequacy of a bidder's or proposer's good faith effort must be
based on due consideration of the indicia of good faith as set forth above..
In the event that the City is considering awarding away from the lowest bidder or not
awarding a contract to a proposer because the bidder or the proposer is determined to be non-
responsive for failure to comply with the good faith indicia set forth above, the City shall, if
requested, and prior to the award of the contract, afford the bidder or proposer the opportunity to
prevent evidence to the Mayor and Common Council in a public hearing of the bidder's or proposer's
good faith efforts in making its outreach. In no case should the City award away pursuant to this
program if the bidder or proposer makes a good faith effort but falls to meet the expected levels of
participation.
For the purposes of this Policy, "minority" shall be synonymous with "minority person" as
defined in California Public Contact Code Section 2000(f). Nothing herein restricts the discretion

This bond is issued pursuant to California Civil Code Sections
3247 through 3252 and the Project Bid Documents and shall insure to
the benefit of any of the persons named in California Civil Code
S€ction 3181, so as to give a right of action to them or their
assigns in any suit brought upon this bond.
The Surety, for value received, hereby stipulates and agrees
that no change, extension of time, alteration, or addition to the
terms of the Contract or to the work to be performed thereunder or
the specification accompanying the same shall, in any way, affect

California Labor Code Section 3700 provides in pertinent part:
Every employer except the state shall secure the payment of
compensation in one or more of the following ways:
