RESOLUTION OF THE COMMUNITY DEVELOPMENT
COMMISSION OF THE CITY OF SAN BERNARDINO APPROVING
AND AUTHORIZING THE EXECUTIVE DIRECTOR OF THE
REDEVELOPMENT AGENCY (THE "AGENCY") TO EXECUTE A
CERTAIN PROFESSIONAL SERVICES AGREEMENT BY AND
BETWEEN THE AGENCY AND ROSENOW, SPEV ACEK GROUP,
INC. (RSG) FOR PURPOSES OF CARRYING OUT THE
REDEVELOPMENT FEASIBILITY ANALYSIS FOR THE PROPOSED
40TH STREET AND WATERMAN AVENUE REDEVELOPMENT

WHEREAS, the Community Development Commission of the City of San Bernardino
10
(the "Commission") on behalf of the Redevelopment Agency of the City of San Bernardino (the
11
"Agency"), is a redevelopment agency, a public body of the State of California, organized and
12
existing pursuant to the Community Redevelopment Law (Part I of Division 24) commencing
13
with Section 33000 of the Health and Safety Code of the State of California; and
14
WHEREAS, the Agency is considering the need to adopt a redevelopment plan in the
15
area identified in Exhibit "A" and has need for consultant services to evaluate the feasibility of
16
redevelopment in the identified area and if feasible to assist in preparation of a redevelopment
17
plan; and
18
WHEREAS, the Mayor and Common Council of the City of San Bernardino have
19
allocated $150,000 in Community Development Block Grant (CDBG) funds to the Agency for
20
redevelopment feasibility analysis and related costs for use of said funds; and
21
WHEREAS, the Rosenow, Spevacek Group, Inc., (the "Consultant") has the experience
22
and expertise needed by Agency; and
23
WHEREAS, the Agency and Consultant desire to enter into a Professional Services
24
Agreement attached hereto as Exhibit "B" and incorporated herein by this reference (the
25

"Agreement"), pursuant to which the Consultant would assist the Agency with evaluating the
2 feasibility of redevelopment in the identified area and prepare a redevelopment plan.
3 NOW, THEREFORE, the Community Development Commission, acting on behalf of the
4 Redevelopment Agency of the City of San Bernardino, does hereby resolve, determine and order
5 as follows:

SECTION 1.
The Commission hereby finds and determines that the Consultant
7 assistance as described in the Agreement is necessary and required.
8 SECTION 2. The Commission hereby authorizes the Executive Director of the
9 Agency to execute the Agreement and such other documents as may be necessary to implement
10 the Agreement and to make the necessary nonsubstantive changes to the Agreement as may be
11 approved by Agency Special Counsel.
This Resolution shall take effect upon the date of its adoption.

THIS AGREEMENT made and entered into this 15th day of March, 1999, by
REDEVELOPMENT AGENCY OF THE CITY OF SAN BERNARDINO, a public agency,
("Agency"), and Rosenow Spevacek Group, Inc., ("Consultant"):
RECITAL
1. PURPOSE
The purpose of this Agreement is to allow the Agency to procure the service of an
experienced professional firm for Redevelopment Plan Adoption.
TERMS AND CONDITIONS
2. MISSION
Agency hereby retains Consultant in the capacity as Consultant for provision of services
described in the Proposal for Redevelopment Project Adoption Services dated January 11,
1999, as amended by addendum dated January 21, 1999 herein after referred to as
Attachment I. Consultant hereby accepts such responsibility as described herein.
3. TERMS
(a) This Agreement shall commence as of the day and year first above shown and
shall remain in full force and effect for a period of fifteen (15) months, unless
terminated sooner as provided herein.
(b) Consultant will comply will applicable uniform administrative requirements, as
described in 24 CFR, Part 570.502.
(c) Consultant will carry out each activity, program and/or project in compliance with
all federal laws and regulations as set forth in 24 CFR, Part 570, with the
following exceptions, (i) the Consultant does not assume the environmental
responsibilities of the City as described in 24 CFR, Part 570.604; (ii) the
Consultant does not assume the City's responsibilities for initiating the review
process under Executive Order Number 12372.
(d) Consultant will comply with the requirements set forth in the Uniform Relocation
Assistance and Real Property Acquisition Policy Act of 1970, as amended,
(URA), 49 CFR, Part 24 in accordance with federal regulations when attempting
to or acquiring any building or parcel of land. Consultant will be required to

obtain written approval from the Executive Director of the Redevelopment
Agency (Agency) of the City of San Bernardino, the administrative entity
apointed by the City, referred to as "Director" prior to any activity taking place
within the confines ofURA 49 CFR, Part 24, as amended.
4. CONSULTANT RESPONSIBILITIES
Upon the request of the Director or designee, Consultant shall complete the work
program described in Attachment 1. Consultant commits the principal personnel listed

Consultant shall be responsible for subcontracting for environmental, engineering an~ /

It has been determined that the individual(s) named in this Agreement is (are) necessary
for the successful performance of this Agreement. No diversion or replacement of this
(these) individual(s) shall be made by Consultant without written consent of the Director
or designee, provided that City may ratify, in writing, within ten (10) days of diversion or
replacement and such ratification shall constitute the consent of Agency required by this
clause. If the Agency fails to respond to Consultant within ten (10) days of notification
by Consultant, said personnel diversion or replacement shall be deemed approved.
5. REPLACEMENT OF NAME PERSONNEL
6. RELEASE OF NEWS INFORMATION
No news release, including photographs, public announcements or confirmation of same,
of any part of the subject matter of this Agreement or any phase of any program
hereunder shall be made without prior written approval of the Director or his/her
designee.
7. CONFIDENTIALITY OF REPORTS
Consultant shall keep confidential all reports, information and data received, prepared or
assembled pursuant to performance hereunder and that City and Agency designates as
confidential. Such information shall not be made available to any person, firm,
corporation or entity without the prior written consent of the Director or his/her designee,

8. COMPENSATION
During the term of this agreement, City shall pay Consultant on a monthly basis.
Consultant shall provide an itemized invoice to the City. Said compensation shall be
considered full and complete reimbursement for all Consultant's costs associated with the
services provided hereunder. The maximum compensation for services, including all
Consultant's costs, under the terms of this Agreement, shall not exceed One Hundred
Twenty Thousand and 00/100 DOLLARS ($120,000).
Consultant shall be paid in accordance with City's standard accounts payable system.
Invoices shall be approved by the Director his/her designee.
9. USE OF FUNDS; BUDGET; TRAVEL LIMITATIONS
(a) The funds paid to Consultant shall be used by it solely for the purposes set forth in
Paragraph 1 (b) of this Agreement, and in accordance with the program budget
submitted by Consultant to Agency for review and approval, a copy of which is
included in Attachment I to this Agreement
(b) No travel expenses for out-of-state travel shall be included in this Agreement unless
specifically listed in the budget as submitted and approved, and all travel expenses
to be funded from funds provided hereunder shall be specifically identified as travel
expense, which shall be negotiated between the Director, or his/her designee, and
Consultant as listed in the budget. Any travel expenses incurred by Consultant above
the budgeted amount or for out-of-state travel shall not be eligible for reimbursement
unless the prior written approval of the Director, or designee, has been obtained.
(c) Funds shall be used for purposes authorized by the Community Development Block
Grant Program only, and no portion of the funds herein stated shall be used for any
purpose not specifically authorized by this Agreement.
(d) Consultant shall be allowed, with the prior written approval of the Director, to modify
the line items in the budget during the term of this Agreement, so long as Consultant
is in compliance with Section "8" of this Agreement at the time of submission of the
budget modification request. A variation in the itemization of costs as set forth in the
proposed budget submitted to Agency, not to exceed ten percent (10%) shall be
allowed, provided that the prior written approval of the Director is obtained, it being
understood that the total amount of compensation shall not exceed that provided in
Section "8".
(e) Consultant shall remain in compliance with all state, federal and local laws prior to
the receipt of any reimbursement hereunder. This includes, but is not limited to, all
laws and regulations relative to the form of organization, local business licenses and
any laws and regulations specific to the business and activity carried out by

Consultant. Reimbursement shall not be made to Consultant which is not operating
in compliance with all applicable laws. Reimbursements may be subsequently paid,
at the direction of the Director or his/her designee for reimbursement costs incurred
during the period when compliance is achieved before expiration of this Agreement.
10. ACCOUNTING; AUDIT
(a) Financial records shall be maintained by Consultant in accordance with Generally
Accepted Accounting Principles, and in a manner which permits City to trace the
expenditures of funds to source documentation. All books and records of Consultant
are to be kept open for inspection at any time during the business day by the City, its
officers or agents, and by any representative of the United States Department of
Housing and Urban Development authorized to audit Community Development
Block Grant programs.
(b) Standards for financial management systems and financial reporting requirements
established by 24 CFR, Parts 85.20 and 85.22 shall be fully complied with by
Consultant. Consultant acknowledges that the funds provided under this Agreement
are federal funds.
(c) Consultant's financial management system shall provide for accurate, current and
complete disclosure of each expenditure made under this Agreement. It is the
responsibility of Consultant to adequately safeguard all assets of the program, and
Consultant shall assure that they are used solely for authorized purposes.
(d) Financial records, supporting documents, statistical records, and all other records
pertaining to the use of the funds provided under this Agreement shall be retained by
Consultant for a period of three (3) years, at a minimum, and in the event of
litigation, claim or audit, the records shall be retained until all litigation, claim or
audit findings involving the records, have been fully resolved. Records for non-
expendable property acquired with federal funds provided under this Agreement shall
be retained for three (3) years after the final disposition of such property.
(e) Consultant agrees that in the event the program established hereunder is subjected to
audit exceptions by appropriate audit agencies, it shall be responsible for complying
with such exceptions and paying Agency in full amount of liability resulting from
such audit exceptions.
11. NONDISCRIMINATION; MONITORING AND REPORTING PROGRAM
PERFORMANCE.
Consultant shall not discriminate because of race, color, national origin, creed, religion, sex,
marital status, or physical handicap. Consultant shall comply with Affirmative Action
guidelines in its employment practices. Consultant shall submit written reports to the
Director his/her designee, in accordance with 24 CFR, Part 85.41 (c)(d) and Part 85.21.
Failure to provide such reports may prevent the processing by City/Agency of Consultant's
requests for payment, and may justify temporary withholding as provided for herein.
Agency reserves the right to waive such breach, without prejudice to any other of its rights

hereunder, upon a finding by the Director or his/her designee that such failure was due to
extraordinary circumstances and that such breach has been timely cured without prejudice
to the City/Agency.
12. PROCUREMENT PRACTICES: CONFLICT OF INTEREST
Consultant shall comply with procurement procedures and guidelines established by 24 CFR,
Part 85.36 (d)(1), Consultant "Procurement Standards". In addition to the specific
requirements of 24 CFR, Part 85, Consultant shall maintain a code or standards of conduct
which shall govern the performance of its officers, employees or agents in contracting with
and expending the federal grant funds made available under this Agreement. Consultant's
officers, employees or agents shall neither solicit nor accept gratuities, favors, or anything
of monetary value from subcontractorss or potential subcontractors. To the extent
permissible by state law, rules, and regulations, the standards adopted by Consultant shall
provide for penalties, sanctions or other disciplinary actions to be applied for violations of
such standards by either the Consultant's officers, employees or agents, or by subcontractors
or their agents. All procurement transactions without regard to dollar value shall be
conducted in a manner so as to provide maximum open and free competition. The
Consultant shall be alert to organizational conflicts of interest or non-competitive practices
among subcontractors which may restrict or eliminate competition or otherwise restrain
trade. Consultant agrees to adhere to conflict of interest provisions set forth in 24 CFR
Section 570.611 and to the procurement rules specified in 24 CFR, Part 85.36, in its
expenditure of all funds received under this Agreement.
13. ANTI-KICK BACK PROVISIONS: EOUAL EMPLOYMENT OPPORTUNITY:
PREVAILING WAGE REQUIREMENT
All contracts for construction or repair using funds provided under this Agreement shall
include a provision for compliance with the Copeland "Anti-Kick Back" Act (18 U.S.C. 874)
as supplemented in Department of Labor Regulations (29 CFR, Part 3) if aplicable. This Act
provides that each Consultant shall be prohibited from inducing, by any means, any person
employed in the construction, completion or repair of public work, to give up any part of the
compensation to which he/she is otherwise entitled. Consultant shall report all suspected or
reported violations to City. All subcontracts in excess of$IO,OOO entered into by Consultant
using funds provided under this Agreement shall contain a provision requiring compliance
with Equal Employment Opportunity provisions established by Executive Order Number
11246, as amended and 24 CFR, Part 135, Section 135.38.
Any construction contracts awarded by Consultant using funds provided under this
Agreement in excess of $2,000 shall include a provision for compliance with the Davis-
Bacon Act [40 U.S.C. 276(a) to 276(a)(7)] and as supplemented by Department of Labor
Regulations (29 CFR) if applicable. Under this Act, Consultants shall be required to pay
wages to laborers and mechanics at a rate not less than the minimum wages specified in a
wage determination made by the Secretary of Labor. In addition, Consultants shall place
a copy of the current prevailing wage determination issued by the Department of Labor in
each solicitation and the award of a contract shall be conditioned upon the acceptance of
the wage determination. Consultant shall report all suspected or reported violations to
City/Agency.

14. AGENCY SUPPORT
City/Agency shall provide Consultant with any plans, publications, reports, statistics,
records or other data or information pertinent to the services to be provided hereunder
which are reasonably available to City/Agency.
15. INDEPENDENT CONTRACTOR
Consultant shall perform the services as contained herein as an independent contractor
and shall not be considered an employee of City/Agency or under City/Agency
supervision or control. This Agreement is by and between consultant and City/Agency,
and is not intended, and shall not be construed, to create the relationship of agent, servant,
employee, partnership, joint venture, or association, between City/Agency and
Consultant.
16. SUCCESSOR AND ASSIGNMENT
The services as contained herein are to be rendered by Consultant whose name is as
appears first above written and said Consultant shall not assign nor transfer any interest in
this Agreement without the prior written consent of City/Agency.
17. INDEMNIFICATION
Consultant agrees to indemnify, defend and save harmless City/Agency, its agents,
officers and employees from and against any and all liability, expense, including defense
costs and legal fees, and claims for damages of any nature whatsoever, including, but not
limited to, bodily injury, death, personal injury or property damage arising from or
connected with Consultant's operations, or its services hereunder, including any workers'
compensation suit, liability or expense, arising from or connected with the services
performed by or on behalf of Consultant by any person pursuant to this Agreement. The
costs, salary and expenses of the City Attorney and members of his office in enforcing
this Agreement on behalf of the City/Agency shall be considered as "legal fees" for the
purpose of this Section.
18. INSURANCE
Without limiting Consultant's indemnification of City/Agency, Consultant shall provide
and maintain at its own expense during the term of this Agreement the following
program(s) of insurance covering its operation hereunder. Such insurance shall be
provided by insurer(s) satisfactory to City/Agency and evidence of such programs
satisfactory to Agency shall be delivered to the Director or hislher designee within ten
(10) days of the effective date of this Agreement.

General Liabilitv: A program including, but not limited to,
comprehensive general liability with a combined single limit of not
less than $1.000,000 per occurrence. Such insurance shall be
primary to and not contributing with any other insurance
maintained by Agency, and shall name City/Agency as an
additional insured. Such insurance shall provide for 30 days prior
notice to the City/Agency in the event of material change or
termination.
19. COMPLIANCE WITH LAWS
The parties agree to be bound by applicable federal, state and local laws, regulations and
directives as they pertain to the performance of this Agreement.
20. SEVERABILITY
In the event that any provision herein contained is held to be invalid, void or illegal by
any court of competent jurisdiction, the same shall be deemed severable from the
remainder of this Agreement and shall in no way affect, impair or invalidate any other
provision contained herein. If any such provision shall be deemed invalid due to its
scope or breadth, such provision shall be deemed valid to the extent of the scope or
breadth permitted by law.
21. INTERPRETATION
No provision of this Agreement is to be interpreted for or against either party because that
party or that party's legal representative drafted such provision, but this Agreement is to
be construed as if it were drafted by both parties hereto.
22. ENTIRE AGREEMENT
This Agreement supersedes any and all other agreements, either oral or in writing,
between the parties hereto with respect to the retention of Consultant by City/Agency and
contains all the covenants and agreements between the parties with respect to such
retention.
23. WAIVER
No breach of any provision hereof can be waived unless in writing. Waiver of anyone
breach of any provision shall not be deemed to be a waiver of any other breach of the
same or any other provision hereof.
24. CONTRACT EVALUATION AND REVIEW
The ongoing assessment and monitoring of this Agreement is the responsibility of the
Director or his/her designee.

25. TERMINATION
This Agreement may be terminated by either party by giving written notice at least
fourteen (14) days prior to the effective termination date pursuant to Section 3, terms (a)
herein.
26. NOTICE
Notices, herein shall be presented in person or by certified or registered U.S. mail, as

ADDENDUM LETTER TO PROPOSAL FOR REDEVELOPMENT PROJECT
ADOPTION SERVICES
Dear Mr. Winkler:
Pursuant to our phone conversation, this letter addresses the requested approach of
first completing a feasibility study prior to proceeding with a full redevelopment plan
adoption for the area outlined in your RFP.
The following Scope of Services presents an outline of the work required, products to
be received by the City, and fee by Phase.
Phase I - Feasibility Study.
The Feasibility Study will document conditions, review data, and support
recommendations as to whether or not the area under consideration meets the blight
requirements pursuant to California Community Redevelopment Law (the "CRL").
Additionally, the Study will present a financial analysis of anticipated revenues to be
generated by the project as compared to the cost of a project area adoption. The
analysis will be conducted in such a way as to provide the basis for the
documentation required for the preparation of a Preliminary Report and the Report to
the City Council for the subsequent plan adoption.
A. Data Collection/ Field Reconnaissance and Survey
RSG will conduct a walk/drive survey of the proposed project area to secure, on a
parcel detail, the required information to document both physical and economic
blight. Survey information will be coded so information can be assessed and
mapped to document both the required presence of physical and economic
blight. Photos will be taken to document specific conditions. Additionally,
based upon the CRL definition of blight, the following information will be
gathered by RSG from available sources:

. Phvsical Conditions: During the field survey RSG will .note all blighting
conditions visible including the condition of structures, utilities, design
constraints, availability of parking, parcel configurations ownership
patterns, and lot coverage. The City will provide and RSG will collect all
information, reports, and documents available to document physical
blighting conditions such as code violations; parking studies; public
improvement needs; information on hazardous materials, asbestos, etc.
RSG will meet with the City Engineering Department to collect data and
assess infrastructure needs. If desired, RSG will also meet with significant
landowners to determine future development potential, associated costs
and potential revenues to the Agency.
. Economic Conditions: RSG will identify economic conditions of blight
present within the proposed area. The City will provide and RSG will collect
any pertinent information regarding the economic condition of the area
including sales tax generation information; business license turnovers; cost
of services studies, etc. The collection of the following information by RSG
will further document and support findings of adverse economic conditions:
~ RSG will collect and analyze the 1993-94 through 1998-99 assessor
parcel listings, maps, and secured valuation for the proposed project
area. Total secured valuation of each area will be calculated.
~ RSG will collect property sales information for the last eighteen (18)
months. Trends in property sales and assessed value will be examined
and related to City and County data.
~ RSG will examine vacancy and lease rates of commerical properties and
will conduct economic analysis of potential redevelopment sites within
the proposed area. Where indicated, development pro formas will be
constructed to determine feasibility of private new development and
the need for redevelopment intervention.
~ Crime statistics from the City's Police Department will be collected and
analyzed.
~ Residential overcrowding will be assessed.
B. Data Analysis
All data gathered by RSG and provided by the City during the collection phase of
this engagement will be quantified on a parcel and block level basis.

RSG has developed a highly sophisticated computer data management system to
sort and analyze parcel level information. All data collected during the field
reconnaissance will be entered into the system for analysis. Additionally, we will
collect and input assessor information (parcel number, situs address, owner
name and address, valuation, exemptions and tax rate area) for each parcel.
Once the input is complete, various datasorts will be run to produce reports
needed to prepare required documents; these reports will document existing
land use, parcel/building condition, zoning and general plan land uses, current

. Once all data gathered has been quantified, RSG will analyze and determine
location, concentration patterns, and relationships of the conditions
identified in the areas.
. Both physical and economic blighting conditions will be mapped.
. The identified blighting conditions will then be analyzed to determine if
other means (rather than redevelopment) can be applied to remedy adverse
conditions.
C. Financial Feasibility Analysis
. Tax increment revenue projections will be constructed for the proposed
area assuming a realistic development schedule.
. Pro forma analysis of potential redevelopment sites will be constructed.
Feasibility of private financing techniques to remedy blight and achieve
redevelopment in the proposed project area will be examined.
. Tax increment revenue potential of the proposed project will be compared
to cost of the plan adoption process.
D. Feasibility Study
. Based upon the data and analysis conducted in the previous task, a draft
study will be developed that recommends Project Area boundaries and
outlines the conditions of blight present. Based upon the recommended
boundaries, analysis of the need for a Project Area Committee will be
examined. The draft report will be submitted for City staff for their review
and comments.

with the Plan Adoption, the consultant team will initiate the process by holding
scoping and strategy conference with the Agency staff, Special Counsel and other
Agency Consultants to:

> Determine if the City's existing redevelopment survey area includes the properties
under consideration,' if not proceed to amend the survey area boundaries.
> Review the existing Agency's designated survey area and discuss the area's

. Determination of Environmental Review. Upon consultation with Agency staff
and Agency Counsel, a determination will be made as to whether a full
environmental impact report ("EIR") is necessary or whether a negative declaration
will be sufficient. {The following scope of services assumes that the adoption
process will require preparation of an E1R.}
. Coordination for the Preoaration of Initial Studv and Notice of Preoaration for
CEQA Comoliance. RSG will assist the CAA in the preparation of the Notice of
Preparation. In particular, RSG will ensure that the "project description" adequately
describes the proposed redevelopment project amendment. Further, RSG will
assist the Agency and the environmental consultant in confirming the responsible
agencies and distributing the Notice of Preparation. All notice mailings for the
environmental process would be the responsibility of the City or their
environmental consultant.
. Field Reconnaissance Uodate. Prior to the preparation of the Report to the
City Council the consultant will conduct a review survey to confirm the conditions
identified in the Feasibility Study.

process will greatly enhance presentations to the City Council, Planning
Commission and community groups. RSG will facilitate the process of defining the
implementation programs and activities.
. Develooment of Cost of Imolementation of Prooosed Redevelooment Activitv.
Once a Public Improvement Projects List has been developed, the consultant team
will develop a project by project cost estimate for use in the Preliminary Report,
and Report to the City Council.

. Desiqnate Proiect Area/Prepare Preliminarv Plan. Map, and Leqal Description.
A Preliminary Plan will be prepared that delineates the proposed Project Area by
map. The Preliminary Plan will outline the need for establishing a redevelopment
program for the area. The Project Area boundaries and Preliminary Plan will be
presented to the Planning Commission. The CRL requires that the Planning
Commission selects the proposed Project Area boundaries and approves the Plan.
Once approved by the Planning Commission the Agency must approve both and
authorize their transmittal to the taxing agencies. As part of this activity, the
consultant will provide the maps and legal descriptions for the proposed Project
Area for submission to the State Board of Equalization and affected taxing
agencies.
. Proiect Area Committee/Citizen Participation Proqram. The requirements of the
CRL dictate that if your Plan contains either the power of eminent domain over
property on which persons reside, or if public improvement projects cited in the
Plan will require the displacement of low and moderate income persons, you are
required to create a Project Area Committee ("PAC). If required, as an Optional
item, RSG would prepare the procedures for formation of the PAC, assist with the
PAC election and staff meetings of the PAC. RSG has had extensive experience in
the formation and staffing of PACs. (PAC mailings are not included in fixed fee,
however if desired by the Agency, RSG would prepare notices and mail as a
reimbursable cost.)
B. Prepare Draft Redevelopment Plans, Relocation Plan, Owner Participation
Rules, Preliminary Report, Citizen Meetings, Taxing Agency Consultations
. Prepare Draft Redevelopment Plan. Once the proposed projects and programs are
outlined, RSG will prepare the draft Redevelopment Plan in accordance with the
CRL. RSG will work with Agency staff to define the scope and nature of
implementation activities, which will be needed to accomplish project goals and
remedy blighting conditions.
. Prepare Method of Relocation and Owner Participation and Business Re-entrv
Rules. Concurrent with preparing the draft Redevelopment Plan, the Method of
Relocation and Owner Participation and Business Re-entry Guidelines will be
drafted. The Method of Relocation will incorporate the "California Relocation
Assistance and Real Property Acquisition Guidelines" and outline the procedures
the Agency would follow in the event of property acquisition and relocation. The
Owner Participation and Business Re-entry Rules outline the procedures for
participation in the redevelopment program. These documents will be circulated
for staff, Agency's Counsel and public review prior to final consideration for

adoption by the Agency. The documents will be revised as necessary to
incorporate subsequent revisions and modifications.
. Financial Analvsis. Tax increment revenue projections prepared for the
Feasibility Study will be included in the Preliminary Report. If required,
projections will be updated for the Report to the City Council.
. Prepare the Preliminarv Report. A Preliminary Report, based upon the Feasibility
Study, will be prepared that outlines the reasons for the selection of the Project
Area, describes the physical, social and economic conditions within the Area,
preliminarily assesses the feasibility of financing the proposed redevelopment
programs, and identifies projects to be implemented by the Agency and how they
will alleviate the identified blighting conditions. The report will be transmitted to
the affected taxing agencies and will be the basis for fiscal consultations.
. Preparation of Draft and Final Environmental Impact Report (EIR). If it is
determined that in accordance with the California Environmental Quality Act
("CEQA") guideline that preparation of an EIR is required, CAA will conduct this
process. This process will entail the preparation of an Initial Study, Draft EIR,
Response to Comments on the Draft EIR, monitoring program, and Final EIR. CM
will work directly with the Agency to prepare these documents. CAA's detailed
scope of services is included as Appendix A to this proposal. RSG will coordinate
efforts with the environmental consultant to ensure that required information
flows back and forth as needed, and that all parties adhere to the time schedule.
RSG has performed this coordination task with more than a dozen of its plan
adoption engagements.
. Consultations Community Groups. RSG will assist in staffing all community
group meetings. The fee quote includes two (2) community meetings; additional
meetings would be billed on a time and materials basis at the hourly rates
presented in the cost proposal.
. Taxinq Aqencv Discussions. AB 1290 eliminated the need for formal discussions
with taxing agencies that receive property tax revenue from a redevelopment
project. However, if a taxing agency wishes to dispute a redevelopment project
proposal, then they must legally challenge the proposal once it is adopted on the
basis of blight, adherence to the legally prescribed project formation procedures,
and the adequacy of the required environmental documentation. Though formal
taxing agency negotiations are not required, it is recommended that staff conduct
informal discussions with the County of San Bernardino and other affected taxing
agencies to obtain insight as to their perception of the redevelopment proposal,
and to discern whether or not these jurisdictions would pursue legal challenges.

This would allow staff to refine the program to address their concerns, and
enhance support documentation, prior to final adoption, to better withstand
potential legal challenges. RSG's proposal includes two (2) such taxing agency
meetings. Additional meetings would be charged on a time and materials basis at
the hourly rate established in the Fee Quote section of this proposal.
C. Public Hearings and Follow-Up
. Taxinq Aqency/Public Notices. RSG will prepare all required notices and ensure
that they are ready for transmittal in the time frame required by law as part of our
fixed fee quote. The other mailings and public hearing notices will be the
responsibility of the Agency. If the Agency desires, RSG will coordinate the
printing, assembly and transmittal of the required mailings; this task would be
billed as a reimbursable cost outside of the fixed fee quote.
· Prepare Report to City Council on the Redevelopment Plan. This is one of the
major tasks of the adoption process since the report must include documentation
that all the requirements of the law have been met with respect to:
~ the reasons and the need for the Redevelopment Plan,
~ the reasonableness of the redevelopment program proposals,
~ the blighting conditions present within the proposed Project Areas,
~ the methodology of financing the proposed Redevelopment Plan,
~ the relocation assistance plan and neighborhood impact analysis,
~ evidence of consultation with affected citizens, property owners, and taxing agencies,
~ compliance with CEQA, and
~ evaluation of potential project impacts on surrounding neighborhoods.
· This report forms the basis for a defense against legal challenges, if any, to the
Redevelopment Plan. The report also allows the City Council to evaluate the
financial feasibility and desirability of this redevelopment program. The consultant
team will prepare the report in simple, direct language that is understandable to
all reviewing parties.
· Property Owner Mailinqs and Notices. Required hearing notices will be prepared
by RSG. A master property owner, tenant, business owner and community
organization list and mailing labels will be compiled by RSG; with the mailing list
updated 30 days prior to transmittal of the notice of the public hearing. The
hearing notice and mailing labels will be provided to the Agency staff for mailing.
If desired by the Agency, RSG will assume this task as a reimbursable cost billed
outside of the fixed fee.

. Attendance at Meetinqs and the Public Hearinq. The Project Manager will attend
project management team/staff, Planning Commission, and City Council meetings
as desired by staff. The fee quote includes: four (4) project management
team/staff meetings, two (2) Planning Commission, four (4) Agency/City Council,
and two (2) public hearings. Additional meetings will be charged on a time and
materials basis, at the rates quoted in the Fee Quote section of this proposal.
. Prepare Staff and Proqress Reports, Resolutions and the AdoPtion Ordinance.
RSG will prepare all necessary staff reports and resolutions in the format
designated by the Agency. Reports, resolutions and documents will be submitted
prior to the Agency's agenda submittal deadline to allow sufficient time for staff
review. RSG will work with the Agency's Special Counsel to prepare the adoption
ordinance.
. AdoPtion Follow-Up. RSG will assist the City Clerk in transmitting the adopted
Ordinance to the newspaper for publication, recording necessary documents,
mailing necessary final documents to the State, County and affected taxing
entities.
PROJECT TEAM
RSG staff will coordinate and manage all the efforts of their consultant team, and
prepare all materials related to the redevelopment segment of this project.
Additionally, the RSG Project Manager will be responsible for presentations to the City
Council/Agency and the Planning Commission, will attend community and staff
meetings, and will assist with taxing agency consultations.
Primary RSG personnel assigned to this project will be Felise Acosta as
Principal/Project Manager with support from Hitta Mosesman, Senior Associate, and
Michael Garcia, Analyst. Detailed resumes for the RSG team members were included
as Exhibit 3 of our proposal letter dated January 11, 1999.
Culbertson, Adams & Associates, Inc. (CAA) , as a direct contractor to the Agency will
provide environmental documentation work.
Stevenson, Porto and Pierce ("SP2"), as a subcontractor to RSG, will prepare the
redevelopment map and legal description.
Phil Martin will serve as Project Manager for CCA and Mike Porto of SP2 will manage
the mapping and engineering work.

RSG proposes to perform the Phase (I work outlined below and detailed on the
attached Project Budget chart, billed on a time and materials basis for a fee not to
exceed $52,710, including mapping services. CAA proposed to conduct the work
outlined in Appendix A for a fee not to exceed $33,500. Optional services total
$14,380 for PAC formation and meetings and is an additional $3,235. Costs are
identified and detailed in the following budget chart. Mailing costs have not been
estimated because of the difficulty in providing an actuate figure at this time.
However, once the number of parcels, business and residential units have been
quantified, RSG will have the information necessary to give the Agency an actuate

RSG will provide up to twelve (12) copies of all documents,

Not included in the not to exceed fee quote are costs
associated with State Board of Equalization and San
Bernardino County filing fees and costs.
Invoices will be issued monthly and are payable upon receipt,
unless otherwise agreed upon in advance. Invoices will
identify tasks completed to date, hours expended and the
hourly rate.
In the event the scope of work should change to a degree
that would alter the fee, RSG will contact the Agency in
writing and submit a revised fee schedule prior to the
commencement of work. Requests for extra work will be
documented, and a completion time and compensation
amount will be submitted for approval prior to initiating

Our quoted fees are valid through December 31, 1999. Non-
contract services commenced after this date that are not
included as part of the Scope of Services presented in this

PROPOSAL FOR REDEVELOPMENT PROJECT ADOPTION SERVICES
Dear Mr. Winkler:
The Rosenow Spevacek Group, Inc. ("RSG") welcomes the opportunity to submit this
proposal for redevelopment plan adoption consultant services to the San Bernardino
Economic Development Agency (the "Agency"). Based upon your request for proposal
("RFP") it is our understanding that the Agency is seeking consultant services to assist
in creating a redevelopment project area located east of Electric Avenue, west of
Waterman Avenue, between Ralston Avenue on the south and 44th Street on the north.
RSG has had extensive experience in redevelopment project formation and
amendment engagements. Our most recent experience in this capacity involved
projects with the Redevelopment Agencies of Burbank, Carson, Cudahy, Diamond Bar,
Fontana, Hemet, Huntington Beach, La Quinta, Ontario, Palm Desert, Port Hueneme,
Poway, Santa Ana, and Ventura.
For this engagement, RSG's consultant team includes the services of Culbertson,
Adams & Associates, Inc. (CAA) who will conduct the environmental documentation
and Stevenson, Porto and Pierce (SP2) who will provide the mapping and engineering
work. Both firms have extensive experience in providing these services in the context
of the redevelopment plan adoption process.
INTRODUCTION
RSG specializes in providing redevelopment, financial and governmental management
consulting services to both public agencies and private participants in the community
development process. Our services include redevelopment project
formation/adoption, financing and project implementation; redevelopment agency
staffing; bond fiscal consultant services; economic and housing program
development/implementation; and management consultant services. RSG service
delivery is enhanced by our aggressive integration of computer applications into
project management, scheduling, revenue forecasting, and data storage activities.

FIRM EXPIERENCE
The RSG consultant team for this assignment has over thirty (30) years of combined
experience in redevelopment program formulation and management including the
redevelopment plan adoption, project implementation, project financing, and housing
program administration. The team has extensive experience in providing
redevelopment project adoption services working as an extension of a redevelopment
agency's staff. In this capacity we not only prepare all documentation, but are also
responsible for coordinating the adoption process, staffing meetings, conducting
community workshops, and representing redevelopment agencies in discussions with
other taxing jurisdictions.
RSG as a firm has provided redevelopment project adoption, amendment and
implementation services to public agencies since 1979. Our staff has managed the
creation/merger/amendment of over eighty (80) redevelopment projects, over twenty
(20) of these since the adoption of Assembly Bill 1290 ("AB 1290"). In addition, RSG
provides ongoing project management and financial consultant services to fourteen
(14) redevelopment agencies. Serving as an extension of Agency staff, RSG personnel
manage land assembly activities, solicit developer/user proposals, prepare and
analyze development pro formas, participate in developer/user negotiations, develop
and implement housing programs, and provide bond fiscal consultant services. We
take pride in the fact that the average tenure of an RSG client engagement is six (6)
years, and that we have retain many of the same clients we have had since the time of
our incorporation. We believe that these long term, continuing client relationships
demonstrate RSG's ongoing corporate commitment to deliver quality services in a
timely and cost effective manner. RSG's plan adoption and amendment experience is
attached as Exhibit 1 and name and phone numbers of our reference clients is
attached as Exhibit2.
PROJECT APPROACH
It is our understanding that the Agency is seeking consulting services to accomplish a
project area adoption process. Because staff is limited, the qualified firm would be
required to conduct all the necessary planning, document preparation, presentations,
reports, maps, legal description, and other related material, and be responsible for
making all presentations leading to the completion of the amendment adoption
process.

With the passage of AB 1290 amending the California Community Redevelopment Law
("CRL"), the project area adoption process has been modified resulting in a need for
more extensive documentation (particularly mapping) of both economic and physical
blight. AB 1290 has also resulted in a reduction of the involvement in affected taxing
agencies. RSG's proposal assumes minimal involvement in taxing agency discussions,
although it includes all necessary notices and transmittals to the taxing agencies.
The blight documentation will be a key element to the consultant's responsibilities.
Given recent court cases, it will be necessary to document blight on a parcel-level
basis, and a primary focus of document preparation will be the substantiation of the
presence of blight. The additional requirement to prepare a "implementation plan"
was also added by AB 1290 and, to this extent, more focus must be placed on
outlining the specific implementation programs, which will be necessary to eliminate
blighting conditions.
The following Scope of Services outlines RSG's approach to the proposed
redevelopment project area adoption.
SCOPE OF SERVICES
I. INITIATE PLAN ADOPTION PROCESS
. Scooinq Meetinq - Data Collection. The consultant team will hold an initial
scoping conference with the Agency staff, Special Counsel and other Agency
Consultants to:
~ Discuss and further identify the objectives of the redevelopment program.
~ Determine if the City's existing redevelopment survey area includes the properties
under consideration; if not proceed to amend the survey area boundaries.
~ Review the existing Agency's designated survey area and discuss the area's
problems, needs and opportunities.
~ Solidify the potential Project Area.
~ Identify current and proposed development activity including potential valuation
and scheduling of new development for both areas.
~ Identify key resource people and delineate studies including: traffic studies, public
improvements needs and cost studies, improvement plans, general and community
plans, and economic/marketing studies.
~ Identify key planning issues in the areas of economics, land use, circulation,
parking, growth, public facilities and housing.

. Proiect Schedule. RSG would prepare a detailed project schedule which annotates
each activity, responsible party, and due dates. The schedule would be updated as
needed during the adoption process. {The following scope of services assumes
that the City's existing survey area includes the proposed Project Area}
· Determination of Environmental Review. Upon consultation with Agency staff
and Agency Counsel, a determination will be made as to whether a full
environmental impact report ("EIR") is necessary or whether a negative declaration
will be sufficient. {The following scope of services assumes that the adoption
process will require preparation of an E1R}
. Coordination for the Preoaration of Initial Studv and Notice of Preoaration for
CEQA Comoliance. RSG will assist the CAA in the preparation of the Notice of
Preparation. In particular, RSG will ensure that the "project description" adequately
describes the proposed redevelopment project amendment. Further, RSG will
assist the Agency and the environmental consultant in confirming the responsible
agencies and distributing the Notice of Preparation. All notice mailings for the
environmental process would be the responsibility of the City or their
environmental consultant.
. Field Reconnaissance. The consultant will conduct a reconnaissance survey to
become familiar with the community and will conduct a detailed land use survey to
record pertinent information. From the recorded survey, notes on land use,
building/property conditions, specific problems and potential opportunities will be
made for each parcel of property. The percentage of urban uses and blighting
conditions (as defined by the California Redevelopment Law) will be specifically
noted.
. Comouter Analvsis. RSG has developed a highly sophisticated computer data
management system to sort and analyze parcel level information. All data
collected during the field reconnaissance will be entered into the system for
analysis. Additionally, we will collect and input assessor information (parcel
number, situs address, owner name and address, valuation, exemptions and tax
rate area) for each parcel. Once the input is complete, various datasorts will be
run to produce reports needed to prepare required documents; these reports will
document existing land use, parcel/building condition, zoning and general plan
land uses, current valuation and ownership. If desired, RSG will also use
computerized spreadsheets to analyze the both projects' financial feasibility.

· Delineate Urbanized and Bliqhtinq Conditions. Upon completion of the parcel
condition datasorts, summaries of urban uses and blighting conditions will be
prepared. These summaries will be reviewed with Agency staff and Agency Special
Counsel; upon their concurrence, maps will be prepared to graphically depict these
conditions.
. Definition of Redevelopment Implementation Activities. Defining development
projects that redevelopment may implement is now required by the California
Redevelopment Law for presentation to the affected taxing agencies. Further,
comprehensively defining the scope of the redevelopment program early in the
process will greatly enhance presentations to the City Council, Planning
Commission and community groups. RSG will facilitate the process of defining the
implementation programs and activities.
. Development of Cost of Implementation of Proposed Redevelopment Activity.
Once a Public Improvement Projects Lists have been developed, the consultant
team will develop a project by project cost estimate for use in the Preliminary
Report, and Report to the City Council.
. Desiqnate Proiect Area/Prepare Preliminary Plan. Map. and Leqal Description.
A Preliminary Plan will be prepared that delineates the proposed Project Area by
map. The Preliminary Plan will outline the need for establishing a redevelopment
program for the area. The Project Area boundaries and Preliminary Plan will be
presented to the Planning Commission. The CRL requires that the Planning
Commission select the proposed Project Area boundaries and approve the Plan.
Once approve by the Planning Commission the Agency must approve the both and
authorize their transmittal to the taxing agencies. As part of this activity, the
consultant will provide the maps and legal descriptions for the proposed Project
Area for submission to the State Board of Equalization and affected taxing
agencies.
. Proiect Area Committee/Citizen Participation Proqram. The requirements of the
CRL dictate that if your Plan contains either the power of eminent domain over
property on which persons reside, or if public improvement projects cited in the
Plan will require the displacement of low and moderate income persons, you are
required to create a Project Area Committee ("PAC). If required, as an Optional
item, RSG would prepare the procedures for formation of the PAC, assist with the
PAC election and staff meetings of the PAC. RSG has had extensive experience in
the formation and staffing of PACs. (PAC mailings are not included in fixed fee,
however if desired by the Agency, RSG would prepare notices and mail as a
reimbursable cost.)

II. Prepare Draft Redevelopment Plans, Relocation Plan, Owner Participation
Rules, Preliminary Report, Citizen Meetings, Taxing Agency Consultations
· Prepare Draft Redevelopment Plan. Once the proposed projects and programs are
outlined, RSG will prepare the draft Redevelopment Plan in accordance with the
CRL. RSG will work with Agency staff to define the scope and nature of
implementation activities, which will be needed to accomplish project goals and
remedy blighting conditions.
· Prepare Method of Relocation and Owner Participation and Business Re-entrv
Rules. Concurrent with preparing the draft Redevelopment Plan, the Method of
Relocation and Owner Participation and Business Re-entry Guidelines will be
drafted. The Method of Relocation will incorporate the "California Relocation
Assistance and Real Property Acquisition Guidelines" and outline the procedures
the Agency would follow in the event of property acquisition and relocation. The
Owner Participation and Business Re-entry Rules outline the procedures for
participation in the redevelopment program. These documents will be circulated
for staff, Agency's Counsel and public review prior to final consideration for
adoption by the Agency. The documents will be revised as necessary to
incorporate subsequent revisions and modifications.
· Financial Analvsis. The consultant will prepare tax increment revenue
projections required for inclusion in the Preliminary Report; the Report to the City
Council and fiscal consultations with affected taxing entities.
· Prepare the Preliminarv Report. Preliminary Report will be prepared that outline
the reasons for the selection of the Project Area, describes the physical, social and
economic conditions within the Area, preliminarily assesses the feasibility of
financing the proposed redevelopment programs, and identifies projects to be
implemented by the Agency and how they will alleviate the identified blighting
conditions. The report will be transmitted to the affected taxing agencies and will
be the basis for fiscal consultations.
· Preparation of Draft and Final Environmental Impact Report (ErR). If it is
determined that in accordance with the California Environmental Quality Act
("CEQA") guideline that preparation of an EIR is required CAA will conduct this
process. This process will entail the preparation of an Initial Study, Draft EIR,
Response to Comments on the Draft EIR, monitoring program, and Final EIR. CAA
will directly with the Agency to prepare these documents. CAA's detailed scope of
services is included as Appendix A to this proposal. RSG will coordinate efforts
with the environmental consultant to ensure that required information flows back

and forth as needed, and that all parties adhere to the time schedule. RSG has
performed this coordination task with more than a dozen of its plan adoption
engagements.
· Consultations Community Groups. RSG will assist in staffing all community
group meetings. The fee quote includes two (2) community meetings; additional
meetings would be billed on a time and materials basis at the hourly rates
presented in the cost proposal.
· Taxinq Aqency Discussions. AB 1290 eliminated the need for formal discussions
with taxing agencies that receive property tax revenue from a redevelopment
project. However, if a taxing agency wishes to dispute a redevelopment project
proposal, then they must legally challenge the proposal once it is adopted on the
basis of blight, adherence to the legally prescribed project formation procedures,
and the adequacy of the required environmental documentation. Though formal
taxing agency negotiations are not required, it is recommended that staff conduct
informal discussions with the County of San Bernardino and other affected taxing
agencies to obtain insight as to their perception of the redevelopment proposal,
and to discern whether or not these jurisdictions would pursue legal challenges.
This would allow staff to refine the program to address their concerns, and
enhance support documentation, prior to final adoption, to better withstand
potential legal challenges. RSG's proposal includes two (2) such taxing agency
meetings. Additional meetings would be charged on a time and materials basis at
the hourly rate established in the Fee Quote section of this proposal.
III. Public Hearings and Follow-Up
. Taxinq Aqency/Public Notices. RSG will prepare all required notices and ensure
that they are ready for transmittal in the time frame required by law ass part of our
fixed fee quote. The other mailings and publiC hearing notices will be the
responsibility of the Agency. If the Agency desires, RSG will coordinate the
printing, assembly and transmittal of the required mailings; this task would be
billed as a reimbursable cost outside of the fixed fee quote.
. Prepare Report to City Council on the Redevelopment Plan. This is one of the
major tasks of the adoption process since the report must include documentation
that all the requirements of the law have been met with respect to:
~ the reasons and the need for the Redevelopment Plan,
~ the reasonableness of the redevelopment program proposals,
~ the blighting conditions present within the proposed Project Areas,
~ the methodology of financing the proposed Redevelopment Plan,

~ the relocation assistance plan and neighborhood impact analysis,
~ evidence of consultation with affected citizens, property owners, and taxing agencies,
~ compliance with CEQA, and
evaluation of potential project impacts on surrounding neighborhoods.
. This report form the basis for a defense against legal challenges, if any, to the
Redevelopment Plan. The report also allows the City Council to evaluate the
financial feasibility and desirability of this redevelopment program. The consultant
team will prepare the report in simple, direct language that is understandable to
all reviewing parties.
. Property Owner Mailinqs and Notices. Required hearing notices will be prepared
and by RSG. A master property owner, tenant, business owner and community
organization list and mailing labels will be compiled by RSG; with the mailing list
updated 30 days prior to transmittal of the notice of the public hearing. The
hearing notice and mailing labels will be provided to the Agency staff for mailing.
If desired by the Agency RSG will assume this task as a reimbursable cost billed
outside of the fixed fee.
. Attendance at Meetinqs and the Public Hearinq. The Project Manager will attend
project management team/staff, Planning Commission, and City Council meetings
as desired by staff. The fee quote includes four (4) project management
team/staff meetings, two (2) Planning Commission, four (4) Agency/City Council,
and two (2) public hearings. Additional meetings will be charged on a time and
materials basis at the rates quoted in the Fee Quote section of this proposal.
. Prepare Staff and Proqress Reports. Resolutions and the AdoPtion Ordinance.
RSG will prepare all necessary staff reports and resolutions in the format
designated by the Agency. Reports, resolutions and documents will be submitted
prior to the Agency's agenda submittal deadline to allow sufficient time for staff
review. RSG will work with the Agency special counsel to prepare the adoption
ordinance.
. AdoPtion Follow-Up. RSG will assist the City Clerk in transmitting the adopted
Ordinance to the newspaper for publication, recording necessary documents,
mailing necessary final documents to the State, County and affected taxing
entities.

PROJECT TEAM
RSG staff will coordinate and manage all the efforts of their consultant team, and
prepare all materials related to the redevelopment segment of this project.
Additionally, the RSG Project Manager will be responsible for presentations to the City
Council/Agency and the Planning Commission, will attend community and staff
meetings, and will assist with taxing agency consultations.
Primary RSG personnel assigned to this project will be Felise Acosta as
Principal/Project Manager with support from Hitta Mosesman, Senior Associate, and
Michael Garcia, Analyst. Detailed resumes for the RSG team members are included as
Exhibit 3 of this letter.
Culbertson, Adams & Associates, Inc. (CAA), as a direct contractor to the Agency will
provide environmental documentation work.
Stevenson, Porto and Pierce ("SP2"), as a subcontractor to RSG, will prepare the
redevelopment map and legal description.
Phil Martin will serve as Project Manager for CCA and Mike Porto of SP2 will manage
the mapping and engineering work.
SCHEDULE
The following presents a general schedule for the adoption process. After the initial
scoping meeting, one of the first tasks the consultant team will complete will be the
preparation of a detailed schedule with outlines each important task, time frame,
event, and documents needed to complete this process. The generalized schedule
below outlines the time frame required to accomplish the adoption.

FEE QUOTE
RSG proposes to perform the work outlined below and detailed on the attached
Project Budget chart, billed on a time and materials basis for a fee not to exceed
$64,884 including mapping services. CM proposed to conduct the work outlined in
Appendix A for a fee not to exceed $33,500. Optional services total $14,380 for PAC
formation and meetings and an additional $3,235. Costs are identified and detailed
in the following budget chart. Mailing costs have not been estimated because of the
difficulty in providing an actuate figure at this time. However, once the number of
parcels, business and residential units have been quantified RSG will have the
information necessary to give the Agency an actuate estimate of mailing costs.

The RSG fee includes mapping, and mailing expenses to the taxing agencies.
Environmental documentation products and costs are presented in CAA proposal
attached as Appendix 1. PAC formation and extended taxing agency consultation are

plans, transmittals, maps, photographs, certified mailing
receipts, and meeting minutes. The reference file will be
entered as part of the public record during the public
hearing.
RSG will provide up to twelve (12) copies of all documents,
maps and reports for the adoption.
Not included in the not to exceed fee quote are costs
associated with State Board of Equalization and San
Bernardino County filing fees and costs.
Invoices will be issued monthly and are payable upon receipt,
unless otherwise agreed upon in advance. Invoices will
identify tasks completed to date, hours expended and the
hourly rate.
In the event the scope of work should change to a degree
that would alter the fee, RSG will contact the Agency in
writing and submit a revised fee schedule prior to the
commencement of work. Requests for extra work will be
documented, and a completion time and compensation
amount will be submitted for approval prior to initiating
work.
Our quoted fees are valid through December 31, 1999. Non-
contract services commenced after this date that are not
included as part of the Scope of Services presented in this
proposal will be charged with the fee schedule effective on
January 1, 1999.

RSG carries general liability insurance in the amount of $1,000,000 combined single
limit per occurrence with a $2,000,000 general aggregate; fire damage liability in the
amount of $50,000; and medical expense liability of $5,000; automobile liability for
non-company owned automobiles in the amount of $1,000,000 combined single
limits; $1,000,000 professional liability; and worker's compensation and employer's
liability insurance in the amount of $1,000,000. A Certificate of Insurance will be
supplied upon request.
RSG provides all employees with full-paid medical insurance coverage.

RSG has aggressively integrated computer applications into our data management,
economic analysis, fiscal projection, document preparation, and client interface
activities. Our capabilities in these areas are as follows:

system incorporates a graphics component that facilitates the
presentation of data in tabulated and graphic formats.
o Development Pro Forma Models: RSG specializes in real estate
development economics, and as such, has developed pro forma models
for a wide array of residential, commercial, office and industrial
developments. After inputting basic project development parameters,
these computer models then calculate required land price, rents,
developer/user return, and 10 to 40 year income/cost pro formas.
o Financial Forecastinq: As a fiscal consultant, RSG prepares revenue
projections for a variety of public and private financings. Our revenue
projections utilize a customized computer model that integrates
projected revenue with existing obligations to forecast financing
capacity. This model is used to structure and size various financings.
o Document Preparation: RSG utilizes Microsoft~ Word for Windows 97
for document preparation; this program can read and write most IBM-
PC and Macintosh files, and is capable of converting files into all major
word processing applications. Spreadsheets are generated employing
Microsoft~ Excel 97, which is fully compatible with Lotus 1-2-3.
o Modem Protocol: In our capacity as contract staff to client agencies,
RSG is required to prepare letters, memos, and staff reports formatted
for client stationery, ready for signature. We transmit these documents
and associated data via a 14400 bps modem, running Procom Plus,
typically at XMODEM protocol.
CORPORATE DESCRIPTION SUMMARY
RSG is a minority/woman business enterprise ("MBE/WBE"), incorporated in 1979
under the California Corporation Law. Ownership is held by five (5) principals, two (2)
of which are female, with one (1) male minority. The Orange County Transportation
Authority certified RSG as a MBE/WBE. RSG's workforce is multiethnic and
multigender.
