Synopsis of Previous Council Action:

Staff Report
SUBJECT:
Resolution of the City of San Bernardino authorizing the Mayor to execute an agreement with
Fourth Street Rock Crusher and the San Bernardino City Unified School District for the design and
construction of the Phase I Road Improvements to State Street and the design and installation of a
traffic signal at the intersection of State Street and Baseline Street.
BACKGROUND:
On January 10,2000, the Mayor and Common Council directed the City Attorney's office to prepare
a draft Memorandum of Understanding between Fourth Street Rock, the San Bernardino City
Unified School District, and the City for the design and construction of Phase I of State Street,
between Baseline Street and the new High School entrance.
The Engineer's Estimate (Exhibit D), prepared by Associated Engineers, outlines the estimated
construction costs for Phase I - State Street, completed as a private development project. Also
included in Exhibits A and B are estimated design and construction inspection costs for the road and
signal improvements. Staff has also submitted an application for Federal (STP) funding for the
construction of Phases II - IV of State Street, utilizing Fourth Street Rock's proposed alignment.
FINANCIAL IMPACT:
Funding for the entire State Street Project in the amount of $400,000 was approved in the FY
2000/2001 Capital Improvement Program Fund (129). A portion of this amount is required to fund
design, right-of-way and construction costs (local match) for subsequent phases of State Street. The
estimated $204,000 in costs will be charged to Account No. 129-367-5504-7059/7060 (State Street)
RECOMMENDATION:
Staff recommends that the attached Resolution, authorizing the Mayor to execute an agreement with
Fourth Street Rock Crusher and the San Bernardino City Unified School District for the design and
construction of the Phase I Road Improvements to State Street and the design and installation of a
traffic signal at the intersection of State Street and Baseline Street, be adopted.

BETWEEN
THE CITY OF SAN BERNARDINO. FOURTH STREET ROCK CRUSHER
AND THE BERNARDINO UNIFIED SCHOOL DISTRICT
AGREEMENT
This Agreement is made and entered into on December -' 2000 by and between the
City of Sail Bemardino (hereinafter referred to as "the City"), Fourth Street Rock Crusher. a
California corporation (hereinafter referred to as "Fourth Street"), and San Bernardino City
Unified School District (hereinafter referred to as "the District").
RECfrALS
A. To improve the safety of Arroyo Valley High School (hereinafter referred to as the "High
School"), students and community residents. provide primary access to the new high school
facility. and allow for development along this corridor. the City and Fourth Street contemplate
designing and installing road improvements commencing at Baseline Street, and constructed to
the south as a portion of State Street. more particularly shown on Exhibit "A", attached hereto
and made a part hereof. The street improvements shall consist of four paved lanes (including
curb and gutter and no sidewalk) of approximately six hundred feet to the south of Baseline
("Street Improvement"), as well as traffic control signals with safety lighting and handicap ramps
at the intersection of said State Street and Baseline Street, collectively referred to as "the
Project".
B. The City. Fourth Street, and the District desire to speci ty the tetmS of participation in the
cost to engineer, acquire the right of way, and construct the Project.
AGREEMENT
The parties agree as follows;
1. Obligations of Fourth Street Rock. Fourth Street shall:
a. Conslrucl, within the time as provided in this Agreement. the Street
Improvements ("State Street") commencing at Baseline Street, San Bernardino, and continuing
south approximately six hundred (600) feet to the west end of the entrance road to the High
School, as more specifically shown in Exhibil "A", auached herelo and made a part hereof.

b. Subject to the satisfaction of the obligations of the City, cause the construction of
a traffic control signal ("Traffic Control Signal") at the comer of Baseline Slre~t and Slate Slreet.
c. To retain or cause to be retained for audit by the City or other governmental
auditors for a period of three (3) years from thc date of fmal payment by the City, all records and
accounts relating to the conSl1'uction of the Project.
d. Provide thc City with executed right-of-way docwnents necessary for the City to
accept State Street improvements, at no cost to the City.
2.
Obligations of the City.
The Cily shall:
a. Provide to Fourth Street, at no C05t to Fourth Street, the plans and specifications
for the Traffic Control Signal, and utility identification and location, and all necessary
construction engineering services, permits, authorizations, and any other necessary actions in
order to construct the Project.
b. Reimburse Fourth Street tor the entire cost of the construction of the Traffic
Control Signal.
c. Reimburse Fourth Street for the total cost of the constrnction of the Street
Improvements, less the sum of Forty Five Thousand Dollars ($45,000.00), plus engineering fees
incurred by Fourth Street for Phase I). The total cost of construction shall not exceed One
Hwuired Eighty Thousand Dollars ($180,000.00).
d. Waive all Project fees, including, but not limited to, application, inspection or
permit fees for the completion of the Project.
e. Bill and collect from the District, on or before March 1,2001, and pay to Fourth
Stret:l immt:diatdy upon receipt, the District's share of the costs of the Project, as provided
herein.
f. Upon completion of the Project, pay Fourth Street the balance of reimbursements
as provided herein, including the reimbursement to be paid by the District.
g. Fourth Strect shall bc reimbursed by the City for the total cost of the Project in
excess of the contribution by Fourth Street, upon completion of Phase r.
3. Obligations ofthe District. The District shall:
a. Within forty-five (45) days of billing, pay to the City the sum of Thirty Six
Thousand DolIar~ ($36,000.00), as the District's share of the contribution towards the
construction of the Project. This represents the District's total share of the cost of tht:
construction of the Project.

b. Within forty-five (45) days of billing, pay to the City the sum of Forty-Five
Thousand Dollars ($45,000.00), as their contribution towards the construction of the Traffic
Control Signal. This represents the Districts total share of the cost of the Traffic Control Signal.
4. Comnletion Date. Fourth Street Rock shall complete the construction of the Project
no Ialer lhan April 1, 2001. Any delays caused by the failure of the City to timely perform its
obligations, shall extend the completion date by the amount of delay caused by the City.
5. Schedule of Construction. The Project schedule shall be as follows:
a. The City shall review and grant all necessary City permits, and take all necessary
action to approve this Project, and to allow Fourth Street to proceed with the construction of the
Project no later than December 15,2000, so long as the plans for the Project are resubmitted to
City on or before December 5, 2000 and substantially conform to the plan check requirements of
the City as previously returned lo Associated Engineers, Inc.
b. Fourth Street shall commence construction of the Project no later than two weeks
after the approval of the Project by the City and the granting of all necessary p~:rmils and
approvals by any governmental agency.
c. By January 1, 2001, Fourth Street shall complete the street grading and all
materials and contracts shall have been issued by Fourth Street to construct the Project.
d. By February I, 2001, City shall complete all necessary underground work to be
completed by the City (including the City Water Department), if any, Project improvement plans
are approved by the City Engineer, and all materials and contracts have been issued by Fourth
Street to construct the Street Improvements.

By March 1,2001, Fourth Street shall complete all paving, concrete and finish
f. By April I, 2001, Fourth Street shall complete the installation of the Tratlic
Control Signal, and all Street Improvements, waiting final approval by the City.
6. Standard for Construction. The construction of the Project will be pursuant to standard
specifications for public works construction, CalTrans requirements, and the City's standards and
requirements.
7. Prevailinl! Wau.e an!! Biddin~. The City agrees that Fourth Street is not required to
pay prevailing wage, or comply with any bidding requirements that would be required if the City
was constructing the Project.
8. Cost of Construction. The cost of construction shall be the actual cost of the construction
of the Project. Any costs incurred by Fourth Street shalt not exceed the cost to perfonn the
similar service, or provide any product by a company not affiliated with Fourth Street. At the
completion of the Project, Fourth Street shall provide to the City and the District the records that

demonstrate the actual cost of construction. An arbitrator as provided in this Agreement shall
dctcrminc any dispute concerning the costs of construction.
9. TcmDorarv Access Road. If the Project is not in substantial compliance with the
Schedule as providc in this Agreement by March 1, 200 1, as defined in paragraph 5 ( e) of this
Agreement, then the District may elcct to construct a temporary access as shown on Exhibit "A".
10. Dispute Resolution - Arbitration.
a. All claims, disputes and other matters in controversy (a "dispute") arising directly
or indirectly out of or related to this Agreement, or the breach thereof. whcther contractual or
noncontractual, and whether during the term or after the termination of this Agreement, shall be

b. Any dispute shall be resolved by arbitration in the City of San Bernardino,
California, administered by the American Arbitration Association under its Commercial
Arbitration Rules in effect at the time of thc dispute, by a single arbitrator. The arbitrator shall
base the award on applicable law and judicial precedent and, unless both parties agree otherwise,
shaJl include in such award thc tindings of fact and conclusions of law upon which the award is
based. Judgment on the award rendered by the arbitrator may be entered in any court having
jurisdiction thereof.

As a result of several telephone conversations between Mr. Johnson and myself today, I
believe we have arrived at a conceptual agreement on the "deal points" subject to Council
approval relative to the State Street Memorandum of Understanding (MOU). Pursuant to
your direction, I had previously suggested that Fourth Street Rock's ultimate share of the
Phase I Street Improvements match the total estimated cost of the improvements required
of CUP 97-15 (as attached) and the City's reimbursement be made in one lump sum upon
completion.
After reviewing the cost with his engineer, he has agreed to participate in the costs of the
State Street Project up to $45,000 in addition to his engineering costs. The following is a
summary of all of the "deal points" we discussed:
1. Fourth Street Rock's share of ultimate costs of Phase I State Street to be $45,000
(25% of the total cost) plus engineering costs.
2. Fourth Street Rock to be reimbursed for City's share and School District's share
(with City as "pass through" agency) upon completion and acceptance of
improvements.
3. Fourth Street Rock to receive no additional compensation for rights of way
associated with Phase I State Street.
4. Fourth Street Rock, City and School District to execute agreement for Phase I
Improvements.
5. City agrees to negotiate with Fourth Street Rock regarding an agreement for the
construction of Phases II, III, and IV of State Street.
The one outstanding issue still remaining is the School District's contribution toward this
improvement. The District's offer is to pay $81,000 toward the improvement and Mr.
Johnson's proposal includes participation by them in the amount of$120,000 +/-.
In addition, I have attached exhibits detailing the proposal to further clarify the shared
costs. With Council approval of the referenced "deal points" staff will return with an
agreement for execution at the November 20 Council meeting.

liens against the property in order to accomplish the required landscape
maintenance. A document processing fee in the amount of $200.00 shall
be paid to the Real Property Section to cover processing costs. This

a) Design and construct all public utilities to serve the site in accordance with
City Code, City Standards and requiremenls of the serving utility, including
gas, electric, telephone, water, and sewer (If sanitary facilities are proposed
for the site).
b) Utility services shall be placed underground and easemenls provided as
required.
c) All existing overhead utilities adjacent to or traversing the site on either side
of the street shall be undergrounded in accordance with Section 19.20.030
.. of the Development Code.
d) Existing Utilities which interfere with new construction shall be relocated at
the Developer's expense as directed by the City Engineer, except overhead
lines, if required by provisions of the Development Code to be
undergrounded. See Development Code Section 19.20.030.
4. Street ImDrovement and Dedications

All truck access roads shall be paved full width with A. C. or Concrete
pavement for a distance of 100 feet from the entry to any public street. A
Civil or Soils Engineer shall design the pavement structural section.

On January 10, 2000, the Mayor and Common Council directed the City Attorney's office to
prepare a draft Memorandum of Understanding with Fourth Street Rock, San Bernardino City
Unified School District, and the City for the design and construction of Phase I of State Street
(between Baseline and the new High School entrance).
Since that time, staff has had numerous meetings and discussions with the parties involved; the
necessary plans, specifications and right-of-way documents have been prepared; and the State
Superintendent's office has approved the access concept. There are still several unresolved
issues, however, on which staff is seeking policy direction. Specifically, staff would like
direction from the Mayor and Common Council relative to the following three "deal points" in
the agreement:
1. Fourth Street Rock's "ultimate share" in the project costs (see Exhibits for
alternative proposals);
2. What funding option, if any, will be used to reimburse Fourth Street Rock
for the City's share of costs to build the project:
a. Credit against future development fees. (Staff suggestion)
b. Sales tax rebate. (Fourth Street Rock suggestion)
c. Property tax rebate. (Fourth Street Rock suggestion)
d. CIP-State Street Project/Street Construction Fund balance.
3. Right-of-way (much of the right-of-way necessary to build the Phase I street
improvements had previously been dedicated to the City).
The Engineer's Estimate (Exhibit D) prepared by Associated Engineers outlines the estimated
construction costs for Phase I-State Street, completed as a private development project. Also
included in exhibits A, A-I and B are estimated design and construction inspection costs for
the road and signal improvements.
Financial ImDact:
Funding for the entire State Street Project in the amount of $400,000 was approved in the FY
2000/01 Capital Improvement Program Fund (129). A portion of this amount is required to
fund Design and right-of-way costs for subsequent phases of State Street. All costs incurred
will be charged to Account No. 129-367-5504-707917060 (State Street).

f) The on-site improvement plan shall include details of on-site lighting,
including light location, type of poles and fixtures, foundation design,
conduit location and size, and the number and size of conductors.
Photometry calculations shall be provided which show that the proposed
on-site lighting design will meet the intensity and distribution crilllria
specified by the City Police Department.
g) The design of on-site improvements shall also comply with all requirements
of The California Building Code, Title 24, relating to handicap parking and
accessibility, including retrofitting of existing building access points for
handicap accessibility, if applicable.
h) A reciprocal easement shall be recorded prior to grading plan approval if
. reciprocal drainage, access, sewer, and/or parking is proposed to cross lot
lines, or a lot merger shall be recorded to remove the interior lot lines.
i) The project Landscape Plan shall be reviewed and approved by the City
Engineer prior to issuance of a grading permit. Submit 5 copies to the
Engineering Division for Checking.
D An easement and covenant shall be executed on behalf of the City to allow
the City to enter and maintain any required landscaping in case of owner
neglect. The Real Property Section for execution by the property owner
and shall ensure that, if the property owner or subsequent owner(s) fail to
properly maintain the landscaping, the City will be able to file appropriate
liens against the property in order to accomplish the required landscape
maintenance. A document processing fee in the amount of $200.00 shall
be paid to the Real Property Section to cover processing costs. This
easement and covenant shall be executed by the property owner prior to
plan approval unless otherwise allowed by the Director of Public
Works/City Engineer.

3. Utilities
a) Design and constrtlct all public utilities liD serve the site in accordance with
City Code. City Standards and requirements of the serving utility, including
gas, electric, l8Iephone, water, and sewer (If sanitary facilities are proposed .
for the site).
b) Utility services shall be placed underground and easements provided as
required.
c) All existing overhead utilities adjacent liD or traversing the site on either side
of the street shall be undergrounded in accordance with Section 19.20.030
. of the Development Code.
d) Existing Utilities which interfere with new construction shall be relocated at
the Developer's expense as directed by the City Engineer. except overhead
lines, if required by provisions of the Development Code to be
undergrounded. See Development Code Section 19.20.030.
4. Street ImDrovement and Dedications
a) All truck access roads shall be paved full width with A. C. or Concrete
pavement for a distance of 100 reet from the entry to any public street. A
Civil or Soils Engineer shall design the pavement structural section.
b) Dust palliative shall be applied to control dust on all unpaved access roads.
c) As part of Phase I, the traffic signal at the intersection o( Califomia Street
and Base Line Street shall be upgraded to provide for the addition of the

Dear Madam Mayor and Council Members:
At your last Council meeting, I raised the longstanding issue of the State Street extension. I am
convinced that an appropriately phased improvement of State Street between 16th Street and
Foothill Boulevard could be the most cost effective and mutually beneficial course of action for
the City, the School District, the landowners, and the general public.
My Civil Engineer (Associated Engineers) has prepared a preliminary alignment study, which is
enclosed. This preliminary study was presented to the City Engineer, Mr. Raymond Casey and his
associate, Mr. Thaipejr, during a recent meeting. At that meeting, financing issues were also
discussed.
I request that the Council direct Staff to review and consider the feasibility of the following
proposal:
I. An appropriately phased, privately financed design and construction of State Street
from 16th Street to the 5th Street "cut-off' (as shown on the alignment study), to be
completed and dedicated to public use;
2. An appropriate "reimbursement" and/or "construction credit" mechanism be
identified and established to eventually reimburse the private design and
construction financing; and
3. Any and all existing City public works accounts, funds, etc. which are now
designated for State Street (or appurtenant improvements) be identified and
applied to this proposal.
Thank you for your consideration of this request. I trust you agree that the idea merits further
analysis by staff.
