Resolution of the Community Development Commission of the City of San
Bernardino Authorizing the Chairperson of the Redevelopment Agency of the
City of San Bernardino to Execute a Partial and Limited Release from
Declaration of Restrictions in favor of California State University San
Bernardino (Agenda Item No. R-37).
In November, 2002, the Mayor and Common Council amended the General Plan and the
Development Code to create a Residential Student Housing land use designation to allow American
Campus-Titan ("ACT") to construct a student housing project at the southeast comer of North park
Blvd. and University Parkway. A Conditional Use Permit was also issued and included as one of
its conditions the requirement that ACT enter into an affiliation agreement with California State
University San Bernardino in compliance with the Development Code. In addition to the affiliation
agreement, the two parties also entered into an Option to Purchase dated as ofJuly 16,2003. Based
upon these two documents, the University intends to exercise its option to purchase approximately
9.0466 acres (this includes the 480 bed off-campus student housing project) and approximately
2.2389 acres (this is a commercial site adjacent to the other parcel) from ACT.
A preliminary title report revealed that on July 12, 1971, the Redevelopment Agency of the
City of San Bernardino, California, in contemplation of selling some real property that it owned,
recorded Declaration of Restrictions on several parcels - including the two now proposed for
purchase by the University (a copy ofthe Declaration of Restrictions is attached to this staff report).
Real property owned by the State of California is not subject to local agency regulations.
Further, the California State University Board of Trustees has the "full power and responsibility in
the construction and development of any state university campus, and any buildings or other facilities
or improvements connected with the California State University" (California Education Code
966606). Accordingly, California State University San Bernardino is requesting that a resolution
be passed to "quit claim" the covenants, conditions, and restrictions only for the property to be
purchased by the University, effective upon the close of escrow when the University becomes the
title holder, and has agreed that the "quit claim" is effective only for so long as the State of
California is the owner of the subject property.
The proposed resolution authorizes the execution and recordation ofthe Partial And Limited
Release From Declaration Of Restrictions which accomplishes the request ofthe University. It has
been reviewed and approved by legal counsel for the University. It is requested that the Community
Development Commission adopt the proposed resolution.

SAN BERNARDINO, CALIFORNIA, which for convenience shall sometimes be
hereinafter designated and referred to as the "DECLARANT", or the
"Redevelopment Agency", witnesses that:

WHEREAS, Declarant is the owner of that certain real property
situated in the City of San Bernardino, County of San Bernardino, State
of California, which real property is within the boundaries of Declarant's
State College Project No. 4 (hereinafter called "Project").
AND WHEREAS, Declarant is about to sell, dispose or convey in
portions some or all of said real property and desires in that behalf, for
the benefit of itself and the several purchasers of lots and parcels of
said real proDerty, to prescribe certain standards relating to the use and
occupation of such real property;
NOW, THEREFORE, IN CONSIDERATION OF THE PREMISES, and for the uses
and purposes herein set forth, said Declarant hereby declares that conveyances
of all lots, parcels, and portions cO~I'ised in the above described real pro-
perty shall be made and accepted upon condition that said land be devoted to
the use provided in the Redevelopment Plan of the Project and the following
express conditions, provisions, restrictions, and covenants hereinafter referred
to as "conditions", which shall apply to and bind the parties thereto, their
heirs, successors and assigns, imposed pursuant to a general plan for the
i~rovement, protection, maintenance, and development of the above described

property and each and every lot , parcel or porti on thereof and !!ach and every
lot or parcel into which the same is subdivided, which plan has been devised
and designed and w"ll be at all times hereinafter maintained for the mutual
benefit of the owners of such land and of each and every part and parcel therecf
and of each and every lot into which the same is subdivided which conditions
being as follows, to wit:

1. No building shall be permitted to remain within the boundaries of the
Project which does not or cannot be made to conform to the Redevelopment
Pl an for the Project.
2. Any and all plans for buildings, structures, appurtenances thereto,
landscaping, architectural design, use, and location of buildings, shall be
submitted to the Redevelopment Agency and approved by said Agency prior to
construction.
3. No buildings, structure~ and/or appurtenances thereto shall be placed
on any lot so that any portion thereof shall be cioser to the property lines
than those set back requirements set forth in the plan, or as required by any
and all Ordinances of the City of San Bernardino whichever is the more
restrictive.
4. No parking areas shall be placed adjacent to City side walk areas unless
such parking areas are separated from said side walk areas by a masonary
wall not less than two and one-half feet above side walk grade or by a
landscaped and maintained planting area approved by the Redevelopment Agency
for the area.
5. No sign shall be permitted to be constructed, attached, inscribed, affixed

or painted on or to any building in the Project unless and until the design
for such sign has been presented to and approved by the Redevelopment Agency
as to location, size, design and construction.
6. The area between the City side walk and any and all buildings in the
Project shall be paved to City of San Bernardino specifications and/or land-
scaped and maintained by the owner or owners of the lot as a condition of use.
7. All decisions and approvals or disappl~vals by the Redevelopment Agency
herein established shall be final and binding and no appeal to another Agency,
Public Body or entity shall prevail.
8. Grade Height
Neither the Grantee, nor any person or persons claiming under said grantee,
of said real property shall at any time raise or lower the grade of any lot or
lots conveyed to him more than the grade established or the grade to be

established by the Redevelopment Agency.
All of the foregoing covenants, conditions and restrictions set forth
in the above number sub-paragraphs 1 through 8, shall run with the land and
shall continue in full force and effect for a period of forty (40) years.
9. No covenant, condition, or restriction shall by any instrument be executed
or recorded by any purchaser, grantee. vendee, or lessee, of any lot, parcel
or part of .said property whereby the use, occupancy, rental, lease or owner-
ship thereof shall be denied to any person on account of race, sex, religion,
color, ancestry or national origin. Said covenant, condition, and restriction
against such discrimination on the basis of race, sex, religion, color,
ancestry, or national origin or any person shall be perpetual and shall apply to
and be forever binding upon any purchaser, grantee, vendee or lessee of any
part of said property, his heirs, executors, administrators and assigns.
PROVrDED. FURTHER, that if any covenant or condition or restriction
or paragraph, section, sentence, clause or phrase herein contained shall
become illegal, null or void for any reason, or shall be held by any court
of competent jurisdiction to be illegal or against public policy, the remain-
ing covenants, conditions, and restrictions, paragraphs, sections, clauses,
or phrases herein contained shall not be affected thereby and shall remain
in full force and effect.
PROVIDED, ALSO, that a breach of any of the foregoing covenants
and conditions shall not defeat or render invalid the lien of any Mortgage or
Deed of Trust made in good faith and for value, as to said realty o~ any part
thereof, said convenants and conditions shall be binding upon and effective
against any subsequent owner of said realty.

6 WHEREAS. an Affiliation Agreemt.:Ilt exists between The Trustees of the California State
7 University, an agency of the State of California and ACT- Village at CSU. LLC, a Delaware limited
8 liability company ("ACr); and
9 WHEREAS. ACT owns the off-campus student housing project and adjacent commercial
1 0 site across the street from the California State University San Bernardino campus; and
II WHEREAS. California State University San Bernardino intends to exercise its purchase
12 rights pursuant to the Affiliation Agreement and its Option to Purchase. and purchase two parcels
13 of real property located across the street from its campus, to wit: approximately 9.0466 acres of
14 property which includes a 480 bed off-campus student housing project and approximately 2.2389
15 acres of property currently designated as a commercial site; and
16 WHEREAS. California State University San Bernardino has determined that in 1971 the
17 Redevelopment Agency of the City of San Bernardino, California. recorded Declaration Of
18 Restrictions on several parcels of real property. including the two parcels proposed for purchase by
19 the University; and
20 WHEREAS. California State University San Bernardino is requesting that the
21 Redevelopment Agency of the City of San Bernardino release the Declaration of Restrictions as to
')') only the two parcels proposed for purchase by it so that it may conclude its acquisition of said real
23 property, and that said release would be effective for only so long as such parcels are owned by the
24 State of California; and
25 WHEREAS. the purchase of the property by California State University San Bernardino will
26 benefit its students, the surrounding community, as well as the goals of the Redevelopment Agency.

adopted Resolution CDC/2004-42 - Resolution authorizing the Chairperson of the
Redevelopment Agency of the City of San Bernardino to execute a Partial and Limited Release
from Declaration of Restrictions in favor of California State University San Bernardino.
