Staff Report
Subject:
Resolution approving a License Agreement between the City of San Bernardino and San
Bernardino Associated Governments (SANBAG) for operation and maintenance of a Storm
Drain and Related Appurtenances installed in the Redlands Subdivision "First Mile" Railroad
Right-of-Way.
Background:
San Bernardino Associated Government (SANBAG) purchased the right-of-way for the
Redlands Subdivision railroad from Burlington Northern Santa Fe (BNSF) in 1993. This
subdivision is approximately ten miles in length and runs between the cities of San Bernardino
and Redlands. Southern California Regional Rail Authority (SCRRA) is a joint powers
authority of five county transportation agencies that build, maintain, and operate Metrolink
commuter railroad systems within Los Angeles, Orange, San Bernardino, Riverside, and
Ventura counties.
During the years 2000 and 2001, SCRRA designed and constructed the "First Mile" of the
Redlands Subdivision between the existing San Bernardino Santa Fe Depot and '"D" Street.
This project consisted of removal of existing railroad track and siding, construction of a new
embankment, track and siding, abandonment and closure of three existing grade crossings.

In November of 2000, the City and SCRRA executed a Construction and Maintenance
Agreement to include items of work that primarily benefited the City. These items of work
consisted of additional storm drain, pavement, curb, gUller and sidewalk improvements. Since
Ihis work fell outside SCRRA ' s area of responsibility and was not needed for completion of
the Metrolink tracks, the City agreed to share the cost of design and construction of the
additional storm drain, pavement, curb, gUller and sidewalk improvements.
Construction of the Redlands First Mile has been completed and all costs that were the
responsibility of the City under terms of the Agreement have been reimbursed to SCRRA.
Under terms of the C & M Agreement, Section 2.B, the City is required to enter into a license
agreement with SANBAG for operation and maintenance of drainage improvements within the
railroad right-of-way.

Prior to finalizing the Agreement, it will be necessary for the City to provide proof of
insurance, naming the Metropolitan Transportation Authority (MT A) and SANBAG as
additional insureds. Risk Management has reviewed the insurance requirements and they are
acceptable to the City.
Financial Impact:
There is no direct cost to the City for this action. The storm drainage system installed in the
SANBAG railroad right-of-way has been added to the inventory of City-owned storm drains
and, as with all storm drains turned over to the City, will be maintained in perpetuity by the
Public Services Department using resources available from its operations and maintenance
budget.
Recommendation:
Adopt Resolution.

Proposed License Agreement
Dear Mr. Lancaster,
Enclosed for review and execution are duplicate originals of the proposed License Agreement
between the San Bernardino Associated Governments (SANBAG) and the City of San
Bernardino (Licensee).
Ihis License covers a storm drain installation that was put in as part of the Redlands First
Mile project (also known as the Metrolink track project from the San Bernardino Depot to the
ballpark), and was referred to in the Construction and Maintenance Agreement that was
executed prior to construction.
Can you please review the License Agreement, and if everything looks satisfactory, please
sign and initial where indicated?
Please return both originals to me at the address below, along with a certificate of insurance or
a letter of self insurance from the City's risk management department.
Once I have the duplicate originals and proof of insurance naming MIA and SANBAG as
additional insureds, I will have the Licenses fully executed on behalf of SANBAG, and I will
return a fully executed original for your records.

1. GR.\:\T Of lICE:\SE/TERM
I.] Grant of license. SA:\BAG hereby' grants a non-eXCIUS1\"C lIcense 10 LIcensee ln,
(ln, over, under, across <1nd along the real property of SA,\'BAG In the locatIon shown In the dIagram attached hereto as
ExhIbit A and described In Item I ofrhe Bas!c license PrO\"ISIOnS (the "LJcensc Propertv"), for construcllOn, 1'.stallatlOn,
orcranon, alteration, maintenance, reconstructIOn andor removal of the Facility described In Item 9 of the BasJC LIcense
PrO\lslons, and any usuaL necessary and related appurtenances thereto (the "Facilllv"). for (he purposes described in Item
2 of the BasK Llcel1se Pro\'lSIOTlS. together with rights for access and entry onto the License Property as necessary or
con\'Cnl('nt fur the use of the Faclllly ln connection WIth thIS grant ofl1censc, L]censee, ltS employees, agents, customers,
\'ls1tor.:;, In\"!tces, licensees and contractors (collectively. "LIcensee's Parties") subject to the prOV]SlOns hereof. may ha\c
reasonable nghts of entry and Jccess onto adjOining real propel1y of SA!'\BAG if necessary for the use of the FacJlit~ or
the License Propeny, with Ihe time and manner of such entry and access to be subject to SA!\'BAG's pnor \\'nnen
approval. TIle L]cense Proper1Y, adJolnmg real property of SA:-''';BAG and personal property of SA~BAG located thereon

\.2 Term of Aereemcnl. The term of thIs :\!:.'Teement shall commence on the
"Commencement DellC" specified In Item 3 of the BasK LIcense PrO\"ISlons. L:nless a specdic tcrm of thiS Agrt.'ement lS
filled m at Item 4.8 of the BasIc License PrOVISIons, or ]f Item ..LA is c]rcled, thiS Agreement shall continue In full force
and effect on a month-to-month basIs as provided In Item 4.A of the BasIc license Pro\"1slOns until terminated by either
party on thmy (30) day's' pnor wntten notIce. If Item 4.B of the Basic L1cense ProviSIOns 1S filled in, then thIs Agreement
shall be a license for the term specifIed m saId Item -l.B; provlded, however, that SA:"JBAG shall have the nght to
tennmate thIS Agreement pnor to the date speclfied In hem ...l..B by delivenng thmy (30) days' prior wntten notice to
L]censee, prOVIded that SA:\BAG, In its sole. reasonable Judgment. detenmnes that II then may require possession of the
LIcense Property for ItS pnmary, transportation-related purposes. The term of thiS Agreement as prOVIded above is
referred 10 as the "Ternl".
1.3 Condition of License ProOCl1\'. L]censee ackno\\lcdges that it has inspected and
accepts the License Property In ItS present condItIOn as sUllable for the use for whICh thIS Agreement is granted.
ExecutIon of thiS ,A.grecment by L]censee shall be eonclus]ve to es!.lbhsh that the L1cense Property is m good and
satisfactory condItIOn as of the Commencement Date.
2. PAYME:'iTS
2.1 I...lcense Fcc. As conSideration for the nghts herein granted, Licensee agrees to pa)
10 SA~Br\G the <Jmounl per month speCIfied in Item 5 of the BaSIC License PrOVIsions, as such amount may be adjusted
as set forth In SectIon 2.2. If Item 5.8.a of the Bas]c License Pro\"1slOns IS CIrcled. the one Orne fee noted therein shall be
due and payable upon C'CCUllon of thIS Agreement. If Item 5.B.b of the BaSIC Llcense PrOV]SIOnS ]S CIrcled, the fee noted
the rem shall he due and payable as mdlcated In that Item. If Item 5A.a of the BaSIC LIcense Provisions IS cIrcled, J'n
amount cqua~ to t\',:eh'e (11) tImes the Base LIcense Fce, as such fee may be adjusted pursuant to the provisIons of
Section 2.2, snaIl be due and payable, Without demand, annually In ad\-ance for the convenience of both parties, without
affecting the Term of thIS Agreement as specified in SectIon 1_2. If Item 5.A.b oflhe BaSIC License ProvlslOns is c]rcled,
the first month's Base License Fee noted thcrcm shall be due and payable upon executIOn of thIS Agreement. Thereafter,
the Base License Fee, as such fee may be adjusted pursu~lI1t to the prOV]Slons of SectIon 2.2, shall be due and payable,
without demand, on or before the first day' of each calendar month succeeding the Commencement Date during the Te'rm,
except that the Base LIcense Fee for any fractlOnal Calendar month at the commencement or end of the Term shall be
prorated on a dally basis.
2.2 License Fce Adlustment.
2.2.\ Annual CPI Ad1ustment. If Item 5.C.3 of the Basic LIcense Pro\-lslons ]s
cIrcled, then the Base License Fee shall be Increased, but not decreased, as pro\'lded below on the first day of each month
dunng wh1ch an annual anniversary of the Commencement Date occurs unless another date(s)]s prOVIded in Item 5 ofthc
BaSIC License ProviSIOns (the "Adiustment Date"). The adjusted Base L]cense Fee as of each Adjustment Date shall be
the greater of the Base License Fee on the day preceding th.:n Adjustment Date or that amount multlPl1cd by a fraction, the
numerator of which. IS the CPI figure for the third month precedmg the month during \l,-.hJCh the particular Adjustment
Date occurs and the denommator of which is the CPI figure for the month that is three (3) months pnor to the month

contamlng the prior AdJustment Date or, ]f none. the Commencement Datc. As used In this sectlon, the "(PI" means the
Consumer Price Index for Urban Wage Earners and Clerical Workers, Los Angeles R1vers]de/Orange County, all Items
(19S2-84 = 100), publ1shed by' the L'.S. Depanment of Labor, Bureau of Labor Statistics, or if such index]s no longer
published, the U.S. Department of Labor's most comprehenSI\'c offic]almdcx then In use that most nearly corresponds to
the Index named above. If II IS calculated from a base different from the base period 1982-84 = 100, figures used for
calculatIng the adjustment shall first be convened to the base penod used under a fonnula supplied by the Bureau. If a
comparable mdex shall no longer be published by the l' .S. Department of Labor, another Index generally recognized as
authontatlve shall be subsututed by SA:t\'BAG.
2.2.2 Fa]r Market Adlustment. If Item 5.C.b of the Bas]c License Provisions is
cIrcled, then, at inlef\'als of not less than three (3) years, the Base L]cense Fee (as such fee may be adjusted by
SectIOn 2.2.1, abo\e) payable under this Section 2 shall be lIlcreased, but not decreased, In order to adjust the fee to the
then fair market rental value of the L]cense ProperlY as dClennincd by SA~BAG 10 good faith. Such 10crcases shall be
cffect]\'c on an annl\'ersary date of the Commencement Date. SA0:BAG shall givc Llccnsee wntten notice of the date and
amount of any such adjustment nOI less than thIrty (30\ days pnor to the apphcable anniversary date. If no adjustment is
made on the third anniversary of the Commenccment Date, an adjustment may nevertheless be made on a subsequent date
and thereafter at Intervals of not less than three (3) years apan.
2.3 Late Charec. L]censee acknov..'ledges that late payment by Licensee of any payment
owed to SA'BAG under thiS Agreement \....Ill cause SA;\BAG to incur costs not contemplated by thIS Agreement, the
cxact amount of such costs being extremely d]fficult and Impracticable to fix. Therefore, if any payment due from
L1censee IS no! rece]\'cd by SASBAG wlthm five (5) day"s of when due, Licensee shall pay to SANBAG an additional sum
of ten percent (1 m'o) of the o\'erdue payment as a late charge, up to a maX1mUm amount of S500 for each late pa)ment.
The parties agree that this late charge represents a fair and reasonable estimate of the admm]stratl\c costs that SAN BAG
\\il] mcur by reason of a late payment by L]censee. Acceptancc of any late payment charge shall not constitute a waiver of
Licensee's default with respect to the o\'erdue payment. nor pre\"ent SA'SBAG from exercismg any of the other rights and
remedIes a\'allable to SAKBAG under thlS .-\b'TeemcnL at law or 111 equity, including, but not ltmltcd to, the mterest charge
Imposed pursuant to SectIOn 24.5.
3. TAXES
Licensee shall be IJable for and agrees to pay promptly and prior to dL'lmquency, any tax or
asses.'>ment, lncluding but not limited to any possessory interest tax, ]ev]ed by any gO\'emmcntal authority; (a) against the
bcil1ty, the License Property and'or any persollal property, fixtures or equipment of Llcensee used in connection
therc\'vlth or (b) as a result of the Facility's operations.
4. CO'iSTRUCTlO'i
AllY work perfonncd or caused to be performed by LIcensee on the Facility or the License
Property shall be performed (a) at Llcensee's sole cost and expense; (b) in accordance \\lth any and all applicable laws,
rules and regulations (inc]uding the SANBAG's rules and regulatIOns), and (c) In a manner which is (1) equal to or greater
than the then applicable standards of the mdustry for such work, and (]i) satisfactory to SAN BAG. Prior to
commencement of any construction, reconstructIon, Installat]on, rcstoratlOll, alteration, rcpair, replacement or removal
(other than nonnal maintenance) (hereinafter, "\Vork") on the License Property. L]censee shall submit work plans to
SAl\BAG for review and appro\'al. Any such Work must be caITled out pursuant to work pl:ms approyed m wnting by
SAi'\BAG. In additIon, Licensee shall provide SA~BAG With at least 10 calendar days' \\Tllten notIce prior to
commencement of any \Vork on the L]cense Property or the Faciilty, except In cases of emergency, in whIch event
LIcensee shall notlfy S""":\BAG's representatl\'e personally or by phone prior to commencing any Work. L'nlcss othenvise
requested by SANBAG, upon completion of any Work, Licensee shall restore the SA?\B;\G Property to lls condnion
ImmedIately preceding the commencement of such Work.
5. CO'iTRACTORS; APPROVAL A'iD INSl'RA'iCE
Any contractors of Llccnsee performing Work on the Facility or the L]cense Propcny shall
first be appro\-cd In writlllg by SA\'BAG. With respect to such Work, Licensee shall, at its sole cost and expense, obtain
and mallltain m full force and effect throughout the term of such Work. insurance, as requtred by SA:t\'BAG, in the
amounts and coverages specified on, and 1ssued by Insurance compames as descnbed on, Exh]blt "B". Additionally,
LIcensee shall cause any and all of Its contractors and subcontractors whlch may (I) be In\'olvcd \vlth such Work, or (il)
may, for any' reason, need to enter onto the License Property to obtalll and malnt;.llll In full force and effect during the

Teml of thIs Agreement, or throughout the tenn of such Work (3S appllc<lble), Insurance, as requIred by SA:\BAG, In the

the right, throughout the Tenn of thIS Agreement. to rC\'le\\ and change the amount and type of insurance co\'erage It
requIres 111 connectIOn wIth thIs A.greement or the Work to be perfonncd on the LIcense Propeny,
6. REI~IBLRSDIE:\T
LIcensee agrees to relmburse SA;\BAG for all reasonable costs and expenses incurred by
SA\"BAG 111 connection v"lth \Vork on or maintenance of the LIcense Propen,y or the Facility, Includmg, but not I1mited
to, costs mcurred by SA~BAG 111 furnIshmg any materials or perfonnmg any labor, rC\'lewmg Licensee's \\'ork plans
andor mspecllng Jny \\'ork. mstallmg or remo\,lng prolectlOn beneath or along SAT\BAG's tracks, fumlshmg of
watchmen, flagmen and Inspectors as SA~BAG deems necessary and such other !terns or acts as SANBAG in Its sole
dlscretlon deems necessary to monitor or aId III compl1ance "'nh thIS Agreement.
7. LlE:'iS
LIcensee will fully and promptly pay for all matenals Jomed or affixed to the Facility or
SA.:\'BAG Property. <lnd fully and promptly pay all persons who perfonn labor upon saId Facihty or SAI\BAG Propeny,
Licensee shall not suffer or pennH to be til\?d or enforced agamst the SA~BAG Property or the FaCIlity, or any part
thereof, any mechalllcs', materialmen's, contractors', or subcontractors' liens or stop notIces arising from, or any claIm for
damage b'To\\'mg out of. any testmg, mvestlgatlon, mamtenance or Work. or out of any other claim or demand of any kmd,
LIcensee shall payor cause to be paid all such hens, claims or demands, Including sums due with respect to stop notices,
together with attorney's fees incurred by SA\'BAG WIth respect thereto, \\,lthm ten (10) business days after notIce thereof
and shall mdcffi1l1fy. hold harmless and defend SA!\BAG from all obl1gatlOns and claIms made against SA;\IBAG for the
above described work, mcluding attorney's fees, LIcensee shall furnish e\'idence of payment upon request of SA;'-.;BAG.
LIcensee may contest any hen, claim or demand by fumlshmg a statutory hen bond or equivalent with respect to stop
notices to SA\'BAG In compliance \\'Ith applicable Califoml<l law. If LIcensee docs not dlscharge any mechamc's lien or
stop notice for \I/orks performed for LIcensee. SA.:\'BAG shall have the TIght to discharge same (mcludmg by paying the
clannant) and LIcensee shall reImburse SA '\BAG for the cas! of such discharge withll1 ten (] 0) busmess day's after biJlmg.
SA:-':BAG rescn'es thc right at any tllne to post and maintain on the SA~BAG Property such notices as may be necessary
to protect SA\'BAG against Iwblllty for all such I1cns and claims, The prO\iS10llS of thIS section shall SUT\WC the
tennmation of this Agreement.
8. ~IAI:\'TE!\A:\CE A!\D REPAIR
LIcensee, at LlCenscc's sole expense, shall maintnin the LIcense Propeny and the FacUlty In a
first~class condition dunng the Term of thIS Agreement and shall perform all mamtenance and clean-up of the Llcense
Propeny and the Facility as necessary to keep the LIcense Property and the FacdIty III good order and COndItlOn. to
SA~BAG's sa:isfactlon. Ifany portlOn of the SAN BAG Propeny" 1l1..:ludmg Improvements or fi.xtures, suffers damage by
reason of the <l..:cess to or use of the License Property, by Licensee, Llcenscc's Panlcs or by Licensee's panners, officers or
directors, including but not IITTIlted to damage ansmg from any tests or in\'estigatJons conducted upon the License
Propeny, Licensee shall, at its own cost and expense, ImmedIately repaIr all such damage and restore the SAN BAG
Propeny to as good a condition as before such cause of damage occurred, Repair of damage shall Include, Without
I1mltatlOn, regradmg and resurfacmg of <lny holes, dnches. mdcntations. mounds or other inclines created by any
excavation by Licensee or Llcensee's Partles, LIcensee sh<lll mamtamthe e]evatlOn and grade of the eXlstmg rai]bed, <lnd
contain the \\atcr flow wahin the existmg dram age channel.
9. LA!\DSCAPI!\G
If required by SANBAG, then Licensee, at lts sole cost and expense, shall Install barrier
landscaping to shield the Facility from public view, SANBAG shall ha\'e the nght to review and approve landscapmg
plans prior to Il1stallation. All landscaping work shall be done m accordance \'iilh the prOVISIons of Section 4 above.
10. USE
The LIcense Property and the f<lcllity shall be used only for the purposes specified in Item 2
of the Basic License ProvlslOns and for such la\.vful purposes as may be directly mcidental thereto, No change shall be
made by Llcensee in the use of the LIcense Property, the Facility or the commodity or product being conveyed through the

I!. ABA'\DOi\"E'\T
Should LIcensee at anytIme abandon the use of the F<iclhty or the LIcense Property, or any
pan thereof. or fad at any llme for a contmuous penod of nmety' (90) days to use the same for the purposes contemplated
herem, then thIS Agreement shall tcnmnate to the extent of the ponlon so abandoned or dlscontmucd, and In addition to
any other rights or remedlcs, SA!\'BAG shall ImmedIately be entitled to exclusl\"C possessIon and ownershIp of the portIon
so abandoned or discontinued, \\ Ithout the encumbrance of this Ab'Tccmcnt.
]2. BREACII
Should LIcensee breach, or fOlil 10 keep, observe or perform any agreement, CQ\enant, term or
condlllOn on Its pan herein contamed, then, in additIOn 10 any other available rights and remedies, SAN BAG at its optlOn
may':
(a) perform any necessary or appropnate corrective work at Licensee's expense, whICh
LlCcnsee 3b'Tces to pay to SA!\'BAG upon demand, or
(b) with or without wntten nollce or demand, immediately terminate thIS Agreement and
at any l1me thereafter, rccover possessIOn of the Llcense Propeny or any pan thereof, and expel and remo\'e therefrom
LIcensee and any other person occupymg the License Property by lawful means. and agam repossess and enjoy the
License Propeny and the Facilny, without prejudice to any of the remedies that SAN BAG may have under this Agreement,
at law or equity by reason of Licensee's default or of such termlnatiun.
13. Sl'RRE'\DER
L:pon terminatIon ofthl:; A,b'Tcement, unless otherv.lse requested m writing by SA~BAG prior
to the date of termination, LIcensee. at its own cost and expense, shall immedIately remove the Faclllty and restore the
S:\:-iBAG Properly as nearly as pOSSible to the same state and ..:ondltlon as eXIsted pnor to the conSlructloll. reconstructIon
or lllstaJlatlon llf sa1d Facdny. Should Llcensee fall to comply with the requirements of the precedmg sentence, SANBAG
may at ItS optIOn 11) perfo!l11 the same at LIcensee's expense. v..hlch costs LIcensee agrees to pay to SAN BAG on demand,
or (11) assume title and ownershIp of said Facllity. :'\io tennlllallOn hereof shall release Licensee from any liability or
obligation hereunder, whether of indemnity or othcTWlse, resultmg from any acts, omIssions or c\'ents happenmg pnor to
the date the Facdlty is removed and the SA:t\BAG Property is restored.
14. I'iDDI'\IFICATIO!\
Licensee, on behalf of itself and ItS successors and aSSIgns, agrees to mdemmfy, defend (by
counsel satIsfactory to SA:\BAG), and hold hannless SA.,\BAG and Its subsldlanes, officers, dIrectors, employees.
agents, successors and asslgns (indi\'idually and collectl\'ely, "Indcmmtees"). to the maximum extent allowed by law, from
and agamst all loss, llabil1ty. claims, demands, sults. hens, claims of lien, damages (including consequential damages).
costs and expenses (includIng, without limltatlOn, any fines, penaltIes, judgments, litIgatlon expenses, and experts' and
attorneys' fees), that are mcurred by or asserted agamst Indcmnitees arismg out of or connected 111 any manner with (I) the
acts or-omISSIons to act of the Licensee, or its officers, directors, affiliates, LIcensee's PartIes or anyone dlrectly or
indirectly employed by or for whose acts LIcensee IS liable (collectively, "Personnel") or iJ1\'ltees of Licensee In
connectIOn with the SA~BAG Property or ansing from the presence upon or perfonnance of actIvities by' Licensee or Its
Personnel \vith respect to the SA;\BAG Property, (il) buddy 1TIJury to or death of any person (mcludmg employees of
Indemnitecs) or damage to or loss of use of propeny rcsultmg from such acts or omissions of Licensee or Its Personnel, or
(Ii!) non-perfonnance or breach by LIcensee or Its Personnel of any term or conditIOn of thIS A,greemenl, In each case
whether occurnng during the Term of thiS Agreement or thereafter.
The foregomg mdemmty shall be cffectlVe regardless of any negl1gcnce (whether active.
paSSl\"('. deri\'31lVe, jOint, concumng or comparatl\-e) on the part of Indemmtees. unless caused solely by the gross
negligence or \\dlful mIsconduct of lndcmmtees; shall survive lermmalion of this Agreement; and IS in addition to any

workers' compensatIOn acts, dlsability benefit acts or other employee benefit acts or Insurance.
15. ASSt:MPTIO:-l OF RISK A!\D WAIVER
To the maximum extent allowed by law, Licensee assumes any' and all fisk of loss, damage or
InJury of any kind to any person or property:' Includmg without hmltatlon, the Facility, the SA\'BAG Property and any
other property of. or under the contra] or custody of, L]censee, which IS on or near the LIcense Property. Licensee's
assumption of nsk shall mclude, wlthout IJmnatlOn, loss or damage caused by defects in any structure or Improvement on
the SA:\BAG Property, accident or fire or other casualty' on the SA~BAG Propeny, or electrical dIscharge, noise or
vibratlOn resuhmg. from S:\\"BAG's transH operations on or near the SANBAG Property. The term "SANBAG" as used in
this sectIOn shallmclude: (]) any transit or rail-related company val1dly operating upon or o\'er SANBAG's tracks or other
property, and (li) any other persons or companies employed, retamed or engaged by SANBAG. Licensee, on behalf of
Itself and ItS Personnel (as defined 10 SectiOn 14) as a matenal part of the consideratIOn forthis Agreement, hereby waives
all claims and dem~mds agalllst SANBAG for any such loss, damage or injury of Licensee ander Its Personnel. In that
connection, LlCensee \\alyes the benefit of Cali fo rnJ a CIvil Code Section 1542, whlch proVides as follows:
A general release does not extend to claIms which the creditor does not know or
suspect to eXIst 10 hiS fayor at the tIme of executing the release, whIch if known by
him must have matenally affected hiS settlement with the debtor.

16. I:\SlJRAi\CE
Licensee, at 11s sole cost and expense, shall obtam and mall1tain 10 full force and effect dunng
the Tcnn of thIS A!:,'Tcement insurance as required by SA"!\'BAG in the amounts and coverages speCified and issued by
msurancc companies as described on Exhibit "8". SA:\BAG reseryes the right, throughout the Tell1l of this Agreement,
to revIew and change the amount and type of insurance co\'eragc It requires 10 connectIOn with this Agreement or the
Work to be performed on the License Property. Pnor to (i) entering the License Property or (ii) perfoll1llOg any Work or
maintenance on the License Property, Licensee shall furnIsh SAS"BAG with insurance endorsements or certificates
eyidencing the existence, amounts and coverages of the IOsurance reqUired to be mamtalOed hereunder. In most instances,
SA?"BAG docs not allow self-insurance, however, If Licensee can demonstrate assets and retention funds meeting
SA'\""BAG's sclf-lOsurance requirements, SA:\"BAG may permit Licensee to self-msure, provided, however that the right to
self-Insure WIth respect to any coverage required to be maintained hereunder may be granted or rcyoked by SAr\BAG at
its sole and absolute discrellon. SANBAG shall not be liable for the pa:--menl of any premIums or assessments for
insurance requlfed to be maintained by Licensee under thiS Agreement.
17. TESTS Ai\D I:\SPECTlOi\S
SAS"BAG shall have the nght at ar\y11me to Inspect the License Property and the Facility so as
to monitor compliance with thiS Agreement. If, In SA:"-iBAG's sole Judgment, any Installation on, or use or condition of
the License Property may have an adverse effecl on the SA~BAG Propeny, adJ3cent propeny (whether or not O\'ITled by
SANBAG) or SA~BAG operations, SA:'\iI3AG shall be pemlltted to conduct any tests or assessments, including but not
limited to envIronmental assessments, of, on or about the License Property, as 11 detell1lmes to be necessary or useful to
evaluate the conditIOn of the License Property. LICensee shall cooperate wIth SANBAG 10 <Jny tests or inspections
deemed necessary by SA?\BAG. Licensee shall payor relmburse SANBAG, as appropriate, for all reasonable costs and
expenses JOcLlrred due to the tests, IOspectlons or any' necessary correcl1vc work and JOspectlons thereafter.
18. HAZARDOt:SfTOXIC MATERIALS USE Ai\D I:\DDI1\ITY
Licensee shall operate and mamtain the License Property In complIance with all, and shall not
cause or pennit the License Property to be m violation of any federal, state or local environmental, health and/or
safety-related laws, regulations, standards, decisions of the courts, permits or permit conditions, currently existmg or as
amended or adopted m the future whIch are or become applicable to Licensee or the License Property ("Environmental
La\vs"). Except for Hazardous Matenals expressly approved by SA~BAG In \\"Tltmg as shown on Exhibit "C", Licensee

of Its duties, mcludmg those as a public transportatlOn body. Accordingly, there is reserved and retamed unto SA:"iBAG,
Its successors, asslgns and pennlttees, the nght to construct, reconstruct, maintain and use c.\lstmg and future rall tracks,
facihties and appurtenances and cXlstmg and future transportatIon, commumcatJCln, Plpelmc and othcr facihtles and
Jppurtenances in, upon, over, under. across and along the SA1\BAG Property, and in connection therewith the nght to
grant and convey to others, nghts and mtcrests to the SA:\BAG Property on the LIcense Property and m the vicinit)' of

Absence of markers m or about SA~BAG Property does not conSl1tute a warranty by SA~BAG of the absence of
subsurface installatIOns.

24.1 Notices. All notices and demands which eJther party IS reqUired to or desires to give
to the other shall be made In writing by personal delnery, by express courier serVlce or by certdled mail postage prepaid,

The general liability and automobile liability poliCies are to contain. or be endorsed to contain, the
following proVIsIOns:
I. SANBAG and MT A, Its subSidiaries. officmls and employees are to be coyered as insureds as respects:
liability ariSing out of actiVities performed by or on behalf of the Lessee, Licensee. or Permittee;
products and completed operatIOns of the Lessee, Licensee, or Permittee; premises owned, occupied or
used by the Lessee, Licensee. or Permittee: and automobiles o,,"ed, leased, hired or borrowed by the
Lessee, Licensee. or Permmee. The coyerage shall contain no special limitatIOns on the scope of
protection afforded to SANBAG and MTA, ItS subsldlanes, offiCials and employees.
2. for any claims related to thiS proJect, the Lessee, Licensee, or Permittee's insurance cowrage shall be
pnmary Insurance as respects SANBAG and MT A, ItS subsidiaries, offiCials and employees. Any
Insurance or self-insurance maintained by SANBAG and MT A. its subsidiaries, offiCials and
employees shall be excess of the contractor's Insurance and shall not contribute With it.
3. Any failure to compl; with rcporting or other proyisions of the policies Including breaches of
warranties shall not alfect coverage proVided to SANBAG and MT A, Its subsldlanes. offiCials and
employees.
4. The Lessee, Licensee. or Permittee's Insurance shall apply separately to each insured against whom
claim IS made or SUit IS brought, except With respect to the limits of the insurer's liability.
5. Each Insurance policy required by this clause shall be endorsed to state that coverage shall not be
suspended, voided. canceled by either a party. or reduced In coverage or In limits, except after thirty
(30) days' prior \\Titten notice by certltied mail, return receipt requested, has been given to SANBAG
and MTA.
6. Workers' Compensation and Emplover's Liability policies shall contain the inclusion of the SANBAG
and MTA, Its SubSidiaries, offiCials and employees as additIonal Insured, or proVide a waiver of
subrogation.
Course of constructIOn poliCies shall contain the follOWing provIsions:
I. SANBAG and !viTA shall be named as loss payee.
2. The insurer shall waive all rights subrogatIon against SAl'.'BAG and MTA.
Aeceotabilitv of Insurers
Insurance IS to be placed With insurers with a current A.M. Best's rating of no less than A:VII. unless
otherwise approved by SANBAG and MT A.
Verification of Covera2e
Lessee, Licensee, or Permittee shall furnish SANBAG and MTA with ongInal endorsements and
certificates of Insurance evidenCIng coverage required by this clause. All documents are to be Signed by a
person authorized by that insurer to bInd coverage on ItS behalf. All documents are to be received and
approved by the SANBAG and MT A before work commences. . As an alternative. the Lessee, Licensee, or
Permittee may proVide complete, certified copies of all reqUired Insurance poliCies, Including endorsements
effecting the coverage reqUired by these specificatIOns.
Contractors and Subcontractors
Lessee, Licensee. or Permittee shall Include all contractors and subcontractors as Insureds under ItS poliCIes
or reqUIre certificates and endorsements. for each contractor and subcontractor. All coverages for
contractors and subcontractors shall be subject to all of the reqUIrements stated hereIn. The administration
of Insurance compliance of contractors and subcontractors shall be subject to audit revIew by SANBAG
and MT A.

Additional Provisions
1. Importation of Soil/Fill Dirt. Licensee shall not bring upon or use any Import Soil on the
Premises in conjunction with any purposes allowed under this Agreement, until said Import
Soil has been laboratory tested by a certified /za:ardolls waste testinlZ lahoralOr\' and the test
results have been appro\ed by SANBAG's Environmental Consultant. Additionally, any soil
currently existing on the Premises may not be spread on the Premises unless and until it is
characterized as Clean Soil to the reasonable satisfaction of SANBAG's Environmental
Consultant.
2. Protection of Unden!round and Above!!round Installations. Licensee shall ensure that it
and Licensee's Parties protect. from and against any and all damage, all underground and
aboveground installations and improvements, such as pipes, fiber optic lines and wires,
which may be impacted by any work or any use of the Premises by Licensee.
3. Improvements. Both Licensee and SANBAG acknowledge that the Premises is Licensed in
"AS IS" condition and any grading as may be necessary or required to meet Licensee's needs
will be the sole responsibility of the Licensee. No permanent structures may be constructed
on the premises without SANBAG' s prior \\Titten approval. Licensee will be responsible for
the removal of all permittcd imprO\'cments upon tennination of License.
4. Utilities. Liccnsee shall pay for any and all utilities for its benefit, security and use.
5. Warranties. SAl',,'BAG makcs no warranties as to the suitability of the location for
Licensee's intended use as to zoning, visibility, traffic count or any other factors which may
cause Licensee to want to License the premises.
6. Zonin!! or Permittin!!. Any pernlits, inspection fees, or costs associated with the use or
maintenance of the Premise by any governmental agency, department, or organization, or any
labor expenses for the installation or maintenance of any permitted improvements are the
Licensee's sole responsibility. Copies of permits are to be readily available for inspection by
SAl'.'BAG personnel.
7. Si!!na!!e. NO SIGNS PERt\1ITTED on, or along the perimeter of the Premiscs unless such
signs were requested and approved under your original proposal and covered by the required
msurance.

Additional Provisions
SCRRA / :v!etrolink
I. RIGHT-OF-EI\TRY \VITH S.C.R.R.A, The Licensee agrees to execute and deliver
to SCRRA" prior to commencing any work within the rail right-of-way, SCRRA Right of Entry
.-'.greement (Form No.6) and deliver and secure approval of the insurance required by the two
exhibits attached to Fornl No.6. If the Licensee retains a contractor to perform any work within
the rail right-of-way, the Licensee shall incorporate in its contract documents SCRRA Form No.
6 and SCRRA Rules and Requirements for Construction on Railway Property (Form No. 37).
7 CONTRACTOR'S I\'SlJRANCE Licensee's contractor, at its sole cost and expense,
shall obtain and maintain, in full force and effect. insurance as required by SCRRA during the
entire construction period. The Contractor shall furnish copies of the insurance certificates to all
affected operating railroads.
3. Il\'SPECTION AND FLAGGING SERVICES Licensee or Licensee's contractor
must contact SCRRA's Maintenance of Way office at (909) 392-4506, to arrange for inspection
and flagging services, a minimum of fi\'e (5) working days prior to beginning any of the
following work:
* Personnel will be working within 20 feet of the nearest rail
* Equipment will be operating within or adjacent to the right-of-way
* Excavation, grading, and blasting will be undertaken on the right-of-way
This prior notification does not guarantee the availability of protective services for the
proposed date of construction.
4. RELOCATION OR MODIFICATION OF DRAIN LINE If SCRRA requIres
Licensee to relocate or modify the licensed storm drains for purposes of railroad safety or
operation, Licensee agrees to do so at its own expense upon receipt of appropriate notice.
5. PROTECTION OF OTHER LINES AND STRUCTVRES Licensee or Licensee's
contractor shall be responsible for the location and protection of any and all surface, sub-surface,
and overhead lines and structures.
6. :\IARKIl\'G OF CABLES AND CONDUITS Licensee or Licensee's contractor shall
call SCRRA's signal department (909) 859-4100 to mark signal and communication cables and
conduits. In case of signal emergencies or grade crossing problems, the contractor shall call
SCRRA's 24-hour signal emergency number: 1-888-446-9721.
