APN 1986-01-03. to the City of San Bernardino BACKGROUND: On January 4, 1996 the Agency and the State of California entered into a Construction Project Management Agreement for development of the Caltrans office building and parking structure on property owned by the Agency in downtown San Bernardino (the "Super Block"). Pursuant to the Agreement the State was not required to pay for the property at time of construction, but instead was obligated to pay the Agency a total of $6,516,856 for the property at some undetermined later date. On or about May 3, 2000, the Agency entered into an Agreement for Purchase and Sale with Caltrans whereby the Agency agreed to buy the Caltrans property at 247 West Third Street for $2,700,000 and, in lieu of making payment, credit Caltrans a like amount toward the outstanding purchase price balance on the Super Block properties. On December 3, 2001, the City Council adopted Resolution 2001-367 urging the County Board of Supervisors to commence the process for constructing a new multiplex courthouse and, in so doing, indicated its intent to have the Agency acquire the property at 247 West Third Street and to donate the property to the County for courthouse purposes. On July 9, 2003, Caltrans transferred title to the property at 247 West Third Street to the Agency. Subsequent to said transfer, Agency staff engaged County staff in discussions relative to the conditions pursuant to which the Agency would be willing to transfer title to 247 West Third Street to the County. CURRENT ISSUE: Recently the Common Council directed the City Attorney to negotiate a lease agreement with the County relative to the interim use of247 West Third Street for parking to accommodate the parking requirements for the building at 303 West Third Street. In light of this action, and the fact that it is vital for the City to control this property, it would be prudent for the Agency to deed the property to the City at this time. In considering this proposed action, the Redevelopment Committee recommended that the deed transferring title to the City contain a reverter clause speci1ying that in the event the City does not deed the property to the State for court house development by a date certain, ownership of the property would revert back to the Agency.
