BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY OF
SAN BERNARDINO AS FOLLOWS:
SECTION 1. The Mayor is hereby authorized and directed to
execute on behalf of the city an agreement by and between the City
of San Bernardino and Omnicom, Inc. to provide consulting services
for the implementation of the City's 800 MHz Trunked Radio System.
SECTION 2. The authorization to execute the above referenced
agreement is rescinded if the parties to the agreement fail to
execute it within sixty (60) days of the passage of this
resolution.

3 THIS AGREEMENT, made and entered into this '::..l)-\}'~ day of

5 corporation ("city") and OMNICOM, INC., ("Consultant"):
6 WITNESSETH
7 WHEREAS, the City is in the process of implementing a Trunked
8 Radio System; and
9 WHEREAS, the services of a qualified consultant is needed to
10 provide consulting services for the implementation of the City's
11 800 MHz Trunked Radio System;
12 NOW, THEREFORE, the parties hereto agree as follows:
13 A. Consultant agrees to:
14 1. Meet with the City to verify system interface
15 requirements, discuss associated ancillary
16 systems, and address any additional
17 requirements which may have arisen since
18 delivery of the Comprehensive Plan. Also
19 incorporated herein by reference is the City's
20 Cost proposal & Work Plan prepared by Omnicom,
21 dated June 1992 (Attachment C). omnicom's
22 cost proposal is for a single-site system to
23 be located at Little Mountain. If a multi-
24 site system becomes a requirement due to the
25 frequency coordination process or any other
26 reason, the additional engineering work that
27 is required to be performed by Omnicom will

require additional compensation to Omnicom by
the city.
Develop and present to the
approval a detailed final
describing all elements of
trunked radio system.
Prior to, or in conjunction with the
development of the detailed final design,
OMNICOM will perform the tasks required to
obtain the 800 MHz "offset" communications
channels required for operation of the new
trunked radio system.
Incorporate the detailed final design of the
city's 800 MHz trunked radio system into a
system procurement document. The system
procurement document may be:
a. Purchase agreement between the city of San
Bernardino and Motorola.
Bid specification or request for proposals to
obtain current competitive bids to purchase the
total system and services.
Depending on number 4, develop and coordinate
a purchase agreement with instructions for the
city's use in purchasing the necessary
communications equipment and services from the
contractor for the San Bernardino County

communications system. The following will be
incorporated in the purchase agreement:
a. This document will be a modification of the
county's terms and conditions to guarantee the
City's requirements are met.
b. A statement of Work (SOW) will be prepared
describing the detailed system design, the required
equipment to be delivered and installed,
installation instructions, system documentation,
required operator and maintenance training, and
system warranty.
c. The contractor for the County will prepare a system
quotation, guaranteed coverage predictions maps,
and a system implementation schedule in response to
the SOW. If acceptable, the contractor's response
will become attachments to the agreement.
d. The system quotation will be based on the county
contract and an applied Producers Price Index (PPI)
inflation factor.
6. Depending on number 4, develop a specifications
document or Request for Proposals (RFP) for the
City's use in obtaining competitive bids to
purchase the necessary communications equipment and
services if the city does not wish to purchase the
system from the county's vendor.

7. Coordinate a pre-bid conference, assist the
Purchasing Department as required and make any
necessary revisions to the procurement
document and supporting information through
addendum.
8. Evaluate bids for technical compliance and make an award
recommendation to the city with complete justification
for the recommendation.
B. City shall compensate consultant at the rate of pay noted
on Exhibits A & B payable monthly upon receipt of a statement from
consultant describing work performed that month for a total amount
not to exceed fifty-three thousand, four hundred dollars ($53,400).
C. The term of this agreement is for eighteen (18) months
from October 5, 1992 up to and including April 5, 1994. This
agreement may be extended on a month-to-month basis for a maximum
of twelve (12) additional months upon written consent of the
consultant to said extension and the approval thereof of the City
Administrator. Either party may terminate this agreement for any
reason upon fifteen (15) days written notice to the other.
D. For all purposes of this agreement, consultant shall be
an independent contractor and shall not be considered as an
employee of the City.
E. Consultant agrees to defend, indemnify, save and hold
City, its officers, agents and employees harmless from any claim or
suits that may be brought by third persons on account of personal
injury, death, or damage to property, or a property or business or

1 personal interest, arising from any negligent act or omission by
2 consultant while performing service under this agreement.

Nothing in this paragraph shall be construed to prohibit the giving
of such notice by fax or by personal service.

This agreement shall be governed by the laws of the
State of California.
It constitutes the entire agreement between
parties regarding its subject matter.
If any provision of this
agreement is held by a court to be invalid, void or unenforceable,
the remaining provisions shall nevertheless continue in full force.

'.0 PROJECT WORK PLAN
This proposal describes the major tasks that will be performed in order to
implement an 800 MHz trunked radio communications system for the City of
San Bernardino.
Although we identify a specific approach and describe how all required tasks
will be accomplished, some modifications may be required as we become more
familiar with the factors that will affect the project. In this respect, we are
flexible and are prepared to modify our approach to satisfy the City's needs and
requirements and the evolving performance oriented objectives as they are
developed in conjunction with the City's "Trunked Radio Committee" and
Project Director.
, . , Project Management
OMNICOM, Inc. proposes to use the system approach to this program, utilizing
project engineers dedicated to the project for its entire duration working under
the direction of a project manager.
The project manager will coordinate, schedule and manage the project
personnel and provide liaison with the City Project Director.
OMNICOM recognizes the importance of having a dedicated project manager
and has selected an individual who possesses the managerial and technical
skills that are necessary for project success. He will regularly follow the project
progress and coordinate with the City Project Director to report progress and
receive instructions, feedback and guidance as necessary for the successful
accomplishment of the project's goals and objectives.
It is also recognized that a number of specialized skills are necessary for this
project, such as extensive experience in land mobile radio communications
system implementations, command and control systems, microwave
transmission systems, computer aided dispatch systems, mobile data systems,
and experience designing and establishing multi-agency multi-disciplinary
communications systems.

For this reason OMNICOM has developed a project team consisting of a highly
qualified project manager and project engineers supported by technical
specialists in key skill areas that may be required to perform specific sub-
elements of the project.
1.2 Project Personnel
For this project, OMNICOM proposes to apply top public safety land mobile
radio and microwave engineers, and engineering management personnel to the
full spectrum of requirements that are contained in the Request for Proposal.

Radio System Interference Analysis
The proposed project team has had direct evolvement in the procurement of the
County's 800 MHz radio communications system, the West End
Communications Authority's 800 MHz radio communications system, and the
City's 800 MHz mobile data communications system. This in-depth knowledge
of the City and surrounding public safety communications systems and entities
will greatly enhance OMNICOM's performance of this project.
The project work plan is divided into four phases to clearly define the tasks that
are required to be performed in order to insure the successful and timely
acquisition of the City's 800 MHz trunked radio communications system.

An overview of these four phases is as follows:
Phase III - Final System Design And System Licensing
A presentation of the 800 MHz trunked radio system preliminary design and it's
major system components can be found in the "City of San Bernardino
Comprehensive Radio Communications Plan", delivered in June 1991. Review
of the preliminary design by the City's "Trunked Radio Committee" and
identification of the City's chosen method for system procurement must be
performed before OMNICOM begins development of the detailed final system
design. OMNICOM will meet with the City to verify system interface
requirements, discuss associated ancillary systems, and address any additional
requirements which may have arisen since delivery of the Comprehensive Plan.
A detailed final system design describing all elements of the City-wide trunked
radio system will be developed and presented to the City for their approval.
Prior to, or in conjunction with the development of the detailed final design,
OMNICOM will perform the tasks required to obtain the 800 MHz "offset"
communications channels required for operation of the new trunked radio
system.
Phase IV
- Generation of Procurement Specifications Document
In this phase, the detailed final design of the City's 800 MHz trunked radio
system will be incorporated into a system procurement document. The system
procurement document may be a purchase Agreement between the City of San
Bernardino and Motorola, or it may be a bid specification or request for
proposals to obtain current competitive bids to purchase the total system and
services.

San Bernardino County Communications system will be developed and
coordinated by OMNICOM. This document will be a modification of the
County's terms and conditions to guarantee the City's requirements are met.

instructions, system documentation, required operator and maintenance
training, and system warranty. The contractor for the County will prepare a

contractor's response will become attachments to the Agreement. The system
quotation will be based on the County contract and an applied Producers Price
Index (PPI) inflation factor. Several rounds of negotiations are expected to
resolve discrepancies before both parties, the City and the contractor for the
County, concur on the terms and conditions of the purchase Agreement and its
attachments.
If the City does not wish to purchase the system from the County's Vendor,
a specifications document or Request for Proposals (RFP) will be developed by
OMNICOM for the City's use in obtaining competitive bids to purchase the
necessary communications equipment and services. OMNICOM will also
coordinate a pre-bid conference, assist the Purchasing Department as required
and make any necessary revisions to the procurement document and supporting
information through addendum. In addition, OMNICOM will evaluate the bids
for technical compliance and make an award recommendation to the City with
complete justification for the recommendation.
Phase V - Implementation Support And System Acceptance Testing
In this phase, OMNICOM will provide technical assistance to the City for the
resolution of issues raised after bid award and prior to full system acceptance.
In addition, this technical assistance will include periodic reviews of the system
as it is being constructed.

OMNICOM's engineers will travel to vendor staging facilities to witness system
staging and investigate any potential problems prior to equipment installation.
After equipment installation, OMNICOM will perform equipment installation
verifications at all sites where fixed communication equipment is installed to
determine whether the installations meet the requirements of the procurement
document. OMNICOM will also witness system acceptance tests to ensure
proper system performance and that all requirements of the City's procurement
document are met prior to formally recommending system acceptance by the
City.
Phase VI - System Implementation Management (Optional)
OMNICOM is proposing three levels of System Implementation Management
from which the City may choose to enhance their ability to manage the project
during the implementation period.
Level One is designed to assist the City's Project Implementation Manager
oversee system implementation. The OMNICOM Project Manager will review
the Vendor's monthly status reports and coordinate with the City's
Implementation Manager to provide feedback as to the project status and
activities completed to date. The OMNICOM Project Manager will use his
experience to recognize any potential problems and make recommendations to
preclude them from becoming obstacles. This would include the review of all
construction drawings and documentation.
Level Two is designed to provide an advanced level of support which will
encompass the activities presented in the Level One option and provide
scheduled monthly on-site reviews following delivery of the Vendor's monthly
status report. The on-site reviews will be performed by a project engineer to
verify compliance of each installation with "good engineering" practices as
required by the procurement document. and to gather information on
discrepancies to pursue resolutions with project Vendor. The OMNICOM
Project Manager will also assist the City's Implementation Manager and
Trunked Radio Committee in the development of trunked system fleetmaps,
cutover plans. and organization of trunking seminars. OMNICOM anticipates
approximately sixteen months between bid award and final system acceptance.

Level Three is designed to encompass all the implementation management
activities listed in the previous options with the use of an on-site, OMNICOM
contracted Project ManagerlEngineer who will be available full time at a City
provided warehouse/staging facility or office. The on-site Project Manager will
report weekly to the OMNICOM Project Manager to discuss project status and
seek assistance in solving discrepencies. The on-site Project Manager will
provide total project management for the job and will receive, warehouse (at
the City's warehouse) and maintain inventory records on all incoming and
outgoing materials, provide supervision of all the components of the antenna
systems, microwave circuits, system network manager/alarm system, 800 MHz
base stations, communications center consoles, installation of mobiles, and
check out of field units.

2.0 PROJECT COSTS
OMNICOM, Inc. will provide the professional services described in this proposal
for the costs presented herein. Firm costs are presented for each of the four
phases of the Project, and include detailed calculations of Engineering hours
and rates, travel and per diem expenses, administrative costs and profit.
If an increase or decrease In project scope is required to fulfill the project goals
and objectives, these costs may be adjusted accordingly.
The Phase VI (System Implementation Management) optional costs are
presented for two of three proposed levels of implementation management,
OMNICOM will provide cost information for the third level upon request by the
City.
The costs presented herein do not include:
Microwave or land mobile radio frequency coordination fees or
licensing fees that may be imposed by the frequency coordinating
agency or the FCC.
Communications tower structural analysis fees, if required.
Environmental Impact Study fees, if required.
Additional hours for frequency coordination activities beyond the
normal hours and/or special travel to the FCC in Washington,D.C.
or Southern California Frequency Coordination meetings, if
required.
If any of the above fees are required they will be invoiced to the City at actual
cost.
It is proposed that OMNICOM, Inc. invoice the City on a monthly basis for
professional services performed and expenses incurred.
