CRABTREE, CONSULTANT, DOING BUSINESS AS THE COMMUNICATIONS GROUP, FOR SERVICES RELATING TO MOBILE DATA SYSTEMS PROJECT MANAGER SERVICES. BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY OF SAN BERNARDINO AS FOLLOWS: SECTION 1. The Mayor is hereby authorized and directed to execute on behalf of the City an agreement by and between the city of San Bernardino and Kenyon D. Crabtree, Consultant, doing business as the Communications Group, for services in connection with implementation of the City's Mobile Data Systems Project. SECTION 2. The authorization to execute the above-referenced agreement is rescinded if the parties to the agreement fail to execute it within sixty (60) days of the passage of this resolution. CRABTREE, doing business as The Communications Group ("Consultant"): WITNESSETH WHEREAS, the city is in the process of implementing a Mobile Data System; and WHEREAS, the services of a qualified consultant is needed to act as Mobile Data Systems Project Manager to assist in the process of implementing a mobile data system; NOW, THEREFORE, the parties hereto agree as follows: 1. Consultant agrees to: a. Develop a timeline and establish critical paths and milestones in concert with Motorola Project Management for full Data System Implementation. b. Work in concert with San Bernardino County 800 Communications Group to coordinate MHz timeline staging, installation, and interconnection to County microwave services at Little Mountain, Jurupa, and Sunset radio sites. c. Host site implementation (NCP1000, FarScan, PRC switch software) ; microwave implementation (City Hall site); microwave implementation 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 92-361 d. e. g. h. f. (Little Mountain radio site); mobile data transmitter subsystem implementation (Jurupa) ; mobile data transmitter subsystem implementation (Sunset). Review and approve acceptance test plans and installation quality checklists for site installations, system functionality and coverage guarantees. Interface with Motorola Data Division, PRC and city's Management Information Systems to develop and implement the CAD-Host Interfaces. Work with city, Motorola, County of San Bernardino and other vendors and participating agencies to establish and maintain a suitable pace of work on the project. Coordinate and attend meetings(s) between city officials, projects persons, interested agencies and vendors. Develop reports to project consultant (Omnicom, Inc.) identifying project status and adherence to milestones. Provide periodic reporting of progress on project to city (period and method to be determined. ) Develop an "After Action Report" at the completion of the project, identifying project implementation history, final status, and i. j. -2- 92-361 1 recommendations for future system 2 improvements. 3 k. Provide for training of city staff relative to 4 Mobile Data System implementation. 5 2. City shall compensate consultant at the rate of $92 per 6 hour payable monthly upon receipt of a statement from consultant 7 describing work performed that month for a total amount not to 8 exceed Thirty seven thousand six hundred dollars ($37,600). 9 3. The term of this agreement is from August 18, 1992 up to 10 and including August 18, 1993. This agreement may be extended on 11 a month-to-month basis for a maximum of twelve (12) additional 12 months upon written consent of the consultant to said extension and 13 the approval thereof of the city Administrator. Either party may 14 terminate this agreement for any reason upon fifteen (15) days 15 written notice to the other. 16 4. For all purposes of this Agreement, consultant shall be 17 an independent contractor and shall not be considered as an 18 employee of the city. 19 5. Consultant agrees to defend, indemnify, save and hold 20 City, its officers, agents and employees harmless from any claim or 21 suits that may be brought by third persons on account of personal 22 injury, death, or damage to property, or a property or business or 23 personal interest, arising from any negligent act or omission by 24 consultant while performing service under this agreement. 25 6. Any notice to be provided from one part to the other 26 under this agreement shall be deposited with the united States 27 Postal Service, postage prepaid and addressed as follows: 28 -3- AGREEMENT BETWEEN CITY OF SAN BERNARDINO AND ~ENYON D. This agreement shall be governed by the laws of the 8 State of California. It constitutes the entire Agreement between 9 parties regarding its subject matter.
