FOR THE PROVISION OF WASTE TIRE PICK-UP AND RECYCLING. BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY OF SAN BERNARDINO AS FOLLOWS: SECTION 1. The Mayor is hereby authorized and directed to execute on behalf of said City an Agreement with TY.R.E.S., Inc. for the provision of the pick-up and recycling of waste tires as specified in Addendum A, a copy of which is attached hereto, marked Exhibit "A" and incorporated herein by reference as fully as though set forth at length. SECTION 2. Penman, City Attorney 7-. 2 ~ 95-366 AGREEMENT TIllS AGREEMENT is entered into as of this ''30 tt.. day orCJ~ ,1995, by and between T,Y.R.E.S., Inc. (CONTRACTOR) and the CITY OF SAN BERNARDINO (CITY). WITNESSETH: A. WHEREAS, the State of California has enacted various statutes governing the proper handling and disposal of waste tires within the State; and, B. WHEREAS, the CITY as part of CITY's regular and normal activities collects and handles waste tires that are placed in the disposal system or are illegally discarded along public thoroughfares and upon public and private property; and, C. WHEREAS, the CITY desires to provide for the cost effective "od proper disposal of waste tires collected and handled by the CITY; and, D, WHEREAS, the CITY issued a Request for Proposal to secure a vendor who could provide cost effective and proper disposal of waste tires; and, E. WHEREAS, CONTRACTOR is competent, experienced and able to perform said services; and, F, WHEREAS, CONTRACTOR has provided processing and disposal options to the CITY which will allow the CITY to dispose of tires in a safe and proper manner; and, NOW THEREFORE, the parties hereto agree as follows: I. CONTRACTOR shall furnish the processing options in accordance with the schedules set forth in CONTRACTOR's proposal dated November 10, 1994. as amended by letter dated September 26, 1995 and shown in Exhibit" A" attached hereto and incorporated herein. 2. The CITY shall deliver all waste tires collected by CITY to CONTRACTOR's facility, located at 13820 Slover Avenue, Unit D, Fontana CA 92335. or other facilities as mutually agreed in writing by the CITY and the CONTRACTOR. 3. CONTRACTOR agrees to provide copies to CITY of any and all of the following documents within ten (10) days of receipt by CONTRACTOR oftinal document from the issuing agency, or upon demand by the CITY: a. Permits issued by local, regional, State or Federal agencies related to the operation of CONTRACTOR's site; b. Copies of any notices of enforcement, including but not limited to cease and desist orders, notices of deficiency, notice of termination, violations of air quality or water quality standards, or other actions taken by any governmental agency with oversight or enforcement relating to either land use or environmental regulation. 1 Of "</,. ,I j "/'-/ ~ T.Y.R.E.S., Inc. Agreement c. policies. Certificates of insurance, including but not limited to Worker's Compensation and liability 4. CONTRACTOR shall comply with any and all existing or subsequently adopted health, safety and waste tire regulations relating to but not limited to: processing, facility operation, reporting requirements, hauling registration or other regulations as applicable issued by the California Integrated Waste Management Board, its successor organizations and agencies or other State and local agencies with jurisidiction over CONTRACTOR's facility. 5. The CONTRACTOR shall be paid for such services in accordance with the fee schedule submitted to the CITY on February 28, 1995 as a Best and Final Offer, as shown in Exhibit "A" attached hereto and incorporated herein. The following rates shall be applicable: a. PROCESSING FEE FOR AUTOMOBILE TIRES The rate for processing each ton of waste automobile tires shall be no more than $42,50 per ton the first contract year, and $42.50 per ton the second contract year. In the event that the CITY exercises the option years for contract years three to five, inclusive, the rate for processing each ton of material shall be no more than $42.50 per ton for Option Year One, $42.50 per ton for Option Year Two and $42.50 per ton for Option Year Three. For the purpose of this section, an automobile tire shall be any tire used on an automobile and smaller than size 12.00 x 24D. b. PROCESSING FEE FOR TRUCK TIRES The rate for processing each ton of waste truck tires shall be no more than $85.00 per ton the first contract year, and $85.00 per ton the second contract year. In the event that the CITY exercises the option years for contract years three to five, inclusive, the rate for processing each ton of material shall be no more than $85.00 per ton for Option Year One, $85,00 per ton for Option Year Two and $85.00 per ton for Option Year Three. For the purpose of this section, a truck tire shall be any tire used on a heavy duty truck and greater than or equal to size 12.00 x 24D, c. PROCESSING FEES FOR PASSENGER TIRES WITH RIMS On any waste tire described in paragraph 5a. above, there shall be an additional charge of $0.50 per tire for any tire with a rim. This charge shall remain the same throughout the period of this agreement. d. PROCESSING FEES FOR TRUCK OR MOTORCYCLE TIRES WITH RIMS On any waste tire described in paragraph 5b. above, there shall be an additional charge of $7.00 per tire for any tire with a rim. This charge shall remain the same throughout the period of this agreement. e. RESIDUAL DISPOSAL FEE The CONTRACTOR shall not charge the CITY for residual disposal costs during the period of this agreement. In the event that the CONTRACTOR desires to renegotiate rates for Option Years One through Three, inclusive, CONTRACTOR shall be required to provide a proposed rate and supporting evidence to the CITY 120 days prior to the beginning of the option period and in accordance with paragraph 10, below. Nothing herein shall preclude CONTRACTOR from charging less than the rate set forth herein. Nothing herein shall preclude the CITY from requesting the CONTRACTOR to renegotiate rates. 2 , ~-~"~/. Ownership of material shall transfer from CITY to CONTRACTOR upon delivery of material by CITY to CONTRACTOR upon discharge of material at CONTRACTOR's Facility. CONTRACTOR agrees to work with CITY in developing and marketing materials to local markets. 7. CONTRACTOR agrees to dispose of any residuals collected inadvertently with the waste tires at a permitted landfill, transfer station or other disposal facility which is lawfully authorized to accept such solid waste. CONTRACTOR shall be responsible for the physical transportation of residuals and for any costs incurred for said transportation of residuals to the disposal site, unless otherwise agreed to in writing between CITY and CONTRACTOR. CONTRACTOR assumes full liability for all residuals disposed of by CONTRACTOR. CITY shall use the utmost diligence in preventing contamination within each load. 8. CONTRACTOR shall, within thirty (30) calendar days after the close of each month, submit a written report to the CITY's Director of Public Services, in a format provided by the Director, including the following information: a. Total tonnage and estimated number of waste tires delivered by CITY to CONTRACTOR, subdivided into separate tonnage received of passenger tires and truck tires. b. The number of passenger tires with rims and truck or motorcycle tires with rims received. c. Total tonnage of CITY generated waste tires delivered to each permitted landfill, transfer station, or other disposal facility, including the name, address, telephone number and point of contact for the disposal facil ity, d. Other reports as may be deemed appropriate to the services provided by CONTRACTOR under terms of this Agreement as requested by the Director of Public Services, 9. CONTRACTOR shall provide the Public Services Department with a monthly statement in arrears, CONTRACTOR shall attached and include as part of CONTRACTOR's invoice, copies of documents and reports as required in paragraphs 3 and 8 for the period covered by the statement. City retains the right to challenge any or all parts of a statement. 10. In the event that CONTRACTOR's rates set forth herein must be renegotiated for the third, fourth or fifth years of the contract, the following procedures as applicable to the financial statements or reports on behalf of CITY shall be used. CONTRACTOR shall submit a letter to CITY approximately one-hundred and twenty (120) days prior to the anniversary date of contract execution. The letter shall state the reason(s) for the rate increase, the factors affecting the rate and the proposed rate per ton. CONTRACTOR shall submit a financial statement prepared by a Certified Public Accountant for the previous twenty-four month period if the rate increase is anticipated for the third year of the contract, and for the previous twelve month period if the rate increase is anticipated for the fourth or fifth years of the contract, with the request for the rate increase. The CITY shall review the proposed rate and make a determination within 45-days from receipt of CONTRACTOR's letter regarding the applicability and necessity of the proposed rate increase. During the 45-day period, the CITY may request the opportunity to meet with the CONTRACTOR to review CONTRACTOR's request and supporting evidence. The decision to permit a rate increase will be at the discretion of the City. Nothing 3 ,--- T.Y.R.E.S., Inc. Agreement herein this paragraph shall preclude CITY from requesting to renegotiate CONTRACTOR's rates during the period of this agreement. I I. In the event of discrepancy regarding any item within this agreement, CONTRACTOR agrees to cooperate fully with the CITY in order to resolve said discrepancy. CONTRACTOR agrees to allow CITY, upon reasonable notice, to examine CONTRACTOR's accounting records, sale of material records or other information, as appl icable to the services provided to the CITY under this Agreement and to allow CITY to audit CONTRACTOR's books if necessary. 12. The terms of this Agreement shall be for a two year period from the date first above shown, This Agreement may be renewed for up to three (3) additional one year terms, for a maximum of five (5) years from the date tirst above shown. 13. The CITY shall provide written notice to the CONTRACTOR of the CITY's intent to exercise each option year at least sixty (60) days prior to the expiration of the current term of this agreement. 14. This Agreement may be terminated by either party with cause, upon ninety (90) day written notice to either party at the address set hereunder. 15. CONTRACTOR shall not sell, assign, subcontract or otherwise transfer ownership of this agreement to a third party during the course of the agreement without the prior consent of the City. CONTRACTOR shall give at least 120 day advance notice to the CITY of CONTRACTOR's intent to sell, assign, subcontract or otherwise transfer this agreement to a third party. 16. The CITY shall provide written notice to CONTRACTOR within three (3) business days of any deficiency or default discovered by the CITY regarding CONTRACTOR's performance under this agreement, including proper permits issued by any regulatory agency with appropriate oversight of CONTRACTOR's facility and operation. CONTRACTOR shall have thirty (30) days in which to correct the default at CONTRACTOR's expense, In the event that CONTRACTOR is unable to correct default or provide a schedule in which to correct the default or deficiency to the CITY, the CITY shall have the right to terminate this agreement. The CITY's written notice to CONTRACTOR shall be considered to be adequate notice as set forth herein, 17. CONTRACTOR agrees'to defend, indemnify, save and hold CITY, its officers, agents and employees harmless from any claims or suits that may be brought by third persons on account of personal injury, death or damage to property, or a property or business or personal interest, arising from any negligent act or omission by contractor while performing services under this Agreement. 18. While not restricting or limiting the foregoing, during the term of this Agreement, CONTRACTOR shall maintain in effect policies of comprehensive public, general and automobile liability insurance, in the amount of $1,000,000.00 combined single limit, and statutory worker's compensation coverage, and shall tile copies of said policies with the CITY's Risk Manager prior to undertaking any work under this Agreement. Insurance Company shall have an A.M, Best Company rating of A-VI or better. 4 T.Y.R.E.S., Inc. Agreement 19. CONTRACTOR shall perform work tasks in accordance with CONTRACTOR's policies and procedures, and applicable Federal, state and local laws, CONTRACTOR shall be an independent contractor and not an agent or employee of the CITY. 20. In the performance of this Agreement and in the hiring and recruitment of employees, contractor shall not discriminate on the basis of race, creed, color, religion, sex, physical handicap, ethnic background or country of origin. 21. In the performance of this Agreement, CONTRACTOR shall take appropriate steps to provide a drug-free workplace. 22. CONTRACTOR shall implement, where economically feasible, source reduction and recycling programs within CONTRACTOR's operations, and shall "Buy-Recycled" products when feasible. 23. In the event that suit is brought against one party by the other party regarding this agreement, the prevailing party in the suit shall be entitled to reasonable legal fees. Secondly, we have contracts with 3 major companies, Mitsubishi Cement, Riverside Cement and Kaiser Resources which make us the largest supplier of TDF (Tire Derived Fuel), and therefore recycler of waste tires, in the united States. We believe that, along with pricing considerations, it is imperative that waste tires generated in the City of San Bernardino are truly recycled (reused) and not just removed to another site to be stockpiled in either whole or shredded form. We urge you to visit the operation site of each respondent to determine absolutely that T.Y.R.E.S., Inc is indeed the only company that will dispose of all your waste tires in a productive way. The use of TDF has become a highly acceptable way of utilizing scrap tires and is a process that is good for the environment, good for business and creates jobs in Southern California. Blankenship, President 1~-5tb SCOPE OF SERVICES OPTION 1 T.Y.R.E.S., Inc. proposes to remove all waste tires from the City of San Bernardino's Corporate Yard located at 182 South Sierra Way. T.Y.R.E.S., Inc. shall provide all labor, equipment and materials necessary to load and transport said waste tires. We will accept tires with rims, in any condition and of all sizes up to II x 24 x 5'at a price of $47.50 per ton for the first year of the contract (1995) and $48.00 per ton for the second year (1996). Oversized waste tires (OTRS) will be removed at a cost of $95 per ton. All tires removed from the City's Corporate Yard will be removed to our Diversion Site located at 13820 Slover Ave., unit D. The tires will be sorted, rims removed, reloaded and shipped either to Mitsubishi or Riverside cement companies to be used as TDF (Tire Derived Fuel). (;. ~f"" '.( L) - ;/1 -, - SCOPE OF SERVICES OPTIOH 2 T.Y.R.E.S., Inc. shall provide 45 or 48 ft. trailers at the City's Corporate Yard, 182 South Sierra Way, on a weekly basis. If the City provides all labor to load said trailers the removal fee will be $45.50 per ton for the contract year of 1995 and $46.00 for the contract year of 1996. All tires, in any condition and/or with rims shall be accepted up to 11 x 24 x 5 in size. OTRS will be removed at a cost of $95 per ton. c,.., ' f'j65 SCOPE OF SERVICES OPTION 3 T.Y.R.E.S., Inc. maintains and operates a Diversion Site located at l3820 Slover Ave., Unit D in Fontana. This Site is 10 miles from the City's Corporate Yard. T.Y.R.E.S., Inc. will receive and process all of the waste tires from the City of San Bernardino at this Site at a cost of $35 per ton for all tires up to II x 24 x 5 in size. OTRS will be accepted at a price of $90 per ton. 1-- :i " WORK PLAN AND METHODOLOGY T.Y.R.E.S., Inc. is able to serve the City of San Bernardino's need for removal of waste tires by any of the three options proposed. All waste tires will be loaded, processed (rims removed) and transported by 45 or 48 foot trailers to Mitsubishi and Riverside Cement plants. These companies will utilize the scrap tires as TDF (Tire Derived Fuel) which is an excellent replacement for fossil fuel, produces lower air emissions than coal, solves the waste tire problem and creates jobs. Mitsubishi Cement will be burning approximately 4,000,000 tires annually and Riverside Cement will be consuming 5,000,000 per year. In addition to being a TDF supplier, T.Y.R.E.S., Inc. can supply tires to Atlos Rubber where they are buffed to produce recycled rubber products and then the bare casing is shipped for TDF. T.Y.R.E.S., Inc. has the ability to dispose of hazardous waste or other residual waste encountered with the waste tires at anyone of the four Los Angeles County Landfills. Our company enjoys a unique relationship with L.A. County Sanitation District that dates to 1988 when we began shredding operations for landfill purposes. We are a California Corporation, a WEE and are fully licensed and permitted by all of the required state and local agencies. We will be a licensed/manifested waste tire hauler per new state regulations as of I January 1994. We have worked for the counties of Los Angeles, Orange, Riverside, Ventura and Santa Barbara providing both tire shredding and removal services. T.Y.R.E.S., Inc. shredded or removed for TDF purposes 5,000,000 in the fiscal year of 1994. We are presently transporting 8,000 tires per day to the Mitsubishi Cement Company in Lucerne Valley. Our fleet of vehicles include 33 trailers, 6 tractors and numerous smaller vans and trucks. Our Tri-C mobile shredder is capable of processing (shredding) 13,OOO tires a day. T.Y.R.E.S., Inc. TDF Division is experienced in removing and transporting large numbers of waste tires seven days a week. We remove tires from the landfills or our own Diversion Sites and "lace" them into 45 and 48 foot vans. The "lacing" is a method of stacking the tires in the vans which results in maximum possible capacity of 1,500 tires per trailer. Most of our loading crew members have been with the company since our beginning. Our four drivers are experienced and our centralized communications system assures that tires are being moved when and where necessary. Aside from operating on 8 county landfills T.Y.R.E.S. has a Diversion Site on Live Oak Ave., in Irwindale and the Site at 13820 Slover Ave., in Fontana which is closest to the San Bernardino City Corporate Yard.
