HomeMy WebLinkAbout1995-238 1 2 3 RESOLUTION NO. 95-238 RESOLUTION OF THE CITY OF SAN BERNARDINO AUTHORIZING THE 4 EXECUTION OF AN AGREEMENT WITH LOMA LINDA UNIVERSITY MEDICAL CENTER EXPRESS CARE TO PROVIDE TB TESTING AND TB MONITORING FOR THE CITY'S 5 POLICE DEPARTMENT SWORN AND NON-SWORN SAFETY EMPLOYEES, AS WELL AS OTHERS AS APPLICABLE TO THE LAW. 6 BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY OF 7 SAN BERNARDINO AS FOLLOWS: 8 SECTION 1. The Mayor of the City of San Bernardino is hereby 9 authorized and directed to execute on behalf of said city an 10 agreement with Loma Linda University Medical Express Care to 11 provide TB testing and monitoring for Police Department sworn and 12 non-sworn employees, a copy of which is attached hereto, and 13 incorporated herein by reference as fully as though set forth at 14 length. 15 SECTION 2. The term of this agreement shall be for one year, 16 subject to termination of either party upon thirty (30) days 17 written notice to the other. RECITALS A. WHEREAS, CITY desires to contract with a health services provider for the purpose of conducting TB testing and TB monitoring of designated CITY employees; and B. WHEREAS, LOMA LINDA, through its Express Care Clinic, is willing and able to provide such services for CITY; and C. WHEREAS, LOMA LINDA has submitted a proposal to CITY, a copy of which is attached hereto as Exhibit A; NOW, THEREFORE, the parties hereto agree as follows: 1. LOMA LINDA agrees to provide TB clearance and TB moni toring services in a manner consistent with its proposal, except as otherwise provided in this Agreement. 2. The term of this Agreement shall be for one year, subj ect to termination of either party upon thirty (30) days written notice to the other. This Agreement will automatically renew and continue from year to year unless terminated by either party in the manner aforesaid. This Agreement may be amended only by written agreement of the parties. 3. Unless otherwise approved by CITY'S Occupational Heal th Nurse, the location for all TB clearance and TB monitoring services pursuant to this Agreement shall be at LOMA LINDA'S Express Care/Industrial Medicine Clinic, currently located at the RJM:ms[LomLinda.Agr] 1 '?-.- ~ ',- , .... :;;r 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 Lorna Linda University Medical Center. TB clearance and monitoring services shall be available during all regular clinic hours. 4. Fees for services shall be as set forth in LOMA LINDA'S proposal. 5. LOMA LINDA shall provide at is sole cost and expense, coverage for its activities in connection with this agreement by maintaining in full force and effect programs of insurance and/or self-insurance for medical malpractice, public liability and property damage liability with limits of one million dollars ($1,000,000) per occurrence and an aggregate of three million dollars ($3,000,000). Upon request, LOMA LINDA will furnish City with certificates of coverage evidencing compliance with these insurance requirements. Certificates shall further provide for thirty (30) days advance written notice to City of any cancellationof the above coverage. 6. LOMA LINDA agrees and promises to indemnify, defend and hold harmless CITY, its officers, employees and agents, from and against all actions, claims, demands, lawsuits, and liability for damages to persons or property that may be asserted or claimed by any person, firm, entity, corporation, political subdivision, or other organizations arising out of or in connection with the performance of this Agreement, but excluding such actions, claims, demands, lawsuits and liability for damages to persons or property arising from the sole negligence or willful misconduct of CITY, its officers, employees or agents. 7. CITY agrees and promises to indemnify, defend and hold harmless LOMA LINDA, its officers, employees and agents, from and RJM:ms[LomLinda.Agr] 2 "f<-, -~) <y , -".f 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 1 against all actions, claims, demands, lawsuits, and liability for 2 damages to persons or property that may be asserted or claimed by 3 any person, firm, entity, corporation, political subdivision, or other organizations arising out of or in connection with the performance of this Agreement, but excluding such actions, claims, demands, lawsuits and liability for damages to persons or property arising from the sole negligence or willful misconduct of LOMA LINDA, its officers, employees or agents. 8. Except as required by law, LOMA LINDA agrees to keep confidential all information coming into its possession related to the performance of this Agreement. LOMA LINDA specifically understands that it will be in possession of the residence address and telephone number of police officers, firefighters and other personnel and under no circumstances will LOMA LINDA use such information for any purpose other than contacting those employees, and shall not divulge such information to any third party. LOMA LINDA shall provide a report on all test results to the CITY'S Occupational Health Nurse. 9.
