BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY 0
SAN BERNARDINO AS FOLLOWS:
SECTION 1.
The Mayor is hereby authorized and directed t
execute on behalf of said City an Agreement with Taormin
Industries, Inc. for the provision of commingled recyclable
processing as specified in Addendum A, a copy of which is attache
hereto,. marked Exhibit "1" and incorporated herein by reference a
fully as though set forth at length.
SECTION 2. The authorization to execute the above reference
agreement is rescinded if the parties to the agreement fail t
execute it within sixty (60) days of the passage of this resolution.

AGREEMENT
~IS AGREEMEN~is entered into as of this ;}7-1t day of
- , 199:::> , by and between Taormina Industries, Inc.
(CO TOR) and the CITY OF SAN BERNARDINO (CITY).
WITNESSETH:
A. WHEREAS, the State of California has enacted the Solid
Waste Management Act of 1989 which requires each City and County
within the State to reduce the amount of solid waste disposed of by
25% in 1995 and 50% by 2000 through source reduction, recycling,
and composting; and,
B. WHEREAS, the CITY adopted its Source Reduction and
Recycling Element in March, 1992 in which the CITY proposed to meet
its diversion mandate by a variety of programs, one of which is the
implementation of a curbside residential program that collects and
processes residential commingled recyclables, thereby diverting
these resources from landfill disposal and conserving natural
resources; and,
C. WHEREAS, the CITY issued a Request for Proposal to
identify commingled recyclables processing options that would place
a significant emphasis on the widest variety of materials to be
recycled; and,
D. WHEREAS, CONTRACTOR is competent, experienced and able to
perform said services; and,
E. WHEREAS, CONTRACTOR has provided processing options to
the CITY which will allow the CITY to divert the maximum tonnage of
material types; and,
F. WHEREAS, such flexibility will allow the CITY to adapt
quickly to changing market conditions while maintaining the highest
possible diversion in order to meet the State's diversion mandates;
NOW THEREFORE, the parties hereto agree as follows:
1. CONTRACTOR shall furnish the processing options in
accordance with the schedules set forth in CONTRACTOR's proposal
dated October 24, 1994, as shown in Exhibit "A" attached hereto and
incorporated herein.
2. The CITY shall reserve the right to select between each
processing option by providing sixty (60) day advanced written
notice to CONTRACTOR and in accordance with CONTRACTOR's schedule
set forth in Exhibit "A". For the initial term of the agreement,
the City shall select Option 1, processing of a mixed material
stream that includes paper fibers.

3. CONTRACTOR agrees to provide copies to CITY of any and
all of the following documents within ten (10) days of receipt by
CONTRACTOR of final document from the issuing agency, or upon
demand by the CITY:
a. Permits issued by local, regional, state or Federal
agencies related to the operation of CONTRACTOR's site;
b. copies of any notices of enforcement, including but not
limited to cease and desist orders, notices of deficiency, notice
of termination, violations of air quality or water quality
standards, or other actions taken by any governmental agency with
oversight or enforcement relating to either land use or
environmental regulation.
c. certificates of insurance, including but not limited to
Worker's Compensation and liability policies.
4. CONTRACTOR shall comply with any and all existing or
subsequently adopted health, safety and solid waste regulations
relating to but not limited to: processing, facility operation,
reporting requirements, hauling registration, transfer station
operation or other regulations as applicable issued by the
California Integrated Waste Management Board, its successor
organizations and agencies or other state and local agencies with
jurisidiction over CONTRACTOR's facility.
5. The CONTRACTOR shall be paid for such services in
accordance with the fee schedule included in CONTRACTOR's proposal
dated October 24, 1994, as shown in Exhibit "A" attached hereto and
incorporated herein. The following rates shall be applicable:
a. PROCESSING FEE The rate for processing each ton of
material shall be no more than $32.50 per ton the first
contract year, and $33.15 per ton the second contract year.
In the event that the CITY exercises the option years for
contract years three to five, inclusive, the rate for
processing each ton of material shall be no more than $33.82
per ton for option Year One, $34.50 per ton for option Year
Two and $35.18 per ton for option Year Three. In the event
that the CONTRACTOR desires to renegotiate rates for Option
Years One through Three, inclusive, CONTRACTOR shall be
required to provide a proposed rate and supporting evidence to
the CITY 120 days prior to the beginning of the option period
and in accordance with paragraph 14, below. Nothing herein
shall preclude CONTRACTOR from charging less than the rate set
forth herein. Nothing herein shall preclude the CITY from
requesting the CONTRACTOR to renegotiate rates.
b. RESIDUAL DISPOSAL FEE The rate for residual disposal
costs shall be $31.00 per ton of non-recovered processed
material. This contracted amount is based on a county of

Orange landfill rate of $22.75 per ton. Any change to this
landfill rate adopted by the County of Orange Board of
Supervisors shall be adjusted on the same date that the County
solid waste tipping fees are adjusted. There will be no other
adjustments to this rate for the term of the agreement.
c. SALES OF MATERIAL CONTRACTOR shall pay to CITY eighty
percent (80%) of the price received by CONTRACTOR for sale of
materials. This price shall be the price received by the
CONTRACTOR for the materials. In no event shall the price be
less than that shown in Table 3 as submitted by CONTRACTOR to
CITY on May 1, 1995 and incorporated herein.
d. TRANSPORTATION The rate for transporting one load of
commingled recyclables from deli very point to CONTRACTOR's
facility shall be no more than $211.50 per load the first
contract year, and $215.73 per load the second contract year.
In the event that the CITY exercises the option years for
contract years three to five, inclusive, the rate for
transporting each load of material shall be no more than
$219.96 per load for Option Year One, $224.66 per load for
Option Year Two and $228.89 per load for option Year Three.
For the purpose of this section and assuming both parties will
make every attempt to maximize the recycling payloads, a load
shall be defined as a single shipment of recyclables averaging
not less than eleven and one-half (11.50) tons as submitted to
the CITY by CONTRACTOR on May 1, 1995 and traveling a distance
of forty-seven (47) miles, one-way from delivery point to
CONTRACTOR's facility. In the event that CONTRACTOR
constructs, acquires or otherwise operates a facility greater
or less than forty-seven (47) miles from delivery point to
CONTRACTOR's facility, the CITY reserves the right to
renegotiate these rates, based on the transportation cost per
mile submitted on Table 1 of CONTRACTOR's Proposal, submitted
October 24, 1994 to the CITY.
6. A. During the first one-hundred and eighty (180) days of
this agreement, the CITY shall deliver all collected
commingled recyclables to the CITY's yard, located at 182
South Sierra Way, San Bernardino. The CITY shall be
responsible for reloading materials discharged from CITY
refuse vehicles into CONTRACTOR's roll-off containers or
transfer trailers delivered by CONTRACTOR to CITY. CONTRACTOR
shall be responsible for coordinating and arranging
transportation of load materials from CITY's yard to
CONTRACTOR's processing facility.
B. Per Phase II of CONTRACTOR's proposal, CONTRACTOR agrees
to develop and commence operation of a trans load facility or
"Lite Transfer" site at CONTRACTOR's expense. The facility
will be operational no later than ninety (90) days after the
issuance of all required city permits for the facility. At

such time, CITY shall commence delivery of commingled
recyclables to CONTRACTOR's lite transfer facility.
CONTRACTOR shall be responsible for loading and transportation
of commingled recyclables from CONTRACTOR's lite transfer
facility to CONTRACTOR's processing facility at no additional
cost to the CITY.
7. Ownership of material shall transfer from CITY to
CONTRACTOR upon delivery of material by CITY to CONTRACTOR, either
at the time that the CITY loads material into CONTRACTOR's roll-off
bin or transfer trailer as set forth in paragraph 6A, or upon
discharge of material at CONTRACTOR's Lite Transfer Facility.
CONTRACTOR agrees to work with CITY in developing and marketing
materials to local markets.
8. As set forth in CONTRACTOR's proposal, CONTRACTOR shall
process the following materials for sale by CONTRACTOR: old
corrugated cardboard, newspaper, mixed papers (including all First
Class through Bulk Rate Mail, catalogues, brochures, kraft papers
and glossy stock), office paper (including white ledger, colored
ledger, laser print out and computer print-out), plastics,
(including high density polyethylene (HOPE), Polyethylene
Terephthalate (PET), polyvinyl chloride (PVC), polystyrene (PS,
including extruded foam), polypropylene (PP), and low density
polyethylene (LOPE)), aluminum (including food and beverage cans
and foils), bi-metal food containers, tin food containers, beverage
and food container glass (including clear, brown and green colors).
CONTRACTOR may add additional materials that CONTRACTOR will
process at any time during the period of this agreement. In the
event that markets for any of the above listed material become
unavailable, CONTRACTOR shall notify CITY in writing of the adverse
market conditions, and the proposed actions by CONTRACTOR to remedy
this situation. CITY reserves right to delete material set forth
in this paragraph from processing, if, in the opinion of the CITY,
the continued requirement that CONTRACTOR process this material
results in additional costs to the CITY.
9. CONTRACTOR shall use the utmost diligence to market the
processed materials in order to maximize the revenues resulting
from the sale of each material.
10. CONTRACTOR shall, during the first week that the initial
delivery of the CITY's commingled recyclables occurs, and in the
presence of the CITY's Director of Public Services or his/her
designee, conduct or cause to be conducted a waste composition
study of the CITY's commingled recyclables to determine percentages
of each commodity set forth herein that are actually present within
the total delivered commingled recyclables. This percentage of
each commodity shall then be used to allocate revenues from the
sale of each commodity back to the city, based on total gross
tonnage of commingled recyclables delivered by CITY to CONTRACTOR.
CONTRACTOR shall perform subsequent waste composition studies

during the first two weeks of the first month of each calendar
quarter or upon a schedule agreed to in writing between the CITY
and CONTRACTOR. CONTRACTOR agrees to perform all waste composition
studies in the presence of CITY's Director of Public Services or
his/her designee. CITY reserves the right to specifically waive
the requirement that the Director of Public Service or his/her
designee be present at any specific waste composition study.
Either party reserves the right to call for a waste composition
study at any time by providing ten day written notice to the other
party.
11. CONTRACTOR agrees to dispose of residuals that may not be
recyclable or compostable at a permitted landfill, transfer station
or other disposal facility which is lawfully authorized to accept
such solid waste. CONTRACTOR shall be responsible for the physical
transportation of residuals and for any costs incurred for said
transportation of residuals to the disposal site, unless otherwise
agreed to in writing between CITY and CONTRACTOR. CONTRACTOR
assumes full liability for all residuals disposed of by CONTRACTOR.
12. CONTRACTOR shall, within thirty (30) calendar days after
the close of each month, submit a written report to the CITY's
Director of Public Services, in a format provided by the Director,
including the following information:
a. Total tonnage of commingled recyclables delivered by CITY
to CONTRACTOR, subdivided into tonnage received for each commodity.
b. Total tonnage of each commodity received by CONTRACTOR
from CITY and delivered to another processor or end user, including
name, address, telephone number and point of contact of the end
user or other processor.
c. Total tonnage of residuals delivered to each permitted
landfill, trqnsfer station, or other disposal facility, including
the name, address, telephone number and point of contact for the
disposal facility.
d. Other reports as may be deemed appropriate to the
services provided by CONTRACTOR under terms of this Agreement as
requested by the Director of Public Services.
13. CONTRACTOR shall provide the Public Services Department
with a monthly statement in arrears. CONTRACTOR shall attached and
include as part of CONTRACTOR's invoice, copies of documents and
reports as required in paragraphs 3 and 12 for the period covered
by the statement. CONTRACTOR shall forward all monies due to CITY
pursuant to Paragraph 5, section c, less any fees due to CONTRACTOR
pursuant to Paragraph 5, sections a, band d. city retains the
right to challenge any or all parts of a statement.
14. In the event that CONTRACTOR's rates set forth herein

must be renegotiated for the third, fourth or fifth years of the
contract, the following procedures as applicable to the financial
statements or reports on behalf of CITY shall be used. CONTRACTOR
shall submit a letter to CITY approximately one-hundred and twenty
(120) days prior to the anniversary date of contract execution.
The letter shall state the reason(s) for the rate increase, the
factors affecting the rate and the proposed rate per ton.
CONTRACTOR shall submit a financial statement prepared by a
certified Public Accountant for the previous twenty-four month
period if the rate increase is anticipated for the third year of
the contract, and for the previous twelve month period if the rate
increase is anticipated for the fourth or fifth years of the
contract, with the request for the rate increase. The CITY shall
review the proposed rate and make a determination within 45-days
from receipt of CONTRACTOR's letter regarding the applicability and
necessity of the proposed rate increase. During the 45-day period,
the CITY may request the opportunity to meet with the CONTRACTOR to
review CONTRACTOR's request and supporting evidence. The decision
to permit a rate increase will be at the discretion of the city.
Nothing herein this paragraph shall preclude CITY from requesting
to renegotiate CONTRACTOR's rates during the period of this
agreement.
15. In the event of discrepancy regarding any item within
this agreement, CONTRACTOR agrees to cooperate fully with the CITY
in order to resolve said discrepancy. CONTRACTOR agrees to allow
CITY, upon reasonable notice, to examine CONTRACTOR's accounting
records, sale of material records or other information, as
applicable to the services provided to the CITY under this
Agreement and to allow CITY to audit CONTRACTOR's books if
necessary.
16. CONTRACTOR agrees to provide written notice, ten (10)
days in advance, of any and all refuse collection companies,
operations or entities other than CONTRACTOR or CITY who will or
are using CONTRACTOR's lite transfer facility. CONTRACTOR agrees
to include a report, including the items requested in paragraph 12
above, on any other users of CONTRACTOR's facility.
17. The CITY shall reserve the right to negotiate a separate
host fee on a per ton basis with CONTRACTOR for the use of
CONTRACTOR's lite transfer facility by any and all refuse
collection companies, jurisdictions, operations or entities other
than CITY, including any refuse collection or refuse hauling
companies that CONTRACTOR may acquire during the life of this
agreement. For purposes of this Agreement, a $2.00 per ton host
fee has been established and can only be modified with the approval
of the Mayor and Common Council.
18. The terms of this Agreement shall be for a two year
period from the date first above shown. This Agreement may be
renewed for up to three (3) add it iona lone year terms, for a

maximum of five (5) years from the date first above shown.
19. CONTRACTOR is hereby notified that nothing within this
agreement shall in any way limit the CITY from designing,
developing or implementing CITY's own material recovery facility,
transfer station, recycling facility or composting facility.
CONTRACTOR further is notified that nothing within this agreement
shall in any way prevent the CITY from entering into agreements
with and between other agencies, entities or jurisdictions in order
to efficiently manage the CITY's solid waste or recyclables,
provide for material processing or disposal capacity, or require
CITY to deliver any minimum tonnage of recyclable materials to
CONTRACTOR during the life of this agreement. CONTRACTOR
recognizes and accepts that the CITY, by entering into this
agreement, makes no commitment of future deliveries of commingled
recyclables other than so specified within this agreement. During
the term of this Agreement, all residential recyclable materials
collected by the City will be delivered to the designated site to
be processed by CONTRACTOR as defined by the scope of this
Agreement.
20. The CITY shall provide written notice to the CONTRACTOR
of the CITY's intent to exercise each option year at least sixty
(60) days prior to the expiration of the current term of this
agreement.
21. This Agreement may be terminated by either party with
cause, upon ninety (90) day written notice to either party at the
address set hereunder.
22. CONTRACTOR shall not sell, assign, subcontract or
otherwise transfer ownership of this agreement to a third party
during the course of the agreement without the prior consent of the
city. CONTRACTOR shall give at least 120 day advance notice to the
CITY of CONTRACTOR's intent to sell, assign, subcontract or
otherwise transfer this agreement to a third party.
23. The CITY shall provide written notice to CONTRACTOR
within three (3) business days of any deficiency or default
discovered by the CITY regarding CONTRACTOR's performance under
this agreement, including proper permits issued by any regulatory
agency with appropriate oversight of CONTRACTOR's facility and
operation. CONTRACTOR shall have thirty (30) days in which to
correct the default at CONTRACTOR's expense. In the event that
CONTRACTOR is unable to correct default or provide a schedule in
which to correct the default or deficiency to the CITY, the CITY
shall have the right to terminate this agreement. The CITY's
written notice to CONTRACTOR shall be considered to be adequate
notice as set forth herein.
24. CONTRACTOR agrees to defend, indemnify, save and hold
CITY, its officers, agents and employees harmless from any claims

or suits that may be brought by third persons on account of
personal injury, death or damage to property, or a property or
business or personal interest, arising from any negligent act or
omission by contractor while performing services under this
Agreement.
25. While not restricting or limiting the foregoing, during
the term of this Agreement, CONTRACTOR shall maintain in effect
policies of comprehensive public, general and automobile liability
insurance, in the amount of $1,000,000.00 combined single limit,
and statutory worker's compensation coverage, and shall file copies
of said policies with the CITY's Risk Manager prior to undertaking
any work under this Agreement.
26. In addition to the aforementioned required limitations on
liability and worker's compensation coverage, CONTRACTOR shall open
an interest bearing account in an amount of $25,000 in the name of
the CITY for the duration of the Agreement, to be forfeited in the
event that CONTRACTOR defaults or otherwise is rendered incapable
of processing or marketing CITY's commingled recyclables.
27. CONTRACTOR shall perform work tasks in accordance with
CONTRACTOR's policies and procedures, and applicable Federal, state
and local laws. CONTRACTOR shall be an independent contractor and
not an agent or employee of the CITY.
28. In the performance of this Agreement and in the hiring
and recruitment of employees, contractor shall not discriminate on
the basis of race, creed, color, religion, sex, physical handicap,
ethnic background or country of origin.
29. In the performance of this Agreement, CONTRACTOR shall
take appropriate steps to provide a drug-free workplace.
30. CONTRACTOR shall implement, where economically feasible,
source reduction and recycling programs within CONTRACTOR's
operations, and shall "Buy-Recycled" products when feasible.
31. Any notice to be given pursuant to this Agreement shall
be deposited with the united states Postal Service, postage prepaid
and addressed as follows:

Nothing in this paragraph shall be construed to prevent the giving
of notice by personal service. Notice shall be deemed to be
received by either party three business days after being deposited
with the united states Postal Service.
32. In the event that suit is brought against one party by
the other party regarding this agreement, the prevailing party in
the suit shall be entitled to reasonable legal fees.
IN WITNESS WHEREOF, the parties hereto have executed this

RESPONSE TO REQUEST FOR PROPOSAL FOR THE
CITY OF SAN BERNARDINO
1. WORK PLAN AND METHODOLOGY
TRANSPORTATION
PHASE I---EXPAND CURRENT OPERATION FOR ADDITIONAL TONNAGE
Transportation of material from San Bernardino would continue to
be coordinated by city staff and the C. V.T. Recycling
Transportation Dispatch Manager. A collection schedule would be
arranged based on the tonnage and delivery schedule of route
vehicles off loading at the city's existing transfer site. CVT would
ensure that the recyclable material would be transported for
processing on a "same day" schedule as to maintain the cleanliness
of the current city transfer site.
PHASE II---INTERIM REGIONAL "LITE TRANSFER" SITE DEVELOPMENT
Working with City staff, Taormina Industries would develop a new,
clean, well managed transfer site for the city's current residential
and future waste reduction programs. This "lite transfer" site
would utilize 130 yard transfer trailers that would be loaded by
in-ground conveyor systems. All loads would be weighed onsite by
CVT personnel. This procedure would maximize the total number
of tons per trip and reduce the total cost of recyclable material
transportation for the city. This same type of "lite transfer" type of
facility has been approved by the City of Pomona, and will be
operational within 60 days. (Attachment 1). For the City of San
Bernardino, total construction and development project time will be
under six months. This type of interim facility is not capital
intensive and provides a low cost, quality short-term solution.
With such a facility, the city will have the ability to "host" other
waste streams for processing from local communities in the region.
This will beoin the process of achieving the long-term goal of a
regional waste processing facility within the City of San
Bernardino.
PHASE IU---REGIONAL MATERIAL PROCESSING FACILITY.
After the establishment of a regional joint users group of
municipalities and private haulers for the management of solid
waste, Taormina Industries would develop a full scale regional
waste processing facility within San Bernardino. The full scale

facility would require no caoital investment on the part of the city.
Such a development will be designed in such a manner as to create
jobs for local residents, improve commercial property values,
increase the city's tax base and provide the opportunity for San
Bernardino to generate host fee revenues from regional users of the
facility. This would be a major project that would take two to
three years for development and would come after the interim "lite
transfer" facility was operational, including adequate tonnaoe flow
commitments to provide for the needed economies of scale.
PROCESSING
During the Phase I and Phase II operation of the existing and
interim "lite transfer" facilities, all material would be transferred to
CVT's regional processing facility in Anaheim. The actual
processing methods would not change from the current "pilot"
recycling program that is in place for the City of San Bernardino at
this time. As tonnage increased during Phase I and Phase II, the
material characterization would be expanded to include
"up-graded" processing and additional commodities thus increasing
the recovery rate and the value of material recovered. The actual
methodology of material recovery is detailed under section 2(4). It
is critical to understand that, without the ability to process and
market your material, you have no waste reduction program.
CVT's recovery facility is universally recognized as the
"state-of-the-art" in solid waste material recovery. It is fully
operational with long-term commitments for the purchase of our
recovered materials. We currently recover and sell over 25,000
tons of material each month. CVT's customers include the cities of
Anaheim, Brea, Fullerton, Placentia, Villa Park, Yorba Linda and the
Garden Grove Sanitary District and the waste streams for Waste
Management, Western Waste, BFI, and 35 other municipalities.

METHODS OF MARKETING
Taormina Industries currently markets in excess of 25,000 tons of
recyclables per month. Through our worldwide markets, Taormina
Industries has developed a reputation for aualitv and become one
of the largest suppliers on the west coast. Our markets are

relationships have developed through continued supply and regular
visits both here and abroad. Taormina Industries' commitment to
markets has gone one step farther this year. In 1994 we are
pleased to say we have opened two new offices in the Pacific Rim.
These offices will not only enhance our current relationships but
offer future opportunities with the world's largest, growing
end-user markets.
Taormina Industries currently diverts over 70 different commodities
from the landfill. Some of the more common materials include:
newspaper, cardboard, glass, plastics, etc. In addition to the
common materials we recover, Taormina Industries had led the
industry in recovering new and innovative materials. Taormina
Industry was the first Southern California recycler to recover:
aseptic packaging, polystyrene and kraft carrier board. Other
innovative materials include: green and wood waste. Although
these two materials are commonly recovered today, they were not
eight years ago when Taormina Industries started to recover them.
The benefits of Taormina Industries recovering all of these
materials is an overall increased recovery rate percentage for our
customers.
Taormina Industries has a unique philosophy in marketing our
recyclable materials. Taormina's oualitv creates demand for our
materials. All materials recovered meet or exceed their industry
standards. Taormina Industries commitment to quality starts with
in house characterizations and internal rejection procedures. These
procedures not only help us monitor our quality but insure markets
today and into the future. By creating materials that are of better
quality than our competitors, the end users consistently demand
more of our materials.
Another unique aspect of the Taormina Industry philosophy is what
we do after we sell our recycled commodities. We encourage and
develop opportunities for our customers to "buy recycled."
Through buying recycled products we are able to help create more
demand for the materials we recover. In several cases we have
put together programs that" close the loop". Materials we recycle

Taormina Industries is proud of the reputation we have for quality
commodities and new and innovative programs. Our sales and
brokerage department works year round on new and existing
markets.
HOUSEHOLD HAZARDOUS
Taormina Industries currently is processing residential co-mingled
material from over 250,000 single family households. We have
found, with educational programs on proper disposal of household
hazardous materials, the amount of hazardous materials
encountered is very minimal. Any household hazardous material
that is discovered during the sorting process is removed from the
waste stream and is properly disposed by utilizing the household
hazardous drop-off center located on our processing site.
DISPOSAL OF SPOILED OR REJECTED NON-HAZARDOUS MATERIALS
Currently approximately 1 5 percent of the material processed from
San Bernardino is non-recoverable and is required to be landfilled.
At this point in time, the County of Orange landfill system accepts
only county generated waste. Therefore, Taormina Industries is
currently transferring "non-recovered" material from outside Orange
County to BKK landfill in West Covin a and other Los Angeles
County landfills. This has been our standard practice for a number
of years. However, the County of Orange is now reviewing the
policy of disposal of non-recoverable material generated from
"recycle processing" facilities. Within the next twelve months this
policy may change to classify this waste material as a by-product
of "in- county" processing, thus allowing for local landfill usage.
Taormina Industries is open to utilizing any sites the City of San
Bernardino would request, if any.

Taormina Industries has been in the solid waste and recycling
handling business since 1949. The company was founded by the
late Cosmo Taormina as a waste and salvage firm with two
employees servicing the City of Anaheim. Today the company
employs over 500 people, serves seven cities by exclusive
integrated waste handling contracts, and processes recyclables
from over 35 municipalities in five southern California counties.
Long-term, evergreen contracts ensure the stability of Taormina
Industries well into the 21 st century.
Taormina Industries, Inc. is a privately owned corporation
based in Anaheim, California. The owners of the company
are brothers, William. C. and Vincent C. Taormina. Both
have worked in the firm since their childhood and remain
directly involved in the operations and administration of the
company. Taormina Industries is the lamest orivatelv
owned solid waste collection and recycling firm in the
State of California.
The Material Recovery Facility (MRF) was engineered and designed
in-house by Taormina Industries to accommodate solid waste
handling and processing needs for various municipalities and
commercial haulers throughout Southern California. The facility
first opened in 1984 and currently has a permitted processing
capacity of 4,168 tons per day. Revised permits will increase the
capacity to 8,265 tons per day. Current design capacity as stated
in our State operating permit is 8,000 tons per day. The facility
was designed to accommodate residential, commercial, industrial,
landscape and public waste streams. The facility was also
designed so as to easily expand it's functions into various waste
reduction technologies such as waste-to-energy and manufacturing
plants onsite that will utilize the recovered recyclable materials.
The facility is sited on 27 acres at the junction of the 57 and 91
freeways in Anaheim, California. The processing facility for
material currently being processed from San Bernardino is over
280,000 square feet under one roof. The material recovery facility
is the laroest oermitted orocessino facilitv in the State of California.

5,263,591. As mentioned earlier, the Phase III development of a
full-scale regional facility for San Bernardino will replicate the
existing CVT facility in Anaheim, thus saving design and
engineering costs. Further, based on the success of the Anaheim
facility design, the San Bernardino Phase III project is assured to be
cost effective and successful.
Current processing is accomplished with a combination of infeed
processing lines feeding a series of conveyors and mechanical
sizing equipment to make various separations of the material to be
processed. Material is then recovered manually by sorters
strategically located on the sorting system and mechanically by
overhead magnets, vibrating finger screens, vibrating perforated
screens, gravity separation and overhead air vacuum collection.
All systems are fully integrated with computer controlled operation
of the speed and flow of material processed. After materials are
separated by type and size, additional processing is done to ensure
that all materials are "up-graded", thus generating the maximum
return on the materials marketed and the recoverv of material
processed. The material processing lines are designed to be
. flexible for processing different flows of material simultaneously or
at different times. Redundancv has been engineered into the
system to minimize the impact of equipment failure. All materials
processed are weighed on site by state certified scales and then
credited to the actual jurisdiction by type of material processed.
Waste characterizations are up-dated regularly for all processing
customers. Highly detailed and audited monthly summaries are
computer generated in order to correctly report the actual waste
recovery percentages and value of material recovered.

Taormina Industries is the largest processor of co-mingled clean
recyclable material in North America. In the case of recycle
processing and marketing, "Bigger is Better." Taormina Industries'
tremendous growth in the processing and marketing of recycle
material is not by coincidence. Taormina Industries will celebrate
45 vears in the waste and recycling industry. The company has
earned the respect of the industry by doino what is riaht for our

4. PROJECT SCHEDULE
Taormina Industries is currently transporting and processing
material from San Bernardino. We are fully operational and will
"step-up" our transportation and processing on any schedule that
the City of San Bernardino would select for ease of
implementation of the collection and educational programs as
outlined in Section 1. When the city approves the concept of a
"lite transfer" facility, that facility would be operational within
three to six months. The long-term concept of a regional material
processing facility would be a two to three year project. As you
can see from our proposals, Taormina Industries is able to support
anv processing tonnage and any schedule that would best work
for the City of San Bernardino.

Taormina Industries would be willing to utilize the "Official Board
Market" (OBM yellow sheet), or any other publication the City
could provide as the basis for commodity pricing for the term of
the contract to process material for the City of San Bernardino. A
number of our commercial accounts use this publication for the
base value of single recovery purchase programs. The monthly
values reflected in this publication represent the current market at
the retail value of primary recycle commodities. The downside
from this method of establishing market value is that the market
trends may greatly change from month to month, based on local
market demand. However, all of our municipal customers and the
great majority of our other city programs have chosen to utilize
the following proposed method of establishing a market value of
the actual material recovered from their respective recycling
programs.
With our volume of sales, Taormina Industries actually creates
markets and has established an internal sales value for each of
the commodities we process. A majority of our sales are based
on contracts to supply product at a fixed rate for a number of
years, in some cases up to five years. In a "hot" market our price
structure does not reflect the "peaks" of individual commodity
pricing, but has a stabilizing effect on the long-term price
structure. This is extremely important to city recycling programs
when the market turns downward. For example, less than twelve
months ago mixed paper was of no value in the Southern
California market. In most city programs mixed paper represents
upward of 20 percent of the total recovery. Because of our
long-term commitments we avoided this downward spiral in
value, while our competitors considered this material to be spoiled
or rejected waste. The result to our customers was a stabilized
rate base and no fee increases.
Taormina Industries proposes to return 80 percent of the

1. The proposed loading and transferring of clean, pre-sorted recyclable
materials (i.e., newspaper, cardboard, glass, plastic containers, tin
cans, aluminum cans and mixed paper) use meets the intent of, and is
consistent with, the goals, objectives and policies of the General Plan,
in that the proposed use is consistent with the following policy of the
Community Design Element:
-To insure that industrial areas function to their full potential and are
a positive element in the City's environment.-
2. The proposed use meets the stated purpose and general intent of the
district in which the use is proposed to be located, in that the proposed
loading and transferring of clean, pre-sorted recyclable materials use is
compatible to other uses allowed in the M-l zone such as distributing
plants and treatment of articles from previously prepared materials like
paper and plastic.
3. The proposed use does not adversely impact the public health, safety and
general welfare of the City's residents, in that the proposed use must
meet all 1991 Uniform Building Code, 1991 Fire Code and other City codes
prior to establishment of such use.
4. The proposed use shares characteristics common with, and will not be of
greater intensity, density or generate more environmental impact than,
those uses listed in the land use district in which it is to be located,
in that the proposed trucking facility for loading and transferring of
recyclable materials parts use is similar to a distributing plant and
treatment of articles from previously prepared materials like paper and
plastic, which are permitted uses in the M-l zone.
This decision has been based on the provisions of Section SOl-A of the City of
Pomona Zoning Ordinance. The decision of the City Planner shall be final
unless an appeal to the Planning Commission is made within ten (10) days after
the decision.

FINDINGS
1. Description of the facility design and operation.
A. The Consolidated Volume Transporters Regional Material Recovery
and Transfer Facility is an existing large volume transfer station
owned by William C. and Vincent C. Taormina and operated by
Consolidated Volume Transporters Incorporated, CVT Recycling,
wholly owned subsidiary of Taormina Industries Incorporated.
B. The facility address is 1131 North Blue Gum Street, Anaheim, CA
92806. It occupies an 11.4 acre site and is located at the junction
of the 57 and 91 Freeways in Anaheim's East Canyon Industrial
Area. The Report of Station Information (RSI), Figures 1-5 include a
site plan, site map, legal description of the property and aerial
views of the facility and all on-site structures, with the scale as
noted on the aerials.
C. The 'facility's physical plant consists of the Material Recovery
Facility building, a Transfer Facility building, two Material
Recovery and Processing buildings, a Corporate Offices building,
Scales and Scalehouses containing automated weighing/billing
equipment. There is also a Household Hazardous Materials
Collection Center, a Public Recycling/Buy back center and a Public
Disposal area at this location.
D. The facility only accepts non-hazardous solid waste from
residential commercial and industrial sources. Inert material and
other demolition material are also accepted. No special waste is
accepted.
E The maximum load capacity of this facility is 4,168 tons per aay
and the average daily throughout over the last year was 3,000 tons
per day. Design capacity of the facility is 8,000 tons per day.
F. All traffic enters the facility from Blue Gum Street through the
main entrance which is guarded. The vehicles then take one of

several routes depending upon purpose and type of vehicle. The RSI,
Figure 2 depicts traffic patterns, access and egress of the facility.
G This facility conducts extensive material recovery/recycling
activities in addition to the transfer operation. The Material
Recovery Facility (MRF) processes commingled recyclables using
state-of-the-art mechanical and manual sorting systems.
The facility also diverts office paper, corrugated paper products,
green waste, wood and inert materials into reuse applications. The
RSI, Scope of Operations (pages 3-5) and Description of Processes
(pages 5-11) explain the operations in the various buildings and
areas within the facility.
Hazardous waste shall be handled in a manner approved by the Local
Enforcement Agency (LEA) and the California Integrated Waste
Management Board (CIWMB) as per Title 22, California Code of
Regulations.

H The discovery of hazardous waste in the waste stream is handled in
three ways. The small quantities of hazardous wastes from the
residential waste stream that are unidentifiable as to origin are
disposed of through a contract with the County Household Hazardous
MatGrials Collection Center. Hazardous wastes identified as to
source are returned to the source for proper disposal. The removal
of other hazardous wastes from facility operations, materials
abandoned by the public or somehow wrongfully injected into the
solid waste stream are handled utilizing private, appropriately
licensed and permitted haulers and contractors. The facility EP A
generator number is CAD981378201. In addition, signs are posted
at the facility stating the prohibition on the dumping of hazardous
waste.
The hazardous waste screening and load check programs are
described in the RSI, pages 18 & 19. Training and spill response are
described in the RSI Attachment D, Examples of Employee Training
Materials. Emergency phone numbers are listed on page 26 of the
RSI. Additional measures regarding hazardous material may be
required by the LEA or the CIWMB.

processing of recyclables, Tub grinders and hammer mills may be
installed to process green, brown and construction waste. Glass
and plastic may be further processed at the facility. Currently
these items are separated and shipped out as is,
J. This facility's various operations occur during all or part of a 22
hour period from 4 am to 2 am seven days a week, excluding major
holidays. Essentially, the facility operates 24 hours a day. The RSI,
pages 13 & 14, list the precise hours for each operation.

Commission Resolution PC 82-226, December 13, 1982, State
Clearing House (SCH) No. 83021101. (Established the Recycling
Resource Recovery Transfer Facility).

D. Mitigated Negative Declaration & CUP 3266, Planning Commission
Resolution PC 90-89, April 9, 1990. (Household Hazardous Material
Collection Center).
E Negative Declaration & CUP 3359, Planning Commission Resolution
PC 90-271, December 3, 1990, SCH No. 92011017 (The Facility
Expansion).
F. State Water Resources Control Board Storm Water Discharge Permit
No. 8305000220 dated October 23, 1992.
3. The following findings are required pursuant to Public Resources Code
(PRC) Sectiuns 44010, 50000, and 50000.5:
A. This permit is consistent with the latest revision of the Orange
County Solid Waste Management Plan, April 1989.
B. This permit is consistent with the standards adopted by the CIWMB.

C. This facility is consistent with and designated in the City of
Anaheim General Plan. (Resolution 83R-127).
4. The design and operation of this. facility are in compliance with the
State Minimum Standards for Solid Waste Handling and Disposal as
determined by the LEA in November, 1992.
5. The Anaheim City Council has made a written finding that surrounding
land use is compatible with the facility operation.
6. Negative Declarations 2398, 3266 & 3359 and Notices of Determination
have been filed for this facility. RSI, Attachments C & F.
CONDITIONS
Reauirements
1. This facility must comply with the State Minimum Standards for Solid
Waste Handling and Disposal.

2. This facility must comply with all federal, state, and local
requirements and enactments including all mitigation measures given
in any certified environmental documents filed pursuant to PRC Section
21081.6.
3. Additional information concerning this facility must be provided if
required by the LEA.
4. The operator must comply with all notices and orders issued by any
enforcement agency to monitor the mitigation measures contained in
any of the documents referenced within this permit pursuant to PRC
Section 21081.6.
5. The operator shall maintain a copy of this Permit at the facility so as
to be available at all times to facility and enforcement agency
personnel.

Specificatio ns
1. No significant change in the design or operation of the facility, as
stipulated in the FINDINGS section of this permit is allowed without a
revision of this permit.
2. This facility has a permitted daily capacity of 4168 tons of solid
waste per operating day. It shall not receive more than 4168 tons per
day unless the operator first obtains a revision of this permit.
3. A change of operators of this facility will require a new permit.
4. The enforcement agency, through the permit, may prohibit or condition
the handling or disposal of solid wastes to protect the public health
and safety, protect, rehabilitate, or enhance the environment, or to
mitigate adverse environmental impacts.
5. This revision of the Permit supersedes the permit originally issued on
March 15, 1990.

Provisions
1. This permit is subject to review and may be suspended, revoked, or
modified at any time for sufficient cause.
2. A copy of the most recent printing of the State Minimum Standards for
Solid Waste Handling and Disposal. and a copy of this and all other
permits issued for the operation of this facility must be kept at the
site. These documents must be available for review by authorized
representatives of the LEA or the CIWMB.
3. A copy of the most recent inspection report resulting from an
inspection of the facility by representatives of the LEA must be
maintained at the site.

4. Appropriate safety equipment including hard hats, hearing protection
and safety goggles shall be available to all persons working within the

facility and must be used when appropriate. Workers hand picking
salvageable items shall be required to wear heavy duty gloves.
Self-M onito rina:
1. A quarterly monitoring report is to be submitted to the LEA. The report
shall contain, daily totals of tonnage and vehicles using the facility and
summarized by month.
2. The results of the hazardous waste screening program shall also be
included in the monitoring report.
3. A log of special occurrences, (fires, explosions, accidents, hazardous
wastes, etc.), shall be maintained and reported to the LEA on a
quarterly basis, in accordance with the monitoring report schedule.
4. The monitoring report shall be submitted to the LEA in accordance with
the following schedule.

Rc: Protest of Recycling Contract Award Process
Dear Mr. Merrill:
I am writing this letter to formally protest the Cities contract award of the City of San
Bernardino's commingle recyclables processing contract. It was very disturbing to learn of
the recent turn of events which have transpired since the bidding process began in October
1994,
According to an article in 'The Sun' dated Tuesday, March 2, 1995, the City has
apparently made the decision to award this contract to Taormina Industries, even though
they are not the lowest bidder, According to the article, this decision was based on the
fact that Jack's Disposal (the lowest bidder) had informed the City of their intent to
withdraw their bid due to the revised term of the contract (from 5 years to 2 years).
City Staff and Council never toured CR&R's facilities or requested further information as
they had obviously done with Taorimina Industries. CR&R was not notified of Jacks'
Disposals' withdrawl or the City Council meeting even though we have been part of the
proceS3 since day 0ne. Again, obviously Taormina Industries was completely upda~ed due
to their attendance at the City Council meeting,
As a leader in the recyclables collecting, processing, and marketing industry, CR&R was
shocked to learn of the level of which council member Ralph Hernandez, William
Taormina, and Gil Lara became involved during the contract awarding process. I am at a
loss as to why CR&R was specifically instructed by yourself on several occasion not to
contact the City directly during this process but to wait for the City to update us as to the
status of the process of which CR&R never received any written response or update.
Further, we intend to investigate in detail the relationship between Gil Lara and Ralph
Hernandez, In my opinion, this relationship played a major roll in the awarding of this

contract as well as the minimal amount of information provided to the Other bidders,
my opinion, this constitutes an unfair awarding of this contract.

In conclusion, CR&R would like to go on record as having filed a formal protest, It is verv

obvious that ifCR&R had hired Gil Lara, in direct conflict to the RFP and your
instructions, we would have been awarded the contract. I am requesting a formal
response as to why CR&R should not seek legal help to ensure an equal and fair
opportunity to obtain this contract.
