RESOLUTION OF THE CITY OF SAN BERNARDINO AWARDING A LEASE
PURCHASE AGREEMENT TO BURTRONICS BUSINESS SYSTEMS FOR THE LEASE
PURCHASE OF LANIER PHOTO COPY MACHINES, TO BE UTILIZED BY VARIOUS
DEPARTMENTS THROUGHOUT THE CITY IN ACCORDANCE WITH BID
SPECIFICATION F-95-08.
BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY OF
SAN BERNARDINO AS FOLLOWS:
SECTION 1. That Burtronics Business Systems is the lowest
and best responsible bidder for supplying and financing Lanier
photocopy machines in accordance with Bid Specification F-95-08.
The estimated first year annual amount is $72,642.55. The term of
these lease purchase agreements is five (5) years.
Pursuant to
this determination, the Purchasing Manager is hereby authorized
and directed to issue a purchase order and execute vendor lease
agreements to purchase and finance copiers to said lowest and best
responsible bidder;
all other quotations therefore are hereby
rejected.
SECTION 2.
Replacement of other existing copiers may be
accomplished under similar terms and conditions as this initial
agreement. A new competition to again select a standard copier
supplier will take place at the end of the initial five year term.
SECTION 3. The authorization to execute the above referenced
initial purchase order and Lease Purchase Agreement is rescinded
if the parties to the agreement fail to execute it within sixty
(60) days of the passage of this resolution.

represents to, and agrees
terms of the Municipal Lease and Option Agreement No.
, ("Agreement-) between the GOVERNMEN
and the undersigned (Lessee). the Lessee hereby certifies and
with, Lessor as follows:
1. The Equipment, as such term is defined in the Agreement, has been delivered and
installed at the Equipment Location specified in the Agreement and accepted on the
date indicated below.
2, Lessee has conducted such inspection and/or testing of the Equipment as
it deems necessary and appropriate and hereby acknowledges that it accepts the
Equipment for all purposes.
3. No Event of Default, as such term is defined in the Agreement, and no event which
with notice or lapse of time, or both, would become an Event of Default, has
occurred and is continuing at the date hereof.
4. Lessee represents, covenants and warrants, and as requested by Lessor,
will deliver a Purchase Order or an Opinion of Counsel, to the effect that: (i)
Lessee is a fully political subdivision or agency of the State of the Equipment
location; (ii) the execution. delivery and performance by the Lessee of this
Agreement have been duly authorized by all necessary action on the party of the
Lessee; and, (iii) this Agreement constitutes a legal, valid and binding obligation
of the Lessee enforceable in accordance with its terms.
s. Lessee agrees that: (i) it will do, or cause to be done, all things necessary to
preserve and keep the Agreement in full force and effect; (ii) it has complied with
all bidding requirements, where necessary, and by due notification presented this
Agreement for approval and adoption as a valid obligation on its part; and (iii) it
has sufficient appropriations, or other funds, available to pay all amounts due
hereunder for the current fiscal period.
