RESOLUTION NO.
RESOLUTION OF THE MAYOR AND COMMON COUNCIL OF THE
CITY OF SAN BERNARDINO, CALIFORNIA, REAFFIRMING
RESOLUTION NO. 96-82 IN CONNECTION WITH THE
COMMITMENT OF THE AGENCY TO PROVIDE A GUARANTY OF
A CERTAIN OBLIGATION OF THE CITY OF SAN
BERNARDINO
WHEREAS, the City of San Bernardino, California (the
"Ci ty") is a municipal corporation duly created and existing
pursuant to the Constitution and the laws of the State of
California; and
WHEREAS, the Redevelopment Agency of the City of San
Bernardino (the "Agency") is a public body, corporate and politic
of the State of California, organized and existing pursuant to
the Community Redevelopment Law, California Health & Safety Code
Section 33000, (the "Act"); and
WHEREAS, the City, together with the County of San
Bernardino and the Cities of Colton, Loma Linda, Highland and
Redlands adopted a certain Joint Exercise of Powers Agreement, as
amended, dated as of May 20, 1992 (the "JPA Agreement"), creating
the San Bernardino International Airport Authority ("SBIAA"); and

WHEREAS, the SBIAA has authorized the issuance of the
San Bernardino International Airport Authority Revenue
Anticipation Notes, Issue of 1996, in the aggregate principal
amount of $3,000,000 (the "Notes") for the purposes of providing
operating costs of the SBIAA to: (i) undertake public
improvement proj ects to gain better vehicular access to the
aviation portions of the former Norton Air Force Base (the "SBD
Airport") and (ii) upgrade the aviation facilities located on the
SBD Airport (the "Improvements") by contributing local matching
funds together with Federal grant funds; and
WHEREAS, the SBD Airport is located in the City and
improvements located at the SBD Airport will be of benefit to
each of the several redevelopment project areas of the Agency
(the "Agency Redevelopment Project Areas"); and
WHEREAS, the City previously adopted Resolution No. 96-
73 on March 25, 1996, consenting to the issuance of tax exempt
notes by the SBIAA which shall be used to finance the
Improvements at the SBD Airport and acknowledging the obligation
incurred by the City to commit to repayment of the entire
indebtedness evidenced by the Notes to the extent and under the
conditions as provided in the JPA Agreement; and

WHEREAS, the Agency previously adopted Resolution
No. 96-82 on April 1, 1996, agreeing to guaranty the repayment
obligations of the City to finance the Improvements and making
certain findings of benefit, namely that it is in the interests
of the present landowners within the Agency Redevelopment Project
Areas and the residents, both within the Agency Redevelopment
Project Areas, specifically, and within the City generally, that
the Agency ensure the funding of the construction and
installation of the Improvements; and
WHEREAS, the City adopted Resolution No. 96-275 on
September 9, 1996, reaffirming its commitment to the financing by
the SBIAA in an amount totaling $2,000,000; and
WHEREAS, the Agency desires at this time to reaffirm
its commitment to assist the City with its's obligation to repay
the Notes, and further seeks the approval of the City in this
regard.
NOW, THEREFORE, THE MAYOR AND COMMON COUNCIL OF THE
CITY OF SAN BERNARDINO DOES HEREBY RESOLVE, DETERMINE AND ORDER
AS FOLLOWS:

Section 1.
The Recitals hereinabove are true and
correct and are incorporated herein by this reference.
Section 2. The City reaffirms Resolution No. 96-82
and consents to the use of proceeds of the Notes to finance the
Improvements to be undertaken at the SBD Airport. The City finds
that the Improvements will be of benefit to the Agency
Redevelopment Project Areas and other neighborhoods within the
City for the reasons set forth in the Recitals hereinabove and in
Resolution No. 96-82.
Section 3. The City also finds and determines that
no other reasonable means of financing the construction of the
Improvements is presently available to the City.

Section 4.
The findings and determinations herein
shall be final and conclusive. This Resolution shall take effect
upon the date of its adoption.
