RESOLUTION NO,

2 RESOLUTION OF THE MAYOR AND COMMON COUNCIL OF THE CITY OF
SAN BERNARDINO AUTHORIZING THE EXECUTION OF A CONTRACT WITH
3 PAVILION PARTNERS DBA GLEN HELEN BLOCKBUSTER PAVILION
4 BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY
OF SAN BERNARDINO AS FOLLOWS:

SECTION 1.
The Mayor of the City of San Bernardino is
6
hereby authorized and directed to execute on behalf of said City
7
a contract with Pavilion Partners DBA Glen Helen Blockbuster
8
Pavilion relating to traffic control services within City
9
jurisdiction, a copy of which is attached hereto marked Exhibit
10
"A" and incorporated herein by reference as fully as though set
11
forth at length.

SECTION 2.
The authorization to execute the above-
13
referenced agreement is rescinded if the parties to the agreement
14
fail to execute it within sixty (60) days of the passage of this
15
resolution.

1 AGREEMENT FOR SERVICES
2 (Glen Helen Blockbuster Pavilion)
3 THIS AGREEMENT, made and entered into this 15th day of
4 April, 1996, by and between the City of San Bernardino, acting by
5 and through the San Bernardino Police Department, hereinafter
6 called "CITY" and Pavilion Partners DBA Glen Helen Blockbuster
7 Pavilion, hereinafter called "PARTNERS".

WITNESSETH: By and in consideration of the covenants and
9 the conditions herein contained, the PARTNERS and CITY do hereby
10 agree as follows:

1.
CITY agrees to provide one (1) police officer and
12 either three (3) or four (4) C.S.R. 's (Community Service
13 Representative)* with vehicles for traffic control during various
14 events occurring at the Glen Helen Blockbuster Pavilion. Traffic
15 control services will be needed at the following locations:

a.
1-215 Northbound off ramp at Palm.
Palm and Kendall
17
b.
18
c.
Palm/Institution and Cajon Boulevard
19
d.
Institution and powerline Road

2 .
The S.B.P.D. coordinator shall be Sgt. Dale Blackwell,
21 Administrative Sergeant for Area "A" (telephone number (909) 384-
22
5770) ,
The PARTNERS coordinator shall be Mr. Nick Kotos
23 (telephone number (909) 880-6500).

The term of this agreement shall be April 15, 1996
25 through December 31, 1996.

In consideration for the above services and upon
27 receipt of an itemized invoice, PARTNERS agrees to pay CITY in

accordance with the following rates:
Patrol Officer $36.27 per hour
CSR II $21. 59 per hour
CSR I $20.04 per hour
VehiclelEquipment Usage $71.00 per event

6 *Events with expected attendance in excess of 15,000 will
7 require one (1) additional CSR,
8 5, This agreement may be amended by written mutual consent
9 of both parties hereto,
10 6, In the event of disaster or unforeseen emergency, CITY
11 shall be excused from providing scheduled traffic control services
12 without prior notice. Either party may cancel this agreement by
13 giving thirty days notice to the other.
14 7. The rates indicated in this agreement are for estimate
15 purposes only. In the event of a wage increase, PARTNERS agrees
16 to pay the increased rates.
17 8. PARTNERS agrees that reasonable additional charges may
18 be assessed for S.B.P.D. supplies expended (flares), additional
19 equipment utilized, damage to uniforms or property repaired or
20 replaced at City expense, etc., which are directly related to the
21 services provided herein,
22 9. PARTNERS agrees that any cancellation of this request
23 for service later than 4: 00 p. m. on the day preceding the
24 requested service may result in a charge of four (4) hours for
25 each officer assigned.
26 10. No additional gifts, donations, or gratuities may be
27 accepted by S,B,P,D, personnel in their behalf or in the behalf of
28 the Department.

11. PARTNERS shall indemnify, defend and hold CITY, its
2 officers, employees and agents, free and harmless from any claim,
3 demand, liability, suit, judgment or expense (including, without
4 limitation, reasonable costs of defense) arising out of or related
5 to CITY's performance of services under this agreement, except
6 that such duty to indemnify, defend and hold harmless shall not
7 apply where injury to person or property is caused by CITY's
8 willful misconduct or sole negligence.
