RESOLUTION OF THE CITY OF SAN BERNARDINO AUTHORIZING THE
EXECUTION OF AN AGREEMENT WITH CHJ, INCORPORATED FOR PROFESSIONAL
GEOTECHNICAL AND SOILS TESTING SERVICES RELATIVE TO THE EXTENSION
OF ORANGE SHOW ROAD, FROM ARROWHEAD AVENUE TO TIPPECANOE AVENUE.
BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE
5 CITY OF SAN BERNARDINO AS FOLLOWS:

SECTION I.
The Mayor of the City of San Bernardino is
7 hereby authorized and directed to execute, on behalf of said
8 City, an Agreement for Professional Geotechnical and Soils
9 Testing Services with CHJ, Incorporated relative to the extension
10 of Orange Show Road, from Arrowhead Avenue to Tippecanoe Avenue.
11 A copy of said agreement is attached hereto, marked Exhibit "A"
12 and incorporated herein by reference as fully as though set forth
13 at length.

SECTION 2.
The agreement shall not take effect until
15 fully signed and executed by both parties. The City shall not be
16 obligated hereunder unless and until the agreement is fully
17 executed and no oral agreement relating thereto shall be implied
18 or authorized.

SECTION 3.
This resolution is rescinded if the parties
to the agreement fail to execute it within ninety (90) days of
the passage of this resolution.

referred to as the "CITY" and
CHJ Incorporated, a California
corporation, hereinafter referred to as "ENGINEER."
WIT N E SSE T H
WHEREAS, city desires to obtain professional services for
geotechnical, soils and materials testing for the Orange Show Road
project between Arrowhead Ave. and Tippecanoe Ave.
WHEREAS, in order to provide necessary inspection and
testing services it is necessary to retain the professional
services of a qualified geotechnical and soils engineering and
consulting firm; and
WHEREAS,
Engineer is qualified to provide said
professional services; and
WHEREAS, San Bernardino City Council has elected to
engage the services of Engineer upon the terms and conditions as
hereinafter set forth.
NOW, THEREFORE, it is mutually agreed, as follows:
1. SCOPE OF SERVICES
Engineer shall perform those services specified in "Scope of
Services"and as contained in the proposal dated Julv 29. 1997, a
copy of which is attached hereto as Exhibit "1" and incorporated as
though set forth in full.
2.
TERM OF AGREEMENT
The services of Engineer are to commence immediately after the
City has authorized work to start by issuance of a Notice to

Proceed. The scheduled work dates will be adjusted by Engineer as
the city authorizes the work and the project specifications allow
300 working days for the contractor to complete the work. Such
adjustments shall require city approval prior to commencement of
performance of each phase. This Agreement shall expire at the end
of the construction project unless extended by written agreement
of the parties.
3. STANDARD OF PERFORMANCE
Engineer shall complete all work product and design in confor-
mance with Standard Specifications for Public Works Construction
(Greenbook) current edition, Caltrans Bridge Design Standards,
Caltrans procedures and practices for materials testing, the city
of San Bernardino's Standard Drawings and the project
specifications No. 9142.
4. CHANGES/EXTRA SERVICES
A. Performance of the work specified in the "Scope of Ser-
vices," is made an obligation of Engineer under this Agreement,
subject to any changes made subsequently upon mutual agreement of
the parties. All such changes shall be incorporated by written
amendments to this Agreement and include any increase or decrease
in the amount of compensation due Engineer for the change in scope.
Any change which has not been so incorporated shall not be binding
on either party.
B. No extra services shall be rendered by Engineer under
this Agreement unless such extra services are authorized, in
writing, by city prior to performance of such work. Authorized
extra services shall be invoiced based on Engineer's "Schedule of
Hourly Rates" as included in the DroDosal, a copy of which is

1 attached, hereto, as Exhibit "1" and incorporated herein as though
2 set forth in full.
3 5. COMPENSATION
4 A. The City shall reimburse the Engineer for actual costs
5 (including labor costs, employee benefits, overhead, profit, other
6 direct and indirect costs) incurred by the Engineer in performance
7 of the work, at the rates for services contained in the proposal in
8 an estimated amount of $60.000.00. Actual costs shall not exceed
9 the estimated wage rates and other costs as set forth in the
10 proposal, attached hereto and incorporated herein as though set
11 forth in full.
12 B. Said compensation shall not be altered unless there is
13 significant alteration in the scope, complexity or character of the
14 work to be performed. Any such significant alteration shall be
15 agreed upon in writing by city and Engineer before commencement of
16 performance of such significant alteration by Engineer.
17 Any adjustment of the total cost of services will only be
18 permitted when the Engineer establishes and City has agreed, in
19 writing, that there has been, or is to be, a significant change in:

1 C. The Engineer is required to comply with all Federal,
2 state and Local laws and ordinances applicable to the work and
3 which are in effect as of the date of the notice to proceed. The
4 Engineer is required to comply with prevailing wage rates in
5 accordance with California Labor Code section 1770.
6 6. PAYMENT BY CITY
7 A. The billings for all services rendered pursuant to this
8 Agreement shall be submitted monthly by Engineer to city and shall
9 be paid by city within twenty (20) days after receipt of same,
10 excepting any amounts disputed by city. Dispute over any invoiced
11 amount shall be noticed to the Engineer within ten (10) days of
12 billing and a meet and confer meeting for purposes of resolution of
13 such dispute shall be initiated by the City within ten (10) days of
14 notice of such dispute. Interest of 1-1/2 percent per month (but
15 not exceeding the maximum rate allowable by law) will be payable on
16 any amounts not in dispute and not paid within thirty (30) days of
17 the billing date, payment thereafter to be applied first to accrued
18 interest and then to the principal unpaid amount. On disputed
19 amounts, interest shall accrue from thirty (30) days of the invoice
20 date if the amount in dispute is resolved in favor of the Engineer.
21 All tasks as specified in Exhibit "1" shall be completed prior to
22 final payment.
23 B. Section 9-1.10 of the Cal-Trans Standard Specifications
24 is hereby specifically waived and not applicable to this agreement.
25 The parties hereto otherwise agree not to be bound by any other
26 requirements for arbitration of any dispute arising hereunder.

1 Disputes shall be resolved by agreement of the parties, or upon the
2 failure of such agreement, by direct application to the Courts.
3 C. Should litigation be necessary to enforce any term or
4 provision of this Agreement, or to collect any portion of the
5 amount payable under this Agreement, then all reasonable litigation
6 and collection expenses, witness fees, and court costs, and
7 attorney's fees shall be paid to the prevailing party.
8 7. SUPERVISION AND ACCEPTANCE OF SERVICES
9 A. The Director of Public Works of City, or his designee,
10 shall have the right of general supervision over all work performed
11 by Engineer and shall be city's agent with respect to obtaining
12 Engineer's compliance hereunder. No payment for any services
13 rendered under this Agreement shall be made without prior approval
14 of the Director of Public Works or his designee.
15 B. The Office of the Administrator may review and inspect
16 the Engineer's activities during the progress of the program.
17 8. COMPLIANCE WITH CIVIL RIGHTS LAWS
18 Engineer hereby certifies that it will not discriminate
19 against any employee or applicant for employment because of race,
20 color, religion, sex, marital status or national origin. Engineer
21 shall promote affirmative action in its hiring practices and
22 employee policies for minorities and other designated classes in
23 accordance with Federal, State and Local laws. Such action shall
24 include, but not be limited to, the following: recruitment and
25 recruitment advertising, employment, upgrading, and promotion. In
26 addition, Engineer shall not exclude from participation under this
27 Agreement any employee or applicant for employment on the basis of

age, handicap, or religion in compliance with state and Federal
laws.
9. TERMINATION OF AGREEMENT
A. This agreement may be terminated by either party upon
thirty (30) days' written notice in the event of substantial
failure of the other party to perform in accordance with the terms
of this Agreement.
Each party shall have twenty (20) days
following date of such notice within which to correct the
substantial failure, giving rise to such notice. In the event of
termination of this Agreement, city shall within thirty (30) days
pay Engineer for all the fees, charges and services performed to
city's satisfaction by Engineer, which finding of satisfaction
shall not be unreasonably withheld. Engineer hereby covenants and
agrees that upon termination of this Agreement for any reason,
Engineer will preserve and make immediately available to City, or
its designated representatives, maps, notes, correspondence, or
records related to work paid for by the City and required for its
timely completion, and to fully cooperate with city so that the
work to be accomplished under this Agreement may continue within
forty-five (45) days of termination. Any subsequent use of such
incomplete documents, other than their originally intended use,
shall be at the sole risk of the City, and the City agrees to hold
harmless and indemnify Engineer from any claims, losses, costs,
including attorney's fees and liability arising out of such use.
Engineer shall be compensated for such services in accordance with
the proposal.

B. This agreement may be terminated for the convenience of
the City upon thirty (30) days written notice to Engineer. Upon
such notice, Engineer shall provide work product to City, and City
shall compensate Engineer in the manner set forth above.
C.
Following the effective date of termination of this
6 Agreement pursuant to this section, the Agreement shall continue
7 until all obligations arising from such termination are satisfied.
8 10. CONTINGENCIES
9 In the event that, due to causes beyond the control of and
10 without the fault or negligence of Engineer, Engineer fails to meet
11 any of its obligations under this Agreement, and such failure shall
12 not constitute a default in performance, the City may grant to
13 Engineer such extensions of time and make other arrangements or
14 additions, excepting any increase in payment, as may be reasonable
15 under the circumstances. Increases in payment shall be made only I
16 under the "changes" provision of this Agreement. Engineer shall
17 notify City within three (3) days in writing when it becomes aware
18 of any event or circumstance for which it claims or may claim an
19 extension.
20 11. INDEPENDENT CONTRACTOR
21 Engineer shall act as an independent contractor in the perfor-
22 mance of the services provided for under this Agreement. Engineer
23 shall furnish such services in its own manner and in no respect
24 shall it be considered an agent or employee of city.
25 12. ASSIGNMENT OR SUBCONTRACTING
26 Neither this Agreement, nor any portion thereof, may be
27 assigned by Engineer without the written consent of City. Any

1 attempt by Engineer to assign or subcontract any performance of
2 this Agreement without the written consent of the City shall be
3 null and void and shall constitute a breach of this Agreement. All
4 subcontracts exceeding $10,000, shall contain all provisions of
5 this contract.
6 13. NOTICES
7 All official notices relative to this Agreement shall be in
8 writing and addressed to the following representatives of Engineer
9 and City:

A. The Engineer may reasonably rely upon the accuracy of
data provided through the City or its agents without independent
evaluation.
B. The city shall pay all costs of inspection and permit
fees. Charges not specifically covered by the terms of this
Agreement shall be paid as agreed by the parties hereto at the time
such costs arise; but in no event shall the work to be performed
hereunder cease as a consequence of any unforeseen charges unless
by mutual written agreement of city and Engineer.
C. All test results, field reports and other original
documents are instruments of service and shall remain the property
of Engineer except where by law, precedent, or agreement these
27 documents become public property. All such documents or records

1 shall be made accessible to City. Engineer shall maintain all
2 records for inspection by the City, state, or their duly authorized
3 representatives for a period of three (3) years after final
4 payment. Engineer shall stamp and sign all reports and test
5 results, consistent with normal industry practice, and engineering
6 data furnished, and, where appropriate, indicate registration
7 number.
8 15. CONSTRUCTION COST ESTIMATES
9 A. Any opinion of the construction cost related to
10 compliance with test results and recommendations prepared by
11 Engineer represents his judgment as a design professional and is
12 supplied for the general guidance of the city. Since Engineer has
13 no control over the cost of labor and material, or over competitive
14 bidding or market conditions, Engineer does not guarantee the
15 accuracy of such opinions as compared to contractor bids or actual
16 cost to the City.
17 16. COVENANT AGAINST CONTINGENT FEE
18 Engineer warrants that no person or selling agency has been
19 employed or retained to solicit or secure this Agreement upon an
20 agreement or understanding for a commission, percentage, brokerage,
21 or contingent fee, excepting bona fide employees or bona fide
22 established commercial or selling agencies maintained by the
23 Engineer for the purpose of securing business. For breach or
24 violation of this warranty, City shall have the right to terminate
25 this Agreement in accordance with the clause permitting termination
26 for cause and, at its sole discretion, to deduct from the Agreement

1 price or consideration, or otherwise recover, the full amount of
2 such commission, percentage, brokerage or contingent fee.
3 17. HOLD HARMLESS CLAUSE
4 A. Engineer hereby agrees to hold City, its elective, and
5 appointive boards, officers, and employees, harmless from any
6 liability for damage or claims for damage for personal injury
7 including death, as well as from claims for property damage, to the
8 extent such are proximately caused by Engineer's negligent acts,
9 errors or omissions under this Agreement.
10 B. Engineer shall indemnify, defend and hold free and
11 harmless the City, its officers, and its employees from all claims,
12 damages, costs, expenses, and liability, including, but not limited
13 to, attorney's fees imposed upon them for any alleged infringement
14 of patent rights or copyrights of any person or persons in
15 consequence of the use by City, its officers, employees, agents,
16 and other duly authorized representatives, of programs or processes
17 supplied to City by Engineer under this Agreement.
18 C. The prevailing party in any legal action to enforce or
19 interpret any provisions of this Agreement will be entitled to
20 recover from the losing party all reasonable attorneys' fees, court
21 costs, and necessary disbursements in connection with that action.
22 The costs, salary, and expense of the City Attorney, and members of
23 his office, in connection with that action shall be considered as
24 attorneys' fees for the purposes of this Agreement.
25 18. INDEMNITY
26 A. Engineer shall indemnify, defend and hold harmless City
27 from and against any and all claims, demands, suits, actions,

1 proceedings, judgments, losses, damages, injuries, penalties,
2 costs, expenses (including reasonable attorney's fees), and
3 liabilities, of, by, or with respect to third parties, which arise
4 solely from Engineer's negligent performance of services under this
5 Agreement. Engineer shall not be responsible for, and City shall
6 indemnify, defend, and hold harmless Engineer from and against, any
7 and all claims, demands, suits, actions, proceedings, judgments,
8 losses, damages, injuries, penalties, costs, expenses (including
9 reasonable attorney's fees) and liabilities of, by, or with respect
10 to third parties, which arise solely from the City's negligence.
11 with respect to any and all claims, demands, suits, actions,
12 proceedings, judgments, losses, damages, injuries, penalties,
13 costs, expenses (including reasonable attorney's fees) and
14 liabilities of, by or with respect to third parties, which arise
15 from the joint or concurrent negligence of Engineer and city, each
16 party shall assume responsibility in proportion to the degree of
17 its respective fault.
18 B. Neither party hereto shall be responsible for special,
19 incidental, or consequential damages, except to the extent that
20 such damages are awarded in an action by a third party, other than
21 the Contractor on the Project, against the CITY and arise out of
22 ENGINEER's negligent acts, errors, or omissions.
23 19. LIABILITY/INSURANCE
24 A. Engineer'S liability insurance for injury or damage to
25 persons or property arising out of work for which legal liability
26 may be found to rest upon Engineer other than for professional
27 errors and omissions, shall be a minimum of $1,000,000. For any

1 20. VALIDITY
2 Should any provision herein be found or deemed to be invalid,
3 this Agreement shall be construed as not containing such provision,
4 and all other provisions which are otherwise lawful shall remain in
5 full force and affect, and to this end the provisions of this
6 Agreement are declared to be severable.
7 21. ENTIRE AGREEMENT
8 This Agreement represents the entire and integrated agreement
9 between the parties hereto and supersedes all prior and
10 contemporaneous negotiations, representations, understandings, and
11 agreements, whether written or oral, with respect to the subject
12 matter thereof. This Agreement may be amended only by written
13 instrument signed by both parties.

1 damage on account of any error, omission, or other professional
2 negligence, Engineer's insurance shall be limited in a sum not to
3 exceed $50,000 or Engineer's fee, whichever is greater.
4 B. The City will require the Engineer to provide Workers
5 Compensation and comprehensive general liability insurance,
6 including completed operations and contractual liability, with
7 coverage sufficient to insure the Engineer's indemnity, as above
8 required: and, such insurance will include the city, the Engineer,
9 their consultants, and each of their officers, agents and employees
10 as additional insureds.
11 C. Engineer shall provide evidence of insurance in the form
12 of a policYlcertification of insurance or other acceptable
13 evidence, in which the city is named as an additional named insured
14 (except on Worker's Comp) to the extent of the coverage required by
15 this Agreement.
16 D. Notwithstanding anything to the contrary herein, the
17 Engineer and its subconsultants and specialty consultants shall
18 have no responsibility for the discovery, presence, handling,
19 removal, disposal of or exposure of persons to hazardous materials
20 in any form at the different sites of the Project including, but
21 not limited to asbestos, asbestos products, polychlorinated
22 biphenyl (pcb) or other toxic substances except for any such
23 substances brought to the site by the Engineer or subconsultants or
24 used by same in the performance of their work or as provided for in
25 this agreement.

Dear Mr. Hardgrave:
Thank you for the opportunity to submit this proposal to perform the geotechnical and materials
testing services for the subject project. As you are aware, the Geotechnical/Geologic Investigation
report for the project was prepared by c.R.J., Incorporated, report dated April 27, 1993, Job No.
92974-3.
As we understand it, the proposed roadway extension will extend between Arrowhead Avenue and
Tippecanoe A venue in the City of San Bernardino, California. As part of this roadway extension,
two bridges will be constructed across Twin Creek Channel and the Santa Ana River.
C.H.J.'s EXPERIENCE
General Exoerience:
C.H.J., Incorporated provides full geotechnical engineering, including engineering geology and
environmental engineering, as well as special inspection and construction material testing, from our
principal office in Colton, California. C.H.J., Incorporated as a firm consists of 58 employees,
including four Professional Civil Engineers, two of whom are also Professional Geotechnical
SOILS ENGINEERING. GEOLOGY. ENVIRONMENTAL. MATERIALS TESTING & EVALUATION. CONSTRUCTION INSPECTION

Engineers, one Professional Quality Control Engineer, three Registered Geologists, two of whom
are also Certified Engineering Geologists and one a Certified Hydrogeologist, three Engineers-in-
Training, a Registered Environmental Assessor, as well as staff geologists, staff engineers, field
technicians, and Registered Deputy Building Inspectors.

In addition to previous projects, we are currently involved with several Caltrans projects within the
Southern California area. The current projects consist of Quality Assurance/Quality Control
consultation of roadway improvements. We, to assure our complete understanding of Caltrans
specifications, have recently hired two retired Caltrans employees with extensive experience on
roadway improvements. With this current understanding of the Caltrans specifications, it is our
opinion that C.H.J., Incorporated will provide the most up to date testing services required by
Caltrans. We have provided within Attachment "A" a list of previous as well as current Caltrans
projects.
LIST OF PERSONNEL
Provided within Attachment "B" is a complete list of personnel, which indicates each persons
experience, certifications and academic background. Included are technicians who possess Caltrans
certifications for the performance of soils, concrete and asphalt concrete testing. The point of
contact for this project will be our Senior Staff Engineer Paul Roppo under the direction of our
Principal Engineer Robert Johnson.
CONSULTANTS
Any coring operation will be conducted by Malone Construction under direction of this firm. We
have worked with Malone Construction for years, and have come to rely on the same commitment
to quality that we provide to our clients.
SCOPE OF WORK
As indicated within the Request for Proposal the scope of work (routine testing) required should
at a minimum include the following.

1. Conduct asphalt concrete compaction and extraction and gradation testing.

I. Sample concrete cylinder at the site (minimum 3 cylinders per test).
2. Cure, store and test samples at 3, 7 or 21 day breaks. Only one break is required
if the samples meet the specified strength after the first test.
3. Conduct concrete coring.
4. Provide results of testing in report form.
Pile Drivinl! Observations:
1. Perform pile driving observations and record blow counts, tip elevations, length of
pile installed and pile capacity.
2. Provide results of observation in a report form.
Other Services:
Other services that may be requested include engineering geology consultation, additional
foundation analysis, environmental considerations, as well as, additional laboratory testing.
. COST SCHEDULE
Provided within Attachment "C" it is our proposed unit cost for routine services as indicated within
the Request for Proposal. The unit costs include travel time, equipment, reports, clerical support,
and all staff engineering time. In the case of the unit cost for compaction testing, this also includes
the cost for the optimum moisture-maximum density determination.

As indicated on the Request for Proposal, it is our understanding that the estimated quantities
provided are for comparison purposes only and mayor may not reflect the actual quantity of tests
required. It is also our understanding that requirements of the selected firm be able to respond
within 30 minutes or less, that any standby time will be limited to not more than 30 minutes and
no additional compensation shall be made for mileage. Neither one of these requirements would
effect C.H.J., Incorporated, due in most part to are close proximity to the project.
