BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY
OF SAN BERNARDINO AS FOLLOWS:
SECTION 1.
The City of San Bernardino's office auto-
mation system can no longer meet the City's growing
office automation needs. The City's CAD and RMS systems
software is 11 years old and can no longer meet the
needs of the City. The mayor is authorized to enter into
an agreement with Spire Technologies, Inc. to provide the
City with new CAD and RMS hardware and software, and to
provide the City with new office automation hardware and
software as provided for in the agreement between Spire
Technologies and the City of San Bernardino. The cost of
the project is $ 2,687,356.
SECTION 2.
The City Finance Director is authorized to
use City Hall refinancing bond issue funds in the amount
of $ 2,687.356. to fund the agreement between Spire
Technologies and the City of San Bernardino for a City
Network Upgrade.

SERVICES AGREEMENT B
SERVICES AGREEMENT
THIS AGREEMENT is entered into this 511 day odu~ ' 19!U, between
Spire Technologie~"CONTRACTOR") and the CITY OF SAN BERNARDINO ("CITY").
WITNESSETH:
A. WHEREAS,CITYhasneedfor a network upgrade project within
the City; and,
B. WHEREAS, CONTRACTOR is competent, experienced and able to perform said
services; and,
C. WHEREAS, CONTRACTOR has provided the lowest responsible bid for providing such
services;
NOW THEREFORE, the parties hereto agree as follows:
I. CONTRACTOR shall furnish
network upqrade
services to CITY in
accordance with Bid Specifications F- 97 1 e
2. Over the term of this Agreement, CONTRACTOR shall be paid for such services an
amount in accordance with actual services rendered and equipment purchased.
3. CONTRACTOR shall provide the
MIS
Department with a monthly
invoice in arrears and shall be provided payment within thirty (30) days therefrom. CITY retains the
right to challenge all or any part of an invoice.
4. CONTRACTOR shall indemnifY, defend and hold CITY, its officers, employees and agents
harmless from any claim, demand, liability, suit, judgment or expenses (including, without limitation,
reasonable costs of defense) arising out of or related to CONTRACTOR'S performance of this agreement,
except that such duty to indemnifY. defend and hold harmless shall not apply where injury to person or
property is caused by CITY'S willful misconduct or sole negligence.

5. While not restricting or limiting the foregoing, during the tenn of this Agreement,
contractor shall maintain in effect policies of comprehensive public, general and automobile liability
insurance, in the amount of$l,ooo,OOO.OO combined single limit, and statutory worker's compensation
coverage, and shall file copies of said policies with the CITY'S Risk Manager prior to any work under this
Agreement.
6. CONTRACTOR shall perfonn work tasks as directed by the MIS
Department, but for all intents and purposes CONTRACTOR shall be an independent CONTRACTOR
and not an agent or employee of the CITY.
7. In the perfonnance ofthis agreement and in the hiring and recruitment of employees,
CONTRACTOR shall not discriminate on the basis of race, creed, color, religion, sex, physical handicap,
ethnic background or country of origin.
8. Any notice to be given pursuant to this Agreement shall be deposited with the United States
Postal Service, postage prepaid and addressed as follows:
