RESOLUTION NO. 97-237
2 RESOLUTION OF THE CITY OF SAN BERNARDINO AUTHORIZING THE
EXECUTION OF FIRST AMENDMENT TO AGREEMENT WITH NATIONAL PLANT
3 SERVICES, INC. FOR PROFESSIONAL SERVICES RELATIVE TO PROVIDING
SPECIAL MAINTENANCE SERVICES FOR THE CITY'S SEWAGE SYSTEM.

BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE
5 CITY OF SAN BERNARDINO AS FOLLOWS:

SECTION 1.
The Mayor of the City of San Bernardino is
7 hereby authorized and directed to execute, on behalf of said
8 City, the First Amendment to Agreement for Professional Services
9 with National Plant Services, Inc. for special maintenance
10 services for the City's sewage system. A copy of said agreement
11 is attached hereto, marked Exhibit "A" and incorporated herein by
12 reference as fully as though set forth at length.

SECTION 2.
The First Amendment to Agreement shall not
14 take effect until fully signed and executed by both parties. The
15 City shall not be obligated hereunder unless and until the
16 agreement is fully executed and no oral agreement relating
17 thereto shall be implied or authorized.

SECTION 3.
This resolution is rescinded if the parties
19 to the agreement fail to execute it wi thin ninety (90) days of
20 the passage of this resolution.

FIRST AMENDMENT TO AGREEMENT
This First Amendnent to the Agreement for Professional
Services, made and entered into this 511 day of t2wttd ,
19 Q'1 , by and between the City of San Bernardino, a Municipal
Corporation, 300 North "D" Street, San Bernardino, California
92418 (City) and NATIONAL PLANT SERVICES, INC., with mailing
address of 1461 Harbor Avenue, Long Beach, California 90813-2741
(Contractor) .
RECITALS
WHEREAS, the parties hereto entered into that certain
Agreement dated July 1, 1996, relating to the provision of sewer
maintenance services throughout the City; and
WHEREAS, the Agreement provides that the term may be
extended for two one-year extensions by mutual consent; and
WHEREAS, the parties desire now to amend said Agreement
to extend the term of the Agreement for a period of one year,
from 7-01-97 to 6-30-98.
NOW, THEREFORE, the parties agree, as follows:
A. The Contract shall be extended for one year from
July 1, 1997, to June 30, 1998, at no increase in the unit
prices.
B. Except as amended by the First Amendment to
Agreement and as amended herein, all other terms, specifications
and conditions of the original agreement shall remain unchanged
and in full force and effect.
