RESOLUTION OF THE MAYOR AND COMMON COUNCIL OF THE CITY
OF SAN BERNARDINO, CALIFORNIA, APPROVING THE TRANSFER
OF ORANGEWOOD MOBILE ESTATES FROM THE REDEVELOPMENT
AGENCY OF THE CITY OF SAN BERNARDINO TO THE SAN
BERNARDINO MOBILEHOME PARK CORPORATION
WHEREAS, the City of San Bernardino is a municipal
corporation and charter city (the "City") duly organized and
existing pursuant to the Constitution and laws of the State of
California; and
WHEREAS, the Redevelopment Agency of the City of San
12 Bernardino (the "Agency") is a public body, corporate and

politic, duly created and existing pursuant to the Community
Redevelopment Law (California Health and Safety Code Section
33000, tl ~.) (the "Act"); and
WHEREAS, the Mobilehome Park Conversion Program (the
"Program") was established by the Agency in December 1993, to
increase the availability of housing within the City to low- and
moderate-income persons by causing the transfer of certain
mobilehome parks located within the City from private owners to
23 California nonprofit corporations formed for each mobilehome
24 park; and

WHEREAS, pursuant to the Program, The San Bernardino
27 Mobilehome Park Corporation (the "Corporation") was formed as a

California nonprofit corporation to oversee the operations and
management of the individual California nonprofit corporations
formed for each mobilehome park; and
WHEREAS, in accordance with the Program, on June 29,
1995, the Agency acquired a mobilehome park corrnnonly known as
Orangewood Mobile Estates located at 2160 W. Rialto Avenue in San
Bernardino, California (the "Park"); and
WHEREAS, the Park was financed by the Agency with: (i)
proceeds of the $3,255,000 San Bernardino Joint Powers Financing
Authority, Multifamily Housing Revenue Bonds (Orangewood Mobile
Estates Project) Series 1995 (the "Bonds") and (ii) funds
received pursuant to the HOME Investment Partnerships Program
("HOME Funds") established under the HOME Investment Partnerships
Act (42 USC Section 12701, et ~); and
WHEREAS, the Agency desires, at this time, to transfer
the Park to the Corporation at an estimated transfer price of
Three Million Seven Hundred Fifty-Eight Thousand Six Hundred
Twenty-Five ($3,758,625.00); and
WHEREAS, the final transfer price of the Park will be
based upon the following formula: (i) Bond debt assumed by the
Agency, plus (ii) expenses incurred by the Agency during the

Agency's ownership of the Park (the "Unreimbursed Expenses"),
plus (iii) unpaid fees to Brooks M. London (the "Conversion
Consultant"); and
WHEREAS, the Mayor and Common Council have duly noticed
and conducted a public hearing in accordance with the
requirements of California Health and Safety Code Section 33431
regarding the transfer of the Park to the Corporation; and
WHEREAS, the Mayor and Common Council have considered
the terms of the transfer of the Park as contemplated herein and,
in the public interests of the City, desire, at this time, to
approve the terms of said transfer and the related documents
necessary to effectuate the transfer of the Park to the
Corporation.
NOW, THEREFORE, THE MAYOR AND COMMON COUNCIL OF THE
CITY OF SAN BERNARDINO, CALIFORNIA, DOES HEREBY RESOLVE,
DETERMINE AND ORDER AS FOLLOWS:
SECTION 1. Recitals. The Recitals contained herein
are true and correct and are incorporated herein by this
reference.

SECTION 2. Determinations. The Mayor and Common
Council hereby find and determine that the transfer of title of
the Park to the Corporation will result in significant public
benefits by enabling the Agency to increase the availability of
low- and moderate income housing within the City.
SECTION 3. Public Hearina. The City has held a
public hearing in accordance with the provisions of Health and
Safety Code Section 33431, and has considered all testimony and
comments submitted in connection with the transfer of title from
the Agency to the Corporation.
SECTION 4. ADDroval of Transfer. After
consideration of comments received at the public hearing, the
Mayor and Common Council hereby authorize and approve the
transfer of the Park to the Corporation in furtherance of the
Agency's Program for the purpose of increasing low- and moderate-
income housing within the City. The estimated transfer price is
Three Million Seven Hundred Fifty-Eight Thousand Six Hundred
Twenty-Five ($3,758,625.00). Payment of the above sum is based
upon final determination and assumption by the Corporation of the
existing Bond indebtedness, Unreimbursed Expenses and other
obligations as set forth above.

SECTION 5. Official Action. The Mayor and Common
Council, City Administrator, City Treasurer, City Clerk, and any
and all other officers of the City are hereby authorized and
directed, for and in the name of and on behalf of the City, to do
any and all things and to take any and all actions, including
execution and delivery of any and all assignments, certificates,
requisitions, agreements, notices, consents, warrants and other
documents deemed necessary or appropriate to transfer title to
the Park from the Agency to the Corporation.
