SEcnON 1.
The Mayor of the City of San Bernardino is hereby authorized
9 and directed to execute on behalf of said City an Agreement with STURGES ACADEMY,
10 a copy of which is attached hereto marked Exhibit "A"
11 and incorporated herein by reference as fully as though set forth at length.

SEcnON 2.
The authorization to execute the above referenced agreement

is rescinded if the parties to the agreement fail to execute it within sixty (60) days of the

7 The parties agree as follows:
8 1. Recitals.
9 A. Organization has requested financial assistance from
10 ity for the fiscal year 1998-99, in order to assist in defraying
11 he expense of certain concerts, shows, festivals, or events or
12 ctivities sponsored by Organization as set forth in Organization's
13 rant proposal (hereinafter "the proposal") approved by the Fine
14 rts Commission of the City. A copy of said proposal is on file in
15 the Mayor's Office of Cultural Affairs. The terms of the proposal
16 are incorporated herein by reference and shall govern the uses of
17 the funds provided herein. The financial assistance provided for
18 in this agreement is made on a one-time only basis, and receipt of
19 said funds shall not imply a continuing obligation of the City
20 beyond the terms of this Agreement.
21 B. The expenditure is for a valid municipal public
22 purpose, to wit: for the promotion of art appreciation in San
23 Bernardino, as more fully set forth in the proposal submitted by
24 Organization.
25 2. Payment. Upon presentation of a claim to the Mayor's
26 Office, City shall pay to Organization from the

TURGES ACADEMY, a non-profit organization, referred to as

udget for the 1998-99 fiscal year, the total sum of $5,500
ollars, to cover the costs per the Fine Arts grant application

Use of Funds. The funds paid to Organization shall be
sed solely for the purposes set forth in Paragraph 1 and in strict
ompliance with the provisions set forth in the agreement. No
eviation from the agreement shall be made without the express
pproval of the City of San Bernardino.
Said funds shall be
xpended by June 30, 1999, and any unexpended funds shall be
eturned to City by Organization.
4.
Accountinq.
Within 20 days after the completion of the
vent, the Organization shall submit to the Mayor's Office, with a

copy to the Director of Finance, an accounting of the actual

expenditures connected with said event as it relates to the funds
17
provided by the City.

easily trace the expenditures of the funds. All books and records
of Organization

to be kept open for inspection at any time

Failure to submit the financial records in accordance with this
section will result in the Organization reimbursing the City.

Hold Harmless. Organization covenants and agrees to
defend, indemnify, and hold harmless the City and its employees and

Payments hereunder are made with the understanding that
he City is not involved in the performance of services or other

Termination.
City shall have the right to terminate

this Agreement and any funding remaining unpaid hereunder for any

reason by mailing a ten-day written notice to Organization and this

shall terminate ten days after the mailing of such
otice.
In the event this Agreement is terminated for reasons of
16
improper use of funds or use of funds for any purpose other than
17
those authorized, any unexpended portion of the funds provided by
18
City shall be returned to City.
In addition, Organization shall

reimburse to City any funds expended which were used for any

urposes other than those authorized under this Agreement.
7.
Assiqnment.
Organization shall not assign its interest
in this Agreement without the prior written approval of City.
8.
Insurance.
Organization shall take out and maintain
during the life of this Agreement such public liability and
property damage insurance as shall insure City, its elective and
appointive boards, commissions, officers,

injury, including death, as well as from claims for property damage

an amount not less than $100,000 on account of anyone occurrence;
(b) Property Damage Insurance. In an amount of not less than
$50,000 for damage to the property of each person on account of any
one occurrence.
(c) Workers Compensation. Organization shall provide workers
compensation insurance in the amount required by state law if the
funds provided hereunder are to be paid as salary to any employee
of Organization.
Organization shall require that all rights of
subrogation under such policy of workers compensation insurance
shall be waived as to City.
City shall be set forth as an
additional named insured in each policy of insL'rance provided
hereunder.
(d) The Certificate of Insurance furnished to the City shall
require the insurer to notify the City of any change or termination
in the policy.

9.
Obliqation.
Organization hereby covenants that it has
aken all actions necessary to make the adherence to the
bligations imposed by this agreement a binding obligation of the

11. Entire Aqreement.
This Agreement and any documents or
15 instruments attached hereto or referred to herein integrate all

terms and conditions mentioned herein or incidental hereto, and
supersede all negotiations and prior writing in respect to the
subject matter hereof. In the event of conflict between the terms,
conditions or provisions of this Agreement, and an,' such document
or instrument,
the terms and conditions of this Agreement shall

prevail.

V. Project Descriptions:
Sturges Academy proposes ~'summer academy for Children which would focus on
training young people in the area schools the art and craft of theater. The emphasis
will be on stage production, acting, dancing, music, tecnical skills and
performance. This is an area of the educational development of the area that
is lacking and will greating increase the involvement in the fine arts by the
children and their parents.

VII. Need Scatement:
The area of San Bernardino is in need of a training academy for children in the
lower economic areas of the city. This Struges Academy will provide training for
the children in all areas of theater which will involve them and their parents in
the fine arts life of the City of San Bernardino.

The goal of the academy will be to train 150 young people of various ethnic backgraoL
the basic rud~...cnts of the theater production and performance. The intended result
is for these 150 children to present a theater production to the community.

XII. Future objectives:
As availability of city funds will be increasingly restricted in the
foreseeable future, how does your organization propose to become more
self-sufficient?
Sturges Academy for the Fine Arts anticipates that after the academy has been
established and running for one year, we will be able to attract a larger number of
community and greater community supporters. We anticipate that in the first year
this number will be limited, but should grow as the academy is known in the
City of San Bernardino.

Sturges Center for the Fine Arts is a refurbished, historical, midisized theater,
located in histroic downtown San Bernardino, dedicated to promoting cultural
awareness in the local communities. Sturges Center is committed to quality
programming in the musical, theatrical, artistic and educational fields. Sturges
Center is dediated to encouraging the arts for youth in the diverse community
for the present and the future.
