Penman, 24 City ttorney 25 ~ 26 27 28 September 22, 1998 2 . 98-288 1 AGREEMENT 2 Fine Arts Fundinq 3 THIS AGREEMENT is entered into between the CITY OF SAN 4 ERNARDINO, a municipal corporation, referred to as "City" and the 5 TAGE ONE PLAYERS, a non-profit organization, referred to as 6 'Organization." 7 The parties agree as follows: 8 1. Recitals. 9 A. Organization has requested financial assistance from 10 ity for the fiscal year 1998-99, in order to assist in defraying 11 he expense of certain concerts, shows, festivals, or events or 12 ctivities sponsored by Organization as set forth in Organization's 13 rant proposal (hereinafter "the proposal") approved by the Fine 14 rts Commission of the City. A copy of said proposal is on file in 15 the Mayor's Office of Cultural Affairs. The terms of the proposal 16 are incorporated herein by reference and shall govern the uses of 17 the funds provided herein. The financial assistance provided for 18 in this agreement is made on a one-time only basis, and receipt of 19 said funds shall not imply a continuing obligation of the City 20 eyond the terms of this Agreement. 21 B. The expenditure is for a valid municipal public 22 purpose, to wit: for the promotion of art appreciation in San 23 Bernardino, as more fully set forth in the proposal submitted by 24 Organization. 25 2. Pavment. Use of Funds. The funds paid to Organization shall be sed solely for the purposes set forth in Paragraph 1 and in strict ompliance with the provisions set forth in the agreement. No eviation from the agreement shall be made without the express pproval of the City of San Bernardino. Said funds shall be xpended by June 30, 1999, and any unexpended funds shall be eturned to City by Organization. 4. Accountinq. Within 20 days after the completion of the vent, the Organization shall submit to the Mayor's Office, with a copy to the Director of Finance, an accounting of the actual 16 expenditures connected with said event as it relates to the funds 17 18 19 20 21 22 23 24 25 26 27 28 provided by the City. Financial records shall be in accordance with generally accepted accounting rinciples by Organization in such manner as to permit City to easily trace the expenditures of the funds. All books and records of Organization are to be kept open for inspection at any time during the business day by the City or its officers or agents. Failure to submit the financial records in accordance with this section will result in the Organization reimbursing the City. 5. Hold Harmless. Payments hereunder are made with the understanding that he City is not involved in the performance of services or other ctivities of Organization. Organization and its employees and gents are independent contractors and are not employees or agents f the City in performing said services. 6. Termination. City shall have the right to terminate his Agreement and any funding remaining unpaid hereunder for any eason by mailing a ten-day written notice to Organization and this greement shall terminate ten days after the mailing of such otice. In the event this Agreement is terminated for reasons of improper use of funds or use of funds for any purpose other than those authorized, any unexpended portion of the funds provided by City shall be returned to City. In addition, Organization shall reimburse to City any funds expended which were used for any other than those authorized under this Agreement. Assiqnment. In an amount not less than $1,000,000 for injuries, including, but not limited to, death, to ny one person, and subject to the same limit for each person, in n amount not less than $100,000 on account of anyone occurrence; (b) Property Damage Insurance. In an amount of not less than $50,000 for damage to the property of each person on account of any one occurrence. (c) Workers Compensation. Organization shall provide workers compensation insurance in the amount required by state law if the funds provided hereunder are to be paid as salary to any employee of Organization. This Agreement and any documents or instruments attached hereto or referred to herein integrate all terms and conditions mentioned herein or incidental hereto, and supersede all negotiations and prior writing in respect to the subject matter hereof. In the event of conflict between the terms, conditions or provisions of this Agreement, and any such document or instrument, the terms and conditions of this Agreement shall prevail. 12. Non-Discrimination. Organization agrees that for the term of this Agreement it shall not discriminate in employment, recruitment, hiring, admission practices, advertising or in any other manner on the basis of race, color, creed, religion, national origin, sex, physical handicap, or marital status. Need Statement: Stage One Players is a not for profit organization conuuittcd to providing an educational yet entertaining theater experience to the public. The Company provides classical and renowned work that are affordable to low incomes especially seniors, students and school children as well as educational workshops on school campuses. As San Bernardino's only resident theater company Stage One players strives to fill a cultural void providing quality productions at little or no cost to it's audiences. =========================================================================== VIII. Provide a brief history/background of the organization: 111e almual Shakespeare Festival was initiated in July, 1993. Stage One Players joined efforts with Main Street. inc. to provide an outdoor festival atmosphere at Court Street Square in order to dctcnnine whether or not there was a market for this type of theatre. The fIrst festival featured" A Midswmner Night's Dream" and "The Taming of the Shrew". It was considered quite successful. We had no budget and all production costs were born by company members. Each year we have grO\Vl1 toward independence. We have continued our relationship with Main Street, and have worked with additional sponsors in San Bernardino including: The Raddison Hotel, Carousel Mall, Harris' Department Stores, Home Depot, Cal State San Bernardino. We have also been fortnnate enough to obtain grants from the City of San Bernardino and some outside funds, however, there are still expenses that some company members have to pull from out of their pockets. We are recognizing the need to put more money into advertising and building our own stock supplies. Last season Harris' allowed us to us to borrow furniture for our spring show. The CLO gave us set pieces. This year we built our own stock set and light board for company use. In prior years we were forced to use surge suppressors. The new light board allows us to create more professionallighting effects. We are continuing to reap the benefits of being here for six years, but we need a boost to reach the next level of self sufficiency.
