The parties agree as follows: 1. Recitals. A. Organization has requested financial assistance fro City for the fiscal year 1998-99, in order to assist in defrayin the expense of certain concerts, shows, festivals, or events 0 activities sponsored by Organization as set forth in Organization' grant proposal (hereinafter "the proposal") approved by the Fin Arts Commission of the City. A copy of said proposal is on file i the Mayor's Office of Cultural Affairs. The terms of the proposa are incorporated herein by reference and shall govern the uses 0 the funds provided herein. The financial assistance provided fo in this agreement is made on a one-time only basis, and receipt 0 said funds shall not imply a continuing obligation of the Cit beyond the terms of this Agreement. B. The expenditure is for a valid municipal publi purpose, to wit: for the promotion of art appreciation in Sa Bernardino, as more fully set forth in the proposal submitted b Organization. 2. Payment. Use of Funds. The funds paid to Organization shall b used solely for the purposes set forth in Paragraph 1 and in stric compliance with the provisions set forth in the agreement. deviation from the agreement shall be made without the expres approval of the City of San Bernardino. Said funds shall b expended by June 30, 1999, and any unexpended funds shall b returned to City by Organization. 4. Accountino. Within 20 days after the completion of th expenditures connected with said event as it relates to event, the Organization shall submit to the Mayor's Office, with copy to the Director of Finance, an accounting of the which were provided by the City. Financial records maintained in accordance with generally accepted account in principles by Organization in such manner as to permit City t easily trace the expenditures of the funds. All books and record of Organization are to be kept open for inspection at any tim during the business day by the City or its officers or agents. Failure to submit the financial records in accordance with thi section will result in the Organization reimbursing the City. 5 . Hold Harmless. City shall have the right to terminat this Agreement and any funding remaining unpaid hereunder for an reason by mailing a ten-day written notice to Organization and thi agreement shall terminate ten days after the mailing of suc notice. In the event this Agreement is terminated for reasons 0 improper use of funds or use of funds for any purpose other tha those authorized, any unexpended portion of the funds provided b City shall be returned to City. In addition, Organization shal reimburse to City any funds expended which were used for an purposes other than those authorized under this Agreement. 7. Assionment. Organization shall not assign its interes in this Agreement without the prior written approval of City. 8. Insurance. In an amount not less th $1,000,000 for injuries, including, but not limited to, death, anyone person, and subject to the same limit for each person, an amount not less than $100,000 on account of anyone (b) Property Damage Insurance. In an amount of not less tha $50,000 for damage to the property of each person on account of a one occurrence. (c) Workers Compensation. Organization shall provide worker compensation insurance in the amount required by state law if th funds provided hereunder are to be paid as salary to any employe of Organization. Organization shall require that all rights 0 subrogation under such policy of workers compensation insuranc shall be waived as to City. City shall be set forth as a additional named insured in each policy of insurance provide hereunder. OUR PROGRAMS LIFT THE CULTURAL LEVEL OF THE AREA AND SATISFY THE NEEDS OF PEOPLE TO SEE AND HEAR THE VERY BEST PERFORMERS WITHOUT TRAVELING TO LARGER METROPOLITAN AREAS. =========================================================================== VIII. DURING THE PAST 60 YEARS, THE ASSOCIATION HAS BROUGHT MANY FAMOUS NATIONAL AND INTERNATIONAL PERFORMERS TO THE COMMUNITY. ISAAC STERN,VIENNA BOYS CHOIR, ROBERTA PETERS AND TIlE LOS ANGELES PHILHARMONIC ORCHESTRA PERFORMED FOR US IN THE EARLY YEARS AND RECENTLY WE HAVE BEEN HORORED TO HAVE SUCH INTERNATIONALLY KNOWN STARS AS THE SLOVAK SINFONIETTA, THE NEW YORK THEATRE BALLET , THE CENTRAL BAND OF TIlE ROYAL AIR FORCE AND THIS SEASON WE WILL PRESENT "RHYTHM IN SHOES", WITH THE VERY POPULAR IRISH STEP DANCE GROUP. OUR "MUSIC EDUCATION" PERFORMANCES FOR CHILDREN HAVE BEEN AND CONTINUE TO BE IN GREAT DEMAND IN ORDER FOR YOUNG PEOPLE TO BE EXPOSED TO THE ARTS.
