The Director of Parks , Recreation and Community Services Department 8 of the City of San Bernardino is hereby authorized to execute on behalf of said City an 9 Agreement with Urban League of Riverside and San Bernardino Counties relating to training 10 related work experience for students, a copy of which is attached hereto, marked Exhibit "A" 11 and incorporated herein by reference as fully as though set forth at length. 12 13 14 further effect if the agreement is not executed by both parties and returned to the Office of 15 16 17 SECTION 2. The authorization granted hereunder shall expire and be void and of no the City Clerk within 60 days following effective date of the Resolution. PARTIES INVOLVED This Agreement is between the City of San Bernardino Parks, Recreation and Community Services Department and Urban League of Riverside and San Bernardino Counties. It is agreed and understood by both parties that the City of San Bernardino Parks, Recreation and Community Services Department will provide work sites for the participants of the Urban League of Riverside and San Bernardino Counties. The Parks, Recreation and Community Services Department has been authorized to receive up to 25 participants. The number of participants and work period will be determined by agreement of the Parks, Recreation and Community Services Department and the Urban League of Riverside and San Bernardino Counties. II. FURTHER AGREED That the Parks, Recreation and Community Services Department will provide useful, work site training experiences consistent with the participants' capabilities. The Parks, Recreation and Community Services Department will provide supervision and direction to the participating youth. There shall be no reimbursement or compensation on the part of the Parks, Recreation and Community Services Department, either in wages or benefits of any kind. Workers Compensation payments shall be the responsibility of the Urban League of Riverside and San Bernardino Counties. The City shall not assume any administrative cost of program sponsorship except those incurred by itself in providing for planning, monitoring or supervision. III. PROGRAM COMPONENTS Accurate time and attendance records will be kept in conjunction with the supervising staff provided by the Urban League of Riverside and San Bernardino Counties. The work areas for each participant will be selected by the Park, Recreation and Community Services Department upon the contingent agreement of the Urban League of Riverside and San Bernardino Counties. Hours worked by participants will not exceed 25 hours per week. Should an Urban League of Riverside and San Bernardino Counties student participant display inappropriate behavior or fail to perform in a satisfactory manner, the site supervisor or manager may excuse the participants from the program. Urban League of Riverside and San Bernardino Counties agrees to be responsible for the financial reimbursement of the participants on a bi-monthly basis including processing of time sheets and paychecks. -1- , 98-242. ,. ,Urban League of Rive~side and San Bernardino Counties agrees to respond as needed to emergencies or site meetings as requested by the Parks, Recreation and Community Services Department. IV. HOLD HARMLESS Urban League of Riverside and San Bemrdino Counties shall defend, indemnify and hold City, its officers, agents and employees harmless from and against any and all liability , loss, expense (including reasonable attorney fees) or claims for injury or damages arising out of the performance of this agreement but only in proportion to and to the extent such liability, loss, expense, attorney's fees or claims for injury or damages were caused by or resulted from the negligence or intentional acts or omissions of Urban League of Riverside and San Bernardino Counties, its officials, agents or employees. City shall defend, indemnify and hold Urban League of Riverside and San Bernardino Counties and its officers, agents and employees harmless from and against any and all liability, loss, expense (including reasonable attorney fees) or claims for injury or damages arising out of the performance of this agreement but only in proportion to and to the extent such liability, loss, expense, attorney's fees or claims for injury or damages caused by or resulted from the negligence or intentional acts or omissions of City, its officers, agents or employees. The costs, salary and expenses of the City Attorney and members of his office in enforcing this contract on behalf of the City shall be considered as "attorney's fees" for the purposes of this paragraph. V. LIABILITY INSURANCE The Urban League of Riverside and San Bernardino counties agrees to procure and maintain in force during the term of this agreement, and any extension thereof, at its expense, public liability insurance in companies and through brokers approved by the City, adequate to protect against liability for damage claims arising out of Urban League of Riverside and San Bernardino Counties' operations under this agreement in a minimum amount of one million dollars ($1,000,000) combined single limit. Urban League of Riverside and San Bernardino Counties shall provide to the City's Risk Management Division prior to providing services a Certificate of Insurance and an additional insured endorsement which provides: A. City of San Bernardino is an additional insured. B. The insurance company name, policy number, period of coverage, and amount of insurance. C. That the City Clerk of the City of San Bernardino must be given notice in writing at least thirty days prior to cancellation, material change, or refusal to renew the policy. D. That the Urban League of Riverside and San Bernardino Counties' insurance will be primary to any coverage the city of San Bernardino may have in effect. VI. TERMINATION CONDITIONS Whenever it shall be necessary for either party to give notice to the other, such notices shall be sent to the Director of Parks, Recreation and Community Services Department at the following address: 547 North Sierra Way, San Bernardino, CA 92410, and such notices shall be deemed to be completed five (5) days after. -2- ~----- I 98-242 . ,. ,This agreement may be terminated at any time by giving either party fifteen (15) days written . notice of such action in accordance with the agreement.
