RESOLUTION NO. 1999-296
2 RESOLUTION OF THE CITY OF SAN BERNARDINO DIRECTING AND
3 AUTHORIZING THE EXECUTION OF A SALES AND PURCHASE AGREEMENT
AND THE EXECUTION OF A QUITCLAIM DEED FOR THE SALE OF CITY
4 PROPERTY GENERALLY LOCATED ON THE NORTH SIDE OF GOULD STREET,
WEST OF RICHARDSON STREET IN THE CITY OF SAN BERNARDINO.

6 BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY
OF SAN BERNARDINO AS FOLLOWS:

SECTION 1. That the Mayor of the City of San Bernardino is hereby directed
9 and authorized to execute on behalf of said City, a Sales and Purchase Agreement, a
10 copy of which attached hereto as Exhibit "A", and a Quitclaim Deed, a copy of which is
11 attached hereto as Exhibit "B", for the sale of certain City property located on the north
12
side of Gould Street, west of Richardson Street, in said City, and more fully described in
13
14
detail in said Exhibit "A" and said Exhibit "B".

16 ($25,000), less staff costs, be transferred to the Water Department upon the close of the
17
18
SECTION 2. That sale proceeds in the amount of Twenty Five Thousand Dollars
sale.
SECTION 2. Said Agreement shall be null and void if either party fails to
19
execute the Agreement within sixty (60) days of the date of adoption ofthis Resolution.

SALES AND PURCHASE AGREEMENT
THIS AGREEMENT, executed this 6th day of December . 1999,
By and between the CITY OF SAN BERNARDINO, a municpal corporation ("SELLER") and
CITY OF LOMA LINDA ("BUYER") mutually agree as follows:
1. SELLER, upon payment from BUYER in the amount of Twenty Five Thousand Dollars
($25,000.00), shall deliver unto BUYER an executed Quitclaim Deed for that certain real
property generally located on the north side of Gould Street, West of Richardson Street, in
the City of San Bernardino, ("PROPERTY") commonly known as Assessor's Parcel
Number 01281-122-17, more fully described in Exhibit "A", attached hereto and made a
part hereof.
2. BUYER shall deliver unto SELLER, cash or certified funds in the amount of Twenty Five
Thousand Dollars ($25,000.00), as payment in full for the purchase of said PROPERTY.
3. SELLER is selling said PROPERTY to BUYER and BUYER accepts from SELLER said
PROPERTY in an "as-is" condition, including the existence of any liens and encumbrances
on said PROPERTY.
4. SELLER, the SELLER'S Water Department, their officers, agents or employees, shall not
be liable for control, carriage, handling, use, disposal or distribution of well water
produced by any well on said PROPERTY; nor for claims of damages of any nature
whatsoever, including, but not limited to, property damage, personal injury or death arising
out of or connected with such control, carriage, handling, use, construction, operation,
maintenance of any well on said PROPERTY. Further, BUYER agrees to indemnify,
defend and hold harmless the SELLER, the SELLER'S Water Department, their directors,
officers, agents and employees from any and all damages or claims for damages of any
nature arising out of this Agreement and the actions to be conducted by the BUYER
pursuant to this Agreement.
5. BUYER shall pay all recording fees and title fees, including but not limited to title
insurance.
6. No obligation other than those set forth herein will be recognized.

That portion of the South one-half of Lot I 75, Tract No. 2702, Lorna Linda Ranchos, as
per plat recorded in Book 38 of Maps, Page 7, records of the County Recorder of San
Bernardino County, State of California, described as follows:
Beginning at a point on the South line of said Lot 175, 502 feet East of the Southwest
corner thereof; thence North, a distance of 150 feet; thence East, a distance of 70 feet;
thence South, a distance of 150; thence West, a distance of 70 feet to the Point of
Beginning.
GRANTOR reserves unto itself, an easement for street and highway purposes and appurtenant
facilities, in, over, under and across the Southerly 5 feet of the above described real property.
