RESOLUTION OF THE MAYOR AND COMMON COUNCIL OF THE
CITY OF SAN BERNARDINO APPROVING AN INSTALLMENT
PURCHASE FINANCING TO BE UNDERTAKEN BY THE CALIFORNIA
STATEWIDE COMMUNITIES DEVELOPMENT AUTHORITY TO
BENEFIT CATHOLIC HEALTHCARE WEST OPERATOR OF
COMMUNITY HOSPITAL OF SAN BERNARDINO AND CATHOLIC
HEALTHCARE WEST OF SOUTHERN CALIFORNIA OPERATOR OF
ST. BERNARDINE MEDICAL CENTER

WHEREAS, California Healthcare West (the "Corporation"), Community Hospital of

San Bernardino ("CHSB") and Catholic Healthcare West Southern California (which operates
10
St. Bernardine Medical Center) ("CHWSC" and, together with CHSB, the "Health
11
12
Institutions"), all of which are California nonprofit public benefit corporations, have requested
13
that the California Statewide Communities Development Authority (the "Issuer") participate in
14
an installment purchase financing for the purpose of, among other things, enabling the
15
Corporation and the Health Institutions to finance and/or refinance certain indebtedness and
16
various capital improvements (including real property and items of equipment) and related costs
17
of certain acute health care facilities (the "Facilities") of the Health Institutions located within
18
the City of San Bernardino (the "City") and certain costs with respect thereto; and
19
WHEREAS, to effect such financing, the Issuer and the Health Institutions will enter
20
into installment purchase agreement (the "Purchase AgreemenC), under which the Health
21
Institutions, respectively, will sell certain real property related to the Facilities to the Issuer and
22
the Issuer will agree to make payments (the "Installment Payments") to the Corporation and the
23
Health Institutions for the purchase thereof; and
24

WHEREAS, certificates of participation (the "Certificates") in an aggregate principal
amount not to exceed One Hundred Fifty Million dollars ($150,000,000), each representing a

proportionate undivided interest in the Installment Payments, will be executed, delivered and
sold in connection with the Financing (as defined below); the financing and/or refinancing of
certain indebtedness and various capital improvements (including real property and items of
equipment) and related costs of the Facilities through the execution and delivery of the
Certificates is herein referred to as the "Financing"; and

WHEREAS, pursuant to Section l47(f) of the Internal Revenue Code of 1986 (the

"Code"), the Financing must be approved by the City because the Facilities are located within

the territorial limits of the City; and
WHEREAS, the Mayor and Common Council (the "Council") is the elected legislative
body of the City and is one of the applicable elected representatives required to approve the
Financing under Section 147(f) of the Code; and
WHEREAS, the Issuer has requested that the Mayor and Common Council approve the
Financing in order to satisfy the public approval requirement of Section l47(f) of the Code and
the requirements of Section 9 of the Joint Exercise of Powers Agreement (the "Agreement"),
dated as of June I, 1988, among certain local agencies, including the City; and
WHEREAS, pursuant to Section 147(f) of the Code, the Mayor and Common Council,
following notice duly given, has held a public hearing regarding the Financing and now desires
to approve the Financing.
NOW, THEREFORE, the Mayor and Common Council of the City of San Bernardino
resolves as follows:
Section I. The Mayor and Common Council hereby approves the Financing
described above. It is the purpose and intent of the Mayor and Common Council that this
resolution constitute approval of the Financing for the purposes of (i) Section 147(f) of the

Internal Revenue Code of 1986 as the elected representative of the City of San Bernardino in
which the Facilities are located, and (ii) Section 9 of the Joint Exercise of Powers Agreement
(the "Agreement") dated as of June I, 1998.
Section 2.
The officers of the City are hereby authorized and directed, jointly and
severally, to do any and all things and to execute and deliver any and all documents which they
deem necessary or advisable in order to carry out, give effect to and comply with the terms and
intent of this resolution and the financing transaction approved hereby.
Section 3.
This resolution shall take effect immediately upon its adoption by the
City and the City Clerk shall certify to the vote adopting this resolution.

Dear Maggy:
As we discussed, the Catholic Healthcare West, a non-profit public benefit
organ.ization (the "Applicant"), has submitted to the California Statewide Co=uoities
Development Authority (the '~uthority'? an application (the '~pplication'? for the
firulncing of various health care facilities (the ''Project'? in an amount not to exceed
$140,000,000 of tax-exempt obligations. The Project will be located in the City of San
Betnudino as well as other California jurisdictions. Of the $140,000,000 of ta."'t-exempt
obligations to be issued, the Applicant anticipates that approximately $8,549,000 will be
utilized in the City of San Bernardino. The pU1posc of this letter is to rcqucst the assistance
of the City of San Bernardino in conducting on Monday. October 18 1999 a public hearing
with rcspect to the proposed financing.
As you are awaxe, thc Authority is a joint exercise of powers authority consisting of
numerous California cities, counties and special districts. The Authority pursuant to its
Amended and Restated Joint Exercise of Powers Agreement is authorized to assist in the
financing and refinancing of facilities for non-profit public benefit organizations, including
the Applicant. In order to initiatc such financing, the member participant of the Authority
in which the proposed facilities will be lOCllted must (i) conduct a public hearing and (li)
approve the Authority's issuance of indcbtedness. Therefore, although the Authority will be
the issuer of the tax-exempt obligations for the Applicant, the financing cannot proceed
without the City of San Bernardino's approval of the Authority's issuance of indebtedness.
You will be receiving shortly a letter from Brown & Wood U..P, bond counsel to the
Authority, describing the public hearing process and the requirements under state and federal
laws, including the Tax and Equity Fiscal Responsibility Act (I'EFRA). This letter will also
include for your teview the form of Notice of Public Hearing and the form of City Council
Resolution evidencing the City's approval of the fiuancing. Bond Counsel, at your option,
can coordinarc for you the publication of the Notice and the adoption of the Resolution.

A DETAILED HISTORY OF APPLICANT
Background. Catholic Healthcare West ("CHW"), is a multi-hospital system headquartered in San
Francisco, California that operates 46 hospitals in three states - 44 in California, one in Arizona and One
in Nevada - with a total licensed capacity of approximately 11,800 beds. A list of CHW's hospitals is
provided following this page. CHW is a California nonprofit public benefit coxpoxation sponsored by two
Sisters of Mercy regional communities, based in Burlingame, California and Auburn, California the
Adrian Dominican Sisters, based in Adrian, Michigan (the "Adrian Dominican Sisters"), the Daughtexs of
Charity, based in Los Altos Hills, California (the "Daughters of Charity"), the Sisters of the Third Order
of SI.. Dominic Congregation of the Most Holy Name, based in San Rafael, California (the "San Rafael
Dominican Sisters"), the Sisters of Charity of the Incarnate Word, based in Houston, Te.'GlS (the "Sisters
of Charity, Houston"), and the Congregation of the Dominican Sisters of 51. Catherine of Siena of
Kenosha, Inc., based in Kenosha, Wisconsin (the "Kenosha Dominican Sisters").
CHW was originally formed in December 1986 when two smaller health systems, Mercy Health System
and Mercy Health Care Organization, merged. In 1988, CHW entered into an agreement with the Adrian
Dominican Sisters. Under this agreement, two hospitals sponsored ,by the Adrian Dominican Sisters
became affiliated with CHW, and the Adrian Dominican Sisters were granted membership in CHW.
In 1995, CHW affiliated with the Daughters of Charity National Health System - West ("DCNHS-West"),
whercby the six DCNHS-West hospitals became part of CHW (and the CHW Obligated Group), and the
Daughters of Charity became co-sponsors of CHW_ In 1996, CHW merged eight hospitals into its
Obligated Group including St. Bernardine Medical Center (San Bernardino), St Mary Medical Center
(Long Beach), St. Joseph's Medical Center (Stockton), St. Dominic's Hospital (MlInteca), Sierra Nevada
Memorial Hospital (Grass Valley), Mercy Hospital and Health Services (Merced), Robert F. Kennedy
Medical Center (Hawthorne) and Sequoia Health Services (Redwood City). As a result of these mergers
the San Rafael Dominican Sisters, the Sisters of Charity, Houston and the Kenosha Dominican Sisters
became co-sponsors of CHW. In April 1997, Marian Medical Center (Santa Maria), and St. Francis
Medical Center (Santa Barbara) merged into the CHW Obligated GToup. In October 1997, Saint Francis
Memorial Hospital (San Francisco) joined the CHW Obligated Group. West Side Hospital (Taft) merged
into CHW Central Califomia in July 1998, and San Bernardino Community Hospital (San Bernardino)
merged into CHW Southern California in August 1998. Finally, eight hospitals that were forinerly part of
UoiHealth merged into CHW Southern California in December 1998. These eight hospitals are
California Hospital Medical Center (Los Angeles), Glendale Memorial Hospital and Health Center
(Glendale), La Palma Hospital Medical Center (La Palma), Long Beach Conununity Medical Center
(Long Beach), Martin LU1ber Hospital (Anaheim), Nortbridge Hospital Medical Center (Van Nuys and
Nortbridge), and San Gabriel Valley Medical Center.

B COMPREIl'ENSIVE SUMMARY OF ALL PuBLIC BENEFITS OF FRomer
As a nonprofit corporation, Catholic Healthcare West sets its charges at levels sufficient to cover its
operating expenses and to provide for orderly maintenance and replacement of i~ fixed assets and
equipment. Because of the cost savings in interest expense that CHW can realize with la]r,-exem.pt
financing through the California Statewide Connnunities Development Authority, it will be able to set its
charges at lower levels and still meet its financial requirements. The savings from the lower tax-exempt
interes! rates will in this way be passed along to the Obligated Group Hospitals' patients and the various
public and private third party reimbursement programs,
In addition to passing the savings from ta."'(-exempt financing on to patjents, CHW also provides benefits
to the public in the form of cb3rity care, non billed services, donations, and education and research. For
the fiscal year ended June 30, 1998 these public benefits totaled approximately $177 million. The
following table summarizes CHWs community service during the 1998 fiscal year, in terms of services to
the poor and benefits to the broader community. The summary has been prepared in accordance with the
Catholic Health Association of the United States' policy document, "Social Accountability Budget, a
Process for Planning and Reporting Connnunity Service in a Time of Fiscal Constraint"

BenefilS for the Poor include services provided to persons who cannot afford healthcare because of
inadequate resources andlor who are w1insured or underinsured. Inadequate income is based on each
subordinate corporation's local circumstances.
BenefilS for the Broader Community include services provided to other needy populations that may not
qualify as poor but that need special services and support. Examples include the elderly, substance
abusers, victims of child abuse and persons with AIDS. They also include the cost of health promotion
and education, health clinics and screenings, and medical research, which benefit the broader community.
Traditional Charity Care covers services provided to persons who cannot afford to pay. The l\D1Ouuts
above reflect the cost of these services (based on the subordinate corporations' relationship of costs to
charges) before and after contributions and other revenues received as direct assistance for the provision

and $67,682,000 for the years ended June 30, 1998, 1997 and 1996, respectively.
Unpaid Cost of Public Programs is the cost of treating Medicaid and indigent beneficiaries in excess of
government payments. Cost is based on each subordinate COIpOration's relationship of costs to charges.
Nonbilled Services,include the cost of services for which a patient is not billed or for which a nominal fee
bas been assessed. These are services that are lIot expected to be financially self-supporting. Examples
are free clinic services and meal programs.
Cash and In-Kind Donations are made by each subordinate corporation on behalf of the poor and needy ,
to community agencies and to special systemwide funds used for charitable activities.
Education includes the unpaid cost of training health profeasionals, Such as medical residents, nursing
students and students in allied health professions.
Research includes the unpaid cost of testing medical equipment and controlled studies of therapeutic
protocols.
Low Or Negative Margin Services, included in other community benefits, are services offered because of a
need in the community. They do not include services offered because they create revenues elsewhere.
Total Community Benefit E:tpense is the total cost of community benefits before direct offsetting revenue,
donations or other funds used to defray the cost.
Unsponsored Community Benefit E:tpense is the total cost incurred after direct offsetting revenue, if any,
from patients, donations and other sources.

The proposed 1999 tax-exempt financing tI1rough the CSCDA will be used to finance $137 million in
capital expenditures (incurred or to be incurred) from among the $338.2 million in capital expenditures
listed below for seven ofCHW's regional divisions.
Total financing approval for $150 million is being requested to cover the abov~noted $137 million

The table below retlects an updated list of the CHW facilities participating in the 199~ CSCDA
financing. You will note that it is substantially reduced from the original list subroifted in the
Application for Financing dated September 17, 1999. The number of counties where the
proceeds of the CSCDA Certificates Will be spent has decreased, to six. The total amount of
expenditures to be financed is $136.7 million, but we are still requesting a total par a,mOUIlt of
CSCDA Certificates of Participation of $150 million, Our apologies for any inconv<:rilence the
change in list of facilities may cause you in your efforts to'set-up the local approval meetings,
