HomeMy WebLinkAbout1999-265 RESOLUTION NO. 1999-265 2 3 RESOLUTION OF THE MAYOR AND COMMON COUNCIL OF THE CITY OF SAN BERNARDINO APPROVING AN INSTALLMENT PURCHASE FINANCING TO BE UNDERTAKEN BY THE CALIFORNIA STATEWIDE COMMUNITIES DEVELOPMENT AUTHORITY TO BENEFIT CATHOLIC HEALTHCARE WEST OPERATOR OF COMMUNITY HOSPITAL OF SAN BERNARDINO AND CATHOLIC HEALTHCARE WEST OF SOUTHERN CALIFORNIA OPERATOR OF ST. BERNARDINE MEDICAL CENTER 4 5 6 7 8 WHEREAS, California Healthcare West (the "Corporation"), Community Hospital of 9 San Bernardino ("CHSB") and Catholic Healthcare West Southern California (which operates 10 St. Bernardine Medical Center) ("CHWSC" and, together with CHSB, the "Health 11 12 Institutions"), all of which are California nonprofit public benefit corporations, have requested 13 that the California Statewide Communities Development Authority (the "Issuer") participate in 14 an installment purchase financing for the purpose of, among other things, enabling the 15 Corporation and the Health Institutions to finance and/or refinance certain indebtedness and 16 various capital improvements (including real property and items of equipment) and related costs 17 of certain acute health care facilities (the "Facilities") of the Health Institutions located within 18 the City of San Bernardino (the "City") and certain costs with respect thereto; and 19 WHEREAS, to effect such financing, the Issuer and the Health Institutions will enter 20 into installment purchase agreement (the "Purchase AgreemenC), under which the Health 21 Institutions, respectively, will sell certain real property related to the Facilities to the Issuer and 22 the Issuer will agree to make payments (the "Installment Payments") to the Corporation and the 23 Health Institutions for the purchase thereof; and 24 25 WHEREAS, certificates of participation (the "Certificates") in an aggregate principal amount not to exceed One Hundred Fifty Million dollars ($150,000,000), each representing a -1- 1999-265 2 3 4 5 proportionate undivided interest in the Installment Payments, will be executed, delivered and sold in connection with the Financing (as defined below); the financing and/or refinancing of certain indebtedness and various capital improvements (including real property and items of equipment) and related costs of the Facilities through the execution and delivery of the Certificates is herein referred to as the "Financing"; and 6 WHEREAS, pursuant to Section l47(f) of the Internal Revenue Code of 1986 (the 7 "Code"), the Financing must be approved by the City because the Facilities are located within 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 the territorial limits of the City; and WHEREAS, the Mayor and Common Council (the "Council") is the elected legislative body of the City and is one of the applicable elected representatives required to approve the Financing under Section 147(f) of the Code; and WHEREAS, the Issuer has requested that the Mayor and Common Council approve the Financing in order to satisfy the public approval requirement of Section l47(f) of the Code and the requirements of Section 9 of the Joint Exercise of Powers Agreement (the "Agreement"), dated as of June I, 1988, among certain local agencies, including the City; and WHEREAS, pursuant to Section 147(f) of the Code, the Mayor and Common Council, following notice duly given, has held a public hearing regarding the Financing and now desires to approve the Financing. NOW, THEREFORE, the Mayor and Common Council of the City of San Bernardino resolves as follows: Section I. The Mayor and Common Council hereby approves the Financing described above. It is the purpose and intent of the Mayor and Common Council that this resolution constitute approval of the Financing for the purposes of (i) Section 147(f) of the -2- 1999-265 2 3 4 5 6 7 8 9 10 Internal Revenue Code of 1986 as the elected representative of the City of San Bernardino in which the Facilities are located, and (ii) Section 9 of the Joint Exercise of Powers Agreement (the "Agreement") dated as of June I, 1998. Section 2. The officers of the City are hereby authorized and directed, jointly and severally, to do any and all things and to execute and deliver any and all documents which they deem necessary or advisable in order to carry out, give effect to and comply with the terms and intent of this resolution and the financing transaction approved hereby. Section 3. This resolution shall take effect immediately upon its adoption by the City and the City Clerk shall certify to the vote adopting this resolution. Catholic Healthcare West ("CHW"), is a multi-hospital system headquartered in San Francisco, California that operates 46 hospitals in three states - 44 in California, one in Arizona and One in Nevada - with a total licensed capacity of approximately 11,800 beds. A list of CHW's hospitals is provided following this page. CHW is a California nonprofit public benefit coxpoxation sponsored by two Sisters of Mercy regional communities, based in Burlingame, California and Auburn, California the Adrian Dominican Sisters, based in Adrian, Michigan (the "Adrian Dominican Sisters"), the Daughtexs of Charity, based in Los Altos Hills, California (the "Daughters of Charity"), the Sisters of the Third Order of SI.. Dominic Congregation of the Most Holy Name, based in San Rafael, California (the "San Rafael Dominican Sisters"), the Sisters of Charity of the Incarnate Word, based in Houston, Te.'GlS (the "Sisters of Charity, Houston"), and the Congregation of the Dominican Sisters of 51. Kennedy Medical Center (Hawthorne) and Sequoia Health Services (Redwood City). As a result of these mergers the San Rafael Dominican Sisters, the Sisters of Charity, Houston and the Kenosha Dominican Sisters became co-sponsors of CHW. In April 1997, Marian Medical Center (Santa Maria), and St. Francis Medical Center (Santa Barbara) merged into the CHW Obligated GToup. In October 1997, Saint Francis Memorial Hospital (San Francisco) joined the CHW Obligated Group. Because of the cost savings in interest expense that CHW can realize with la]r,-exem.pt financing through the California Statewide Connnunities Development Authority, it will be able to set its charges at lower levels and still meet its financial requirements. The savings from the lower tax-exempt interes! rates will in this way be passed along to the Obligated Group Hospitals' patients and the various public and private third party reimbursement programs, In addition to passing the savings from ta."'(-exempt financing on to patjents, CHW also provides benefits to the public in the form of cb3rity care, non billed services, donations, and education and research.
