RESOLUTION OF THE CITY OF SAN BERNARDINO AWARDING
AGREEMENT TO ECONOMICS RESEARCH ASSOCIATES TO PREPARE

6 SECTION I. ECONOMICS RESEARCH ASSOCIATES proposal and qualifications

effective only upon being fully executed by both parties. All other proposals, therefore, are
hereby rejected. The Mayor is hereby authorized and directed to execute said Agreement on
Behalf of the City. A copy of the Agreement is attached as Exhibit I and incorporated herein by
reference as fully as though set forth at length.
SECTION 2. This Agreement and any amendment or modifications thereto shall not
take effect or become operative until the Agreement is fully signed and executed by the parties,
and no party shall be obligated hereunder until the time of such full execution. No oral
agreements, amendments, modifications or waivers are intended or authorized and shall not be
implied from any act or course of conduct of any party.

AGREEMENT FOR PROFESSIONAL SERVICES
THIS AGREEMENT made and entered into this z,:/c< day of ,)... ()~ 2000, by and
between the CITY OF SAN BERNARDINO ("City") and ECONOMICS RESEARCH
ASSOCIATES ("Consultant").
RECITALS
1. Purpose
The purpose of this Agreement is to allow the City to procure the services of an experienced
professional firm to prepare an economic feasibility study that analyzes existing development
vs. the land use mix in the City's General Plan and the goals in the BIG Plan.
2. Mission
The City hereby retains the Consultant for provision of the services described in Attachment
A (Consultant's Proposal) and Attachment B (Addendum to Proposal), Consultant hereby
accepts such responsibility as described herein.
During the course of the study, if additional tasks are identified that would be beneficial to
the City, the Director may request a written proposal for that work. The Director may also
request additional meetings as warranted.
3. Terms
This Agreement shall commence as of the day and year first above shown and shall remain in
full force and effect until the contract is completed or unless terminated earlier, as provided
herein. The Director of Development Services (Director) has been duly authorized to approve
line item adjustments to the program budget contained in the consultant's proposal provided
that such adjustments do not materially alter this agreement or increase the cost to the city
hereunder. However, the Director may authorize additional work and/or meetings as
specified in Section 2.
4. Consultant Responsibilities
Consultant shall complete the work program described in Attachments A and B. Consultant
commits the principal personnel listed below to the project for its duration:

4, Replacement of Named Personnel
It has been determined that the individuals named in this Agreement are necessary for the
successful performance of this Agreement. No diversion or replacement of these individuals
shall be made by Consultant without written consent of the Director of Development
Services. If the Director fails to respond to Consultant within ten (10) days of notification by
Consultant, said personnel diversion or replacement shall be deemed approved,
5. Release of News Information
No news release, including photographs, public announcements or confirmation of same, of
any part of the subject matter ofthis Agreement or any phase of any program hereunder shall
be made without prior written approval of the Director of Development Services.
6, Confidentiality of Reports
Consultant shall keep confidential all reports, information and data received, prepared or
assembled pursuant to performance hereunder and which is designated as confidential by the
Director of Development Services, Such confidential information shall not be made available
to any person, firm, corporation or entity without the prior written consent of the Director.
7, Compensation
The Consultant will be paid a not to exceed fee of $49,SOO for all work and services
performed under this Agreement. The City agrees to pay Consultant on a monthly basis in
accordance with the method of compensation described in Attachments A and B. The
Consultant shall submit invoices on a monthly basis to the Director of Development Services
for review and determination as to compliance with method of compensation,
Payment shall be made within thirty (30) days of receipt of each invoice. Such payment shall
be made payable to Consultant.
Compensation for any additional work, as outlined in Sections 2 and 3 of this Agreement,
will be processed in the same manner. The total fee for additional tasks and/or meetings shall
not exceed $lO,SOO,
The total fee for this Agreement, including the work outlined in Attachments A and B shall
not exceed $60,000,

8. Department Support
The City of San Bernardino shall provide Consultant with any plans, publications, reports,
statistics, records or other data or information pertinent to the services to be provided
hereunder which are reasonably available.
9, Independent Contractor
Consultant shall perform the services as contained herein as an independent contractor and
shall not be considered an employee of the City. This Agreement is by and between
Consultant and the City, and is not intended, and shall not be construed, to create the
relationship of agent, servant, employee, partnership, joint venture, or association, between
the Consultant and the City.
10. Conflict ofInterest
Consultant agrees for the term of this Agreement not to enter into any agreement that will be
detrimental or adverse to any interest of the City of San Bernardino or its Economic
Development Agency.
11, Successor and Assignment
The services as contained herein are to be rendered by Consultant whose name is as appears
first above written and said Consultant shall not assign nor transfer any interest in this
Agreement without the prior written consent of the Director of Development Services.
12. Indemnification
Consultant agrees to indemnifY, defend, and hold harmless the City of San Bernardino, and
its agents, officers and employees from and against any and all liability, expense and claims
for damages of any nature whatsoever, including, but not limited to, costs, bodily injury,
death, personal injury, or property damages, arising from or connected with Consultant's
negligent operations, or willful misconduct or any aspect of its performance under this
Agreement.
13. Compliance with Laws
The parties agree to be bound by applicable federal, state and local laws, regulations and
directives as they pertain to the performance of this Agreement.

14. Non-Discrimination
In the fulfillment of the work program established under this Agreement, either as to
employment, upgrading, demotion, transfer, recruitment or recruitment advertising, layoff or
termination, rates of payor other terms of compensation, selection for training, including
apprenticeship or participation in the program or the receiving of any benefits under the
program, Consultant agrees not to discriminate nor to allow any subcontractor to discriminate
on the basis of age, race, color, creed, religion, national origin, ancestry, sex, marital status or
physical handicap,
15. Severability
In the event that any provision herein contained is held to be invalid, void or illegal by any
court of competent jurisdiction, the same shall be deemed severable from the remainder of
this Agreement and shall in no way affect, impair or invalidate any other provision contained
herein. If any such provision shall be deemed invalid due to its scope or breadth, such
provision shall be deemed valid to the extent of the scope or breadth permitted by law.
16. Interpretation
No provision of this Agreement is to be interpreted for or against either party because that
party or that party's legal representative drafted such provision, but this Agreement is to be
construed as if it were drafted by both parties hereto.
17, Entire Agreement
This Agreement with Attachments A and B constitutes the entire understanding and
agreement of the parties.
18. Waiver
No breach of any provision can be waived unless in writing, Waiver of anyone breach of any
provision shall not be deemed to be a waiver of any other breaeh of the same or any other
provision hereof.
19. Contract Evaluation and Review
The ongoing assessment and monitoring of this Agreement IS the responsibility of the
Director of Development Services or his designee.

20. Termination
The City or Consultant may terminate this Agreement either with or without cause or for any
reason at any time by mailing by certified mail 30 days prior written notice of termination to
the other party. In this event, the Consultant shall be paid the reasonable value of services
rendered to the date of termination, In the event of any such termination, Consultant shall
provide to the City, without charge, all documents, notes, maps, reports and data accumulated
to the date of such termination, Consultant further covenants to give its good-faith
cooperation in the transfer of the work to the City or to any other consultant designated by
the City following such termination, and to attend and participate in any meetings at no cost
to the City as shall be deemed necessary by the City to effectively accomplish such transfer.
21. Warranty
Consultant expressly warrants that the economic feasibility study will be performed with
care, skill, reasonable expedience, professional due diligence, and faithfulness and that the
deliverables and/or reports shall be appropriate and proper for their intended use by the City,
Consultant further warrants that all work required under this Agreement will be performed in
accordance with generally accepted professional practices within the area of expertise of the
consultant
22. Liability/Insurance
The Consultant shall maintain insurance policies meeting the minimum requirements set
forth herein. All insurance maintained by the Consultant shall be provided by insurers
satisfactory to the City, Certificates evidencing all insurance coverage required herein shall
be delivered to the City prior to the Consultant performing any of services under this
Agreement All insurance certificates required herein shall name the City as an additional
insured and provide for thirty (30) days written notice from the insurer to the City prior to
cancellation of any insurance policy of the Consultant
A. Comprehensive General Liabilitv Insurance. The Consultant shall maintain
comprehensive general liability insurance with a eombined single limit of not less
than One Million Dollars ($1,000,000.00) per occurrence.
B. Automobile Insurance. The Consultant shall maintain comprehensive automobile
liability insurance with a combined single limits of not less than One Million
Dollars ($1,000,000.00) per occurrence covering all vehicles leased or owned by
the Consultant and which are used or which may be used to perform any services
under this Agreement
C. Worker's Compensation Insurance. The Consultant shall maintain worker's
compensation insurance in accordance with the laws of the State of California for
all workers employed by the Consultant

proposal to meet your community's needs for an economic analysis for an update
to the Land Use Element of the City's General Plan.
ERA feels that it is highly qualified to provide these as we have provided
economic analyses for General Plan efforts in communities throughout the State
of California. Additionally;we are very familiar with economic conditions within
your community having recently completed a market analysis in cooperation with
architect Milford Wayne Donaldson for the Santa Fe Rail Depot in downtown San
Bernardino. As a firm, we continue to be active in San Bernardino County as a
whole, as we have recently been selected to perform economic revitalization
efforts for the City of Upland along the Foothill Boulevard Corridor.

SCOPE OF SERVICES
Understanding of the AssigJIment
The General Plan process is iterative. Economic analysis informs the
General Plan development program and other elements, identifies public policy
trade-offs, tests alternatives, and helps formulate implementation policies. The
General Plan is a policy document for the comprehensive and orderly
development of the City, with which zoning must be consistent. This assignment
must articulate an economic vision for the City, build a comprehensive,
coordinated, and orderly strategy towards achieving this vision, test the land use
plan's impact on the City's fiscal health, and formulate General Plan policies for
supporting the strategy.
Having worked on numerous assignments for and with the City of San
Bernardino for more than 30 years, ERA is well acquainted with the initiatives
and results of economic development. Our firm has worked in most of the major
corridors and districts and is familiar with the range of challenges the
contemporary city must address, from ongoing reuse programming at former
Norton Air Force Base to the fundamental revitalization of Mt. Vernon Avenue.
Task 1: Background Research and General Plan Review
Task 1.1: City Tour.. We will begin with a comprehensive tour of the
City, including a drive to major employment, commercial, and residential centers
of the City and the surrounding region. We will meet with City staff to discuss
economic issues, opportunities and constraints, work completed to date, and goals
and objectives for the City and its communities.
Task 1.2: Data Collection -- At this time, we will collect and review the
following information:
. All prior studies related to economic development and fiscal analysis
. Census and other very recent demographic data
. Regional industry and employment data
. The existing General Plan and land use maps
. A list or report on planned major infrastructure improvements in the
City and surrounping reigon

City may have
. A list of planned and proposed major private and public development
projects in the market area (e.g., "Lakes and Streams")
. A list of major industries and employers in the market area
. A list of local contacts for data collection
. The City budget, CIP, and any prior public facility financing plans
Task 2: Analyisys of Supply r Demand, and Capture Potential
Task 2.1: Trade Area Identification.. Based on our observation of
regional development trends and competitive locations, the nature of land use
concepts under consideration, and a review of barriers and access, we will define
the primary and secondary trade areas for market review. Different trade areas
may be defined for different land uses.
Task 2.2: Market Demographic Analysis .. Demographic trends are key
determinants for commercial and housing demand. We will prepare a
demographic analysis of the city and its market region. Characteristics we will
review include population, households, age distribution, income distribution, and
educational attainment and the evolving futures of each of these indicators.
Task 2.3: Selected Real Estate Characteristics .. We will review basic
real estate characteristics for industrial and commercial development in the city
and surrounding region. This review will include the volume of development
over time by major land use, and an inventory of major commercial and industrial
developments. We will conduct the following research:
1. Characteristics of major industrial real estate trends
2. Characteristics of major commercial real estate trends
3. Characteristics of major tourism related development trends
4. Characteristics of any major planned or proposed projects in the City
and its market areas
ERA will identify a 2020 horizon for any and all projections of future needs and
demands for land use types.

Task 3: Preliminary Program Recomendations
Task 3.1: Market Findings -- We will present market findings based on
the above analysis. These findings will include estimates of the supportable
market (now and in the future), the City's potential economic future under various
competitive scenarios, the potential for specific market niches, the level of
potential private interest, and potential risks. ERA will project the futures by
2020 in five-year increments.
Task 3,2: Opportunities for New Development and Redevelopment --
Based on the market and economic analysis, we will identify opportunities for
new development concepts within the City's infill areas, undeveloped areas, and
potential annexation areas. We will also identify opportunities for redevelopment
and revitalization of existing areas, if appropriate. (ERA is already familiar with
the major redevelopment efforts in the 10+ separate project areas.)
Task 3.3: Proposed Economic Development Program.. Working with
staff, we will recommend a preliminary economic development policy for the
City. The policy will identify the following:
. Overall vision
. Specific economic development sub-concepts
. Desired land use mix
. Suggested economic development clusters and preliminary locational
recommendations
ERA will take care to build upon the recently adopted BIG Plan by formulating
the desired land use allocations, development quality, and intended occupants.
Task 4: Joint Mayor and Council Planning Commission Workshop
ERA will present to the Mayor and Council and Planning Commission of
the City of San Bernardino the results of the research program to date and
preliminary recommendations indicated by the research process in Tasks 1
through 4, This presentation will include PowerPoint slides, handout materials,
and summaries of oncoming recommendations. Also, through this workshop

process, ERA will make its professional staff available to this body of elected and
appointed officials for an open conversation on a wide variety of economic
development topics related to the overall improvement of the City of San
Bernardino relative to its competition throughout Southern California.
Task 5: Economic and Fiscal Impact Analysis
Because the economic element of the General Plan is not specifically tied
to any land use allocations, it will be difficult to assign specific fiscal and
economic impacts to any planned alternative generated through this process.
However, it will be possible to illustrate in qualitative terms the potential for the
performance characteristics of land use types and their effects through
implementation of the Plan on issues such as:

ERA will also provide the City of San Bernardino with some generic per
square foot and per capita planning and performance parameters based on an
examination of the existing General Fund budgets of the City of San Bernardino.
Task 6: Program Recommendations
ERA will present a draft and a final report that will include the economic
and market research findings, We will detail the suggested land use chnge
initiatives we believe the City can accomplish by joining market forces with
deliberte economic development initiatives. The economic analysis will
incorporate comments and suggestions from the working session with the Mayor,
Council, and Planning Commission of the City of San Bernardino.

ERA will invoice the City on a monthly basis for the cumulative percentage of the
work completed, as evidenced by the accompanying deliverables. ERA can
provide the City with all necessary evidence of financial viability, insurance
coverages, and other certifications as may be necessary for conducting a
consulting assignment for the City.
PROJECT DELIVERABLES
ERA will submit draft reports for review by the City of San Bernardino at
the ends of Tasks 1, 4, and 7. These interim reports will contain the findings of
the research program up to the completion of those tasks.
MEETINGS
ERA will be available for meetings with City of San Bernardino staff at
the end of Tasks 1, 4, and as part of the submittal of the draft final report in Task
7. Additional meetings can be arranged on a time and materials basis at the
regular hourly billings rates of the ERA staff requested. Per the RFP Addendum
request, ERA notes that it can provide additional meetings support at $1S0 per
hour.

Economics Research Associates (ERA) is a California-based economic
planning firm with offices in Los Angeles, San Diego, San Francisco, Chicago,

areas are 1) Economic Planning and Public Policy, 2) Real Estate Development
Economics, and 3) Tourism and Leisure Economics. With 42 years of continuous
consulting experience, ERA has completed over 13,SOO assignments.
Approximately half of ERA's clients are public agencies and half are private
development interests. This valuable experience gives ERA a solid understanding
of the business imperatives that make economic development work, knowledge of
how economic development works in coordination with other public policy
objectives, and the capability for working within the inherently political public
decision-making process.
ERA combines economic analysis expertise with urban planning

Mr. Wilcox will serve as ERA's Principal-in-Charge. He specializes in
the planning, programming, and management of regional economic development,
redevelopment, rehabilitation, and reinvestment projects. He has implemented a
variety of economic development assignments, such as adaptive use analyses,
economic development strategies, visitor and tourism development projects, and
program business plans for over 100 cities in California. Mr. Wilcox helped Los
Angeles County form over ten business improvement projects. Mr. Wilcox
served for eight years with the Community Redevelopment Agency of the City of
Los Angeles, where he was deputy administrator for the implementation of nine
redevelopment and rehabilitation projects. In addition, Mr. Wilcox worked at the
U.S. Bureau of the Budget, Executive Office of the President, in Washington D.C.
as a regional planner and management analyst. He is an Adjunct Professor at the
University of Southern California, School of Policy, Planning and Development,
where he teaches the graduate community redevelopment planning courses. Mr.
Wilcox received a B.A. degree in political science and an M.A. degree in history
from the University of Michigan. He also holds a Master of Regional Planning
degree from the Harvard Graduate School of Design. He is a member of
NAHRO, APA, and AICP, and serves on the Board of Directors of the National
Council for Urban Economic Development.
Based in ERA's Los Angeles office, Mr. Bergman has participated in a
broad range of economic development and planning projects. In particular, he has
worked intensively on issues surrounding the formation of urban and regional
development strategies and infrastructure support for economic development.
Southern California projects include an evaluation of the effects of declining
defense and aerospace employment on blue collar workers in Los Angles County
and for the U.S. Department!Jf Commerce, Travel and Tourism Administration, Mr.
Bergman worked to develop a three-part implementation strategy for tourism
development in twelve separate multicultural neighborhoods surrounding the urban
core of Los Angeles. This project involved working closely with community
organizations, neighborhood merchant associations and public agencies to develop
workable economic development actions plans that were focused on tourism and the
visitor-serving industries. Other related public policy analysis projects have
included a development program for a business improvement district on Hollywood
Boulevard in Los Angeles' and the implications for the state's manufacturing
industries of establishing a high-speed rail transit system in California, As part of an
ERA team, Mr. Bergman conducted an independent review of the County of
Orange's official socioeconomic projections for the entire county out to 2020. This

Dear Ms. Ross:
Based upon our telephone conversations on May 24th and 2Sth, Economics
Research Associates (ERA) submits this revised addendum to our previously
submitted proposal. We have included all of the elements of additional
performance of services which we discussed in detail. This letter may serve as an
offer of additional services for your consideration. We are prepared to amend our
proposal, should that be desired, to include all of these additional scope of work
tasks.
Two additional work components are proposed as follows:
1. Provide for additional meetings with City management and the
elected officials group, to be determined, at dates and times to be
determined. This would increase the total number of meetings in
the overall program of work beyond the two primary
meetings/workshops/presentations initially proposed.. The
purpose of the additional meetings will be for further definition of
the findings and recommendations regarding land use policy for
the land use element of the General Plan, and next steps which
may be appropriate in the implementation of the land use policies.
Senior ERA professionals will work with the project manager to
arrange for and conduct the meetings and report upon the results
thereafter.
2. As an additional task, it is suggested that the City focus upon its
evolving transcontinental hub futures. ERA notes the key and

accumulating importance of the railway corridors, the evolution of
air services, the massing of goods movements along the interstate
freeway systems, and the density of activity which is arising in the
utilities services corridors, and the communications systems. San
Bernardino lies astride important corridors and is a nexus for
transition of both transport and communication services. It is
appropriate to envision these futures as they may provide unique
opportunities for the City to capture additional "crossroads"
economic activities and new functions. This specific additional
task will be carried out within the overall research and reporting
program. ERA will prepare a separate focused "paper" as a
deliverable, which will then be integrated into the overall final
report.
These two additional tasks are proposed to the City for consideration and carry an
additional allocation of compensation resources. The additional levels of effort
are proposed as follows:
. Supplemenrol Task 1. Additional meetings activity-8 hours for
$1,200 per meeting
. Supplemenrol Task 2: Transcontinental positioning of the City-40
hours, $S,OOO
Thus, these two additional work activities will require additional compensation.
In each case, the work will be performed jointly by Mr. Wilcox and Mr. Bergman.
In addition to these proposed additional tasks, ERA is prepared to provide
additional services as may be required by the City. You may wish to provide
resources in the contract for such additional work Additional tasks can be
negotiated on a work order basis. ERA will utilize the hourly rates shown in our
original proposal.
We do not anl1Clpate that the contract performance period will
substantially lengthen because these additional tasks are added. Generally, ERA
expects to perform the entire scope of work, including these additional tasks,
within a three-month period. The overall schedule of performance will be further
defmed between the City and ERA in our next conversations. It may be
appropriate to define an overall schedule which stresses continuity and the
effective use of the meeting periods over a four-month time of performance.

These suggestions are submitted for your consideration based upon our
recent conversations. We are available to adjust the levels of effort and the
descriptions of the tasks to best suit the City's needs.
Acceptance of this proposal addendum may be indicated by signing one
copy and returning it to Economics Research Associates in Los Angeles, or by
inclusion of the tasks and budget in the overall contract.

well focused tasks which will provide further value to the City as it evaluates its
