BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY OF SAN BERNARDINO AS FOLLOWS: SECTION 1. The attached Proposal dated September 19, 2001, and marked Exhibit 10 11 12 13 14 15 perform extra work for a fixed fee of $52,070.00, under terms of a Professional Services Agreement with said Architect authorized by Resolution No. 2000-327, is hereby approved. Such approval shall be effective only upon Amendment No. 3 being fully executed by both parties. The Mayor is hereby authorized and directed to execute said Amendment No.3 on behalf of the City. A copy of Amendment NO.3 is attached as Exhibit "A" and incorporated 16 herein by reference as fully as though set forth at length. SECTION 2. This Amendment shall not take effect until the Amendment is fully 20 such full execution. No oral Contracts, amendments, modifications or waivers are intended or 21 authorized and shall not be implied from any act or course of conduct of any party. 22 SECTION 3. Penman 26 City Attorney (1 '-:-I! ) 27 By:/ (~ 7, {ic-;v-z/>,""1""'c 28 1//( i 2 '. , 2001-319 EXHIBIT "A" , AMENDMENT NO.3 TO AGREEMENT FOR PROFESSIONAL SERVICES This AMENDMENT NO.3 is made and entered into this 15th of October 2001, by and between the CITY OF SAN BERNARDINO, California, a municipal corporation, hereinafter referred to as the "CITY" and Architect Milford Wayne Donaldson, FAIA, Inc., hereinafter referred to as "ARCHITECT". WITNESSETH WHEREAS, San Bernardino City Council, on November 20, 2000, adopted Resolution No. 2000-327 approving an Agreement for Professional Services with Architect for preparation of plans, specification, and estimate for renovation and retrofit of the San Bernardino Santa Fe Depot; and WHEREAS, subsequent to Agreement approval, reVISIOns were requested by Transtec and City Staff pursuant to the Value Engineering process. WHEREAS, certain tests must be conducted to provide sufficient information for the Architect to create a proper design; and WHEREAS, Architect has requested an amendment to the Agreement to cover the cost of additional services required to complete these revisions; and WHEREAS, paragraph 5.B. of Agreement allows adjustment to the total cost of services when the Architect and City agree in writing that there has been, or will be, a significant change in the scope, complexity or character of the services to be performed; and WHEREAS, City agrees that the requested revisions are not within the scope of services covered in Agreement; and WHEREAS, the proposed additional services to be performed by Architect are described in a letters from Architect dated September 19, 200 I, identified as Exhibit "B ,. , r~spectively, attached hereto and made a part hereof. NOW, THEREFORE, it is mutually agreed, as follows: 1. SCOPE OF SERVICES Architect shall perform those additional services identified in Exhibit "B". 2. COMPENSATION Upon satisfactory completion of the additional services contained herein City shall be pay to Architect an additional fixed fee of $52,070.00. September 19, 200 I HISTORIC GASL..MP QUARTER CITY OF SAN BERNARDINO Development Services Department 300 North "0" Street San Bernardino, CA 92418 Attention: Mr. Raymond Casey Subject: San Bernardino Santa Fe Depot Value Engineering Services - (revised) Dear Ray: [n regards to the City of San Bernardino's request for additional services, Architect Milford Wayne Donaldson is pleased to submit this revised proposal, for the above referenced project, in the amount of Fifty Two Thousand Seventy Dollars ($52,070). Per Ali Cayir's request, MWD is submitting this proposal, to confirm our reduced fee and to be presented to the City Council Meeting on October I, 2001 As detailed in our proposal dated October 10,2000, value engineering is specifically excluded from our basic services. We have put together this proposal for Value Engineering Services required to reduce the construction budget to $8,800,000. This proposal reflects all additional services required to facilitate plan modifications based on our current understanding of the project which is summarized in the following scope: SCOPE OF WORK: 1. Amtrak, SAN BAG, and Metrolink tenant improvement spaces, will be identified as three (3) separate additive alternate items. 2. The Temporary Facilities developed for Amtrak and Metrolink will be identified as one (1) separate additive alternate item. 3. Landscaping improvements, except for planting and irrigation immediately adjacent to the building, will be identified as one (I) additive alternate item. 4. Improvements to the east parking lot will be identified as one (1) additive alternate item with the exception of the mechanical enclosure and required utilities. 5. Elements of the base bid to include the new parking lots between the Depot and Third Street consisting of paving, curblines, sidewalk with curbs, and street lighting. Landscaping in the base bid is limited to planting and irrigation immediately adjacent to the building. The east parking lot will remain in its current condition with historic brick paving and new striping to accommodate parking. Paving along the west of the building and at the Metrolink kiosk will remain as is. Existing paving between the arcade and the tracks will remain as is. Brick paving under the arcade will be removed and reinstalled to be level. The mechanical enclosure at the far-east portion of the site will be built. The building exterior will appear much the same as it has been planned to date. The roof tile will be cleaned in-place instead of being removed and replacement tile will be installed at damaged locations. The exterior cement plaster cleaning is also important to the general appearance as well as to enable plaster repairs. All window and door openings currently blocked will be cleared and replicated windows or doors will be installed where needed. The improved exterior east stairway remains in the project as well as restoration of the arcade, canopies, and chimney reconstruction. 7. With the exception of cleaning tile, repairing ceiling finishes, repairing windows and doors, and repairing tile damage caused by settling, the Lobby and Amtrak areas will not be improved. The Amtrak counter will be improved, but limited to ADA requirements and glazing on the counter. Air conditioning will be provided to Amtrak. The Lobby, as part of the original design. will only have the air tempered with cooling and heating, not designed for maximum controlled comfort at all times. 8 The base bid will not include the improvements designed for Metrolink or the Banquet facility on the first floor. These areas will receive wall and ceiling finishes, floor repairs and cleaning, window, and door repairs. A storefront door system will be installed in the Banquet Area. The toilets and kitchen area will be partially constructed and left in shell condition. 9. With the exception of the removal of the west elevator, and not installing tenant improvements for SANBAG, the 2'" floor is generally unchanged from current plans. The east elevator and lifts remain to satisfy ADA requirements. The new stairs connecting the mid and upper level and ramping between the mid and lower level will remain. The two new toilets at the west end will be partially constructed and left in shell condition. The skylights remain per the plans. 10. Areas designated for future tenants will remain as currently planned. 11. Rehabilitation of the exterior and some primary structural elements of the Historic Dorm remain in the project. Overall improvement of hollow clay tile (HCT) walls and unreinforced masonry (URM) and interior finishes are limited to shell type improvements. The interior of the dorm building remains unchanged. 12. Based on section 8-702.2 of the State Historical Building Code (SHBC), structural work will include the items needed to complete the renovation and only selected seismic bracing of the most critical structural. Estimated Construction Costs not to exceed $500,000. 13. In general, mechanical equipment will be sized for maintaining a comfortable environment. Smaller equipment will take more time to acclimate to desired levels and the temperature swing will be wider. 14. Plumbing is largely unchanged, however, smaller hot water heaters are planned, and some will not be installed until future tenant improvements are undertaken. The radiators in the Main Lobby will not be functional. The building must remain protected by an automatic sprinkler system to comply with SHBC and City of San Bernardino code requirements. 15. Individual metering, particularly for future tenant splits, may be eliminated at the forfeiture of measuring individual electricaluseage. Lighting may change from pendant system to integral into suspended ceilings in portions of the SANBAG area. The fire alarm system, emergency lighting, and data systems remain unchanged. 16. Incorporate all changes into the construction drawings and specifications. 17. Incorporate all changes into the Statement of Probable Costs. Reimbursable Costs Reimbursable Expenses described below shall occur, as necessary, and be billed by the Architect on an itemized statement specirying the type of service andlor the material provided, copies of receipts, if applicable, the position of the person providing the service, the person's hourly rate, the time spent and the cost incurred to provide the service. Funding for the reimbursable expenses is provided to pay the Architect for the various duties described below that do not lend themselves to precise estimation on a lump sum basis, and for that reason is not included in the Basic Services. Reimbursable Expenses, however, are essential to aid the Architect in the performance of the Basic Services and Additional Services, when authorized. Reimbursable Expenses are estimated to be $250 and shall be limited to the following: Printing and reproduction as required by the Consultant Film and Film processing as required by the Consultant Automobile Mileage/Travel related costs Long distance telephone/fax Report reproduction and expendable supplies (data duplication, historic photographs, and graphics supplies) Exclusions I. Preparation of permit processing documents. submittal of documents or attendance at agency plan check meetings. 2. Reproduction costs for blueprinting, CAD plots and photocopying.
