BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY OF SAN BERNARDINO AS FOLLOWS: SECTION I. The Mayor of the City of San Bernardino is hereby authorized and directed to execute on behalf of the City of San Bernardino an agreement with the City of Inglewood relating to citation processing services, a copy of which is attached hereto as Exhibit A and incorporated herein by reference. SECTION 2. The authorization granted hereunder shall expire and be void and of no further effect if the agreement is not executed by both parties and returned to the Office of the City Clerk within 120 days following effective date of the Resolution. PENMAN, City Attorney 1 2 3 2001-192 AGREEMENT 01- 124 THIS AGREEMENT is made and entered into this 2nd day of October ,2001, 4 by and between the City of Inglewood, hereinafter referred to as "Inglewood," and the City 5 of San Bernardino, hereinafter referred to as "San Bernardino", and supersedes that 6 Agreement between Inglewood and San Bernardino dated August 16, 1999 and entitled 7 "Parking Ticket Processing." 8 WHEREAS, San Bernardino is desirous of continuing its contractual relationship with 9 Inglewood wherein San Bernardino's parking citation services are automated; and 10 WHEREAS, Inglewood is desirous of continuing its contractual relationship with San 11 Bernardino wherein Inglewood assists San Bernardino with computerized parking citation 12 services; 13 NOW, THEREFORE, for good and valuable consideration, receipt of which is hereby 14 acknowledged, the parties hereto agree as follows: 15 Article 1 - SCOPE OF SERVICES 16 1. 17 18 19 20 21 22 23 24 25 26 27 28 29 30 31 32 Inglewood agrees to the following obligations - (A) (B) (C) (0) (E) (F) (G) Inglewood will provide the capability for San Bernardino to add new citations to the current Citation Master File. Inglewood will provide the capability to enter cash payments to the system, and after balancing, update San Bernardino's current Citation Master File with payment data. Inglewood will provide the capability for San Bernardino to correct cash and citation errors. Inglewood will provide the capability for San Bernardino to print all reports required to audit and control the process described in subparts (A), (B), and IC) preceding. Inglewood will provide a monthly summary of citations entered, citations paid, and citations cleared. Inglewood will obtain vehicle registration data and add it to the Citation Master File so that notices of delinquency can be mailed to the registered owners of the vehicles. This final notice shall contain the information specified in Section 40207 of the California Vehicle Code. These notices to be either sent to San Bernardino or mailed by Inglewood to the registered owner, in accord with San Bernardino's instructions. Inglewood will prepare a computer report supporting the notices prepared for mailing. Inglewood will prepare notifications of citations going to lien (vehicle registration hold) for the California Department of Motor Vehicles ("DMV"). -. Inglewood will delete any unpaid citations pursuant to DMV procedures based . on the last entries to the "Purging Months Complete and Incomplete" fields of the San Bernardino City control. record. Inglewood will maintain a historical backup file of all paid and purged citations based on the last entries to the "Purging Months Complete and Incomplete" fields of the San Bernardino City control record. Inglewood will adhere to a mutually agreed upon citation processing schedule. Inglewood will coordinate with the DMV to prepare a vehicle registration hold (lien) for each citation processed by Inglewood which meets the statutory requirements of the DMV lien process. Inglewood will provide San Bernardino with two (2) video display terminals, to access the Inglewood Parking Ticket System, and requisite maintenance for direct connection into the Inglewood Computer Center. A dedicated, leased, high speed digital telephone line to be acquired and paid for by San Bernardino. Inglewood reserves the right when necessary, with prior notice and consent, to make the entire system unavailable, for hardware and software maintenance. It is understood that such unavailability will be rare, and that consent will not be unreasonably withheld. Inglewood agrees that all San Bernardino citation data remains the sole property of San Bernardino. San Bernardino Agrees to the Following Obligations: To fully cooperate with Inglewood. To provide Inglewood with all information deemed necessary for the performance of its services under this Agreement. - 2 - 2001-192 1 (C) To pool one half of all money collected from citations issued to out-of"state 2 vehicles into a Hardware Replacement Fund for the purpose of replacing or 3 repairing on-site equipment. The amount of San Bernardino's contribution to 4 said Fund shall be included in the monthly invoices sent by Inglewood to San 5 Bernardino as a separate line item. All such moneys contributed by San 6 Bernardino and collected by Inglewood shall be used only for the purpose of 7 replacing and repairing San Bernardino's on-site equipment. San Bernardino's 8 contribution to the Hardware Replacement Fund shall commence July 1, 2001 9 .- and shall be applicable thereafter during the term of this Agreement. 10 (D) To attend Inglewood sponsored Parking Citation conferences. 11 Article 2 - EQUIPMENT 12 Inglewood agrees to provide San Bernardino with the requested number of hand held 13 units and a minimum of one personal computer, which shall be located at the site of San 14 Bernardino's choosing. Additionally, Inglewood shall provide San Bernardino with the 15 necessary communications equipment to upload the information from the hand held units to 16 the personal computer; as well as software; support; and supplies. Software, as 17 contemplated by this Agreement, shall mean the computer programs necessary to both issue 18 and process the data collected from the hand held units. Support, as contemplated by this 19 Agreement, shall mean the on-going professional support of the equipment and software by 20 Inglewood. Supplies, as contemplated by this Agreement, shall mean blank ticket stock, 21 envelopes, and batteries for the hand held units. 22 San Bernardino agrees that it shall select a type of hand held unit from the following , 23 list and that San Bernardino shall use the selected hand held units for a period of four (4) 24 continuous years from the date of purchase. The parties hereto agree that San Bernardino 25 may change the type of hand held units, prior to the expiration of the required four year 26 period, at its sole expense. 27 Class 1: One piece hand held parking ticket issuing computer; 28 Class 2: Two piece hand held parking ticket issuing computer with umbilical cord 29 communication between the hand held computer and printer; 30 Class 3: Two piece hand held parking ticket issuing computer with infra red 31 communication between the hand held computer and printer; and 32 Class 4 : Two piece hand held parking ticket issuing computer with radio frequency - 3 - 2001-192 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 29 communication between the hand held computer and printer. In the event of damage to or destruction of any of the equipment provided to San Bernardino by Inglewood, which is covered by a warranty, San Bernardino shall receive any and all benefits of any such warranty. In the event of damage to or destruction of any of the equipment provided to San Bernardino by Inglewood which is either not covered by a warranty or which is excluded therefrom for any reasons, San Bernardino shall be responsible for the cost of repair or replacement, at Inglewood's discretion. Article 3 - COMPENSATION A. CITATION SERVicES (1) Citation Handling Fees San Bernardino agrees to pay Inglewood for its citation handling services, the sum of $1 .25 per citation processed by the system. The citation handling fees, including but not limited to those set forth in Exhibit "A" hereto,"Other Fees", attached hereto and incorporated herein by this reference as if set forth in full, shall be adjusted annually on July 1, the rate being adjusted upward by the percentage of annual change in the Los Angeles\Long Beach Consumer Price Index (CPI), as identified each June 1. The adjustment to the citation handling fees based upon the Los Angeles\Long Beach Consumer Price Index (CPI,) as identified each June 1, shall commence July 1, 2001 and shall be applicable for each year thereafter during the term of this Agreement. (2) Postage Fees San Bernardino agrees to pay Inglewood, in addition to the fees set forth in the immediately preceding paragraph, the prevailing U.S. first class postage rate, plus a five cents (.05(:) mailing service charge for each Illegal Parking notice postcard and a nine cents (.09(:) service charge for each letter San Bernardino chooses to have mailed by Inglewood. Mailing services are optional and may be initiated or discontinued by San Bernardino at any time. (3) Invoicing Invoices for services rendered pursuant to this Agreement will be prepared by Inglewood and submitted to San Bernardino on a monthly basis. Invoices shall be paid within 30 thirty (30) days after receipt. Should San Bernardino require the assistance of Inglewood in 31 the data entry of citations, the processing of cash payments, or the handling of 32 administrative questions, these services will be provided at Inglewood's current rates for - 4 - 2001-192 1 such services as set forth in Exhibit A. 2 B. DELINQUENT CITATION COllECTION SERVICES 3 Inglewood will allow San Bernardino to participate in Inglewood's Delinquent Citation 4 processing program. Said program includes the mailing of individually prepared collection 5 letters and, if requested by San Bernardino, the placing of offsets against the violators' 6 California Tax Refunds and/or California lottery winnings. In addition, other similar collection 7 efforts may be included under the program as authorized by San Bernardino and agreed to 8 by Inglewood. .' 9 The fee for said services, if authorized by San Bernardino, shall be 15 % of the gross . 10 revenues received from citations processed using any of the above described collection 11 mechanisms. In addition, for delinquent citation collections made in the first twelve (12) 12 calendar months of this Agreement following its execution by all the parties hereto, the direct 13 expenses associated with this process, not to exceed $2.00 (two dollars) per citation, will 14 be deducted from the gross revenues actually received by San Bernardino through its 15 participation in the Delinquent Citation Collection program. The parties hereto agree that, 16 following the first twelve (1 2) months of this Agreement, the direct expenses associated with 17 this process, not to exceed $2.50 (two dollars and fifty cents) per citation, will be paid by 18 San Bernardino to Inglewood upon receipt of Inglewood's invoices. 19 C. CONVERSION 20 The fees for the conversion of San Bernardino's existing system to the Inglewood 21 Citation Processing System, if applicable, will be as follows: .35 (:/citation for all citations that 22 do not require either delinquent notices or the placing or removal of DMV registration holds " 23 and .75(: (plus postage and mailing expenses as specified in Article 2, Compensation, section 24 A, Citation Services, subsection (2) Postage Fees) for all other citations. Optionally, rather 25 than paying for a conversion on a per citation basis, San Bernardino may compensate 26 Inglewood for conversion in the amount of 15% of gross revenues received, after the date 27 San Bernardino approves this agreement, from all citations issued prior to the date San 28 Bernardino's data base is converted. 29 Article 4 - CONFIDENTIALITY OF DOCUMENTS 30 All of San Bernardino's citation data is and shall remain the property of San 31 Bernardino. All the data prepared, assembled, or maintained by Inglewood pursuant to this 32 Agreement is confidential and Inglewood agrees that they shall not be made available to any F:\LEGAL\EFX\MIS\PTS\CITEAGTS\SANBERNA.OO1 - 5 - 2001-192 1 individual or organization without the prior written approval of San Bernardino, or upon proper 2 court order. 3 Article 5 . SECURITY OF DMV DATA 4 Inglewood and San Bernardino agree that either prior, to or as soon as is practical 5 following the execution of this Agreement, both parties shall execute a Memorandum of 6 Understanding with the California Department of Motor Vehicles. Inglewood and San 7 Bernardino agree that all the terms and conditions contained in the Memorandum of 8 Understanding which they execute with California Department of Motor Vehicles shall be 9 binding on the parties hereto. ~ 10 Article 6 . DISCRIMINATION 11 Inglewood agrees that during the performance of this Agreement, it will not 12 discriminate against any employee or applicant, for employment because of race, creed, 13 color, sex, age or national origin. 14 Article 7 . DURATION 15 This Agreement to remain in effect, until canceled by either party, with a 90 day 16 written notification. At such time, Inglewood agrees to provide San Bernardino, in computer 17 readable form, a copy of all data files necessary to service its citations. 18 Article 8 .INDEMNIFICATION 19 A. Neither San Bernardino nor any officer or employee of San Bernardino shall be 20 responsible for any damage or liability occurring by reason of anything done or omitted to be 21 done by Inglewood under or in connection with any work, authority or jurisdiction delegated 22 to Inglewood under this Agreement. It is also understood and agreed that, pursuant to . 23 California Government Code Section 894.5, Inglewood shall fully indemnify, defend and hold 24 harmless San Bernardino from any liability imposed for injury, as defined by California 25 Government Code Section 810.8, occurring by reason of anything done or omitted to be done 26 by Inglewood under or in connection with any work, authority or jurisdiction delegated to 27 Inglewood under this Agreement. 28 B. Neither Inglewood nor any officer or employee of Inglewood shall be 29 responsible for any damage or liability occurring by reason of anything done or omitted to be 30 done by San Bernardino under or in connection with any work, authority or jurisdiction 31 delegated to San Bernardino under this Agreement. It is also understood and agreed that, 32 pursuant to California Government Code Section 894.5, San Bernardino shall fully indemnify, F:\lEGAL\EFX\MIS\PTS\CITEAGTS\SANBERNA.001 - 6 - 2001-192 1 defend and hold harmless Inglewood from any liability imposed for injury, as defined by 2 California Government Code Section 810.8, occurring by reason of anything done or omitted 3 to be done by San Bernardino under or in connection with any work, authority or jurisdiction 4 delegated to San Bernardino under this Agreement. 5 Article 9 - MODIFICATIONS 6 No change, amendment or modification to this Agreement shall be effective unless 7 it is in writing and signed by the authorized representative of the parties hereto. 8 Article 10 - ENTIRE AGREEMENT " 9 This Agreement and the documents attached hereto and referred to herein contain all 10 the terms and conditions applicable to the parties and supersede all oral 11 negotiations and prior writings with respect to the subject matter hereof. Should San Bernardino require the assistance of Inglewood in 31 the data entry of citations, the processing of cash payments, or the handling of 32 administrative questions, these services will be provided at Inglewood's current rates for - 4 - '. 2001-192 1 individual or organization without the prior written approval of San Bernardino, or upon proper 2 court order. 3 Article 5 - SECURITY OF DMV DATA 4 Inglewood and San Bernardino agree that either prior, to or as soon as is practical 5 following the execution of this Agreement, both parties shall execute a Memorandum of 6 Understanding with the California Department of Motor Vehicles. Inglewood and San 7 Bernardino agree that all the terms and conditions contained in the Memorandum of 8 Understanding which they execute with California Department of Motor Vehicles shall be 9 binding on the parties hereto. .' 10 Article 6. - DISCRIMINATION 11 Inglewood agrees that during the performance of this Agreement, it will not 12 discriminate against any employee or applicant, for employment because of race, creed, 13 color, sex, age or national origin. 14 Article 7 - DURATION 15 This Agreement to remain in effect, until canceled by either party, with a 90 day 16 written notification. At such time, Inglewood agrees to provide San Bernardino, in computer 17 readable form, a copy of all data files necessary to service its citations. 18 Article 8 -INDEMNIFICATION 19 A. Neither San Bernardino nor any officer or employee of San Bernardino shall be 20 responsible for any damage or liability occurring by reason of anything done or omitted to be 21 done by Inglewood under or in connection with any work, authority or jurisdiction delegated 22 to Inglewood under this Agreement. It is also understood and agreed that, pursuant to " 23 California Government Code Section 894.5, Inglewood shall fully indemnify, defend and hold 24 harmless San Bernardino from any liability imposed for injury, as defined by California 25 Government Code Section 810.8, occurring by reason of anything done or omitted to be done 26 by Inglewood under or in connection with any work, authority or jurisdiction delegated to 27 Inglewood under this Agreement. 28 B. Neither Inglewood nor any officer or employee of Inglewood shall be 29 responsible for any damage or liability occurring by reason of anything done or omitted to be 30 done by San Bernardino under or in connection with any work, authority or jurisdiction 31 delegated to San Bernardino under this Agreement.
