RESOLUTION NO. 2001-187
RESOLUTION OF THE CITY OF SAN BERNARDINO APPROVING
AMENDMENT NO. 1 TO PROFESSIONAL SERVICES AGREEMENT WITH
ARCHITECT MILFORD WAYNE DONALDSON, FAIA, INC. FOR PREPARING
FINAL PLANS, SPECIFICATIONS, AND ESTIMATE FOR RENOVATION AND
RETROFIT OF THE SAN BERNARDINO SANTA FE DEPOT.
BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY
OF SAN BERNARDINO AS FOLLOWS:
SECTION 1. The attached Proposals dated May 8, 2001, May 14, 2001, and May 2,
2001, and marked Exhibit "B", "C", and "D", respectively, submitted by ARCHITECT
MILFORD WAYNE DONALDSON, FAIA, INC, to perform extra work for a fixed fee of
$39,100.00, under terms of a Professional Services Agreement with said Architect authorized
by Resolution No. 2000-327, is hereby approved. Such approval shall be effective only upon
Amendment No.1 being fully executed by both parties. The Mayor is hereby authorized and
directed to execute said Amendment No.1 on behalf of the City. A copy of Amendment No.
1 is attached as Exhibit" A" and incorporated herein by reference as fully as though set forth at
length.
SECTION 2, This Amendment shall not take effect until the Amendment is fully
signed and executed by the parties, and no party shall be obligated hereunder until the time of
such full execution, No oral Contracts, amendments, modifications or waivers are intended or
authorized and shall not be implied from any act or course of conduct of any party,
SECTION 3. This resolution is rescinded if the parties to the Amendment fail to
execute it within sixty (60) days of the passage of the resolution.

EXHIBIT "A"
AMENDMENT NO.1 TO AGREEMENT FOR PROFESSIONAL SERVICES
This AMENDMENT NO.1 is made and entered into this 18th of June
2001, by and between the CITY OF SAN BERNARDINO, California, a municipal
corporation, hereinafter referred to as the "CITY" and Architect Milford Wayne
Donaldson, FAIA, Inc, , hereinafter referred to as "ARCHITECT".
WITNESSETH
WHEREAS, San Bernardino City Council, on November 20, 2000, adopted
Resolution No. 2000-327 approving an Agreement for Professional Services with Architect
for preparation of plans, specification, and estimate for renovation and retrofit of the San
Bernardino Santa Fe Depot; and
WHEREAS, subsequent to Agreement approval, revisions were requested by
SANBAG and Metrolink to their respective tenant areas and the banquetlconference room
space; and
WHEREAS, certain tests must be conducted to provide sufficient information
for the Architect to create a proper design; and
WHEREAS, Architect has requested an amendment to the Agreement to
cover the cost of additional services required to complete these revisions; and
WHEREAS, paragraph 5.B. of Agreement allows adjustment to the total cost
of services when the Architect and City agree in writing that there has been, or will be, a
significant change in the scope, complexity or character of the services to be performed; and
WHEREAS, City agrees that the requested revisions are not within the scope
of services covered in Agreement; and
WHEREAS, the proposed additional services to be performed by Architect
are described in a letters from Architect dated May 8, 2001, May 14, 2001, and May 2,
2001, identified as Exhibits "B", "C", and "D", respectively, attached hereto and made a
part hereof.
NOW, THEREFORE, it is mutually agreed, as follows:
I. SCOPE OF SERVICES
Architect shall perform those additional services identified in Exhibits "B",
"C", and "D".
2. COMPENSATION
Upon satisfactory completion of the additional services contained herein City
shall be pay to Architect an additional fixed fee of $39,100.00.

3. NO ADDITIONAL CHANGES
Except as otherwise stated in this Amendment No, 1, all terms of the original
Agreement, as approved by City on November 20, 2000, shall remain in full
force and effect.
IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be
executed on the date written above by their duly authorized officers on their behalf.

Dear Ray:
In regards to the revisions to the SANBAG, Metrolonk, and banquet Iconference room spaces requested at
the April 23, 2001 meeting, we have put together this proposal for additional services. This proposal reflects
all additional services required to facilitate the plan modifications based on our current understanding ofthe
project.
SCOPE OF WORK:
1. Based on space planning layouts provided by SANBAG, revise the second floor plan, shear wall layout,
mechanical, plumbing, and electrical designs.
2. Redesign the west end of the first floor to accommodate the Metrolink offices, and revise the location
of the banquet room.
3. Provide for electrical, data, and audio visual requirements to support SANBAG board meetings in the
banquet room.
4. Revise the Historic PropertY Survey Report (HPSR) and Finding of Effect (FOE) to reflect the revised
layouts. Coordinate revisions with CALTRANS Division 8,
5. Incorporate all changes into the construction drawings and specifications.
6. Incorporate all changes into the Statement of Probable Costs
7. Attend coordination meetings with the City and SANBAG to discuss space requirements.

Reimbursable Costs
Reimbursable Expenses described below shall occur, as necessary, and be billed by the Architect on an
itemized statement specifying the type of service and/or the material provided, copies of receipts, if
applicable, the position of the person providing the service, the person's hourly rate, the time spent and the
cost incurred to provide the service. Funding for the reimbursable expenses is provided to pay the Architect
for the various duties described below that do not lend themselves to precise estimation on a lump sum basis,
and for that reason is not included in the Basic Services. Reimbursable Expenses, however, are essential to
aid the Architect in the perfonnance of the Basic Services and Additional Services, when authorized.
Reimbursable Expenses are estimated to be $250 and shall be limited to the following:
Printing and reproduction as required by the Consultant
. Film and Film processing as required by the Consultant
. Automobile Mileagerrravel related costs
Long distance telephonelfax
. Expendable supplies (data duplication, historic photographs, and graphics supplies)
Exclusions
1. Value engineering services and redesign.
2. Preparation of permit processing documents, submittal of documents or attendance at agency plan check
meetings.
3. Reproduction costs for blueprinting, CAD plots and photocopying. Reproduction for MWD use or
project team coordination are not considered reimbursable costs.
PROPOSED FEE:
The estimated total fixed fee for professional architectural services as described in this proposal is Thirty
three Thousand Three Hundred Fifty Dollars ($33,350.00).

Plaster Skim Coat Mock-up
Dear Ray:
As part of the renovation work on the Depot, we are intending to apply a plaster skim coat on many ofthe
existing walls and ceilings. This skim coat will fill small cracks and uneven surfaces and help mask patch
areas. The paint cross-section microscopy analysis identified the original finish as a dull yellow limewash
which has subsequently been covered by several layers of modern paints. One of our concerns is that there
may be problems with these previous finishes not remaining firmly adhered once the new plaster skim coat
is applied.
On previous projects, we have found it helpful to create mock-up to test the adherence. The mock-up area
also become an example of the acceptable level of finish for the contractors when they are bidding the
project. The mock-up is left in place throughout construction to further serve as an example of the
acceptable standard of quality. Should the mock-up show there is a problem with adherence, we will need
to include additional preparation requirements in the bid documents (such as removing all previous layers
of paint).
The attached proposal from Mark Sauer Construction is for creating a plaster skim coat mock-up on a
section of existing wall that we will identify.
We are also looking into other procedures shown on the plans that would benefit from a mock-up and allow
the bidders and selected contractor see an example of the acceptable level of finish. We will provide a list
of these additional mock-ups shortly.
